    IntroductionPurposeofthisGuideSustainabledesignandconstructioncontinuestobearapidlyevolvingareaofimportancetotheconstructionindustry.Newcodes,likethe2012InternationalGreenConstructionCode(IgCC),andneworrevisedcertificationsystems,likeGreenGlobes,willcontinuetocreatenewroles,responsibilitiesandrisksforOwners,ArchitectsandContractors.Itisimportanttodevelopcontractsthatarespecificallytailoredtotheseneworexpandedroles,responsibilitiesandrisks.In2011,theAmericanInstituteofArchitectsreleasedD5032011GuideforSustainableProjects,includingAgreementAmendmentsandSupplementaryConditions.Sincethattime,theAIAhascontinueditscommitmenttoleadershipintheareaofsustainabledesignandconstructionbyreleasingsustainableprojects(SP)versionsofkeyAIAContractDocuments.ThefirstsetofthesenewSustainableProjectdocumentswasreleasedin20121.AsofthedateofthisGuideandCommentary(referredtohereinastheGuide),theSustainableProjectsdocumentsinclude

    ApplicationoftheSpecialDefinitionstoDifferentSustainableProjectTypesGiventherangeofsustainabilityrequirementsencounteredontodaysprojects,therewilllikelybethreegeneralcategoriesofprojects:thosewithnoSustainableObjective,thosethatvoluntarilyadoptaSustainableObjectiveandthosewithaSustainableObjectivemandatedbycodeorotherlegalrequirements.AgreementsforprojectswithaSustainableObjective,whethercodeorcontractrequired,canberegardedsimilarly.IftheprojectisrequiredtohaveaSustainableObjective,eitherbecauseoftheapplicablecodeorbecausetheOwnerhaselectedtopursueextensivesustainabledesignandconstructionelements,useoftheSustainableProjectsdocumentsisappropriate.WhethertheSustainableObjectiveiscodemandatedorvoluntary,aSustainabilityWorkshopshouldbeconductedandaSustainabilityPlanapprovedtodocumenttheoutcomesoftheSustainabilityWorkshop.ThesetwomilestonesformaroadmapforachievingtheSustainableObjective.WhenusingtheSustainableProjectsdocuments,applicationoftheSpecialDefinitionswillbedifferentwhentheSustainableObjectiveiscodemandatedthanwhenvoluntarilyselectedbytheOwner.Forexample,whentheSustainableObjectiveismandatedbycode,thentheSustainableObjectiveislikelytobeaprojectdesignedtomeetcoderequirementsandapprovedbythecodeofficials.WhenaSustainableObjectiveisadoptedvoluntarily,itwouldbedefinedbytheOwner,andbetiedtorequirementsmandatedbytheCertifyingAuthorityortotheOwnersotherrequirements.TheprocessdescribedintheSustainableProjectsdocuments,andtheSpecialDefinitions,canbeusedtodescribetheframeworkandestablishproceduresformeetingtheSustainableObjective.BelowisabriefdescriptionofhowtheSpecialDefinitionsforprojectsinvolvingeitheracodemandatedorOwnerdevelopedSustainableObjectivemaybeviewed.

    Chapter2BackgroundSustainableDesignandConstructionWhilesustainabledesignandconstructionpracticeshaveexistedfordecades,theprominenceofseveralenvironmentalproductratingsandSustainabilityCertifications,aswellas,newsustainablebuildingcodeshascreatedanincreasedfocusonthesustainablybuiltenvironment.Withthisfocus,therehasbeenincreasedattentiononthenewroles,responsibilitiesandrisksencounteredbythoseparticipatinginsustainableprojects.Below,isabriefoverviewofenvironmentalproductratings,certificationssystemsandjurisdictionalrequirementsrelatedtodesignandconstructionofsustainableprojects.Thisoverviewisincludedtodemonstratethecomplexityofoptionsandrequirementsthatmaybeencounteredonsustainableprojects.Itisthiscomplexity,andlackofasinglestandard,thatnecessitatestheuseofcontractdocumentsthatarespecificallydesignedforuseonsustainableprojects.EnvironmentalProductRatingsOverthepastseveraldecades,dozensofenvironmentalproductratingsystemshavebeendevelopedtoidentifysustainablydesigned,builtorsourcedproducts.Theseratingsystemsmayfocusonanumberofkeyaspectsoftheratedproductincluding,energyefficiency,emissionsofvolatileorganiccompoundsorrecycledcontent.Manyoftheenvironmentalproductratingssystemshavedevelopedanecolabelthatisaffixedtoproductstoidentifycompliancewiththerequirementsoftheratingsystem.OneparticularlyprevalentexampleistheEnergyStarlabelthatisaffixedtohouseholdappliances.However,evenifaproducthasanecolabelorsomeotherproductcertification,theArchitectorthepartyspecifyingtheproductmustresearchandunderstandtheproduct,andthemethodforreceivingendorsement;andalsomustconsiderwhethertheproductwillperformasintendedundertheoperatingconditionsthatwillbeencounteredwheninstalledintheproject.Oneofthekeychallengesthespecifiermayfacewhenexaminingenvironmentalproductratingsisunderstandingthedegreeofoversightorevaluationprovidedpriortoendorsement.Afirstpartyendorsementisselfendorsement.Thisdoesnotnecessarilymeanthattheproductdoesnotprovidetheenvironmentalbenefitsadvertised;butanindependent,outsidesourcehasnotreviewedandtestedthemanufacturersclaims.Manyenvironmentalproductratingsmaybedescribedassecondorthirdpartycertification.Secondpartycertificationinvolvesaconsultantortradeorganizationthatmayhaveaninterestintheentityseekingtohaveitsproductscertified.Thirdpartycertificationgenerallyinvolvesacertifierthatiswhollyindependentofthepartyseekingcertificationandisconsideredbymanytobethemostreliabletypeofcertification.Inadditiontocarefullyscrutinizingenvironmentalproductratings,thespecifiershouldbeawareofthepracticeofimproperlyapplyingsustainableattributestoproductsorpracticeswiththeprimarygoalofincreasingprofitsormarketshare,sometimesreferredtoasgreenwashing.Whiletheseproductsor

    STARS.SustainabilityTracking,Assessment&RatingSystem(STARS)wasdevelopedbytheAssociationfortheAdvancementofSustainabilityinHigherEducation(AASHE).Thiscertificationsystemisforcollegesanduniversities.STARSprovidesaselfreportingframeworkforcollegesanduniversitiestomeasuretheirperformance.JurisdictionalRequirementsInadditiontoexistingcertificationsystems,manyjurisdictionsaredevelopingtheirownstandardsforsustainabledesignandconstructionoradoptingoneoftheexistingcertificationsystemsthroughregulationsorcodes.Withmoreandmorestateandlocalgovernmentsrequiringthatprojectsachievespecificsustainabilityrequirements,somelevelofsustainabledesignandconstructionwillbecomeincreasinglyprevalentintheindustry.Often,thesenewlawsareunclearastotheexactpenaltyforfailuretoachieveorcomplywiththelawsrequirements.Theymayalsorequirebondsorotherobligationsnotreadilyavailableinthemarket.Someofthemajorcodesandotherjurisdictionalrequirementsaresummarizedbelow:Standard189.1.Inanefforttoestablishminimumsustainablecriteriaforincorporationintobuildingcodes,theAmericanSocietyofHeating,RefrigeratingandAirConditioningEngineers(ASHRAE)inconjunctionwiththeIlluminatingEngineeringSociety(IES)andUnitedStatesGreenBuildingCouncil(USGBC)developedANSI/ASHRAE/USGBC/IESStandard189.1,StandardfortheDesignofHighPerformanceGreenBuildingsExceptLowRiseResidentialBuildings(Standard189.1).Standard189.1isapplicabletoallbuildingsexceptlowriseresidentialbuildingsandcoverssitesustainability,wateruseefficiency,energyefficiency,indoorenvironmentalqualityandthebuildingsimpactontheatmosphereornaturalresources.Standard189.1canbevoluntarilyappliedtoaproject;butisnotmandatoryunlessadoptedascodeinthejurisdictionwheretheprojectislocated.IgCC.TheInternationalgreenConstructionCode(IgCC),developedbytheInternationalCodeCouncil(ICC),andpublishedin2012,addsgreenprovisionstoexistingcodes,suchastheInternationalBuildingCode(IBC),InternationalEnergyConservationCode(IECC)andtheotherICodes.Itcoversnaturalresources,waterandenergyconservation,operationsandmaintenancefornewandexistingbuildings,buildingsites,buildingmaterials,andbuildingcomponents(includingequipmentandsystems).LikeotherICCcodes,itisanticipatedthatitwillbeupdatedandreleasedonathreeyearcycle.Whenadoptedbyajurisdiction,theIgCCwilllikelyaffectthedesignteamsscopeofservicesandwillinfluencetheapplicablestandardofcare;itsprovisionsmayalsoimposenewrequirementsonOwners.Thesenewrequirementsmayresultintheneedfornewconsultantsoranincreaseinthelevelofservicesrequiredofthedesignteam.Thesenuancescanonlybediscoveredbythoroughlyreadingthecodeandunderstandingwhateachprovisionsimpactwillbe.Injurisdictionswhereithasnotbeenadopted,OwnersmayseektoincorporateprovisionsoftheIgCCthroughtheirdesignandconstructioncontracts,which,again,willaffectthedesignteamsscopeofservicesandtheapplicablestandardofcare.Incorporatingthecodebycontractwillpresentanumberofchallenges,andthepartiestosuchacontractwillneedtobeextremelycareful.Amongotherthings,theIgCCallowsfortheselectionofjurisdictionspecificrequirementsandprojectspecificelectives.Caremustbetakentoensurethatacontract,seekingtoadopttheIgCCbyreference,addressesthoseprovisionsnormallydealtwithaspartofthecodeadoptionandenforcementprocess.Failuretoaddresssuchdetails,andanyotherissuesrequiredtobeaddressedaspartofthecodeadoptionprocess,mayleadtocontractambiguityanddispute.

    BecausetheSustainableProjectsdocumentshavebeendraftedwiththeseissuesinmind,theyarelikelythebestplacetobeginwhentheIgCCisapplicabletoyourproject.TheseDocumentshavebeendraftedtoallocatedutiesandriskstothepartythatisbestabletomanagethemandprovideaframeworkfortheArchitecttodevelopaSustainabilityPlanthatefficientlyallocatestherequirementsoftheIgCCtotheappropriateparty.LocalCodes.InadditiontotheIgCC,manyjurisdictionsaredevelopingtheirownstandardsforsustainabledesignandconstructionoradoptingoneoftheexistingcertificationsystemsthroughregulationsorcodes.Thesenewstandardscanbecomprehensivecodesdraftedbythejurisdiction,liketheCALGreenCode,ortheycanadoptanexistingcertificationsystem,liketheD.C.GreenBuildingAct.Itisimportantthateachoftheprojectparticipantsunderstandsthecodesandrequirementsapplicableinthejurisdictionwheretheprojectislocated.JurisdictionalIncentives.Inadditiontojurisdictionalorgovernmentalrequirementsthatcreateadditionalsustainablecriteriaforprojects,manyjurisdictionsandthefederalgovernmentareofferingincentivesforprojectsthatincorporatesustainabledesignandconstructionmeasures.Incentivesmayincludeexpeditedpermitting;taxrebates,deductionsandcredits,suchastheIRSSection179DdeductionforEnergyEfficientBuildings;orotherfinancialorprojectincentives.SomeincentivesareavailableexclusivelytotheOwnerwhileothersareavailabledirectlytotheArchitectorContractor.Theseincentives,whilebeneficialtotheprojectorthepartyreceivingtheincentive,maycreatethepotentialforsignificantdamagestootherpartiesontheprojectifarequirementforreceivingtheincentiveisnotachieved.OtherGovernmentalRequirements.Althoughnottechnicallyjurisdictionalrequirements,somegovernmentalentities,intheirroleasOwners,havespecificsustainabilityrequirements.Forexample,theU.S.GeneralServicesAdministration(GSA),anindependentagencyoftheUnitedStatesgovernmentandoneofthelargestlandownersandmanagersinthenation,hasrequiredthatallofitsnewconstructionandmajormodernizationprojectsachieveLEEDcertification.OneoftheGSAskeyrolesisthedesign,construction,operationandmaintenanceoffederalfacilities,includingcourthouses,officebuildings,landportsofentryandresearchfacilities.ConclusionAsstatedpreviously,continueddevelopmentinthefieldofsustainabledesignandconstructionwillcreateadiverseandoftenconfusingsetofcompetingcertifications,standards,andcodesthatmaybeapplicabletosustainabledesignandconstructionprojects.Inordertoestablishaclearunderstandingofwhatis,andwhatisnot,requiredonasustainableproject,theprojectparticipantscannolongerrelyoncontractsthatdonotaddresstheseissues.Sustainableprojectsrequirecontractdocumentsthatarespecificallytailoredtosustainableprojectsandthatprovideaclearprocessforestablishingthesustainabilityrequirementsfortheproject.TheAIASustainableProjectsdocuments,outlinedbelow,includekeymodificationstostandardAIAContractDocumentsthatwillallowthepartiestoclearlyestablishtheOwnerssustainabilitygoalfortheprojectandestablishclearlinesofresponsibilityforachievingthatgoal.

    BecausethevariousSustainabilityCertificationsmayplacerequirementsspecificallyontheOwnerinadditiontothoserelatedtothedesignandconstructionoftheProject,suchastherequirementtoprovideutilitybills,Section5.15requirestheOwnertocomplywiththerequirementsoftheCertifyingAuthoritybeforeandafterconstruction.

    Section5.16obligatestheOwnertopursueanyappealsorotheractionswiththeCertifyingAuthoritynecessitatedbytherevocationorreductionofaSustainabilityCertification.Forexample,iftheOwneroccupiestheProjectandfailstocomplywiththerequirementsoftheCertifyingAuthoritytosubmitenergyusagedata,theSustainabilityCertificationcouldberevoked.TheOwnerwouldbethepartyresponsibleforpursuinganyappealorreinstatementactionwiththeCertifyingAuthority.
