Page 4 of the RFP, Section I, “Statement of Work”, Item A is revised as follows:It is the intent of these specifications, terms and conditions to describe to In-Person (face-to-face) Multilingual Interpretation Services, including In-Person American Sign Language (ASL) Services and Document Translation Services required by County of Alameda Social Services Agency Children and Family Services.

The County intends to award a three-year contract (with option to renew) to the bidder(s) selected as the most responsible bidder(s) whose response conforms to the RFP and meets the County’s requirements.

Page 5 of the RFP, Section I, under “Scope”, the last paragraph is revised as follows:CFS currently requires interpretive services in Spanish, American Sign Language, Vietnamese, Tongan, Cantonese, Mandarin, Urdu, Burmese, Farsi, Tagalog, and Korean. Responses to Written Questions

Q1) Is this contract being awarded to a single vendor or multiple vendors? Does the County reserve the right to make that decision later? Does the County require any one vendor to have all the languages needed? Does the County expect to fulfill all the languages required with multiple vendors? What is the County’s preference? Is the incumbent vendor covering all the languages needed?

) The County reserves the right to make sure that it has the full complement of services needed. That may require one or multiple qualified vendors. In the past the contract has been awarded to multiple vendors. Also, as noted in the RFP on page 18, Item No. 4, under “Award”: “The County reserves the right to award to a single or multiple Contractors”. The County requires that the vendor(s) provide all languages that are needed. Please see page 3 of this Addendum, under “Specific Requirements”, Item 2.c., revised from the RFP, “The Contractor shall have the capability of providing in excess of one hundred fifty (150) language coverage…” The County has multiple incumbent vendors and each of them covers the languages needed.

Q2) What is the expected turnaround time for translation services? How many documents and what type and length of documents does the County anticipate for translation services?

) Per page 7 of the RFP, under “Specific Requirements”, “Alameda County Social Services Agency (SSA) shall have quick and short notice access to an interpreter”. Usually, the documents are one page letters from families to the court, notices of action and memos. However, Children and Family Services (CFS) also completes lengthy multi-page reports for families and the court.

Q3) Since the Bidder cannot alter the bid form, how can the County accommodate an offer of alternate pricing? Written translation services can be provided by a sole translator or by a team of linguists including a translator, editor and proofreader. Which approach is requested for this RFP? Would the County like pricing for both options?

A3) The Bidder may submit more than one bid form if they want to provide alternate pricing options. The Bidder can submit more than one bid form if they want to show pricing to be provided by a sole translator or by a team of linguists.

Q4) Does the vendor list located on the last page of the RFP, (Exhibit C) represent the incumbent vendors?

) The vendor list includes, but is not limited to, the incumbent vendors.

Q5) Are Bidders allowed to exercise the option to bid on one or both of the services required under this RFP or must they bid on both interpretation and translation services?

) Bidders are allowed to bid on either interpretation services or translation services, or both.

Q6) Will Small Business Enterprise, Disadvantaged Business Enterprise, and Women’s Business Enterprise (SBE/DBE/WBE) vendor status be taken into consideration?

) No, there will be no consideration given to SBE/DBE/WBE status.

Q7) Should Bidders be prepared to receive interpreter or translation requests after-hours?) The Contractor must be prepared for daily requests on a 24 hour basis. This is a 24-hour

operation. Interpreters are rarely used on the weekends but frequently used after hours during the week. Bidders should be prepared for requests at any time (24 hour basis). Per page 7 of the RFP, under “Specific Requirements”, Item 2.b., “Alameda County Social Services Agency (SSA) shall have quick and short notice access to an interpreter”. Per 8 of the RFP, also under “Specific Requirements”, Item 2.d., “Contractor shall maintain interpretation service capability 24 hours per day, seven days per week.” The standard notice for interpretation and/or translation requests is 24 hours, short notice is less than 24 hours’ notice given to provide interpretation and/or translation service during business hours, between 8 a.m. and 5 p.m., and after hours service is when interpretation service is provided between 5 p.m. and 8 a.m., regardless of when notice is given. Short notice fee quotations should be submitted in the revised bid form included in this Addendum for interpretation services and/or translation services, and after hours fee quotations should be included in this revised bid form for interpretation services.

Q8) On page 6 of the RFP, under “Specific Requirements”, Item No 1, it states that anticipated interpreting volume is 600 hours and in the Bid Form on page 5 of Exhibit A of the RFP form it says 1405 hours. Which number is correct?

) Please see the revised specification on page 3 of this Addendum. The correct number is 1405 hours.

Q9) Does the County know the relative demand of the different languages that need to be translated? What is the average need per month for interpreters for the additional languages listed on page 5 of the RFP under “Scope” and page 8 of the RFP, under “Specific Requirements’, Item No. 2.c.? What is the spend per language? Is there a breakdown of language usage (most used languages for translation, etc.)? What is the language mix and the percentage of usage for each language for interpretation services as well as for translation services?

) The County does not currently track usage, need or spend by language so this information is not available.

Q10) Will Bidders be penalized for bidding on a single service? How do Bidders indicate and respond to the RFP if they are only bidding for one service?

) No, bidders will not be penalized and may bid on a single service. The Bidder should fill out the relevant sections of the revised bid form included in this Addendum and indicate in their narrative what they are bidding on.

) The County tracks expenditures by fiscal year. For the last fiscal year, July 1, 2012 through June 30, 2013, the County spent $118,000 on one vendor for both interpretation and translation services and $75,000 on the other vendor for interpretation services only.

Q12) Can Bidders utilize agency trained interpreters or are they required to utilize only interpreters who are certified or registered with the court? What percentage of assignments require court-certified interpreters?

) Bidders can utilize agency trained interpreters. According to page 6 of the RFP, under “Bidder Qualifications”, Item No. 1(a), “Bidder shall have a language proficiency certification, competency testing, or other verification procedure in place to verify competency as a condition of employment as an interpreter.” The percentage of assignments under this contract requiring court-certified interpreters is 0%, since the court uses their own interpreters and Children and Family Services (CFS) does not bring interpreters from their Contractors to court.

Q13) When a home situation arises, will the interpreters be arriving with the County’s Social Service Agency-Children and Family Services (CFS) liaison at the home in question or will they need to report first to CFS? Are proper arrival instructions provided as well as a contact’s phone on all cases? Does the clock start ticking upon arrival at the rendezvous point?

) Interpreters will transport themselves to their destinations. Proper arrival instructions and contact information will be provided. Travel time will not be reimbursed, so the start time will be the time of arrival. All related costs should be included in the price bid per hour.

Q14) What is the County’s policy if an interpreter arrives and the job is cancelled?) If a meeting is cancelled the interpreter will be notified at least 24 hours in advance. A

two hour minimum fee will be paid to the Contractor in the event of a cancellation that does not meet the cancellation deadline of 24 hours. A reference to the minimum fee is included in the revised Bid Form.

Q15) Many of the forms are already translated. Will the County be able to provide source files for both English and the target languages in order to create a translation memory so that a Bidder can match the content in future translations consistently? Are there any existing translation memory or glossaries that may be leveraged for cost savings?

) No, the County does not provide previous translations. Many of the forms that the County uses are provided by the State and the County may work with the winning vendor(s) by guiding them in the right direction. The County does not have any existing translation memory or glossaries.

Q16) What is the goal of the financial statements requirement from Dun and Bradstreet on page 8, Item No. 9.a. of Exhibit A?

) The financial statement requirement is one of the County requirements for bid responses on most RFPs and RFQs (Request for Quotation). It is used to verify the financial stability of the Bidder, and is also a pass fail Evaluation Criteria on page 13 of this RFP, (“Financial Stability”).

Q17) Is the County interested in video interpreting services as a backup for onsite?) No, the County does not have the capacity, at the moment, to utilize video interpretation

services.

Q18) Does the County already have specific Computer Assisted Translation (CAT) Memory Tools in place for some of these languages?

) No. The current vendors might use CAT tools but, if so, the County does not know how they are used. The County does not share previous translations.

Q19) Are there any interpreters or translators that the County already has a positive ongoing relationship with that it would like to keep working with so that vendors could add them to their pool of available linguists?

) No, the County does not work with individual interpreters or translators.

Q20) Will all jobs stem from one contact person or agency or can vendors expect to be providing services for several agencies at any given time?

) Most written translation requests will come from one contact person in CFS. In-person translation requests are scheduled by the individual person who needs the service. Other Agencies could request these services but the contract may have to be amended, and funds authorized, to accommodate that use.

Q21) What has been the biggest challenge for fulfilling services under this contract? Are there any new challenges that you anticipate?

) The biggest challenges in the past have included getting interpreters/translators at the last minute and getting someone who is trained to interpret a large meeting where simultaneous interpretation may be required in the language that is being spoken.

Q22) Simultaneous interpretation sometimes is a skill only mastered by certified interpreters. Is the County open to tier rates for those levels of skills?

) No, the County requirement is that Bidders have one fee structure.

Q23) Language fees can differ in price tremendously. Would the County be willing to modify the bid form?

) The County has revised the Bid Form, as included in this Addendum, to reflect the different pricing options based on the 11 most common languages listed from page 5 of the RFP, as revised on page 3 of this Addendum, and all other languages for both translation and interpretation services. The cost per hour for interpretation services and the cost per word for translation services must reflect the price at which the bidder can

deliver any of the required languages as noted in the revised specifications on page 3 of this Addendum. Services can be provided directly and/or through a subcontractor.

Q24) Is there a Small Local Emerging Business (SLEB) requirement for this RFP? Are Small Local Emerging Businesses (SLEB) given priority over other California bidders?

) No, the Bidder does not need to be a SLEB, since the contract will be federally funded and SLEB requirements are waived for federally funded contracts. Because there is no SLEB requirement for this RFP, SLEB vendors will not be given priority.

Q25) When are Contractors to expect payment for services? Will it be per job, per month for all services provided, or other?

A25) As stated on page 19 of the RFP, under “Invoicing”, Item No. 2 states that “County will use best efforts to make payment within thirty (30) days following receipt and review of invoice and upon complete satisfactory receipt of performance of services” and Item No. 8 states that “The County will pay Contractor monthly or as agreed upon, not to exceed the total RFP quoted in the bid response”.

Q26) Are the bidder qualifications listed on page 6 of the RFP, under “Bidder Qualifications”, Item No. 1.a., strictly enforced, specifically “bidder shall be regularly and continuously engaged in the business of providing language interpretation and translation services for at least five (5) years”?

) Yes, the five year minimum requirement is strictly enforced.

Q27) Is the County asking for one flat rate for both interpretation and translation? ) The County is asking for one flat rate, per hour within each category of the Bid form, for

interpretation services and/or one flat rate, per word, for translation services.

Q28) On page 7 of the RFP, under “Specific Requirements”, Item No. 2(b), it states that “Interpreter appointment requests of less than 24 hours advance notice must be met for all of the most commonly used languages”. Are the 11 languages listed on page 5 of the RFP under “Scope”, where it says, “CFS currently requires interpretive services in Spanish, American Sign Language, Vietnamese, Tongan, Cantonese, Mandarin, Urdu, Burmese, Farsi, Tagalog, and Korean” the most commonly used languages? If not, what are the languages that Children and Family Services (CFS) considers ‘commonly used’?

) Yes, the 11 languages listed on page 5 of the RFP, under “Scope” are the most commonly used languages and the languages considered most likely to be requested by CFS for interpretative services.

Q29) Has the same information been covered in both bidder’s conferences for this RFP or are they sequential?

Q30) What is the anticipated contract value for this RFP? What is the anticipated contract value broken down by service type?

) The County is unsure of the current anticipated contract value for this RFP, both as a total and broken down by service type, and is therefore unable to provide it. Information available regarding amounts paid in FY 12-13 is stated in the answer to question 11 above.

Q31) Who is the incumbent for this contract and what rates are/were offered in the current/last contract period? Are the rates currently provided by the incumbents acceptable to the County?

) The incumbents are Accent on Languages and Excel Interpreting. The rates offered by are the following listed below. Q32) Is it acceptable for the Bidder to bid for some languages but not all?) On page 3 of this Addendum, revised under Item B, “Scope” from the RFP, it states that

“CFS currently requires interpretive services in Spanish, American Sign Language, Vietnamese, Tongan, Cantonese, Mandarin, Urdu, Burmese, Farsi, Tagalog, and Korean. The contracted organization must continue provide interpretive services in those languages and additional languages, including but not limited to Dari, Laotian, Hindi, Mien, Pashto, Russian, Swahili, and Punjabi.” In addition, per page 4 of this Addendum, revised from under “Specific Requirements”, Item No. 2.c. of the RFP, it is stated that “The Contractor shall have the capability of providing all or most of the in excess of one hundred (150) language coverage…”

Q33) Is there an expectation that the Bidder will have an established proprietary certification process, or will recognition of external certifications and an internal linguistic qualification process suffice?

) As stated, on page 6, under “Bidder Qualifications”, Item No. 1.b., “Bidder shall have a language proficiency certification, competency testing, or other verification procedure in place to verify competency as a condition of employment as an interpreter”, so there must be a language proficiency certification, competency testing, or other verification procedure in place to verify competency.

Q34) What file formats will be used for the materials to be translated? Is there provision to provide pricing for desktop publishing services as a separate price as formatting charges will vary based on the format of the source file?

) Most of the documents will be provided in MS Word; however, Children and Family Service (CFS) will occasionally have PowerPoint or other document formats. All costs of providing translation services must be included in the price bid per word

Q35) What is the average project size in number of words?) The County is unable to provide this information because it is not currently available.

Q36) The Bid Form on page 5 of Exhibit A does not include line items for project minimums for translation. Including minimum fees for services is standard within the industry as it is common for smaller projects to require translation (i.e. 300 words or less). Please advise if it is acceptable for Bidders to include minimum fees for translation services, and if the bid form will be revised as such.

) It is not acceptable to qualify the bid price based on a minimum and the Bid form will not be revised to include minimum fees for translation services.

Q37) What constitutes “short notice”, as noted on page 6 of Exhibit A, for translation services, and what does it constitute for interpretation services? Does the County define “short notice” as being due within 24 hours?

) While 24 hours’ notice is the standard for both translation and interpretation services, per page 8 of the RFP, under “Specific Requirements”, Item No. 2.d., “Contractor shall maintain interpretation service capability 24 hours per day, seven days per week”. For both the interpretation and the translation services stated in this RFP, the County defines “short notice” as the Contractor being given less than 24 hours’ notice to provide the services requested during business hours, between 8 a.m. and 5 p.m.

Q38) Are translators and interpreters deemed “Key Personnel” according to Item No. 4 on page 8 of Exhibit A of the RFP? Translator and interpreter names and contact information is not typically included in a bid as this is proprietary information. Please advise if it is acceptable to withhold that information until after contract award.

) As noted on page 8 of Exhibit A, Item No. 4, “Bid responses shall include a complete list of all key personnel associated with the RFP. This list must include all key personnel who will provide services/training to County staff and all key personnel who will provide maintenance and support services”. If translators and interpreters fall under this list and the Bidder considers their contact information as proprietary, they can provide that information after the contract is awarded, pending notification to County and obtaining County’s approval.

Q39) Will the County allow Bidders from countries outside the U.S. to respond to this RFP? If yes, can Contractors perform the services as required in the RFP from outside the U.S.?

) Yes, the County will allow Bidders from countries outside the U.S. to respond to this RFP. Written translation can occur remotely, so Contractors are allowed to provide services from outside the U.S. for written translation only.

Q40) Are there bonus points awarded to Non-Profit Organizations? ) No, there are no bonus or preference points awarded to Non-Profit Organizations.

Q41) Should the Bidder’s most recent Dun & Bradstreet Supplier Qualifier Report, as required under page 8 of Exhibit A, “Required Documentation and Submittals”, Item No. 9(a), be sent directly to the attention of the Contracts Specialist whose information is listed on the title page as well as on page 20 of the RFP?

) No, the Dun & Bradstreet Supplier should only be included with the rest of the Bidder’s bid response packet, not sent separately and directly to the Contracts Specialist. The information required for the submittal is listed on page 21 of the RFP, under “Submittal of Bids”, Item No. 2.

Q42) What is the comparison percentage for assignments where more than two business days’ notice is given versus less than two business days? What percent of assignments have less than one business days’ notice given?

) The County is unable to provide this information because it is not currently available.

Q43) Will the County accept a two hour minimum per assignment?) The County will accept a two hour minimum per assignment for interpretation services.

Q44) Will the County reimburse mileage?) No, mileage will not be reimbursed by the County. All costs must be included in the price

quoted per hour.

Q45) How many documents and what type and length of documents does the County anticipate for translation?

) The County does not have information about the number of documents that will be translated under this contract. Usually, the documents are one page letters from families to the court, notices of action and memos. However, Children and Family Services (CFS) also completes lengthy multi-page reports for families and the court.

Q46) Will the County publish a list of both virtual and actual attendees to the networking /bidders conferences?

) Yes. The list of virtual and actual attendees is included in the last few pages of this Addendum, right before Exhibit C, “Vendor List”. This list is different from the vendor list in Exhibit C, which also includes Bidders who did not attend either of the bidder’s conferences.

Q47) Will preference be given to the Bidders who are able to provide both written translation and in-person interpreting as opposed to Bidders bidding on only one portion of the RFP?

) The County will equally consider Bidders who are able to provide one service as well as those who are able to provide both services.

Q48) As noted on page 7 of Exhibit A of the RFP, Item No. 3(a) (1), Bidders must use the “Current References” and “Former References” templates of Exhibit A to provide references and Bidders should provide a list of three current and three former clients. If the Bidder has retained their client base and thus does not have ‘former clients’, will three current references and an explanation of the lack of former clients on the “Exceptions, Clarifications, Amendments” template of Exhibit A be sufficient?

) The Bidder may submit a list of six current references in place of three current and three former references. The Bidder should make a note of their lack of three former references under page 11 of Exhibit A, “Exceptions, Clarifications, Amendments”. However, as stated on that page as well as on page 8 of Exhibit A, Item No. 3.b (2), “The County is under no obligation to accept any exceptions and such exceptions may be a basis for bid disqualification”.

Q49) Was the current contract with translation and interpreting vendors extended after the initial three-year term for an additional two years, or is the County searching for new vendors at the end of the initial three-year term? When was the current contract awarded to the County’s incumbents for the services listed in this RFP?

) The current contract was extended after the initial term of six and a half months for an additional two years, and another additional two years after that. The current contract was both initially approved to be awarded to the incumbents by the County’s Board of Supervisors and started on December, 2009.

Q50) The translation units of some school districts in California are currently using a manual of acceptable terms. These manuals were created in order to standardize certain recurring terms while using interpreting and translation services to communicate with the families of students. Does the County use or has it created a similar manual? If yes, can the County provide a copy to Bidders?

) The County has not used or created such a manual and is therefore unable to provide such a copy to Bidders.

Q51) Is there a template or can the County provide a sample of a monthly report of services rendered in order for Bidders to evaluate how extensive these reports should be?

) The County does not have a monthly report of services template or sample to provide Bidders.

Q52) If a Bidder has an extensive verification procedure in place and believes that this procedure is very redundant in order to evaluate competency as a condition of employment for an interpreter but does not currently contract outside certification services for this verification

process and is ready to describe the values of their in-house process as part of the RFP, can the County confirm that the absence of outside certification does not represent grounds for the rejection of the Bidder’s bid response?

) While page 6 of the RFP, under “Bidder Qualifications”, Item No. 1.b. it states that, “Bidder shall have a language proficiency certification, competency testing, or other verification procedure in place to verify competency as a condition of employment as an interpreter”, any verification procedure can be considered by County, as long as it in place by Contractor to verify competency as a condition of employment as an interpreter, per the bidder qualifications required.

Q53) Will Contractors be required to attend meetings in person, including those noted on page 7 of the RFP, under “Specific Requirements”, Item No. 1?

) Yes, Contractors will be required to attend meetings if they are providing in person interpretation services. Per page 7 of the RFP, under “Specific Requirements”, “Interpreters must be able to accurately translate oral communication involving two or more individuals. Verbal translation services may occur during, but are not limited to, Team Decision Making (TDM) meetings, Department staff home visits with clients, and meetings with clients at the Children and Family Services (CFS) office. A TDM meeting is a meeting held at an office, during which CFS staff, clients, community members, service providers, and others discuss and create a plan to best maintain the safety of a child. There may be approximately 2 – 10 participants in a TDM, and the interpreter must be able to accurately translate communication from all involved parties”. TDM meetings will require simultaneous interpretation services.

Q54) Can Bidders submit their bid responses via email? ) No, per page 22 of the RFP, under “Submittal of Bids”, Item No. 5, “No email (electronic)

or facsimile bids will be considered”.

Q55) A Bidder may be concerned for the safety of its interpreters, especially with CPS (Child Protective Services) high stakes encounter during a home visit. As a result, if a Bidder employs all its interpreters, covering all of them under a company-wide Workers Compensation policy, as well as Errors and Omissions and professional liability among other policies, this may put it at a competitive disadvantage to those agencies who deploy 1099 independent contractor interpreters, as most only carry workers compensation for their office staff, and assume interpreters will pay for their own policies. Will the County prohibit the use of 1099 independent contractor interpreters if they cannot provide a valid in-force workers compensation evidence of coverage? To determine this, will the County be asking for W-3 forms that demonstrate payroll census numbers of actual employees from 2013, or will the County just be asking for a general insurance certificate that denotes coverage, but does not identify, nor itemize the working employee interpreters who carry workers compensation? How will the Worker’s Compensation requirements be verified?

A55) All participants whose work falls under this contract must provide the minimum insurance required. Per the revised Exhibit B, “County of Alameda Minimum Insurance

Requirements”, under “Endorsements and Conditions”, Item D.5, “Contractor shall include all subcontractors as an insured (covered party) under its policies or shall verify that the subcontractor, under its own policies and endorsements, has complied with the insurance requirements in this agreement, including this exhibit”. Regarding verification of Worker’s Compensation requirements, per Item D.8. of Exhibit B, “Before commencing operations under this Agreement, Contractor shall provide Certificate(s) of Insurance and applicable insurance endorsements, in form and satisfactory to County, evidencing that all required insurance coverage is in effect. The County reserves the rights to require the Contractor to provide complete, certified copies of all required insurance policies. The required certificate(s) and endorsements must be sent as set forth in the Notices provision”.

Q56) Is there any criteria for the award of the contract regarding the responses to the different sections of the RFP since sometimes on RFPs, some areas carry more weight than others in the evaluation process to award a contract?

) Yes. Different evaluation criteria are weighted according to their importance to the CFS. Information about the evaluation criteria and their respective weights can be seen on pages 11-15 of the RFP.

Q57) It was mentioned that the contract is federally funded; does the County have any preference for Bidders who are also GSA (General Services Agency) contract holders?

) No, there will be no preference given to Bidders who are also GSA contract holders.

EXHIBIT B (REVISED)INSURANCE REQUIREMENTS

Insurance certificates are not required at the time of submission; however, by signing Exhibit A – Bid Packet, the bidder agrees to meet the minimum insurance requirements stated in the RFP, prior to award. This documentation must be provided to the County, prior to award, and shall include an insurance certificate and additional insured certificate, naming the County of Alameda, which meets the minimum insurance requirements, as stated in this Exhibit B – Insurance Requirements.

Endorsements and Conditions :

1. ADDITIONAL INSURED: All insurance required above with the exception of professional liability, commercial or business automobile liability, workers’ compensation and employers liability, shall be endorsed to name as additional insured: County of Alameda, its Board of Supervisors, the individual members thereof, and all County officers, agents, employees, volunteers, and representatives. The additional insured endorsement shall be at least as broad as ISO form number CG 20 38 04 13.

2. DURATION OF COVERAGE: All required insurance shall be maintained during the entire term of the Agreement. In addition, Insurance policies and coverage(s) written on a claims-made basis shall be maintained during the entire term of the Agreement and until 3 years following the later of termination of the Agreement and acceptance of all work provided under the Agreement, with the retroactive date of said insurance (as may be applicable) concurrent with the commencement of activities pursuant to this Agreement.

3. REDUCTION OR LIMIT OF OBLIGATION: All insurance policies, including excess and umbrella insurance policies, shall include an endorsement and be primary and non-contributory and will not seek contribution from any other insurance (or self-insurance) available to the County. The primary and non-contributory endorsement shall be at least as broad as ISO Form 20 01 04 13. Pursuant to the provisions of this Agreement insurance effected or procured by the Contractor shall not reduce or limit Contractor’s contractual obligation to indemnify and defend the Indemnified Parties.

4. INSURER FINANCIAL RATING: Insurance shall be maintained through an insurer with a A.M. Best Rating of no less than A:VII or equivalent, shall be admitted to the State of California unless otherwise waived by Risk Management, and with deductible amounts acceptable to the County. Acceptance of Contractor’s insurance by County shall not relieve or decrease the liability of Contractor hereunder. Any deductible or self-insured retention amount or other similar obligation under the policies shall be the sole responsibility of the Contractor.

5. SUBCONTRACTORS: Contractor shall include all subcontractors as an insured (covered party) under its policies or shall verify that the subcontractor, under its own policies and endorsements, has complied with the insurance requirements in this agreement, including this exhibit. The additional insured endorsement shall be at least as broad as ISO form number CG 20 38 04 13.

6. JOINT VENTURES: If Contractor is an association, partnership or other joint business venture, required insurance shall be provided by one of the following methods:– Separate insurance policies issued for each individual entity, with each entity included as a “Named Insured” (covered party), or at minimum

named as an “Additional Insured” on the other’s policies. Coverage shall be at least as broad as in the ISO Forms named above. – Joint insurance program with the association, partnership or other joint business venture included as a “Named Insured”.

7. CANCELLATION OF INSURANCE: All insurance shall be required to provide thirty (30) days advance written notice to the County of cancellation.8. CERTIFICATE OF INSURANCE: Before commencing operations under this Agreement, Contractor shall provide Certificate(s) of Insurance and

applicable insurance endorsements, in form and satisfactory to County, evidencing that all required insurance coverage is in effect. The County reserves the rights to require the Contractor to provide complete, certified copies of all required insurance policies. The required certificate(s) and endorsements must be sent as set forth in the Notices provision.

Without limiting any other obligation or liability under this Agreement, the Contractor, at its sole cost and expense, shall secure and keep in force during the entire term of the Agreement or longer, as may be specified below, the following minimum insurance coverage, limits and endorsements:
