Materials Release Form 1. For good and valuable consideration t h e receipt and adequacy of w hi ch is h er eby acknowledged, t h e undersigned (I, me, my) agree to furnish the materials described below (collectively “Material”) intended to be i n c o r p o r a t e d in an d u s e d in connection wi th a m o t i o n p i c t u r e ( “ F i l m ” ) being p r o d u c e d by (“ Fi lm ma ker ”)aspa rtofth e72- Hou rShort Fi lmChallenge onorabout ( date)(the “Project”). Thedescri ption oftheMater ialisas follows: 2. I hereby irrevocabl y grant to Filmmaker and 72-Hour Sh ort Fi lm Challenge , Inc. (“72HSFC”) (coll ectiv ely, “Producer ”) the right to incorporate the Materi al, and any por tions or imag es contained therei n, in whole or in par t in the Film in any manner at Produc er’ s sole dis cretion, and to use and exploi t the Mate rial (as incorporated in the Film) in all media, vers ions and forms, whether now known or hereafter devi sed, in all language s, througho ut the univers e, in perpetuity, including, without limit ation , television, the Internet , DVD, book s, merch andi se and all ancil lary expl oitation, and in anyadvertising, publicityor promotion for the Fil m, the Proj ect, 72HSFC and/or any sponsor of 72HSFC and/or the Project. Producer has the right to alter or modi fy the M at er i al in a ny m a nn er , at its sole di s cr et io n. Pr oducer may in i ts sole disc retion accord me credit in the Filmand/orotherwise forsuch use. 3 . I represent that I have the right to grant to Producer the right to use the Material without the necessit y of obtai ning the c on se nt of any thir d p er s on or enti ty, and t ha t the M at er ia l d oe s not infr i ng e the c op yr i ght or v io la te any r ig ht of publi cit y, privacy or any other right of any per s on or entit y. Not hin g herein requ ir es Producer to use the Mate rial . I agree to indem ni f y and h ol d h ar ml es s P ro du ce r and any per so n c la im i ng u nd er P ro du ce r , a nd t he officers, directors, shar eholder s, empl oyees, agents and repr esentatives th ereof, from and again st any liabilities, losses, claims, demands, costs (including, withou t limitation, reason abl e attorn eys ’ fee s) and expen ses ari sing in connec tion wit h any breach or alleg ed breach by me of any abov e represen tatio ns or agreements. I hereby agree not to assert any claim of any nature whatsoever against anyone relati ng to the exercise of the per missions granted hereunder. I acknowledge t ha t , in the e ve nt of any b re ac h by P rod uc er or an y t hi rd pa rty, t he d am age, if any, cau sed me t he r eby w il l not be irr eparable or otherwise suff icient to entitle me to seek inju nctive or other equi table relief. I acknowl edg e that my rights and remedies, if any, in any such event will be stric tly limited to the right , if any, to recov er compensa tory monetary (butnot punitive or 4. I agree to timely e x ec u t e and d el i ve r (or to procure the timely e xe c ut i on and d el i ve ry to P r od uc er of) any additional doc um en t s, w h i c h Pr odu ce r m ay r eq ui re to evide nc e i ts ri ght s. I hereby a pp oi nt Pr odu ce r , or i ts n om in ee , as my i rr ev oc ab le a tt or ney-i n- fac t, wi th the ri ght, but n ot t he obli gat io n, to pr epare or complete any such d oc um en ts a nd to execute thesameinmyname,ortoobtain execution there ofby others. 6. Inaddition toanyof itsotherrightsorremedies, Producer willbeentitledto seekinjuncti ve reliefintheevent of anybreachof my representations, warranties and agreements hereunder. Pro ducer shall have the ri ght to fr eely assign and lice nse this agr eement and all or a por tion of its rig hts and remedi es hereunder , without my consent. This Agr eement will inure to the benefit of and will be bindin g upo n the part ies ’ res pec tive affiliates , successors, licensees, assigns , heirs and repre sentatives. This Agr eement constitutes the entire unders tand ing and agre emen t of the parties hereto with res pec t to the subject matter hereof andcannotbeamended except byawritteninstrume nt signed by theparties hereto. 7. I give Producer the foregoin g gran t of rights with the full knowledg e and understanding that Prod ucer may incur substantial expe nse in relianc e thereon. at Producer’ssole discretion,and to use and exploit the Material (as incorporatedin the Film) in all media,versions and
forms, whether nowknown orhereafter devised, inall languages, throughout theuniverse, inperpetuity, including, without
limitation, television, the Internet, DVD, books, merchandise andall ancillary exploitation, andinanyadvertising, publicityor
promotionfortheFilm,theProject,72HSFCand/oranysponsorof72HSFCand/ortheProject.Producer has the right to alter
or modify the Material in any manner, at its sole discretion. Producer may in its solediscretion accord mecredit inthe
Filmand/orotherwise forsuchuse.
3 . I representthat I have the right to grant to Producerthe right to use the Materialwithoutthe necessityof obtaining theconsent of any third person or entity, and that the Material does not infringe the copyright or violate any right of
publicity,privacy or any other right of any personor entity. NothinghereinrequiresProducerto use theMaterial. I
agree to indemnify and hold harmless Producer and any person claiming under Producer, and the officers, directors,
shareholders, employees, agents and representativesthereof, from and against any liabilities, losses, claims,demands, costs
(including, without limitation, reasonable attorneys’ fees) and expenses arising in connection with anybreach or alleged
breach byme ofany above representations oragreements. Ihereby agree nottoassertany claimofany nature whatsoever
against anyone relating to the exercise of the permissions granted hereunder. I acknowledge that, in the event of any
b re ach b y Prod ucer o r any third party, the d amage , if any, cau sed me the reb y will not be irreparable or otherwise
sufficient toentitle meto seek injunctive orother equitable relief. Iacknowledge that myrightsandremedies, ifany,in any
such event willbestrictlylimited totheright,if any, torecovercompensatory monetary (butnotpunitive or

of Producer’s or its licensees’ or assigns’ rights hereunder, nor the right to enjoin the production,exhibition or otherexploitation of the Film or any subsidiary or allied rights with respect thereto, nor will I have the right to terminate my
obligations hereunder byreasonofsuchbreach.
5. I agree to timely executeand deliver (or to procurethe timely executionand deliveryto Producerof) anyadditional
documents, w h i c h Producer may require to evidence its rights. I hereby appoint Producer, or its nominee, as my
irrevocable attorney-in-fact, with the right, but not the obligation, to prepare or complete any such documents and to
execute thesameinmyname,ortoobtain execution thereofbyothers.
6. Inaddition toanyof itsotherrightsorremedies, Producer willbeentitledto seekinjunctive reliefintheeventofanybreachof
my representations, warranties and agreements hereunder. Producer shall have the right to freely assign and license this
agreement andall ora portion ofits rights and remedies hereunder, without my consent. ThisAgreement will inure tothe
benefit ofand will bebinding upon the parties’ respective affiliates, successors, licensees,assigns, heirs and representatives.This Agreement constitutes the entire understanding and agreement ofthepartieshereto with respect tothesubject matter
hereof andcannotbeamended except byawritteninstrument signed bythepartieshereto.
7. Igive Producer the foregoing grant ofrights with the full knowledge and understanding that Producer may incursubstantial
expense inreliance thereon. Producer may atany time elect not touse theMaterials, inwhich caseneitherpartywillhave
anyobligation totheotherhereunder.
