NOTICE FOR THE 37TH ANNUAL GENERAL MEETING, BOOK CLOSURE AND E-VOTING INFORMATION NOTICE is hereby given that the 37th Annual General Meeting (AGM) of the

Company will be held on Wednesday, the 29th August, 2018 at 11 .00 A.M. at NALCO Bhawan, Plot No.P/1, Nayapalli, Bhubaneswar - 751 013 to transact the business as set out in the Notice for37th AGM.

The Notice for the 37th AGM.., and Annual Report have been sent in electronic mode to members Whose e-mail Ids are registered with the Company or with the Depository Participants (other than those who have requested for physical copy). Physical copies of the Notice·for the 37th AGM and Annual Report have been sent to all other members at th~ir registered address in the permitted mode. v= ,

Deba Mohapatra & Co, Company Secretaries has been appointed asme Scrutinizer to scrutinize thee-voting process in a fair and transparent manner. The details as required under the aforesaid provisions are given hereunder: i) Company has engaged the services of Karvy Computershare Private Limited

(KARVY) as the Agency to provide~·voting facility. ii) Date and time of commencement of remote a-voting: Saturday, the 25th August

2018at9.00A.M. iii) The remote e-voting will end on Tuesday, the 28th August, 2018at5.00 P.M. iv) A person Whose name is recorded in the Register of Members or in the Register of

Beneficial Owners maintained by the Depositories as on the cut-off date, i.e. 22nd August, 2018, will only be entitled to avail the facility of remote e-voting as well as voting in General Meeting.

v) Any person who acquires shares of the Company and becomes member of the Company after the dispatch of Notice of the 37th AGM may obtain the login ID and Password by following the procedure as mentioned in the Notice for the AGM or send a request to evotlng.rls@karvy.com.

vi) Voting through remote e-voting will not be allowed beyond 5.00 P.M. on Tuesday, the 28th August, 2018. The e-voting module will be disabled by KARVY for voting thereafter.

vii) The facility of voting through lnsta poll will be made available to1he members at the venueotAGM.

vilij Toe.members who have cast their vote by remote e-voling"prior to meelingmay also attend the meeting but will not be entitled to cast their vote again. •

ix) The Company has facilitated on-fine pre-registration for attending the AGM. For details, please refer to Notice of 37th AGM.

Notice is also hereby given pursuant to Section 91 of the Companies Act, 2013 and

Rules made there under and Regulation 42 of the SEBI (LODR) Regulatjons, 2015, that the Register of Members and Share'Transfer Books of the Company will remain closed from Saturday, the 25th August, 2018 lo Wednesday, the 29th August, 2018 (both days Inclusive) forthe purpose of the 37thAGM.

The documents pertaining to the items of the business to be transacted in the AGM · are open for inspection at the Registered office of the Company on all working days during business hours upto the date of the meeting.

As a green initiative measure, members who have not registered their e-mail addresses so far or who want to update their e-mail address, are requested to approach their respective DP(for electronic holding) or to the Company / RTA i.e. Karvy Computershare Private Limited (for physical holding) for receiving all communications electronically.
