2019 PASSPORT TO CHINA FULL CONTEST RULES AND REGULATIONS There are two ways to participate in the 40 TH Anniversary Passport to China Contest (the “Contest”): in-restaurant (“In-Restaurant Contest”) and online (the “Online Contest”), as more fully detailed in these Official Rules and Regulations (“Rules”). 1. FULL CONTEST RULES AND REGULATIONS

There are two ways to participate in the 40TH

Anniversary Passport to China Contest (the “Contest”): in-restaurant

(“In-Restaurant Contest”) and online (the “Online Contest”), as more fully detailed in these Official Rules and

Regulations (“Rules”).

1. CONTEST PERIODS:

The In-Restaurant Contest begins on March 4, 2019 and ends on November 30, 2019 at 11:59 p.m. Eastern Time

(“ET”) (the “In-Restaurant Contest Period”). The Online Contest submission period begins at 12:00 p.m. ET on

September 12, 2019 and closes on September 26, 2019 at 11:59:59 p.m. ET (the “Online Contest Submission

Period”). The Online Contest voting period begins at 12:00 p.m. ET on October 3, 2019 and closes on October 10,

2019 at 11:59:59 p.m. ET. (the “Online Contest Voting Period”).

2. ELIGIBILITY:

Contest is open to residents of Ontario, who have reached the age of 18, except employees (and those with whom

such persons are domiciled, whether related or not) of Mandarin Restaurant Franchise Corporation (the

“Sponsor”), its franchisees, prize suppliers, their advertising and promotional agencies, and any entity involved in

the development, production, implementation, administration, judging or fulfillment of the Contest (collectively

the “Contest Parties”).

3. HOW TO ENTER CONTEST:

In-Restaurant Contest

TO ENTER the In-Restaurant Contest, commencing on March 4, 2019, receive a Mandarin Restaurants Passport,

while supplies last, at any Mandarin Restaurant location. Have one of the tear-out ballots in the passport stamped

by a Mandarin Restaurant staff each time you make a purchase at a Mandarin Restaurant for dine in, pick-up, take-

out, or show your delivery receipt. Limit one stamp per person per day. Stamps received for delivery orders will be

considered to have been given on the date of the delivery order. Once you have received two stamps on the same

ballot, fully complete that ballot and deposit it in the ballot box in the restaurant before restaurant-closing on

November 30, 2019.

NO PURCHASE NECESSARY. To enter without a purchase, write a minimum 100-word hand-written essay about

why you love eating at the Mandarin Restaurants. Essays must be original and cannot be mechanically

reproduced. Include the essay along with the location of your favourite Mandarin Restaurant (for a complete

listing, visit www.mandarinrestaurant.com), your name, address, postal code, and phone number and mail it in an

envelope with sufficient postage to: Mandarin Restaurant 40th

NO PURCHASE NECESSARY. There are two ways to enter the Online Contest.

a. To enter via Facebook, visit the contest page at facebook.com/mandarinrestaurants (the

“Website”) and follow the on-screen instructions to obtain the Official Contest Entry Form (the

“Entry Form”). Fully complete the Entry Form with all required information, which requires you

to: (i) enter your full name, valid email address, and month and year of birth; (ii) post a link to a

Video (as defined below) that you have uploaded to YouTube or Vimeo; and (iii) signify your

agreement that you have read and agree to be legally bound by the terms and conditions of

these Rules. The “Video” must be a recording of yourself explaining why you are the biggest

Mandarin restaurant fan and why you love Mandarin restaurant (the “Theme”), must be no

longer than 2 minutes and must otherwise be in accordance with the Submission Requirements

set out in Rule 4 below (as determined by the Sponsor in its sole discretion). When all required

steps of the entry process are complete (including fully completing the Entry Form and a link to

the Video), follow the on-screen instructions to submit your completed entry (Entry Form and

Video hereinafter collectively referred to as the “Facebook Entry”). To be eligible, your Facebook

Entry must be submitted and received within the Online Contest Submission Period. The Entry

Form will also include the opportunity to subscribe to the Sponsor’s newsletter. Any requested

opt-in consent is not required to enter the Contest and will not increase your chances of winning.

b. To enter via Instagram, post your Video during the Online Contest Submission Period by logging

into his/her account on the Instagram platform and uploading his/her Video along with the

following required language: “#Mandarinis40Contest” (collectively, “Instagram Entry Post”).

Your Instagram Platform profile settings must not be set on private for your Instagram Entry Post

to be eligible for the Contest. It is each entrant’s responsibility to timely set his/her account

settings so that Sponsor is able to view his/her Instagram Entry Post. Sponsor is not responsible

for misspellings, typographical errors, or other issues that may affect an Instagram Entry Post

from being located using a search to find eligible entries. Your Instagram Entry Post will not be

deemed an entry in the Contest until Sponsor verifies that it meets all the Submission

Requirements detailed below and otherwise complies with these Official Rules and the Instagram

Platform’s Terms of Use. Such approval or disapproval of an Instagram Entry Post will not be

communicated. Sponsor, at its sole discretion, may accept or disqualify an Entry Post that is

accompanied by a technically incorrect required unique term. Your Instagram Entry Post must

remain active on your Instagram Platform account through winner selection and prize award for

the Contest to be eligible. Your Instagram Entry Post will appear on your Instagram Platform

account feed, may be included by Sponsor within select Sponsor media and may be visible to

other users or the public. Incorrect and/or incomplete attempts at entry or those identified or

received outside the Online Contest Submission Period, and/or Instagram Entry Posts that

contain obscene, offensive, or objectionable language or that communicate messages

inconsistent with the positive images to which Sponsor wishes to associate (all as determined by

Sponsor in its sole discretion) will be void and not eligible for entry. Only Instagram Entry Posts

that are posted, identified and recorded on the Instagram Platform’s servers during the Online

Contest Submission Period will be considered. Other proof of submitting an entry (such as a

printed or copied confirmation screen or message) does not constitute actual receipt of the entry

for purposes of this Contest. Each entrant must be the rightful owner of the Instagram Platform

account utilized for entry.

c. Facebook Entries and Instagram Entry Posts shall be collectively referred to herein as “Online

Entries”.

You can only enter the Online Contest one time during the Online Contest Submission Period, regardless of the

number of Facebook and Instagram accounts you may hold. For greater certainty and the avoidance of any doubt,

you can only use one (1) Facebook account or one (1) Instagram account to enter the Online Contest. If it is

discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by

the Sponsor) that any person has attempted to: (i) obtain more than one (1) Online Entry per person/email address

during the Online Contest Submission Period; and/or (ii) use (or attempt to use) multiple names, identities email

addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise

participate in or disrupt the Online Contest; then he/she may be disqualified from the Online Contest in the sole

and absolute discretion of the Sponsor. Your Online Entry may be rejected if (in the sole and absolute discretion of

the Sponsor): (i) the required information in the Entry Form is not fully completed or the required information in

the Instagram Entry Post is not posted during the Online Contest Submission Period; and/or (ii) your Video does

not depict the Theme and/or is not in accordance with the specific Submission Requirements listed below in Rule 4

(all as determined by Sponsor in its sole and absolute discretion). The Released Parties (defined below) are not

responsible for late, lost, misdirected, delayed, incomplete or incompatible Online Entries (all of which are void).

All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and

absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including,

without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s

eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of an Entry

entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor

deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance

with these Rules. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in

disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the

purposes of a valid Online Entry in this Contest will be the Contest server machine(s).

4. SUBMISSION REQUIREMENTS:

BY SUBMITTING AN ONLINE ENTRY FOR THE ONLINE CONTEST, YOU AGREE THAT THE ONLINE ENTRY (AND EACH

INDIVIDUAL COMPONENT THEREOF) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED

PARTIES (DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF YOUR ONLINE ENTRY OR ANY

COMPONENT THEREOF. THE RELEASED PARTIES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU IN THE

EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY

OF THESE RULES.

Your submitted Video must never have been previously selected as a winner in any other contest.

By participating in the Online Contest, each entrant hereby warrants and represents that his/her Video:

i. is original to him/her; ii. does not violate any law, statute, ordinance or regulation;

iii. does not contain any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;

iv. will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims whatsoever;

v. is intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for all persons, including persons under the age of 13; and

vi. is not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of Sponsor); content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; any identifiable third party products, trade-marks and/or brands, other than those of Sponsor; conduct or other activities in violation of these Rules; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) will initially screen

every Online Entry. Any Online Entry that the Reviewer deems, in its sole and absolute discretion, to violate the

terms and conditions set forth in these Rules is subject to disqualification. The Reviewer reserves the right, in its

sole and absolute discretion at any time, to request an entrant to modify, edit and/or re-submit his or her Online

Entry in order to ensure that the Video complies with these Rules, or for any other reason.

5. LICENSE:

By entering the Online Contest and submitting an Online Entry, each entrant: (i) grants to the Sponsor, in

perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Video, in

whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and

to his/her Video in favour of the Sponsor; and (iii) agrees to release and hold harmless the Contest Parties and

each of their respective agents, employees, directors, officers, successors, and assigns (collectively, the “Released

Parties”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright

infringement, trade-mark infringement or any other intellectual property related cause of action that relate in any

way to the Video (or any component thereof).

6. THE PRIZES AND APPROXIMATE RETAIL VALUE:

Grand Prizes

There will be forty (40) Grand Prizes awarded, each consisting of a trip for two (2) to China. Each Grand Prize

includes: economy airfare transportation between Toronto Pearson International Airport to Beijing, Beijing to

Xi’an, Xi’an to Hangzhou, and Shanghai back to Toronto; a 10-day guided tour of locations including Beijing, Xi’an,

Hangzhou, and Shanghai; luxury accommodations for 8 nights based on double occupancy at hotels to be selected

by Sponsor in its sole discretion; and some meals (gratuities excluded). Winners will be responsible for the cost of

everything not specified above, including without limitation, transportation to and from departure airport, airport

taxes, tips, food, beverages, travel and medical insurance and other expenses of a personal nature. Approximate

retail value of the prize is $10,000. All necessary travel documents, including passports and visas (if applicable) are

the responsibility of each traveler. Trip is subject to any travel advisories that may be issued by Canadian Consular

Affairs Bureau.

Sponsor will arrange for trip(s) to take place in April or May 2020. Winner’s guest must be 18 years or age or older

to participate. Winners must be prepared to travel on specific date(s) to be announced by Sponsor. All Grand Prize

winners may be required to travel together or may be split into three groups for travel (at Sponsor’s sole

discretion). In the event that the winners are split into three groups for travel on separate dates, the Sponsor will

allocate the winners to the groups at its sole discretion. Sponsor reserves right to revise itinerary and schedule. If a

winner is unable to attend (for whatever reason) on the date specified by Sponsor, then that winner shall forfeit all

rights to the Grand Prize and shall not receive anything (including but not limited to any cash equivalent) to

compensate for such forfeiture. Winners cannot extend or revise trip schedule.

Semi-Finalist Prizes

There is a total minimum of 271 Semi-Finalist Prizes [261 for the In-Restaurant Contest (actual number of Semi-

Finalist Prizes subject to change if additional Semi-Finalist Prizes are added for new restaurants opened during the

In-Restaurant Contest Period, as described below) and 10 for the Semi-Finalists in the Online Contest (five Semi-

Finalists from the Facebook Entries and five Semi-Finalists from the Instagram Entry Posts)]. At the Sponsor’s sole

discretion, any new Mandarin Restaurant location that opens during the In-Restaurant Contest Period may award

Semi-Finalist Prizes after it opens for the months remaining in the In-Restaurant Contest Period.

The Semi-Finalists Prizes each consist of 10 vouchers for dinner at a Mandarin Restaurant location. For In-

Restaurant Semi-Finalist Prize winners, the vouchers must be redeemed at the restaurant at which the winner was

drawn. For Online Contest Semi-Finalist winners, the vouchers may be redeemed at any Mandarin restaurant

location. Approx. retail value of each Semi-Finalist Prize is approximately $300, based on 10 dinners. Semi-Finalist

Prizes must be used by April 30, 2020, are subject to availability, and are not valid on Valentine’s Day, Family Day,

Mother’s Day, Father’s Day, Canada Day, and during Mandarin’s Holiday Promotion (December 4, 2019 to January

1, 2020). Gratuities and beverages are not included.

All prizes must be accepted as awarded. No transfer, assignment, cash redemption, or substitution of a prize (or

portion thereof), except by Sponsor in its sole discretion. The Sponsor reserves the right at any time to substitute

a prize for any reason so long as a prize of comparable value is substituted.

7. WINNER SELECTION PROCESS

In-Restaurant Contest

On or about the first Tuesday of each month starting in April until December 2019, a random draw will be held to

select a potential winner for the Semi-Finalist Prize for each participating Mandarin Restaurant location from all

eligible entries received during the prior month for that location. Mail-in entries will be allocated to the draw for

the month in which the entry was received for the Restaurant location listed as the entrant’s favourite. In order to

win, each selected entrant must first correctly answer a time-limited mathematical skill-testing question to be

administered by telephone or in writing. Semi-Finalist winners must sign any necessary release documents and

pick up their prize package at the Restaurant location within the time-frame specified by the Sponsor. Proof of

identification must be provided upon request. Odds of winning depend on the number of eligible entries received

at each Mandarin Restaurant location in each month of the In-Restaurant Contest Period.

Each Semi-Finalist Prize winner will also be invited to attend the Semi-Finalist Party on December 17, 2019 at The

Garden Banquet & Convention Centre in Brampton, ON (date and location subject to change at the discretion of

the Sponsor) (the “Semi-Finalist Party”). Semi-Finalist Prize winners must attend at the Semi-Finalist Party in order

to be entered into the draw for a chance to win a Grand Prize. Those Semi-Finalist Prize winners who live more

than 200 kilometers from the Semi-Finalist Party location will receive hotel accommodation for one (1) night at a

hotel to be selected by Sponsor in its sole discretion (based on one room, single occupancy). At the Semi-Finalist

Party, random draws will be held to select the thirty-eight (38) Grand Prize winners as follows: one (1) selected

entrant will be drawn from all Semi-Finalist Prize winners who attend at the Semi-Finalist Party from each of the

participating Mandarin Restaurant locations (a minimum of 29 locations); the remaining potential In-Restaurant

Grand Prize winners will then be drawn from the remaining Semi-Finalist Prize winners from all of the Mandarin

Restaurant locations who attend at the Semi-Finalist Party. Odds of a Semi-Finalist Prize winner from the In-

Restaurant Contest winning a Grand Prize for the Grand Prizes awarded to each of the participating Restaurant

locations are approximately 1 in 9 (unless the location opened and was added to the In-Restaurant Contest during

the In-Restaurant Contest Period). Odds of a Semi-Finalist Prize winner from the In-Restaurant Contest being

selected for one of the remaining 9 (or fewer, if a Restaurant location is opened and added to the In-Restaurant

Contest during the In-Restaurant Contest Period) Grand Prizes are approx. 1 in 26.

Online Contest

Round One: The round 1 selection process will take place between September 27 and October 2, 2019 (the

“Judging Period”). A panel of judges appointed by the Sponsor will judge the Videos on the basis of: (i) originality

of the Video; (ii) creativity of the Video; and, (iii) appropriateness to the Theme (collectively, the "Criteria"). All

Criteria will be weighed equally. In the event of a tie, the Essay with the highest score in ‘how well the Video

depicts the Theme’ will be chosen. Ten (10) Videos will be selected by the judges from the Facebook Entries and

ten (10) Videos will be selected by the judges from the Instagram Entry Posts, and those selected will be contacted

by notified by direct message through the platform in which they entered.

Odds of being selected will depend on the number and caliber of Videos received during the Online Contest

Submission Period through Facebook and through Instagram.

Round Two: The round 2 selection process will take place during the Online Contest Voting Period (see below for

how to vote). The ten (10) Videos selected in Round 1 from the Facebook Entries will be posted on the Website.

The ten (10) Videos selected from the Instagram Online Posts will be posted on the voting webpage

(http://mandarin.promo-manager.com/contests/passporttochina). The five (5) Videos with the highest

number of votes received during the Online Contest Voting Period from the Facebook Entries (the

“Facebook Semi-Finalists”) along with the five (5) Videos with the highest number of votes received during the

Online Contest Voting Period from the Instagram Entry Posts (the “Instagram Semi-Finalists”) will be eligible to be

a Semi-Finalist and entered into a random draw for the chance to win a Grand Prize, as described below (a “Semi-

Finalist”). IMPORTANT NOTE: JUST BECAUSE A SEMI-FINALIST ENTRY APPEARS AT OR NEAR THE TOP 5 SPOTS ON

THE VOTING LEADERBOARD PER FACEBOOK ENTRIES OR PER INSTAGRAM ENTRY POSTS DOES NOT MEAN THAT

THE ENTRANT ASSOCIATED WITH THAT ENTRY IS OR WILL BE A SEMI-FINALIST. THE LEADERBOARD IS FOR

ENTERTAINMENT PURPOSES ONLY AND ONLY THE SPONSOR CAN DEEM AN ESSAY ENTRY TO BE AN ELIGIBLE SEMI-

FINALIST. Odds of being selected as a Semi-Finalist will depend upon the number of Votes received during the

Online Contest Voting Period, but no worse than 1 in 2. In the event of a tie between two or more of the 5 Video

entries per Online Contest entry method (based on the highest number of eligible votes received during the Online

Contest Voting Period), the Sponsor and/or its designated representative(s) will judge all such Semi-Finalists that

are tied on the basis of the Criteria (see above) - all weighed equally - and the Semi-Finalist with the highest total

score as determined by the Sponsor and/or its designated representative(s) in its/their sole and absolute

discretion will be deemed to be eligible to be a Semi-Finalist. Eligible Semi-Finalists will be contacted by direct

message on either Facebook or Instagram, as applicable or via email, within ten (10) business days of being

Each Semi-Finalist Prize winner from the Online Contest will also be invited to attend the Semi-Finalist Party, and

HOW TO VOTE During the Online Contest Voting Period, visit facebook.com/mandarinrestaurants to view the ten

(10) Videos selected during the Judging Period from the Facebook Entries and follow the on-screen instructions to

vote for the Facebook Semi-Finalists (“Facebook Entry Voting”), or visit http://mandarin.promo-

manager.com/contests/passporttochina to view the ten (10) Videos selected during the Judging Period from

the Instagram Entries and follow the on-screen instruction to vote for the Instagram Semi-Finalists (“Instagram

Entry Voting”) (a “Vote”). Votes must be received during the Online Contest Voting Period.

LIMITS ON VOTING: A person may only use one (1) email address to Vote in this Contest. There is a limit of one (1)

Vote per person and per email address per day between 12:00:01 AM ET and 11:59:59 PM ET during the Online

Contest Voting Period for each of the Facebook Entry Voting and for the Instagram Entry Voting. Any person who is

found to have placed a Vote, or attempted to place a Vote, with more than one (1) email address will be subject to

disqualification in the sole and absolute discretion of the Sponsor, and all such Votes placed by such person or on

behalf of such person during the Online Contest Voting Period will be disqualified. You are not allowed vote for

your own Video and voting for your own Video will result in disqualification. Proof of transmission (screenshots or

captures etc) does not constitute proof of delivery of a Vote. Votes generated by script, macro, robotic,

programmed, or any other automated means are prohibited and will be subject to disqualification in the sole and

absolute discretion of the Sponsor. Any use of robotic, repetitive, automatic, programmed or similar entry

methods or agents (including, but not limited to, contest entry services) will void all Votes by that voter. The

Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or

incomplete votes, which will be void. All Votes become the property of the Sponsor upon receipt and none will be

returned. All Votes are subject to verification. The Sponsor reserves the right, in its sole and absolute discretion,

to require proof of identity (in a form acceptable to the Sponsor) from any voter to participate (i.e. Vote) in this

Contest or for any Votes entered, or purportedly entered, by such voter to be considered valid for the purposes of

this Contest. Failure to provide such proof in a timely manner may result in disqualification of the applicable Votes

that cannot be verified to the satisfaction of the Sponsor, in its sole and absolute discretion. The sole determinant

of time for the purposes of a valid Vote in this Contest will be the Sponsor’s promotional agencies’ computer

servers. IMPORTANT: You may encourage your friends and other eligible individuals to Vote for your Video;

however, you are not allowed to offer any individual any form of incentive, inducement, prize or chance of

receiving any incentive or inducement (including vote exchanging), or prize in furtherance of receiving such

individual’s Vote for any Video. Any individual determined by Sponsor and/or its representatives (in their sole and

absolute discretion) to be engaging in such behaviour is subject to disqualification. The Sponsor reserves the right,

in its sole discretion, to disqualify any entrant they find, in their sole discretion, to be: (a) tampering or attempting

to tamper with the entry or Voting process or the operation of the Contest and/or Website; (b) violating the Rules;

or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any

other persons. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE

ANY WEBSITE OR UNDERMINE THE LEGITMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL

AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES

FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Round Three: The round 3 selection process will take place at the Semi-Finalist Party, where a random draw will be

conducted from all Facebook Semi-Finalists in attendance at the Semi-Finalist Party to select one potential Grand

Prize winner, and from all Instagram Semi-Finalists in attendance at the Semi-Finalist Party to select one potential

Grand Prize winner. Semi-Finalist winners must attend the Semi-Finalist Party in order to be entered into the draw

for a chance to win a Grand Prize. Those Semi-Finalist Prize winners who live more than 200 kilometers from the

Semi-Finalist Party location will receive hotel accommodation for one (1) night at a hotel to be selected by Sponsor

in its sole discretion (based on one room, single occupancy). Odds of an Online Contest Semi-Finalist being selected

as a Grand Prize winner are 1 in 5.

BEFORE BEING DECLARED A CONFIRMED GRAND PRIZE WINNER, each potential Grand Prize winner (for the In-

Restaurant Contest and the Online Contest) will be required to correctly answer a time-limited mathematical skill-

testing question to be administered by telephone, and sign and return within 5 business days of notification the

Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii)

acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in

connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Grand Prize

or any portion thereof, including travel-related thereto; (iv) in the case of the Online Contest Grand Prize winners,

assigns all intellectual property, including copyright, in and to his/her Video and waives his/her moral rights therein

in favour of the Sponsor; and agrees to indemnify the Released Parties against any and all claims, damages,

liabilities, costs, and expenses arising from use of his/her Video including, without limitation, any claim that his/her

Video infringes a proprietary interest of any third party; and (vi) agrees to the publication, reproduction and/or

other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness

without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the

Sponsor in any manner whatsoever, including print, broadcast or the internet. Each Grand Prize winner’s traveling

companion must sign and return to the Sponsors a release form indicating that they waive all recourse against the

Released Parties relating to their participation in the prize, prior to issuance of travel documents. If the potential

winner fails to correctly answer the skill-testing question, he/she will forfeit the Grand Prize, and that Grand Prize

will not be awarded. If the potential winner: (a) fails to return the properly executed Contest documents within the

specified time; (b) cannot accept (or is unwilling to accept) the Grand Prize (as awarded) for any reason; and/or (c)

is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute

discretion); then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if

disqualified, will forfeit all rights to the Grand Prize) and that Grand Prize will not be awarded.

8. GENERAL CONDITIONS:

All entry materials become the property of the Sponsor. This Contest is subject to all applicable federal, provincial

and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding

on all entrants without right of appeal, including, without limitation, any decisions regarding the

eligibility/disqualification of entries and/or entrants. By participating in this Contest, you are agreeing to be legally

bound by the terms and conditions of these Rules. ANYONE DETERMINED TO BE IN VIOLATION OF THESE RULES

FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT

ANY TIME.

The Released Parties will not be liable for: (i) any failure of the Website or any social media platform during the

Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-

line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, Online Entry,

Vote or Voter Registration to be received, captured or recorded for any reason, including, but not limited to,

technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s

In the event of a dispute concerning who submitted an Online Entry, the Online Entry will be declared to have been

made by the registered account holder of the e-mail address associated with the Instagram Platform account or

email account for the potentially winning Online Entry, but only if that person meets all other eligibility criteria,

otherwise the entry may be disqualified and any potential prize won will be forfeited in Sponsor’s sole discretion. A

registered account holder is defined as the natural person who is assigned to an e-mail address by an Internet

access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is

responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential

winner may be required to provide Sponsor with proof that he/she is the registered account holder of the e-mail

address and Instagram Platform account associated with the potentially winning Online Entry. If a dispute

regarding who submitted an entry cannot be resolved to Sponsor’s satisfaction, the entry will be deemed

ineligible.

The Sponsor reserves the right to withdraw, amend or suspend this Contest (or to amend these Rules) in any way,

in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud,

technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper

conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to

undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute

discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the

right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to

cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in

the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.

By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives,

storing, sharing and using the personal information submitted with his/her ballot, mail-in entry, Online Entry,

Voter Registration only for the purpose of administering the Contest and in accordance with Sponsor’s privacy

policy (available at: www.mandarinrestaurant.com), unless the entrant otherwise agrees.

The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the

dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance

by any entrant, Online Entry, ballot, mail-in entry, Vote and/or Voter Registration with these Rules, or as a result of

any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its

sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for

any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures

or other statements contained in any Contest-related materials, including, but not limited to: Ballots, the Entry

Form, Website, and/or point of sale, television, print or online advertising; the terms and conditions of these Rules

shall prevail, govern and control to the fullest extent permitted by law.

THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH,

FACEBOOK OR INSTAGRAM. BY PARTICIPATING IN THIS PROMOTION YOU ARE ACKNOWLEDGING THAT
