uest of Honor at the Midcontinent Oil & Gas Awards was Michael Teague.

Michael Teague is serving as Oklahoma’s first secretary of Energy and Environment.

Prior to his appointment, Teague served in the U.S. Army for nearly 30 years before retiring with the rank of Colonel.

Teague served in many capacities during his time in the Army including commander for the Tulsa District of the U.S. Army Corps of Engineers where he was responsible for a civil works program encompassing all of Oklahoma, a large portion of southern Kansas and the panhandle of northern Texas. He oversaw over 700 employees in engineering, construction and operations, as well as an annual budget of $700 million.

Some of the highlights from Michael Teague’s keynote address:

Bakken-leader Continental Resources paid close to half a billion dollars to solidify its position as the largest leaseholder in the liquids-rich and ever-popular Bakken play in ND. The Oklahoma City-based producer added 119,218 net acres in the field from Samson Resources, which included production of nearly 6,500

boepd, of which 82% is crude oil. The company now holds roughly 1.1 million net acres in the play. To offset costs, the company sold $125M in non-core Eastern Region assets. Combined, the transactions are expected to reduce 2013 production operating costs per barrel of oil equivalent (boe), compared with previous guidance, and increase production growth to a range of 35% to 40%. Df: I’m construction regulatory manager for WPX. Once part of Williams, we spun off in January 2012. I am responsible for the Appalachian region.

MK: Formerly the Chief Environmental Regulator in the State of Pennsylvania, I now practice law and do some other things beyond practicing law in terms of the business synergies at the Blank Rome law firm in Philadelphia. DC: The face of US energy has completely changed in the last five years. If I had said to you ten years ago that the US would be one of the biggest hydrocarbon producers in the world in 2013, you would

have laughed at me. let’s discuss the positives, the risks and the outlook for the next few years… MK: Our children and grand children are going to be competing with their Indian, Chinese and European counterparts and so forth, and this energy abundance is the way they can. It’s maybe the only way that they can compete and succeed in the next generation. My parents went through World War II and the Depression; they say that America’s generation today is losing that. There is no cohesiveness because we didn’t live through or have memories of the World War or Depression and we have some real challenges on that. We have some fierce competitors around the world that don’t mean us very well sometimes, and it’s really been about energy, it’s always been about energy.

If I had said to you ten years ago that the US would be one of the biggest hydrocarbon producers in the world in 2013, you would have laughed at me.


Df: We do have great opportunities, but unfortunately the policy right now doesn’t match with that. We need to build a cohesive policy that works with the industry and also works with our economy. It is a world economy, for instance in london there is already panic about the reserves of gas in England and they pay USD18/MCF and we are drilling at USD3.50. DC: It is all very well having this abundance of natural gas but what are you going to do with it? Surely you need to bring back the manufacturing base to use the feedstock and implement new infrastructure? MK: It’s not that we need to do. This is happening and it’s happening in Philadelphia. The amount of knocks on the door from manufacturing is going up double, more than double in the last two years. A lot of those are from Europe, for a lot of reasons including high energy prices. We have to re-tool our policy and that includes being friendlier to the midstream; making sure the Keystone Xl pipeline gets completed, which is a national disgrace! you are from

Continental, Bakken crude, right? We have tons of your stuff coming by train into Philadelphia to be refined and we love it! 140,000 barrels through a unit train, two a day into our new unloading facility at Energy Solutions. Each one of those trains moves the needle on the balance of trade and we need policies that help us execute on our national abundance. We must be the only country in the world who doesn’t do everything possible to get to and use the natural resources of energy that we have. The Norwegians, English and Japanese do it. We are the only ones who don’t do it. Wl: This round of oil production is different to history in the United States. If you do have a hiccup in drilling progress now, you are going to see a really quick decline because of the nature of the shale plays that we are going into. Policies need to be understanding, in that if there is a hiccup in the drilling process, the decline will be a lot quicker than has been seen in the past. Mh: I’m going to respectfully disagree with you. Information is available by the upstream producers

that show we are getting more out of fewer wells. We continue to employ a significant amount of technology in the oil field and some segments are becoming more high-tech. With those applications, we’ve seen almost a fourfold increase in EUR on wells that we’ve produced in the Marcellus shale. We are reinventing how we are doing things beyond our wildest dreams. Eight to 10 years ago most thought that this was a sunset industry and even I did not encourage my children to pursue oil and gas. My crystal ball was just as cloudy as most. Now, I see a lot of hope and a lot of future. We are seeing our liquids exports at Europe’s front door and we will replace some of the gas that is being manipulated by the former Soviet Union countries. TO: Going back to your original question about increasing market strength here in the US, it’s also about removing policies like the one that prevents us from exporting oil to other countries around the world. It’s about putting infrastructure in place to efficiently get the oil & gas to market and not having to go through unnecessary regulatory hoops to get it there. This period is not the sunset of the oil & gas industry, it feels more like the sunrise. There is no challenge in the drilling and production process that the industry doesn’t seem ready to tackle, at least not technically. The level of technology has really improved to the point where companies are now fine-tuning and improving, so the most proactive companies are really just getting started!

MK: your production in the Bakken has been off the charts. TO: yes, from a resource that’s going to be there for decades. Mh: At the turn of the twentieth century, the industry was developing a field in Northern Oklahoma called the Three Sands Field. In the 1920’s, it was one of the top ten biggest oil producing fields in the world. Now what type of asset have we discovered in the Marcellus? It is potentially the biggest gas field in the free world; it may even rival the biggest in the entire world by the time it’s fully proven. We see the production rates continuing to grow and it will be a shame if the Industry and the Government doesn’t handle this in a way that benefits every person in the US. let’s watch China and India displace us as the number one oil importer and have them be forced to protect the sea-lanes in the Middle East as we continue to work our way down from 60% to 40% imports over the past several years. MK: “Frac a well, bring a soldier home”.

Mh: That’s a great line. MK: That was a tag line that I stole from somewhere and I used it in a keynote in Pittsburgh recently and it got people’s attention. We’ve been projecting military power to the tune of trillions of dollars every year, to the tune of thousands of soldiers killed for a USD4 gasoline price; that’s not really USD4, more like USD16 if you include all the military and so forth. If you don’t want that then we have to be doing hydraulic fracturing, but most people, 61%, say we don’t like hydraulic fracturing. Somebody has to educate the public, in a nice way, and it may take some time, that those two things are antithetical to each other. you can’t have energy security and not sending your kids overseas and not sending the troops overseas without hydraulic fracturing of horizontal formations. DC: This was mentioned in the last round table. Should America export, or save this energy for its own use? MK: I’m not in the business but from a policy perspective, the United States wants to be in the export business regardless of what the commodity it is, exports are good. They are good for the balance of trade; they are good for American employment and so on and so forth. Why in the world wouldn’t we want to export energy? TP: When we look at trade, we’re a global market today. One way or the other, whether the price

is based on what the costs are in Oklahoma, it’s a global market you’re going to pay for it one way or the other, whether you are exporting or whether you’re importing. DC: We have been talking about the opportunities. What are some of the risks? Regulatory risks were mentioned before, can I ask our experts what regulations are on the horizon? TP: In Oklahoma we have realized that we can’t have strong energy policy without good environmental policy and the inverse is also true. They are one and the same. We are using all of our natural resources; we’re using our gas, wind and coal and we’re using an ‘all of the above’ strategy to meet the energy demand. Are there bad players out there? Bad apples, that are the drivers of why we are getting to these regulations? Of course, but for every one bad person there are 100 good people who are doing the right thing, if not more. We keep hearing that people don’t know what they are doing, that we have untested technology. yes, there is a lot of stuff that’s new but it’s being done in a safe way in a safe manner. The industry is not pushing that red line where the public health is endangered.

ST: We’re certainly seeing a lot of discussion around pipeline safety. I speak to regulators and they want to talk about pipeline safety, in regards to our business. From a midstream perspective, the daily environmental issues are erosion,

sediment control and bentonite. The big issue is, where can somebody hit your pipeline? We have very, very little of what is considered regulated lines, but we actually treat all of our lines as if they’re regulated. We go through all the same survey’s, we do all the smart pigging etc. and I think that’s a great way for us to do business. I don’t know if every midstream company can afford to do that but that’s certainly the way we do business. We support the discussions that are going on and some of the changes that are being discussed. For the environmental perspective I’m pretty disappointed at the administration and the federal EPA for this national enforcement initiative on the oil and gas industry. The first thing that people think when they see that is ‘oh there is something wrong’. That’s really what enforcement initiatives are supposed to focus on; when we know there are things that are wrong. The EPA went into this initiative not knowing that anything is wrong, basing it on people discussing it, having a fear and not being educated about it. This got ahead of companies trying to educate people about hydraulic fracturing. The public sees the EPA is focused on it, and think it must be bad. I don’t think we’re going to see any data or scientific evidence that there are any issues. The public will be educated. The Federal studies going on, millions of dollars worth by several different agencies, are progressing. They still haven’t shown anything alarming coming from the studies, any evidence of any kind of pollution or contamination coming from hydraulic fracturing. It’s how the public will eventually get educated and I don’t think we’ll see any huge regulatory differences come out from the EPA because there is nothing to back them up.

Df: A safety issue I worry about, and Mike mentioned it earlier, is that there are a lot of trains carrying crude from the Bakken. Having the Keystone Xl pipeline in operation would solve this major problem. Those DOT 111a tankers are 7/16th of an inch thick steel, the 112’s are going to be half an inch thick, but still a single wall steel. They’re conducive to derailment and when they go through major population areas, that is a disaster waiting to happen. Most were built in the ‘60s. These tankers have to be taken out of commission and we have to be the driving force to get it done. We have to get the Keystone Xl pipeline built because that’s our slip ramp… ST: There is a study from a think tank in Canada that showed pipelines to be very obviously the safest way to transport the product as compared to trucking and train. gJ: Stephanie mentioned education and I think that’s a key point that we as an industry have to focus on. Nowadays, anything and everything hits the news; the blogs and the Internet immediately. I think we have not only a responsibility but also an opportunity as an industry to improve

how we are managing information related to our business, and how we are managing the perception of our business. If we collaborate and work together to educate the public and back it up with sound data, statistics and trends, we can show and prove that our industry is safe and good for the environment from an energy perspective. DC: lets talk about carbon policy… MK: I think the number one carbon policy ought to be protecting our existing nuclear fleet. The number two carbon policy ought to be continuing the natural gas production and the swapping out of, or creating new, natural gas plants. TP: I’m not disagreeing with that carbon policy but we don’t have a nuclear plant in Oklahoma. Our power is based on coal, natural gas and a little bit of hydro. I think from Oklahoma’s standpoint, when we are getting into carbon, and how we want to handle that, we know that natural gas is the perfect fuel to replace coal. We see coal being less and less competitive. We want to be able to have the regulatory flexibility to say, here is the standard,


let’s figure out how States can get through this and make up a state’s solution. We’ve had great success like this, not only in carbon but other areas; water issues, all of the above. gl: you commented earlier that a few bad apples can make it bad for all of us and 1 out of 100 is bad. TP: It’s probably higher than that… gl: I think that the ethic to protect the environment is certainly there. If you look at oil company’s websites, it’s rare to find one that doesn’t talk about their commitment to the environment. My firm is very pro oil and I’m fourth generation oil. We conduct 15 to 20 audits a week and have over 1400 clients. We manage more facilities than the top three majors put together. We are out there all the time looking at facilities, at company compliance programs and I think the intent for oil companies’ to get it right is there. I don’t think I’ve ever met one person yet who wanted to pollute, but unfortunately I would say that seven out of ten are not even close to being in compliance. I think that the whole argument, the anti oil argument is a political argument. It gets people elected because they get elected in the popular states that don’t produce oil and gas so its an argument that the proponents to oil and gas can use. Our industry is sometimes its own worst enemy because we give the anti-oil lobby the

ammunition to make an argument against the industry. We give them that ammunition by not following the rules that we have. Whether we agree with the rule or not is another issue. If we don’t agree with it, we should change it. I don’t see that happening often. MK: We did in Pennsylvania. The air aggregation rule. We put in one that made sense. gl: There is plenty that should be repealed and refined. I don’t think we’re polluting anywhere near as much as we have said we are as an industry, and that’s a problem. Our science is getting better. Fortunately, we’re learning how to protect the environment,

we’re learning how to protect the air, but we’ve got a fair way to go and I think we should depoliticize it. Oil companies have got to really do what they say they are doing. I see a lot of green washing. you look at the website and these are some very well known companies,

and there is a lot of talk about responsibility but you look behind the curtains and its mostly green washing. The intent is there, we are just not there yet. MK: I don’t think we want to depoliticize this. I think it needs to be political because we are a political country. We are always going to be. Ten years ago we had seven or ten oil and gas producing states. Now, I think by last count we have 30. Think what can we do with 60 senators. gJ: On compliance; my opinion is that the majority of companies want to comply and do everything they can to be in compliance. A lot of times that gets lost from a standpoint of what is true environmental stewardship versus complying with very complex regulations that often contradict one another or overlap another regulation. There are times when two or more federal agencies attempt to regulate the same assets but in different ways. The same goes for overlapping jurisdiction between state and federal agencies. This places prudent companies that are striving to comply in a very precarious situation. For the most part companies and people are trying to do the right thing and I’ve seen them back it up. gl: Without a doubt the intent is there, it’s just we‘re not there yet. gJ: There is always room for improvement, no doubt.

Always quick to donate into the communities in which it operates, TEEMCO is ever supportive both financially and through donating community hours to local efforts.


Mh: We have to raise efforts to a higher standard than what’s being currently done. We have to anticipate these contradictions and lead the rest of the Industry. Being familiar with many small independents, frankly they don’t have the staff to clearly interpret and apply every regulation. It’s tough. I think there are a lot of hard working people trying to get out there and do the right thing. There is not one company out there that wants to be fined USD50,000 a day.

gl: I was trying to communicate that the intent is there, people want to do the right thing. I’m just pointing out that there is a gap between what is actually happening and what we want to happen. My fear is that gap is what is being used against us to create and feed the over regulation. Mh: Some organizations, such as ANGA, the American Natural Gas Association, which is a collection of more than 20 of the large independents, are there as a forerunner, leading the Industry and talking about different things

such as the disclosure of fracture fluid components. They are also anticipating the public issues and trying address people’s concerns. In typical shale fracture stimulations, the chemicals that are used are weaker than what you actually have under your kitchen sink. 99% plus of what is pumped downhole is just water and sand. With that advanced education and the frequent conversation of the facts, I think we can eventually get factual story understood among the public.

Df: The regulations are sometimes, for lack of a better word, split-brain. you have two different departments and one wants you to recycle when the other says it’s a waste transfer permit you need… MK: And that was probably within the same agency, not different agencies! Df: Whenever the language is grey it opens up an avenue for the public to say you’re not doing it right, and I think what we need to do is work with the regulators to craft concise language and get more involved

with professional organizations like ANGA and API. Really get involved and help ourselves. MK: In Pennsylvania we have a new Attorney General and she has decided to get involved in the industry by bringing criminal charges against a company for an accident that took place three years ago and is all cleaned up. What do you think about corporations being criminally prosecuted?

TO: The oil & gas industry probably has a much better reaction to incentives than penalties. There is a risk that penalties can have political overtones, or the regulation is not really based on good science. One alternative approach to very prescriptive regulation that goes into great detail is to look at a more risk-based system. In this case, the regulation is less prescriptive and looks more like a performance standard. That way good companies can focus on the biggest risks and can commit necessary resources to measure, prevent and control those risks. DC: We have looked at some of the risks. What about the challenges the industry faces, particularly in infrastructure and midstream. How’s that going to play out? gJ: I believe one of the big parts of our business is the build out of major infrastructure. The big challenges that come to mind are a lot of what we’ve actually just been talking about. Permitting and regulatory risks, public perception and scrutiny from non-governmental organizations are all significant factors in the success or failure of project schedules and execution. I think our industry faces this challenge as a whole. The public does not delineate between Upstream, Midstream and


Downstream in my opinion. Getting the key messages out, being forthright and consistent is critical. ST: I agree with Glen, but I will take it one step further. It’s not just the public that sees us all as one industry, it’s the regulators and politicians too. I have worked in an E&P and I mean no disrespect to our E&P customers, but I had someone who had only worked in Midstream say he felt like he was holding the elephant by the tail as the circus went through town. It depends on how the E&P treated the community and the regulators for the Midstream. It is true every step of the way for anybody who wants to build a compressor station or processing plant because we are one industry. We should all learn from one another from an environmental perspective, sit down and discuss permits and how situations should be handled. Another challenging area of regulation is endangered species. Certainly that’s been a real struggle and as a company we are doing all we can to try to figure out where and what the

risks are. We’re really interested in partnering with other companies and state groups, who are trying to do some habitat restoration or enhancement to try to weigh lay any endangered listings. It’s just becoming increasingly difficult because you have your state species, then you have your federal species and we are doing all we can. TP: From the state perspective, I spend probably right now 65% to 75% of my day dealing with endangered species issues. That is a new realm; within my portfolio I deal with clean water, clean air, and safe drinking water - that is where it has been historically. Now, I go over to our department of wildlife and fish and they are experiencing new issues in Oklahoma. One of our major endangered species issues is the lesser Prairie Chicken in the North West and the Oklahoma panhandle. We are figuring it out, because unlike the other environmental acts where states have some form of a role, in an endangered species listing states have no role. I mean the act is not really written that way but essentially that’s how fishing and wildlife has interpreted. What we have done is go and meet with four other states and develop a plan for the species. It is a state-based rule and most of our energy companies want to work with the state department rather work with US fish and wildlife.

MK: One of the challenges we have faced in Pennsylvania is a species might have travelled up from Kentucky, which is their natural habitat. Well guess what? There are very few of them in Pennsylvania as it is not their habitat! All of a sudden Pennsylvania declares them endangered, when really they’re fine. DC: Quad O regulations. How are you going about implementation within your organizations? TP: In Oklahoma on Quad O we went through and looked from an airstream point and determined that there is going to be a number of new facilities that were going to be required to comply. What we did was developed a permit by rule, where essentially as long as you’re in compliance, basically minor facilities are considered in compliance, they’re permitted immediately. It’s more of a paper work issue in Oklahoma. ST: We had to label some things and do some paperwork. Change out some rods, probably about the time we were already changing them out in our compressors engines. It wasn’t a huge deal either financially or for our record keeping/reporting standpoint. I don’t know Glen if you feel the same way?

We are at the lowest rates of Co2 in 10 or 15 years, and getting better, because we are using natural gas, but if we’re going to be doing that we can’t be killing it on the other end with methane emissions.

Judge’s Comments:

A Contractor needs dependable suppliers that they can rely on in order to provide quality service to their customer. LTR is a very good company that strives to go above and beyond in the name of customer service.


gJ: We are still quantifying the overall impact, as it relates to storage tanks, pneumatic devices, monitoring and recordkeeping. There are both capital and operations/maintenance costs associated with the rule. MK: I see a silver lining, a big policy silver lining. Early on, remember professor Howarth from Cornell who talked about the incredibly horrible methane leakage we were having throughout our whole system, which was killing us all at a very fast rate? What Quad O does is render him irrelevant; it also helps with the messaging. We are at the lowest rates of Co2 in 10 or 15 years, and getting better, because we are using natural gas, but if we’re going to be doing that we can’t be killing it on the other end with methane emissions. In the long run, I think this is going to be very therapeutic for the industry and for public accessibility. DC: Mike raised a really interesting point last week in Fort Worth. He brought to the table the law case in North Dakota where a class action is taking place against operators for flaring gas. land owners suing them for wasting natural gas! MK: I was discussing this again the other night and the damages will be nil because that gas cannot be sold. There is no route to market, therefore it cannot be monetized. It’s worthless, and the damages are zero. I must attribute this observation to my friend David Pool. gJ: Well that goes back again to the build out of infrastructure… the

ability to get that infrastructure in place in a reasonable time frame and then be able to capitalize it. TO: It’s an interesting dilemma because it’s in every company’s best interest to capture, conserve and sell the gas that it finds. Companies spend a lot of time and money to recover the resources, so they really don’t want to waste them. In states like North Dakota and Montana where they are still in a relatively early stage of field development, there is not yet sufficient infrastructure in place to meet current demand. If there was a pipeline to transport the gas and a market ready to receive the gas, even as an export, there would be less flaring taking place within those states. Wl: In some places in North Dakota, they are taking NGls out of the gas before they flare it, trucking it off the site, just as an intermediary

thing because they are trying to capture everything they can where it is so remote. DC: That is one of the great things about this industry; it is constantly trying to find ways to improve, to be as streamlined as possible. One of the things I would like everyone to have to think about is what have you seen in rapid technology changes? What is the next big thing? Water is obviously a focal point. Mh: One of the things that we are investigating in Upstream is not to necessarily do anything chemically with water to make it better. It is to do something else with the water so that we re-use by filtering, etc. One area of application for water reuse would be in our fracture stimulation efforts. We are able to take water uses that were not working with previous technology and make the water compatible with what we are doing now. I am being vague because the technology is developing and proprietary to some extent. The bottom line is that we are taking something of less value and enhancing it while being good stewards of the environment. That is only one of the directions that the Industry is going. We are constantly looking outside of the box. We have a team within our organization that is looking at many things, such as what you do with the heat that comes from the very warm water being produced. Currently, it is just dissipating into the atmosphere and the environment around us. This warm, produced water is coming to the production facilities at 120

degrees and when it is 80 degrees outside, how can you harness this dissipated energy? What can you do with some of the minerals in the water? There are some formations in Oklahoma that for decades have produced water that been used for harvesting minerals like iodine. What other actions can we do to turn produced water into more positives that people will recognize? It is exciting to see what the future holds. gJ: Using compressed natural gas (CNG) and natural gas-to-liquids as vehicle fuels on a widespread basis are areas of growth. Technologies in this area are fascinating and I think there will be a lot of opportunities in the future. TP: In Oklahoma we are encouraging more CNG vehicles and fleets. It is something we are really embracing and we are starting to see it really make a difference. loves Travel Stop, in Oklahoma City, has converted its tankers so the gasoline is being covered by natural gas now! I was on the 35 and there is this yellow loves Travel Stop tanker with a CNG sticker on it. It was a major win when we got three quarter ton trucks on CNG. They are the bread and butter of industry and the state runs them. I’ve got many friends who farm and they are doing this right now. They converted their farm trucks to run on natural gas they have a home filling station. They are paying a sixth or an eighth of the price of what they are paying on gasoline. gl: Air emissions is a big one for our firm in terms of technology development. We developed some new software to help with that. At the heart of air emissions

regulations is knowing what the emission inventory is. TCEQ monitored a variety of facilities with different types of production levels and they sealed them to measure actual emissions. So they know what the real emissions were from those facilities and then they run the leading air models against those actual emissions. The best selling air models grossly overstated emissions by hundreds-of-tons a year. If you are an oil company, if you’re upstream or a midstream with big tanks, you are trying to figure out what your emissions levels are right now and I think most companies are kind of crippled there. They do the best they can, but they are overestimating and they comply with levels they don’t need to. Companies buy permits where they didn’t need one, they buy vapor recovery units and the field operations guy is saying this isn’t working, it doesn’t kick on and they don’t get return on investment. Our solution to that problem is to rewrite the model and we tested it against the same TCEQ test and our model is right

on the bull’s-eye. We are going to see improved technology as far as estimating emissions and we are going to see improved technology for burning those emissions. We make flares, we make vapor recovery units at our company too. So what we are doing now is completely different than what we were doing a year ago. Flow back emissions are big, emissions control. We came up with a unit that would do that now. We overcame a hurdle we were struggling with - how do we capture the flow back and those emissions, and then get the fluids separated and out of the tank and the emissions, without collapsing the tank? That was a problem because right now with the new regulations there is not enough equipment to handle the drilling rigs out there. We estimate there is going to have to be ten times the amount of flow back emission equipment deployed between now and 2015, just to keep up with the amount of rigs operating, and there are some technical hurdles to do it right.

In addition, the price of West Texas Intermediate (WTI) crude -- the benchmark for domestic oil prices -- has been increasing, suggesting that the WTI is back as the world’s leading oil benchmark.

At the same time, OPEC recently announced it expects demand for its oil to drop by 300,000 barrels a day next year, and projections for future demand for OPEC oil are flattening even as OPEC members compete more fiercely with each other for market share.

Given these recent surprises and the extraordinary promise of U.S. shale plays, maybe “Saudi America” is an American dream that will come true.

Saudi “americas” Maybe Closer to the Mark

In reality, it’s more likely to be

the Americas working in concert: the U.S., Canada and Mexico. The Americas form an intimidating energy alliance that provides more stability and balance to global energy markets.

Canada is home to the world’s second largest proven oil reserves and is the world’s third largest producer of natural gas; Mexico ranks seventh on the world oil scene.

This is actually a win-win for all involved, because the U.S. enjoys more equitable trading partnerships with Canada and Mexico than it does with countries in the Middle East. Canada “buys back” about ninety cents of every dollar in goods and services that the U.S. buys from Canada; oil exporting countries in the Middle East buy back less than a third of that amount.

It’s fun to toss around terms like “Saudi America” and contemplate the possibility. What if…?

It’s not as preposterous as it may sound. In fact, Texas alone now produces more oil than the U.S. imports from Saudi Arabia. The U.S. government recently doubled its estimates of recoverable energy in North Dakota’s Bakken and Three Forks shale formations, to 7.4 billion barrels of oil and 6.7 trillion cubic feet of natural gas. And, according to the International Energy Agency (IEA), the U.S. is on track to surpass Saudi Arabia in oil output by 2017.

The U.S. and Mexico have formed a mutually beneficial relationship, with Mexico exporting most of its oil production to the U.S., then importing 60 percent of its gasoline back from the U.S.

China Could help or hurt u.S. goal of reduced imports from Middle east

These favorable relationships bode well for the U.S., but there are no guarantees. looming large as a possible threat is China, which has been quietly buying interest in oil and gas companies in the U.S. and Canada.

While China’s investments could help the U.S., financing further exploration and development, the question that remains to be answered is whether China’s deals in Canada and the U.S. also give China the leverage it needs to control energy markets. It’s a worry we can’t shrug off. Chinese oil companies are not privately owned; they operate with the backing of the Chinese state. A recent deal in Canada raises red flags because it increases China’s influence over American access to Canada’s reserves.

Since 20 percent of U.S. oil flows from Canada, it’s not unreasonable to be nervous about any potential for China deciding to act against U.S. interests by cutting off some of that supply.

fracking Should be the Solution but Could be the Problem

Fracking continues to be a lightning rod for criticism, protest, and seemingly endless new regulations, despite, or maybe aided by, a seeming dearth of credible data

about the health and environmental impacts of the practice.

Oh, there’s plenty of data, and it generally weighs in favor of fracking. The Energy Institute at the University of Texas at Austin published a report in 2012 titled “Fact-Based Regulation for Environmental Protection in Shale Gas Development.” The authors conducted an exhaustive study of the claims versus the facts, concluding that there is little actual evidence of risk to aquifers: “None of the water well claims involve hydraulic fracturing fluid additives, and none of these constituents has been found by chemical testing of water wells.”

A 2011 study by Duke University concluded: “We found no evidence for contamination of drinking-water samples with deep saline brines or fracturing fluids.”

Even environmental groups have come up short of verifying the anti-fracking claims. For example, the Pacific Institute, a nonprofit organization whose stated purpose is to “create a healthier planet and sustainable communities,” tackled the question of fracking’s impact on water resources. Its June 2012 report noted that while there are numerous anecdotal accounts of polluted water sources and/or adverse health effects caused by suspected fracking pollutants, “Most significantly, a lack of credible and comprehensive data and information is a major impediment to identify or clearly assess the key water-related risks associated with hydraulic fracturing and to develop sound policies to minimize those

risks…the discourse around the issue is largely driven by opinion.”

Journalists like Sci-Tech-Today reporter Kevin Begos have also attempted to find evidence supporting the dramatic accounts of health problems stemming from nearby gas wells. Begos tried to find supporting evidence for claims made by environmental groups and Josh Fox, the maker of the anti-fracking documentary “Gasland,” in a letter to New york Governor Andrew Cuomo. In his July 23, 2012 article investigating the claims, Begos reported that he was unable to get any form of confirmation from researchers at the University of Texas Southwestern Medical Center, the Texas Cancer Registry, or Susan G. Komen for the Cure.

Unfortunately, anti-fracking groups persist with their own unsupported claims, hyperbole and outright lies about fracking, while discounting the data from reputable institutions like the University of Texas because of alleged conflicts of interest.

“Saudi americas” a Worthwhile goal

Between the constant threat of disruption due to political unrest and the increasing terrorist attacks on oil infrastructure in the Middle East, the Western hemisphere has all the reason it needs to continue striving toward a goal of independence from oil from the Middle East, if not a goal of becoming the “Saudi Americas.” Continued exploration, investment in improved technologies, and maintaining a strong partnership with old allies and close neighbors will all be key to unlocking that American dream.

The administration’s (and ergo the EPA’s) attitude towards the oil industry seems to be thinly veiled contempt. The president pledged to lead our country toward a hydrocarbon-free status albeit he admits it could take decades. The motivation for a hydrocarbon-free goal is pollution. Certainly pollution is a serious health hazard so a hydrocarbon free nation is ideal but only theory. It’s tantamount to saying we want a conflict free society. Great in theory but not realistic.

The technology doesn’t exist to accomplish such a goal and it might not ever exist. In the meantime, the oil industry must contend with increasingly difficult environmental regulations. The EPA and its state counterparts have created a maelstrom of regulations affecting the petroleum industry. The regulations raise

energy costs, are difficult to understand and comply with, and their effectiveness at eliminating pollution remains to be seen. We may never be hydrocarbon free, but with effort, we may become pollution free… which is really the point after all.

American oil companies have led the world’s energy industry. With the right mindset, these same oil companies can lead the world to a pollution-free energy industry. Some of this nation’s greatest scientists, business people, and innovators are found at oil companies. Today’s political and regulatory threats viewed with a positive mindset, present a challenge for the industry to; instead of facing destruction-by-regulation, find opportunity and future growth.

We’ve all heard that the United States represents 4% of the world’s population and consumes 25% of the world’s energy. Reading the popular press, it’s easy to get the impression that the United States is an energy consuming, polluting giant with a small percentage of the world’s population that’s hogging the biggest share of the world’s energy. They would have us believe at the heart of this are oil companies and their “obscene” profits.

Before you renew your Prozac prescription, consider the following: According to the U.S. Central Intelligence Agency, the United States is the third largest population (behind China and India) occupying the fourth largest country by land-mass in the world. The United States occupies 3.71 million square-miles; China, 3.72 million, Canada, 3.85 million, with Russia covering 6.6 million square-miles. We have a big population living in a large country. It takes a lot of energy to produce goods and services for our quality of life and on behalf of the rest of the world.

World Bank records show the United States easily has the largest economy with a gross domestic product over $14 trillion, dwarfing our nearest rival Japan’s $5 trillion. We export much of what we produce to benefit the rest of the world. The International Monetary Fund ranks the U.S. third in the world for annual exports just slightly behind Germany’s $1.12 trillion and China’s $1.19 trillion. It takes a lot of energy.

Many countries actually consume far more energy than the U.S. on a per capita basis. The United States isn’t even ranked in the top-ten. The World Resources Institute says Canada, Iceland, and Norway use more energy per capita than the U.S. It’s not just cold countries with high heating bills either. Trinidad, The virgin Islands, Kuwait, and Qatar all consume more energy per capita than the U.S. and this is just a partial listing. None of these countries produce even a fraction of the goods that the United States produces and exports for the benefit of the other 96% of the world’s population.

Some environmental pundits and some of our leaders would have us believe 4% of the world’s population consuming 25% of the world’s energy is a point of shame. This writer believes it should be a point of pride. The U.S. is 4% of the world’s population working hard to produce for everyone else. It takes a lot of energy.

Do we pollute? yes. Are we the worst? Nowhere near. yale University and Columbia University have developed what’s called the Environmental Performance Index (EPI). The EPI uses a proximity-to-target methodology, which quantitatively tracks national performance on a core set of environmental policy goals. It

identifies specific targets and measures the distance between the target and current national achievement. The EPI provides both an empirical foundation for policy analysis and a context for evaluating performance. The EPI attempts to balance the “humans first” thinking versus the “nature first” thinking so as to rank countries by their respective environmental health and ecosystem vitality. During the Bush administration, of 149 ranked countries in 2008, the United States was ranked 39th best. Far ahead of its industrial peers with the exception of Germany which was only slightly ahead. Under Obama in 2012, the U.S. fell to 49th but still outperformed its industrial peers, with the exception of Germany and Japan.

The United Nations in conjunction with yale University, the Center for International Earth Science Information Network at Columbia University, and the World Economic Forum developed a scoring system called the Human Development Index (HDI) which ranked the world’s greenest nations in 2008. The United States was ranked 23rd greenest out of 141 countries studied. Again the U.S. far outranked all its industrial peers except Germany (ranked 21st).

Another aspect of the Human Development Index is a comparative

measure of life expectancy, literacy, education, standards of living, and quality of life for countries worldwide. It is a standard means of measuring well-being, especially child welfare. The United States ranked third in the World behind Norway and Australia which were only hundredths of a point ahead.

The Energy Information Administration of the US Department of Energy has yet another scoring device. This score compares air pollution to the size of the economy. It measures a nation’s carbon footprint in terms relative to its gross domestic product. Known as World Carbon Intensity, the United States’ carbon intensity for its economy was higher (ranked worse) than Japan’s and Germany’s. However the U.S. was still in the best 30% worldwide with a .54 ranking; far better than China’s 2.84 or Ukraine’s 7.62. Nearly half the world’s countries scored 1.0 or higher.

The United States does pollute and the oil industry is a contributing factor. Pollution isn’t simply a U.S. driven problem; it’s a world problem. The U.S. is already more part of the solution than most of the other 96% of the world’s population despite our “consumption” of 25% of the world’s energy. Given our economic productivity, exports, relative “green” rankings, and favorable carbon footprint; the United States’ “consumption” of 25% of the world’s energy should be viewed more accurately as a utilization of those energy resources for the benefit of the world. Given the Human Development Index rankings, the United States is certainly leading the world on how to use energy to create the highest quality of life for its people.

Prosperity in the United States was built on manufacturing. Each year we are becoming less manufacturing oriented and a little more information oriented. When we can, we must celebrate those individuals willing to take risks and whose efforts result in tangible goods. Michael Sloan appears to be one of those individuals upon which the country was built. At the age of 21, not unlike Oklahoma’s self-made billionaire Harold Hamm, he started a company specializing in water hauling. A little over a decade later, his company has grown to 28 trucks and 93 employees engaged in multiple oilfield operations. What a story!


CFT As A Company Composite Fluid Transfer (CFT) was established in May of 2011 to pursue a solution for industries related to fluid transfer via piping systems. The mission of our venture based in Kilgore, TX is to penetrate existing markets with a superior alternative to both the leak free fluid transfer systems and the conventional, temporary fresh water transfer systems. The initial goal of CFT was to create the largest inside diameter pipe with a working pressure rating of 250 psi while being light enough that a single 30’ joint could easily be carried by two people. The FiberFlex-11® pipe at 4.26 lbs. /ft. is over half the weight of comparable diameter and pressure rated composite and plastic pipe (8.5 – 21.5 lbs. /ft.) The standard length of the FiberFlex-11® pipe is 30 feet. The pipe was specifically designed to be as light weight as possible and to be less than the maximum 140 lbs. that OSHA mandates as the maximum weight for two persons to lift. A 30 ft. section of FiberFlex-11® weighs only 128 lbs. comparable 30 ft. section of 12” HDPE SDR 9 weighs 655 lbs. The light weight pipe enables large cost savings in mobility, installation, and safety costs. The fact that the FiberFlex-11® pipe is designed so that two men in the field can easily lift and carry the pipe avoids the high cost of using large and expensive unloading equipment. Avoiding heavy equipment and using a much lighter product increases safety and minimizes work site reclamation damage costs. Developing the FiberFlex-11® pipe began with proving the concept that winding a thin walled HDPE liner with composite fiberglass tape would produce a lightweight, large diameter fluid transfer system capable of withstanding high pressures. It also needed to be capable of withstanding the rigors of the oilfield water transfer industry and others. Hundreds of hours of ASTM standard burst and cycle testing proved the pressure rating while showing the resilience of the product. Apart from the statistical advantages of this leak-free system, several field tests proved the many real world advantages of FiberFlex-11® pipe. Its seamless integration into an

existing water transfer company’s infrastructure is a major advantage saving time and money. Other leak-free systems may require additional costly specialized equipment where FiberFlex-11® can be utilized with any existing water transfer equipment. Existing aluminum pipe trailers and water transfer equipment can be used to transport FiberFlex-11® without the additional expense of extra trailers, tuggers and spooling equipment. This also means lead times for implementing your equipment are lower, repair costs are lower, and employee training is simpler if not already there. From the humble beginnings of wrapping HDPE liner by hand to the design and construction of its full scale manufacturing process, FiberFlex-11® spent its time in the R&D trenches and has developed into an industry revolutionizing product. CFT’s FiberFlex-11® pipe was specifically designed for the sizeable water management market in the oil and gas industry, yet it can be applied to any large diameter fluid transfer market. A key strength of this innovation is the adaptability of the product to market demands, including any fluid transfer markets outside of the oil and gas industry. The FiberFlex-11® system can easily be altered to operate at higher pressures, in tougher environments, with larger diameters or any type of connections. Even though FiberFlex-11® pipe has been fully implemented, this innovation’s concept can continuously evolve. design, extruded thin wall HDPE thermoplastic liner. The tape winding / consolidation process is proprietary process developed by Composite Fluid Transfer LLC. By consolidating several layers of Ticona’s CFR-TP tape on to the thin wall HDPE pipe, the burst pressure is increased from a mere 50 psi to over 500 psi. The finishing touch to the pipe construction is an outside layer of Valeron’s 20 mil HDPE film. The film acts as the protective abrasion and UV resistant film. The film is typically a tan color to reduce the heat conduction and to blend in naturally to the surroundings. Other colors are available if desired to individually dress up the oil well operation. We speak of Obama’s EPA however there’s enough blame and/or credit for everyone. The 1972 Clean Water Act goes back to Nixon. The 1990 Oil Pollution act was passed during Bush senior’s administration. Bush-43 doubled the EPA’s budget during his eight years in office and President Obama doubled their budget yet again during his first eight weeks in office. The green movement is a tsunami. Most of the new EPA regulations directly affecting the oil industry were promulgated during Bush-43’s administration with a Republican congress. Obama’s EPA essentially ratified what had been done before them but is promising to add more.

As CEO of the largest environmental engineering firm for the American petroleum industry, I’m in a position to hear the views of many owners and operators regarding environmental regulations. Many owners and operators object to the new regulations even when they agree to the idea of stopping pollution. I think many don’t realize the affect our industry has had on the environment.

According to an independent study commissioned by the EPA, there’s been over 50,000 reportable oil spills in the U.S. during the last thirty-years.

Over half came from SPCC regulated facilities. The average spill volume was 5,900 gallons of crude per spill.

According to research conducted at the University of Tulsa, one gallon of oil can pollute one-million gallons of water. That means the oil spilled during the last thirty-years is enough to pollute more water than flowed over Niagara Falls during the same time period. That’s a bunch of water. One hundred fifty thousand gallons per-second flow over the falls. Imagine twenty-four tanker trucks full of polluted water going over the falls… each second… for thirty years. The solution is sound environmental policies and best management practices adopted by oil companies.

U.S. vice Admiral James Stockdale, Navy Pilot and POW during vietnam went on to serve (among many achievements) as president of the Naval War College. He said: “you must never confuse faith that you will prevail in the end – which you can never afford to lose – with the discipline to confront the most brutal facts of your current reality, whatever they might be.”

The reality is that some oil companies have polluted, incurring multiple acts by congress and regulators to control the industry as a whole. The likelihood of these regulations ever

abating is extremely low. Recently the EPA has publicly target the petroleum industry by listing it for National Enforcement Initiatives two years in a row.

The future

Growing up in the oil industry (my father was an engineer for Phillips for over thirty-years, my grandfather and great grandfather were independent producers), I appreciate the notion of legacy. I hope to leave a legacy for my children in the form of a green-energy company. We all have that opportunity. Rather than fighting regulation we can embrace change.

Many oil companies have actively done so. Some oil companies are developing alternative energy sources. It’s common to find positive statements about environmental stewardship on oil company websites. Just five years ago, this was not the case.

Oil companies are perhaps best suited to be the driving force to find a lasting solution to America’s energy and pollution dilemma. Energy, specifically oil, is both a national security and national economic issue. Our industry should continue to press congress for a meaningful national energy policy that encourages domestic production.

The industry will have the strongest voice in congress and among the public when it is (correctly) perceived as helping to keep the environment clean. Turning the track record of the last thirty-years around will take the commitment of every oil company to adopt and comply with the new environmental regulations.

Our industry could transform into the green-energy sector of our nation’s economy. We will continue to produce oil for many decades to come and can do so without polluting.

The American oil industry has the human, financial, and technological resources to lead our nation and the world in eliminating pollution. The energy industry is the oil company’s rightful legacy. It’s in the oil industry’s enlightened self-interest to claim the green movement. Proactive development of green technology by oil companies will do more to mitigate overregulation than an army of lobbyists fighting the EPA.

We may not agree whether global warming even exists or on its cause

and effect. However, something is happening; it may be natural or manmade. Perhaps we can agree that whether natural or manmade, the anthropogenic contribution to climate change will only exacerbate a potentially dangerous situation. We could also agree that pollution in any form is a bad thing. Eliminating pollution (as difficult as that will be) is probably more realistic than creating a hydrocarbon-free nation. Controlling, capturing and utilizing emissions are within our reach. Highly efficient waste-to-energy technology is within our reach. Developing alternative energy technologies is within our reach and indeed within the proper purview of American oil companies.

As Admiral Stockdale said, we should “confront the most brutal facts” of our current reality. The future is ours to claim; using oil as our foundation to build legacy green-energy companies for ourselves and future generations.

I hope to leave a legacy for my children in the form of a green-energy company. We all have that opportunity. Rather than fighting regulation we can embrace change.

From the Company’s inception in 1993 through its Initial Public Offering in early 2012, Midstates was focused solely in the Upper Gulf Coast Tertiary trend onshore in louisiana. On October 1, 2012, Midstates greatly increased its scope and scale with the $650 million acquisition of producing properties and undeveloped acreage primarily in the Mississippian lime oil play in Oklahoma from Eagle Energy. The Company currently has 10 rigs actively drilling and expects to invest $550 to $575 million in its capital investment program in 2013. The Midstates acquisition satisfies all of the criteria for a rational producing property acquisition. It adds P1 reserves rich in valuable liquids (66% oil and NGL’s) at $17/boe, and production at a solid price of $77,500/boed.

Operational synergies are already present for them in the Midcon region, which should translate to at least marginally improved LOE. With the majority of the financing to come from debt sources – in a period of low interest rates – the weighted cost of capital for this acquisition should be very attractive. Looks like a solid deal.
