SPACEThe space is to be used solely for the Exhibitor/Sponsor whose name appears in this agreement and it is agreed that the Exhibitor/Sponsor will not sublet or assign any portion of the same without written consent of the Association of Certified Fraud Examiners, Inc. (“ACFE”).
LiABiLiTY/ RESPONSiBiLiTY CLAUSEThe Exhibitor/Sponsor is entirely responsible for the space that is allotted to it and agrees to reimburse the exhibition hall facility where the Event is to be held (“Exhi-bition Hall”) or ACFE for any damage to the floors, walls, ceiling or equipment in the space it has been allowed to use. The Exhibitor/Sponsor assumes all responsibility for any and all loss, theft or damage to Exhibitor/Sponsor’s displays, equipment and other property during the exhibition, and while on the Exhibition Hall premises, and hereby waives any claim or demand it may have against ACFE or its affiliates, or against Exhibition Hall or its parents, subsidiaries or affiliates arising from such loss, theft or damage. In addition, the Exhibitor/Sponsor agrees to defend (if re-quested by and with counsel satisfactory to ACFE), indemnify and hold harmless ACFE and Exhibition Hall and their respective parent, subsidiary and other affiliated or related companies from and against any liabilities, obligations, claims, damages, fines, suits, costs and expenses, including, without limitation, attorneys’ fees and costs up through and including any appeal, arising from or in connection with the Exhibitor/Sponsor’s occupancy and use of the Exhibition Hall premises or any part thereof or any negligent act, error or omission or willful misconduct of the Exhibitor/Sponsor or its employees, contractors, subcontractors or agents.
iNSURANCEIt is the responsibility of the Exhibitor/Sponsor to maintain proper insurance cov-erage for its property and liability. ACFE or the Exhibition Hall may require certifi-cates of workman’s compensation and commercial general liability insurance with minimum limits of $1,000,000 per occurrence from the Exhibitor/Sponsor 90 days prior to the Event.
FORCE MAJEURE In the event the exhibition is not held as a result of any cause not reasonably with-in ACFE’s control (including, without limitation, acts of terrorism, unavailability of transportation that prevents the occurrence of the exhibition, acts of God, war, civil disturbances, declaration of national emergency, accidents or labor disputes, fire, storms, etc.) then both parties will be relieved of performance of their obligations under this agreement (and any accompanying payment obligations) to the extent such performance is so directly limited or prevented, without liability of any kind.
EXHIBITOR/SPONSOR CONDUCTThe distribution of samples, souvenirs, publications, etc., or other sales or sales promotion activities must be conducted by Exhibitor/Sponsor only from within its booth. The distribution of any article that interferes with the activities or obstructs access to neighboring booths, or that impedes aisles, is prohibited. No article con-taining any product other than the product or material made or used by the Exhibi-tor/Sponsor in its service may be distributed. The Exhibitor/Sponsor shall conduct and operate its exhibit so as not to annoy, endanger or interfere with the rights of other Exhibitor/Sponsors and visitors. ACFE reserves the right to prohibit any exhibit that, in its sole discretion and judgment, is inappropriate, offensive, or may detract from the general character of the show.
Any demonstrations or activity that may result in obstruction of aisles or that prevent ready access to nearby Exhibitor/Sponsor’s booths shall be prohibited. Exhibitor/Spon-sor’s booth(s) must be staffed by the Exhibitor/Sponsor during all open show hours.
MERCHANDISE REMOVALNo exhibit or part of exhibit may be removed until after the closing hour of the last date of the Event unless other arrangements have been made in advance. Exhibits must be removed from the building by the time specified. In the event that the Exhibitor/Sponsor fails to remove its exhibit in the allotted time, ACFE reserves the right at the Exhibitor/Sponsor’s expense, to ship the exhibit through a carrier of ACFE’s choosing or to place the same in a storage warehouse subject to the Exhibitor/Sponsor’s disposition or make such other disposition of this property as it may deem appropriate without any liability to ACFE.
OBSERVANCE OF LAWSExhibitor/Sponsor shall abide by and observe all laws, rules, regulations, and ordi-nances of any applicable government authority and all rules of the Exhibition Hall.
TRADEMARKSExhibitor/Sponsor grants ACFE, without the right to sublicense, a nonexclusive, revocable, nontransferable, royalty-free, worldwide license to use and display Ex-hibitor/Sponsor’s company name and Logo on ACFE website(s), print materials and in other marketing media solely for purposes of promoting the Event and future events, provided that such use is in accordance with Exhibitor/Sponsor’s established brand guidelines.
AMENDMENT TO TERMS AND CONDITIONSAny matters not specifically covered by this Agreement shall be subject solely to the discretion of ACFE. ACFE shall have full power in the matter of interpretations, amendment and enforcement of all terms and conditions of this Agreement, and any amendments to such terms and conditions when made and brought to the notice of Exhibitor/Sponsor shall be and become part hereof as though duly incorporated.
AgREEMENT TO RULESExhibitor/Sponsor, for itself and its employees and representatives, agrees to abide by the foregoing terms and conditions and by any amendments that may be put into effect by ACFE.
PAYMENT TERMSTo secure an exhibit booth and/or sponsorship, a deposit equal to 50% of the total cost must accompany this form. The balance is due on or before June 1, 2013.
CANCELLATiON POLiCYAll cancellations are required to be submitted in writing. Half of the deposit will be forfeited for cancellations between March 29, 2013 and June 1, 2013. The entire deposit will be forfeited for cancellations after June 1, 2013.
AGREEMENT TO TERMS AND CONDITIONSExhibitor/Sponsor agrees to observe and abide by the foregoing Terms and Con-ditions and by such rules made by ACFE from time to time for the efficient or safe operation of the exhibit. ACFE, in its sole judgment, may refuse to consider for participation in future events any Exhibitor/Sponsor who violates or fails to abide by such Terms and Conditions.

Terms of Payment for SponsorshipsAll applications for sponsorships must be accompanied with a 25% deposit of the total cost of the sponsorship. All deposits are non-refundable. Final payment is due 30 days prior to the event. Failure to make final payment after this date constitutes a cancellation of this contract. conditional upon acceptance of the following terms:
SPACE: The space contracted is to be used solely for the exhibitor/sponsor whose name appears on the contract and it is agreed that the exhibitor/sponsor/sponsor will not sublet or assign any portion of the same without written consent of the Sponsor.
LIABILITY/ RESPONSIBILITY CLAUSE: The exhibitor/sponsor is entirely responsible for the space that is allotted to it and agrees to reimburse the Management for any dam-age to the floors, wall, ceiling or equipment in the space it has contracted to use. The exhibitor/sponsor agrees to hold harmless and hereby releases the Management, the Sponsor, Owner, Exhibition Hall Facility, and their officers, agents and employees, against all claims, losses, suits, damages, judgments, expenses, costs and charges of every kind resulting from its occupancy of the space herein contracted for by reason of personal in-juries, death, property damages or any other cause sustained by any person or entity. The Sponsor shall not be responsible for the loss or damage to displays or goods belonging to exhibitor/sponsors, whether resulting from fire, storms, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearance, bomb threats or other causes. All such items are brought to the exhibition and displayed at exhibitor/sponsor’s own risk, and should be safeguarded at all times. Under no circumstances will Sponsor be liable for lost profits or incidental or consequential damages. exhibitor/sponsor shall obtain, at its own expense, adequate insurance against any such injury, loss or damage. Anyone visiting, viewing or otherwise participating in the exhibitor/sponsor’s exhibit is deemed to be an invitee or licensee of the exhibitor/sponsor, rather than the invitee or licensee of the Sponsor. The Sponsor shall not be liable for any injury whatsoever to the property of the exhibitor/sponsor, or to persons conducting or otherwise participating in the conduct of the exhibit, or to invitees or guests of the exhibitor/sponsor. exhibitor/sponsor agrees to abide by existing agreements and regulations covering the use of services or labor in the Exhibit Facility. The exhibitor/sponsor assumes full responsibility and liability for the ac-tions of its agents, employees or independent contractors, whether acting within or with-out the scope of their authority and agree to hold harmless Sponsor and the Exhibit Hall from responsibility or liability resulting directly or indirectly, or jointly, from other causes which arise because of the actions of its agents, employees or independent contractors, whether acting within or without the scope of authority.
INSURANCE: It is the responsibility of the exhibitor/sponsor to maintain proper insurance coverage for its property and liability. The Sponsor may require certificates of workman’s compensation and public liability from the exhibitor/sponsor 90 days prior to the show.
RIGHTS OF THE SHOW SPONSOR IN EVENT EXHIBITION IS NOT HELD: In the event the show is not held as a result of any emergency arising previous to the opening date of the show which would prevent its scheduled opening, as for instance, destruction of or damage of the show site by fire, storms, strikes or acts of God, etc., or a declaration of a national emergency, it is understood and agreed that the Sponsor may retain as much of the payment made for exhibition space as may be necessary to cover expenses incurred up to the time of such emergency.

ELECTRICAL AND FIRE SAFETY LAWS: All applicable fire and safety laws and regula-tions must be strictly observed by the exhibitor/sponsor. All materials used in displays must be flameproof and meet local fire regulations. Aisles and fire exits must not be blocked by exhibits. All electrical wiring must conform to local codes. These regulations will be enforced.
OBSERVANCE OF LAWS: exhibitor/sponsor shall abide by and observe all laws, rules, regulations, and ordinances of any applicable government authority and all rules of the Exhibit Building.
AMENDMENT TO RULES: Any matters not specifically covered by the preceding rules shall be subject solely to the decision of the Sponsor. The Sponsor shall have full power in the matter of interpretations, amendment and enforcement of all said rules and regu-lations, and that any such amendments when made and brought to the notice of said exhibitor/sponsor shall be and become part hereof as though duly incorporated herein and subject to each and every one of the terms and conditions herein set forth.
DEFAULT: If the exhibitor/sponsor defaults or violates in any of its obligations under this contract, the Sponsor may without notice, terminate this agreement, and retain all mon-eys received on account as liquidated damages. The Sponsor may there upon direct the exhibitor/sponsor forthwith to remove its employees, agents and all of its merchandise and other personal property from the space contracted for and from the Exhibition Hall. Any outstanding debts with the Sponsor must be paid prior to any company, organization, or agency occupying a booth at any Sponsor event.

CANCELLATION AND REFUND POLICY: All cancellations must be in writing. A full re-fund less a $500 fee will be provided for cancellations received prior to 30 days before the first day of the show. No refund will be issued for cancellations received less than 30 days before the show. In the event of the cancellation of the Event for any reason, the Sponsor’s liability to an exhibitor/sponsor shall not exceed the amount of rental fees paid. The exhibitor/sponsor’s acceptance of these Terms and Conditions constitutes a release of the Sponsor from any claims for damages in excess of said amount.
