On approval of the Regulations on Expert Boardsof the Skolkovo Fund

In accordance with the Regulations on assigning and termination of Project Participant Status for the creation and maintenance of operations of the Skolkovo Innovation Center, approved by the decision of the Foundation Council dated December 6, 2010, No. 1 (hereinafter referred to as the Regulations on assigning and termination of Project Participant Status) I hereby order:

1. To approve the attached Regulations on Expert Boards of the Fund for Development of the Center for Elaboration and Commercialization of New Technologies (hereinafter referred to as the Skolkovo Fund).

2. That the executive directors of the Skolkovo Fund clusters present their proposals for the list of experts within a period of 5 days.

3. I retain the control over the execution of the present Order.

REGULATIONS ON THE SKOLKOVO FUND’S EXPERT BOARDS1. The present Regulations define the operating procedures of Skolkovo Fund’s Expert Boards (hereinafter referred to as the Expert Board).

2. The activities of the Expert Board are governed by the Federal Law No. 244-FZ dated September 28, 2010, "On the Skolkovo Innovation Center" (hereinafter referred to as the Law), by the Skolkovo Fund Charter Documentation, the Regulations on assigning and termination of the Project Participant Status, the Regulations on carrying out preliminary project examination, as well as by the present Regulations.

3. The aim of Expert Boards is to carry out examination in order to determine the conformity or nonconformity of project by a legal entity, having filed the Application in accordance with paragraph 3 of the Regulations on assigning and termination of Project Participant Status or else by an individual or a legal entity having filed the application for carrying out preliminary project examination in accordance with paragraph 4 of the Regulations on carrying out preliminary project examination (hereinafter referred to as the Applicant), to the Criteria specified in subparagraph E of paragraph 2 of the Regulations on assigning and termination of Project Participant Status (hereinafter referred to as the Criteria).

4. The Skolkovo Fund President, as advised by the executive director of the relevant cluster, forms a separate list of experts on each business direction specified in Part 8 of Article 10 of the Law (hereinafter referred to as the Business Direction). A person is considered included into the list of experts from the date of his sending a written consent for performing the functions of a member of Expert Board.The stated list shall not contain less than 30 experts. For consideration of each application (project) a separate Expert Board is formed. The composition of the Expert Board is determined by means of random selection out of the list of experts from each Business Direction, stipulated in the Application by the Applicant.

5. An Expert Board is composed of 10 members. Members of Expert Boards have the right to receive remuneration in connection with carrying out project evaluation in the amount, defined by the Agreement with the Skolkovo Fund on performing the functions of a member of the Expert Board.

6. Meetings of Expert Boards are held in absentia. Members of Expert Board take part in the meeting by means of filling out project evaluation ballots, the form of which is approved in Attachment 1 to the present Regulations (hereinafter referred to as Evaluation Ballot).Meetings of Expert Boards are convened by the Chief of Executive Personnel and the Skolkovo Fund Council on a rotating basis and depending on the inflow of applications.

7. Convening of meetings of Expert Boards is carried out no later than within 10 days from the date of taking the decision by the Skolkovo Fund of forwarding the Application to and Expert Board for carrying out of a substantive examination of the Application. Convening of a meeting of an Expert Board implies the determination of the composition of the Expert Board and forwarding of materials in the Application, as well as of the Evaluation Ballot to its members (in electronic form).A member of the Expert Board, being an interested individual in relation to the Applicant is to inform the Skolkovo Fund about this fact by stating this in the Evaluation Ballot. In case of violation of this requirement, the abovementioned member of the Expert Board is subject to expulsion from

the list of experts.An individual is considered as being interested in relation to the Applicant, if he/she makes or is able to make a profit in connection with the decisions taken by the Expert Board.In accordance with paragraph 13 of the present Regulations, the Evaluation Ballot forwarded by the abovementioned member of the Expert Board shall not be considered when determination the results of the voting.

8. Voting of the members of the Expert Board is performed within 5 days by means of filling out of Evaluation Ballots and forwarding these to the Skolkovo Fund via electronic communications.Voting of the members of Expert Boards as well as their informing of the Skolkovo Fund about being/not being interested individuals in relation to the Applicant is performed by means of a member placing of any sign into a square in the Evaluation Ballot, relevant to the answer chosen by the member of the Expert Board.Member of the Expert Board, having informed the Skolkovo Fund about being an interested individual in relation to the Applicant, has no right to vote on Applicant's project conformity (nonconformity) to the Criteria and no right to attach the evaluation report to the Evaluation Ballot.

9. Member of the Expert Board is to attach the evaluation report to the Evaluation Ballot, except in cases stipulated in subparagraph 3 of paragraph 8 of the present Regulations. The evaluation report is to contain a justification of the conclusion made by a member of the Expert Board that the project supposes (does not suppose) the development and (or) commercialization of products and (or) technologies that are unique and (or) possess competitive advantages over world analogues (800-1000 characters).The evaluation report is to contain conclusions made by the member of the Expert Board on the sufficiency of the scope of the project for carrying out examination of its conformity (nonconformity) to the Criteria (200-300 symbols).Sufficiency of scope of project for carrying out examination of its conformity (nonconformity) to Criteria as well as level of competency of the member of the Expert Board on the topic of the project are to be evaluated by the expert on a scale of one to five.

10. Members of the Expert Board, not having forwarded the filled out Evaluation Ballots to the Skolkovo Fund within the period stipulated in paragraph 8 of the present Regulations are considered as not having taken part in the meeting.The content of the evaluation report, as well as its absence, does not influence the summarizing of vote returns of members of the Expert Board.

11. If less than five members of the Expert Board have taken part in the meeting, the meeting of Expert Board is considered as having failed.

12. Convening of a meeting of new Expert Board is performed by the chief of Executive Personnel and the Skolkovo Fund Council, in accordance with the procedure stipulated in paragraph 7 of the present Regulations, within 10 days from the date of declaring the previous meeting of the Expert Board as having failed.

13. Decision of conformity of the project to each Criterion is taken by the Expert Board separately and is considered taken, if more than fifty percent of members of the Expert Board present at the meeting voted in its favor.

14. If the Expert Board has stated, in accordance with the procedure stipulated in paragraph 13 of

the present Regulations, that the Project conforms to all of the Criteria, the Skolkovo Fund makes a decision on conformity of the Project to the Criteria. The corresponding notification is sent to the applicant within 5 working days from the date of the decision.

15. If the Expert Board has stated, in accordance with the procedure stipulated in paragraph 13 of the present Regulations, that the Project does not conform to at least one of the Criteria, the Skolkovo Fund makes a decision of nonconformity of the Project to the Criteria. The corresponding notification is sent to the applicant within 5 working days from the date of the decision.

16. The results of the meeting of the Expert Board, with filled out Evaluation Ballots attached, are documented in the minutes that are signed by the chief and executive secretary of the Executive Personnel and the Skolkovo Fund Council.
