“Downtown Cincinnati continues to get hotter and hotter . In

2010, more than 2 million people visited Fountain Square and

they found a lot of to do in Downtown . We saw new retailers,

new restaurants, and the addition of 20 food trucks . From

new homes, to the new School for Creative and Performing

Arts, to the groundbreaking for the casino, there were signs of

growth throughout Downtown . And in 2011, we will continue

that momentum as the first residents move into the Banks and

the restaurants and entertainment options open in that part of

Downtown . DCI remains a key element in Downtown’s renewed

vitality and growth . Our momentum promises to lead to an even

better 2011 and the future .”

letter to stakeholdersIn his book Good to Great and the Social Sectors, author Jim Collins reports the following: “In building a great institution, there is no single defining action, no grand program, no one killer innovation, no solitary lucky break, no miracle moment . Rather, our research showed that it feels like turning a giant, heavy flywheel . Pushing with great effort—days, weeks and months of work, with almost imperceptible progress—you finally get the flywheel to inch forward . But you don’t stop . You keep pushing, and with persistent effort you finally get the flywheel to complete one entire turn . You don’t stop . You keep pushing, and in an intelligent and consistent direction, and the flywheel moves a bit faster . You keep pushing and you get two turns…then four…then eight…the flywheel builds momentum…sixteen…you keep pushing…thirty two…it builds more momentum…a hundred…moving faster with each turn…a thousand…ten thousand…a hundred thousand . Then, at some point, breakthrough!”

This is a great metaphor for downtown Cincinnati over the last decade . Great effort . Sometimes imperceptible progress . Lots of dedicated people who love downtown pushing harder and harder . Big wins—the Aronoff Center for the Arts, Fort Washington Way reconstruction, the establishment of Downtown Cincinnati Incorporated and Cincinnati Center City Development Corporation, a safer and cleaner environment, and the expanded public library . We keep pushing . And today, The Banks is beginning to fill with residents and businesses, Great American Tower at Queen City Square, the tallest building in the region, is gracing our skyline and welcoming new tenants, the Horseshoe Casino is under construction, and both Washington Park and Music Hall are being revitalized . Thanks to an expanded and professionally run Duke Energy Convention Center and Cincinnati USA Convention and Visitors Bureau, our downtown is getting ready to host the League of United Latin American Citizens (LULAC) in 2011, the World Choir Games in 2012 and the National Urban League in 2014 . There is much, much more .

Indeed, the flywheel of downtown Cincinnati is rapidly gaining momentum . Working with many partners at the City of Cincinnati, Hamilton County, the Downtown Cincinnati Improvement District, 3CDC, the Cincinnati USA Regional Chamber, the African American Chamber of Commerce and many others, we are proud of the progress and momentum in our downtown . We also have one pledge to all of our stakeholders…together we will KEEP PUSHING as our center city becomes the envy of the nation .

In this report, you will read about many of the projects and initiatives that made 2010 a year of progress . You will also read about opportunities and challenges for the future . Thank you for your continued leadership and support . It is your strength that powers the flywheel .

Downtown Ambassadors had a very productive year with double and triple digit increases from 2009 . New guard wand technology implemented in 2009 provided better ability to report activity . * DCI worked closely with the Cincinnati Police, downtown building owners and Crime Stoppers to build the case and prosecute a rampant graffiti vandal, while quickly removing the offender’s graffiti tags .

DCI revised the Downtown Ambassador deployment plan used to identify high traffic zones and apply expanded focus on these areas during key times of day . The annual pedestrian counts and on the street observations helped identify these areas .

Under the leadership of Lieutenant Colonel Whalen and Captain Wiesman, DCI worked in close partnership with the Cincinnati Police to develop safety protocols as they apply to the Downtown Services Unit and Downtown Ambassadors . The safety protocols outline appropriate, safe, consistent and legal actions necessary to address “routine” quality of life issues, such as panhandling, in the central business district .

The Litter Index score, assigned and monitored by Keep Cincinnati Beautiful, remained 1 .2 on a scale of 1 to 4 with a rating of “1” meaning “no litter .”

The annual downtown perceptions survey revealed a slight drop in safety and cleanliness scores from 2009, though still up significantly from 2008 . DCI executed several initiatives to improve these scores with an emphasis on communicating the Ambassador hotline and the availability of safety escorts . New “wallet cards” promoting the Ambassadors and communicating the hotline were distributed to downtown employees . Production began on 24 life-size Ambassador cut-outs intended for downtown building lobbies . As a result of increased awareness of the hotline, calls for safety escorts doubled in 2010 to over 2,000 .

DCI’s social service outreach worker assisted 75 new clients (140 in 2009), made 7,267 total contacts (+32% from 2009), observed 1,850 sign holders (-25% from 2009) and had 36 successes (51 in 2009) . In summary, there were fewer new panhandlers and passive sign holders in 2010, and more time was spent with each .

DCI’s social service outreach worker served on several key committees, including the High Risk Committee, which reviews mental health clients community-wide, many of whom frequent downtown . The committee is comprised of the Hamilton County Department of Pretrial Services and the County Jail, UC Mental Health Unit, Summit Behavioral Healthcare, Court Clinic, Mental Health Access Point, Mobile Crisis Unit, the Justice Center Mental Health and local agency case managers . There is a separate committee whose work began in 2009 and is focused on the 16 high risk individuals/panhandlers downtown . In addition to the representatives involved in the community-wide High Risk Committee, the committee includes the City Prosecutor, Cincinnati Police Department and the Director of Alcohol & Drug Recovery Access Center . To date, 8 of the 16 individuals identified in 2009 as high risk are now in permanent housing . Five cases are still under review by the committee . Lastly, DCI’s outreach worker served on the Over-the-Rhine Selection Committee to choose clients for a new permanent housing facility, the Jimmy Heath House, and additional sites throughout the area . Of the 60 spots available for clients, 15 were granted to DCI’s outreach clients .

In February 2010, DCI launched a new website design with an open source content management system allowing complete editing control and full access to the website administration . As a result of the new design and search engine optimization and marketing, the website experienced significant growth from 2009: visitation +55%; page views +50%; average time spent on website +9 .5% . In addition, DCI launched a mobile friendly version of the website to better accommodate the increasing number of visits from smart phone devices . Traffic from smart phones has increased triple digits (and in some cases quadruple digits) from 2009 .

The Life Happens Here campaign continued with funding from DCI, Downtown Cincinnati Improvement District and revenue from the outdoor digital billboards . To measure results and track the visiting and spending

habits of area residents who visited downtown, DCI conducted quarterly Visit Surveys among people who visited downtown within the last thirty days . Key results included an 8% increase in average spend per visit to $90 .49 and a 2% increase in number of visits in the past thirty days . Digital outdoor billboards remained popular among DCI’s retail stakeholders and featured nearly seventy merchants and events in the advertising schedule . Weekly text message alerts

sent to subscribers promoted more than fifty-five retailers and online banner ads promoted more than twenty-five merchants . DCI continued to expand downtown Cincinnati’s presence through its social media outlets .

The Downtown Gift Card experienced a 25% increase in sales in 2010 compared to 2009 with an average Gift Card value of $52 . DCI strategically promoted the Gift Card throughout 2010 and dedicated bonus outdoor billboard space during the holidays to advance the Gift Card message, accounting for a 41% increase in sales over the 2009 holiday season .

DCI conducted its annual Downtown Perceptions Survey with a record 2,100 respondents (+164% increase) . Positive perceptions held steady from 2009 . Nearly 7 in 10 have a positive opinion of downtown, especially among women ages 18 to 44 . Negative views were found among men over 60 who live outside Hamilton County . Downtown saw an increase among families with a ten point increase in the number agreeing that downtown is family friendly . Overall, 90% believe downtown has lots of potential and 72% agree that it is getting better, while 69% think downtown has come a long way in the past few years .

DCI hosted two all-retailer meetings with an average attendance of 120+ to present comprehensive previews of summer and holiday campaigns with featured presentations by partner organizations including City of Cincinnati, Cincinnati USA Regional Chamber of Commerce, Fountain Square Management Group, Cincinnati USA Convention & Bureau, Macy’s Music Festival, Regional Tourism Network, Over-the-Rhine Chamber of Commerce, The Banks and Cincinnati Police .

The DCI Marketing team served on various committees to make the connection between the downtown retail community and downtown-focused initiatives and events including Soapbox Editorial Advisory Board, Books by the Banks, Go Vibrant, Downtown Council, American Marketing Association Special Events, and Cincinnati USA Regional Chamber’s HYPE Leadership Council . In addition, DCI led the Communications Alliance group whose focus is to leverage existing assets and opportunities to generate positive media regionally and nationally . Key initiatives were Civil Rights Baseball Game, MidPoint Music Festival, Fringe Festival and Play Me I’m Yours .

2010 results

DCI reinvented the annual Downtown Tour of Living in 2010 to focus on a new target market—professionals who influence the residential decisions of Cincinnati newcomers including regional relocation specialists, human resources professionals and area realtors—to introduce them to downtown’s residential product mix . The more than 50 attendees gained first-hand knowledge about unique downtown living options and experienced its vibrancy . A post-event survey revealed perceptions of downtown improved for all participants, and they were now more likely to “sell” downtown to their clients and new employees .

In 2010, DCI completed work on a new contact database, combining a number of independent data sources into one user-friendly tool to allow DCI staff to better meet the needs of its many stakeholders . The new database provides the ability to track contact interactions, better reporting mechanisms and accuracy, and most importantly, a central reference point to serve all of our focus areas .

DCI leveraged its membership with the Cincinnati USA Partnership to conduct 52 business retention meetings as part of the Downtown Business Retention Blitz . Over the course of two weeks in September, DCI and Partnership volunteers met with business owners to determine their interest in remaining downtown and to address potential concerns and barriers . DCI was also active in the successful retention efforts of downtown anchor retailer, Tiffany & Co .

DCI published the sixth annual State of Downtown report, benchmarking and tracking downtown trends and statistics . The State of Downtown provides a comprehensive profile of the various downtown markets including: development projects; office and employment; retail and restaurant; residential; conventions and hotels; arts, culture and entertainment; safe and clean; and access and parking .

For the fourth year, DCI commissioned an annual Pedestrian Count Study . The study is conducted each year by a third party vendor during a four week period in the fall . Lunchtime and evening traffic is monitored at various intersections . Fountain Square and Fifth and Vine Street continue to lead the growth of pedestrian activity within downtown . The study is available free on DCI’s website downtowncincinnati .com .

(DCI) (a nonprofit organization) as of December 31, 2010 and 2009 and the related statements of activities and cash flows for the years then ended . These financial statements are the responsibility of the Organization’s management . Our responsibility is to express an opinion on these financial statements based on our audits .

We conducted our audits in accordance with auditing standards generally accepted in the United States of America . Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement . An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation . notes to financial statements1 . SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Nature of OperationsDowntown Cincinnati Inc . (DCI or the Organization) is a nonprofit corporation organized to enhance downtown Cincinnati through safe and clean programs, communications and marketing programs and stakeholder services including assisting small women-owned and minority-owned firms . DCI receives contributions from Cincinnati area companies, foundations and funds from assessments on all downtown properties to take leadership in the revitalization of downtown .

Financial Statement PresentationThe financial statements have been prepared in accordance with applicable Generally Accepted Accounting Principles (GAAP) for not-for-profit entities that require, among other things, the net assets to be classified based on the existence or absence of donor-imposed restrictions . Accordingly, net assets of the Organization and changes therein are classified and reported as follows:

Unrestricted net assets – Net assets that are not subject to donor-imposed stipulations and may be utilized at the discretion of the Board of Directors to support the Organization’s purposes and operations in accordance with its bylaws .

Temporarily restricted net assets – Net assets subject to donor-imposed stipulations that will be met either by actions of the Organization satisfying the purpose or the passage of time . When a donor restriction expires, that is, when a stipulated time restriction ends or purpose restriction is accomplished, temporarily restricted net assets are reclassified to unrestricted net assets and reported in the statement of activities as net assets released from restrictions . As of December 31, 2010 and 2009 there were no temporarily restricted net assets .

Permanently restricted net assets – Net assets for which the donor has stipulated that the principal be maintained in perpetuity and that only the income from the investment thereof be expended either for the general purpose of the Organization or for purposes specified by the donor . As of December 31, 2010 and 2009 there were no permanently restricted net assets .

Cash and Cash EquivalentsThe Organization considers all liquid investments with original maturities of three months or less to be cash equivalents . The Organization maintains its cash in bank deposit accounts which could exceed federally insured limits . The Organization has not experienced any losses in such accounts and management believes it is not exposed to any significant credit risk .

Contracts and Accounts ReceivableContracts and accounts receivable consist of reimbursements due under contract agreements and general accounts receivable . The Organization provides an allowance for doubtful accounts, which is based upon a review of outstanding receivables, historical collection information and existing economic conditions . Delinquent receivables are written off based on individual credit evaluation and specific circumstances .

Unbilled ReceivablesUnder the Special Improvement District (SID) contract through Downtown Cincinnati Improvement District (DCID), the Fountain Square Management Group (FSMG) and SORTA contract, the Organization bills actual monthly expenses the following month . Unbilled receivables represent December SID and FSMG expenses to be billed in January of the following year . Also included in unbilled receivables at December 31, 2010 and 2009 were December consignment sales of promotional products (Commemorative Rookwood Tiles) billed in January of the following year .

Property and EquipmentProperty and equipment are recorded at cost or at fair value as of the date of the contribution . Depreciation is provided using the straight-line method over the estimated useful lives of the respective assets . The cost of maintenance and repairs are expensed as incurred while significant improvements are capitalized .

ContributionsThe Organization records gifts of cash and other assets at their fair value as of the date of contribution . Such donations are recorded as unrestricted support unless explicit donor stipulations specify how the donated assets must be used . Gifts that are originally restricted by the donor and for which the restriction is met in the same time period are recorded as temporarily restricted and then released from restriction .

Gifts of long-lived assets with explicit restrictions that specify how the assets are to be used and gifts of cash or other assets that must be used to acquire long-lived assets are reported as restricted support . Absent explicit donor stipulations about how long-lived assets must be maintained, the Organization reports expirations of donor restrictions when the donated or acquired long-lived assets are placed in service .

Donated ServiceThe Organization records donated services as revenues in the period received only if the services received create or enhance non-financial assets or required specialized skills, are provided by individuals possessing those skills, and would typically need to be purchased if not provided by donation . In 2010 and 2009, contribution revenue recognized for donated services was for media and promotions as presented in the statement of activities .

Deferred RevenueRevenues from membership are deferred and recognized over the period to which the fees relate .

Income TaxesDCI is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and a similar provision of Ohio law . DCI is not considered a private foundation .

The Organization’s IRS Form 990 is subject to review and examination by Federal and state authorities . The Organization is not aware of any activities that would jeopardize its tax-exempt status . The Organization is not aware of any activities that are subject to tax on unrelated business income, excise or other taxes .

Functional Allocation of ExpensesThe costs of supporting the various programs and other activities have been summarized on a functional basis in the notes to the financial statements . Expenses have been classified based upon the actual direct expenditures and cost allocations based upon estimates of time spent by Organization personnel .

Use of EstimatesThe preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period . Actual results could differ from those estimates .

Subsequent Event Evaluation In preparing its financial statements, the Organization has

evaluated events subsequent to the statement of financial position date through March 10, 2011, which is the date the financial statements were available to be issued .

Depreciation expense was $3,131 and $6,828 in 2010 and 2009, respectively .

3 . CONCENTRATION/SPECIAL IMPROVEMENT DISTRICT In 2006, DCI entered into a Special Improvement District contract

with Downtown Cincinnati Improvement District (DCID) which expired on December 31, 2009 . DCI has renewed their contract with DCID which expires on December 31, 2013 . DCID is a special assessment of downtown property owners, which purchase the services of DCI . Approximately 76% and 68% of revenues in 2010 and 2009, respectively, and 61% and 80% of all receivables at December 31, 2010 and 2009, respectively, are related to the Special Improvement District contract .

4 . FOUNTAIN SQUARE AND GOVERNMENT SQUARE MANAGEMENT

In 2010 and 2009, DCI had contracts with the Fountain Square Management Group to clean Fountain Square and SORTA to clean Government Square, bus stops and shelters in the central business district . DCI expended $373,067 and $357,842 in accordance with the terms of these contracts in 2010 and 2009, respectively .

5 . LEASE COMMITMENTS The Organization leases office space and various equipment

under operating leases that expire on various dates through December, 2013 . Rent expense for these leases was $56,335 and $54,095 in 2010 and 2009, respectively . Future minimum payments are as follows:

6 . 401(K) PLAN DCI participates in a multi-employer 401(k) plan sponsored by the

Cincinnati USA Regional Chamber of Commerce . The Organization contributes 10% of employees’ gross pay to the plan . Participants vest in employer contributions 20% each year and are fully vested after five years . Expense related to plan contributions was $54,594 and $50,004 in 2010 and 2009, respectively .

7 . FUNCTIONAL ALLOCATION OF EXPENSES The costs of supporting the various programs and other activities

of the Organization have been summarized below . Expenses have been classified based upon the actual direct expenditures and cost allocations based upon estimates of time spent by Organization personnel .
