BYLAWS LOCAL LODGE NO. 141 INTERNATIONAL ASSOCIATION OF MACHINISTS AND AEROSPACE WORKERS ARTICLE I Section 1. This Lodge shall be known as Detroit Air Transport Lodge No. 141, International Association of Machinists and Aerospace Workers. Section 2. The regular meetings of this Lodge shall be held on the first Wednesday and on the third Wednesday of the month, except when the meeting date falls on a generally recognized holiday in which event the substitute day of the meeting shall be set at the preceding meeting. This Lodge shall be called to order at 6:00 p.m. on the first Wednesday and at 11 :00 p.m. on the third Wednesday respectively. (a) The Executive Board, consisting of all elected officers shall meet and are expected to attend at any time deemed necessary by the President, at the Local Lodge, or at such place as may be deemed convenient. (b) Shop Committeepersons will be permitted to attend all regularly scheduled Executive Board meetings, but will not be permitted to vote at such meetings. (c) The Recording Secretary shall provide a copy of the minutes for each Local Lodge meeting and for each Executive Board meeting to the Shop Committee chair at each property within ten days after the date of the meeting. Section 3. Special meetings shall be held at the request of ten (10) per cent or more of the members in good standing. No other business shall be transacted except that for which the meeting was called. (a) The call for a special meeting shall state the purpose of the meeting, and discussion and action at such special meeting shall be confined to the subject for which the meeting was called. Time and place of meeting shall be as stated by the President and upon reasonable notice given the membership. Section 4. Twenty-five (25) members in good standing shall constitute a quorum. (a) All motions and amendments made at the regular Local Lodge meetings must be presented in writing to the Local Lodge President or acting President at the time such motion or amendment is made. LOCAL LODGE NO 141

INTERNATIONAL ASSOCIATION OF MACHINISTS AND AEROSPACE WORKERS

ARTICLE I

Section 1 This Lodge shall be known as Detroit Air Transport Lodge No 141 International Association of Machinists and Aerospace Workers

Section 2 The regular meetings of this Lodge shall be held on the first Wednesday and on the third Wednesday of the month except when the meeting date falls on a generally recognized holiday in which event the substitute day of the meeting shall be set at the preceding meeting This Lodge shall be called to order at 600 pm on the first Wednesday and at 11 00 pm on the third Wednesday respectively

(a) The Executive Board consisting of all elected officers shall meet and are expected to attend at any time deemed necessary by the President at the Local Lodge or at such place as may be deemed convenient

(b) Shop Committeepersons will be permitted to attend all regularly scheduled Executive Board meetings but will not be permitted to vote at such meetings

(c) The Recording Secretary shall provide a copy of the minutes for each Local Lodge meeting and for each Executive Board meeting to the Shop Committee chair at each property within ten days after the date of the meeting

Section 5 All rights privileges and benefits of membership of this Local Lodge shall be made equally available to all members without regard to age race religion gender sexual orientation disability national origin political affiliation or any other irrelevant criteria

Section 6 It is understood that all references contained in these bylaws to the male gender shall be construed to include female gender

ARTICLE II

Section 1 The Initiation fee of this Lodge shall be $15000 for all classifications

Section 2 The Reinstatement fee for this Lodge shall be $15000 for all classifications

Section 3 All applications for membership in this Lodge must be accompanied by the full amount of the initiation fee or reinstatement fee

Section 4 Special provisions for membership shall be made for newly organized airlines or departments

Section 5 Delinquency for two (2) months in the payment of dues or assessshyments shall automatically cancel membership in this Lodge

Section 6 The lAM Constitution shall be carried out with respect to Special Levies

Section 7 The lAM Constitution shall be carried out with respect to unemployment stamps

ARTICLE III

Section 1 The full monthly dues of this Lodge shall be a uniform rate of $5154 $125 to be used to affiliate with the State Councils

Section 2 Any increase or decrease of per capita tax by the Grand Lodge or any District Lodge shall automatically impose a parallel increase or decrease upon the Local Lodge membership so affected

ARTICLE IV

Section 1 The funds and property of the Lodge shall remain with the Lodge for its legitimate purposes so long as this Lodge is chartered in the lAM If for any reason the charter is withdrawn all funds and property shall be turned over to the Grand Lodge This section shall not be altered or amended

Section 2 The funds of this Lodge shall be drawn only by a majority vote at a regular meeting on an order signed by the President or Vice President and Recording Secretary with the seal of the Lodge attached

Section 3 All checks must be countersigned by the President of the Lodge or other authorized person

Section 4 No motion shall be order to vote a sum greater than two hundred fifty dollars ($25000) for any purpose except to pay regular bills unless five days notice has been given at a regular Lodge meeting

Section 5 The Lodge may vote donations to sister Lodges of the lAM for strike purposes The provisions of the lAM Constitution shall be carried out before donations are made

Section 6 When an amount over the necessary working capital of this Lodge accumulates it shall be the duty of the Trustees to recommend this amount to be transferred into a savings or investment account that is insured by a Federal Government Agency

(a) To transfer funds from a checking account to a savings or investment account that is insured by a Federal Government Agency it shall require a majority vote of those present at a regular meeting and in accordance with Article IV Section 2 of these Bylalvs --shy

Section 7 Local Lodge 141 established a Budget Committee composed of six (6) members to consist of three (3) members of the Executive Board one (1) of whom must be a Trustee and three (3) members at large to be appointed by the President and Executive Board for a term of one (1) year The committee shall make budgeting recommendations to the Executive Board and to the membership The Budgeting Committee will budget monthly for a Local Lodge picnic once each year No expenditures for said picnic will be made unless approved by the International President

ARTICLE V

Section 1 The election of Officers Shop Committeepersons and Shop Stewards shall be held at the first meeting in December every three (3) years

(a) No member shall be nominated to any office including committeemen and stewards unless he or she is present or has given their consent to nomination in writing with their current address This requirement shall be posted for ten (10) days so the membership is aware No member shall accept nomination to more than one (1) office in an election in this Lodge however members seeking nomination to an office of this Lodge (other than full-time officers positions) may also seek nomination for a Shop Committee or Steward position

(b) The hours of election shall be from 700 am to 1200 am (midnight) for the Local Lodge elections District Lodge elections and Grand Lodge elections and contract ratification voting The place of elections shall be in accordance with the lAM Constitution Other elections shall be held with the guidelines of the IAMAW Constitution

Section 2 No member shall be eligible for office who has not been a member of the lAM and of Local Lodge 141 for a period of one (1) year or longer Heshe must have attended fifty percent (50) of the regular Lodge meetings available to hisher shift that were held in the previous twelve (12) months ending with the date of close of nomination and who has not worked actively at the trade in accordance with the lAM Constitution No member shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 3 A plurality of all votes cast will be required to elect all Delegates to Grand Lodge District Conventions conferences or any other body which this Lodge may be affiliated Delegates must have attended fifty percent (50) of the regular Lodge meetings during the twelve month period ending the date of nominations of Delegate or Delegates

Section 4 Effective November 1979 to be eligible for chief steward and Local Grievance Committeemen members must have attended at least fifty percent (50) of any regular Lodge meetings available to hishef-shift during the 12-month period endillg tile date of the close of nominations No members shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 5 Should a tie vote occur voting shall continue until an election is decided In the event that no candidate receives a plurality of the votes cast thereby necessitating another vote being taken the candidate receiving the least number of votes shall be dropped thus proceeding until the election is decided

(a) The candidate for Local Lodge offices and Local Committee office receiving a plurality of votes shall be declared elected The provisions of the lAM Constitution shall be carried out

(b) No member shall accept nomination to more than one Local Lodge Officer position in an election of this Lodge

(c) Whenever two or more are to be elected to the same office committee or delegation a failure to vote for the required number of candidates shall invalidate the ballot for that office committee or delegation

(d) In the event that during a term of office a committee person or chief steward position is vacated and in dispute the President of the Lodge will have the option to appoint or hold an election to fill the vacancy Prior to such decision the President will confer with other union representatives and members on that property where the disputed vacancy occurred The President will then decide in the best interests of the Lodge and the lAM which method to act upon In either case the vacancy will be filled within thirty (30) calendar days from the Presidents initial knowledge of the problem

(e) Steward vacancies created by a Stewards resignation removal from office during his or her term of office or vacancies remaining unfilled following an election shall be filled by the Shop Committee on the affected property Vacancies created as outlined above on properties with no Shop Committee shall be filled by the President of the Lodge upon conferring with other representatives and members on the affected property

(f) In the event that during a term of office other than the President the office is vacated for any reason with more than one half of the term remaining it will be filled by temporary appointment by the President with the approval of the Executive Board Such temporary appointments shall be for a period as is reasonable required to bring about a special election in accordance with the provisions of these Bylaws and the IAM Constitution For vacancies of less than one half of the term remaining the position will be filled by appointment for the remainder of the term Such appointments will be made by the President with the approval of the Local Lodge Executive Board

Section 6 All members shall be notified in accordance with the lAM Constitution

Section 7 For mail ballots to be counted the envelope must be received no later than the posted closing time of the polls

Section 8 Not less than sixty (60) days prior to the first regular meeting in September of an election year notice of nomination for all Officers Shop Committeepersons and Stewards shall be posted on all bulletin boards in the Local Lodge and all properties represented

Section 9 Not less than sixty (60) days prior to the election of Local Lodge Officers Shop Committeepersons and Stewards all members will be notified by mail of the time and place of nominations and balloting mailed to their last known home address

ARTICLE VI

Section 1 The duties of the President shall be as outlined in the lAM Constitution

(a) The President of the Local Lodge and the Executive Board shall have the authority and the responsibility to manage the office and any employees hired by the Lodge Any disciplinary action taken against any Lodge employee will be with the approval of the Local Lodge Executive Board

(b) The President of the Lodge or hisher designee shall have the authority and the responsibility to select active members with recommendation and approval of the Executive Board to attend the IAM Placid Harbor Education and Technology center for any training sessions available andor appropriate for the betterment of the Local Lodge

Section 2 The duties of the Vice President shall be as outlined in the lAM Constitution

Section 3 The Recording Secretary shall act as Recording and Corresponding Secretary of this Lodge and shall perform his duties in accordance with the provisions of the lAM Constitution

Section 4 The Secretary-Treasurer shall perform his or her duties in accordance with the provisions of the lAM Constitution All Lodge accounts and official business affairs shall be available to the Trustees of the Lodge for examination at any time The SecretaryshyTreasurer shall account for all Lodge funds semi-annually The Secretary-Treasurer shall furnish members initiated reinstated or transferred into this Local Lodge a copy of these Bylaws upon request

Section 5 It shall be the duty of the Secretary Treasurer--tampdeposit all funds in some bank in the name of the Lodge he shall pay all orders drawn by check unless otherwise ordered by the Lodge All vouchers drawn on him must be properly signed by the Recording Secretary and countersigned by the President I and retained by him with the signature of the recipient after being paid He shall make out a report of receipts and expenditures of the previous month to be read each month

Section 6 It shall be the duty of the Trustees to take charge of all property of the Lodge and at the close of June and December they shall assist the audit committee in taking an audit of the books and accounts All bills as presented to Local Lodge 141 for payment shall be reviewed by at least two Trustees before being presented for payment

Section 7 An Audit Committee of three (3) members will be nominated and elected at the same time as the Local Lodge Officers They shall serve a term of three (3) years and audit the books according to the Bylaws and the lAM Constitution

Section 8 On at least one occasion during the calendar year one Officer shall make a road trip to each of the line stations that are part of the Local Expenses will be paid according to the bylaws

ARTICLE VII

Section 1 The following officers shall receive a salary as designated by this section

President $32500 per month Vice President $15000 per month Recording Secretary $30000 per month Conductor-Sentinel $10000 per month Trustee $10000 per month EditorCommunicator $12500 per month Teller $1 OOOOper election or referendum voting Webmaster $10000 per month

The Secretary-Treasurer shall receive as compensation for his or her full-time position the salary of four thousand dollars ($400000) per month All increases or decreases based on the negotiated contract that he or she is on leave from with no loss of contractual benefits Effective date will be the commencement of the next term The Secretary-Treasurer will have no additional expense allowances paid if serving on any other Committees

(a) Expenses incurred by the officers of this Local Lodge shall be paid upon the submission of an itemized statement covering same for approval by the Local Lodge

(b) Monthly Shop Committee and Stewards Training Sessions will be established at a time which lim pefmtt- the attendance of all Stewards and Committeepersons without incurring lost time Local Lodge will pay lost time and expenses for the Education Committee to conduct this training The Education Committee shall meet once per month to discuss Stewards Training Shop Stewards will be reimbursed a monthly miscellaneous expense allowance equal to their dues rate providing the member is present in the entirety with a maximum of 2 hours and anything over that is voluntary and they have attended 50 of available union meetings based on a calendar year commencing each year on January 1 st Stewards training will be held on the last Wednesday of each month

(c) Allowance checks as set forth above shall be issued after the November stewards meeting but no later than December 15th

(d) All paid time (vacation sick or leave) taken by the Secretary-Treasurer will be reported each month current balances to be reported as well

(e) Stewards from satellite stations shall receive a monthly miscellaneous expense allowance equal to their dues rate only if a monthly report of station activities is received by the Secretary-Treasurer no later than the last Wednesday of each month verified by the post-marked envelope

ARTICLE VIII

Section 1 All officers of this Lodge at the expiration of their term of office or in case of removal or resignation shall turn over to their successors in office all books vouchers funds and other property belonging to the Lodge within three (3) days

Section 2 Any officer of this Lodge absenting himself from three (3) consecutive regular meetings and who does not present valid reasons should resign Should he fail to resign he will then be charged with negligence of his duties and tried in accordance with the lAM Constitution

Section 3 Officers and members of committees appointed or elected and authorized by the lodge and incurring expenses shall be reimbursed for such expenses and shall be paid at his regular base rate for regularly scheduled hours lost time for all time lost in the functions of his respective committee

Section 4 Delegates elected according to Article V Sections 3 and 4 shall upon furnishing the necessary receipts and an itemized expense form to the Secretary-Treasurer shall be paid for all necessary expenses submitted to the Local Lodge for approval Necessary expenses shall include payment at the delegates regular rate not to exceed ten hours per day for reasonable travel time and for all time lost in attendance at such meetings Necessary expenses shall include travel by the most efficient means and at the least expense to the Lodge including use of airline travel passes Auto mileage will be paid according to I RS Publication 1542 based on the shortest AAA mileage from the delegates residence to the location of the authorized meeting and return when use of private auto is indicated Necessary- expenses shall include overnight accommodations---VN~hwlef4re----shy

necessary paid according to the submitted receipt but not to exceed reasonable room rates This will be in accordance with Local Lodge policy Necessary expenses shall include a daily subsistence allowed by federal tax code (IRS Publication 1542) in city of authorized conference convention or lAM school or training Receipts will be needed for payment of any other item claimed on an itemized expense form Necessary expenses shall include travel when using pass privileges whether first class or coach on any union business

(a) A member acting in any other official capacity for the Lodge not defined in Section 4 above with executive board approval in their home station shall receive an in town subsistence of twenty dollars ($2000) In addition a member may also be reimbursed for all other legitimate expenses supported by receipts with approval of the Local Lodge

(b) Members must submit an itemized account of their expenditures to the Local Lodge Financial Secretary within seven days upon retLirn Itemized accounting shall include receipts of all expenses No regular day off shall be considered a loss of time for which the member is entitled to any reimbursement for lost wages

Section 5 All standing committee chairperson will attend all conferences and meetings relating to their committee subject to the approval of the President the Executive Board and the Local Lodge

Section 6 The reports of all Committees and people attending conferences shall be submitted to the Local Lodge Executive Board monthly Reports to be written and read at the union meeting in the month they occurred

Section 7 All Officers and members of this Lodge acting in official capacity for this Lodge shall conduct him or herself appropriately to the duties assigned

ARTICLE IX

Section 1 Any increase in the amount of initiation and reinstatement fees Emergency Funds and Local Lodge dues must be handled on the basis ofthe procedures specified in the lAM Constitution

Any other amendments to these Bylaws must be handled on the basis of the following procedures

(a) All proposals must be in writing signed by not less than five (5) members and referred to a Bylaws Committee appointed by the President This Committee shall consist of three (3) members and shall be appointed on a yearly basis All proposed amendments must be submitted no later than the regular first shift meeting in March

(b) Must be read as proposed at three (3) consecutive meetings Immediately following the second (2nd) reading the Bylaw Committee shall submit their recommendation

(c) Reasonable advance notice must be given to the membership of the time date and place of the second (2nd) and third (3rd) reading and vote to be taken on the Bylaw Committees recommendations (both readings and vote must occur at the same place) The second (2nd) reading and first vote shall occur at the first regularly scheduled meeting in April The third (3rd) reading and second vote shall occur at the second regularly scheduled meeting in April

(d) Each proposal must be considered and voted upon separately After the third (3rd) reading and second (2nd) vote the combined votes from both votes shall be totaled A majority affirmative votes from the total of those voting at both meetings is needed for adoption

(e) Triplicate copies of approved proposals together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date

Section 2 These bylaws shall take effect immediately after their adoption and approval by the International President

Section 3 Nothing in these Bylaws shall be construed or applied in a manner that will conflict with the provisions of the lAM Constitution All matters arising and not specifically covered in these Bylaws will be governed by the lAM Constitution

ARTICLE X

Section 1 No member shall be allowed to enter or retire from the Lodge room during opening exercises while balloting or during initiation Officers must be at their respective stations and members must not leave their seats unless by permission of the President

Section 2 Any member being called to order by the Chair and not heeding shall be debarred from participating in further debate during that session

Section 3 Any member entering the Lodge room under the influence of liquor or using profane language in the Lodge room or otherwise conducting himself in a manner detrimental to the harmony of the Lodge shall be reprimanded by the President and ifhe persists in bad conduct he shall be requested to leave the hall

Section 4 Any member indulging in slanderous or malicious gossip concerning any member of officer of this or any other Lodge of the lAM may be called upon to prove

ARTICLE XI

Section 1 A Legislative Committee of three (3) members shall be appointed by the President to serve a two (2) year term It shall be their duty to keep a record of laws enacted in favor of or against organized labor with the names of the promoters or opposer They will also assist insofar as possible in promoting legislation favorable to labor

Section 2 An Education Committee of four (4) members shall be appointed by the President It shall be their duties to establish and maintain an informative and educational program For a three (3) year term one (1) member from each group

Section 3 This Lodge shall provide a Bible or flowers not to exceed $5000 plus tax in the event of a death in a members family or member

Section 4 (a) All Shop Committee Chairpersons shall notify the Recording Secretary in writing the names and addresses of all Committeepersons and Stewards by January 31 of each year

(b) By the end of March each year a training class or seminar will be held for all Stewards and Shop Committee members

Section 5 All Officers employees or other individuals in this Local Lodge who are responsible for or handle funds of or for the Lodge shall be bonded in accordance with the lAM Constitution and the lAM Policy relating thereto

Section 6 The FAA Safety Committee will be recognized as a standing Committee

Section 7 The Editor of the Local Lodge newsletter shall be appointed by the President for a three (3) year term with majority approval of the Executive Board The Editor shall not be a member of the Board though for the faithful performance of his or her duties shall be paid a salary in accordance with Article 7 The News and Editorial content of the Local Lodge newsletter shall be determined by the President and the Executive Board of the Local Lodge and shall act as the Editorial Board for the Local Lodge newsletter

Section 8 An Employee Assistance Program (EAP) Committee of two (2) members shall be appointed by the President and Executive Board It shall be their duty to assist in all EAP cases of members in good standing They will serve for three (3) years

Section 9 The Organizing Committee will consist offour (4) members appointed by the Local Lodge President and Executive Board This Committee responsibilities is to work directly with District and Grand Lodge to organize any person or persons who wish for labor protection

Section 10 A WIN (Women Involvement Now) Committee of no less than three (3) members shall be appointed by the President It shall be their duties to educate and inform members of issues that affect members and their families Local Lodge 141 will have an annual Womens Workshop

Section 11 There shall be a Community Service Committee to be appointed by the Local Lodge President and the Executive Board The purpose of this Committee is to inform educate render aid to the members in good standing pertaining to Health and Welfare and to represent the Local Lodge in working with the local community

Section 12 The President will appoint the Michigan Machinists Delegates this committee is to work directly with the Michigan Machinists Council

Section 13 Members in good standing who have retired from the International Association of Machinists and Aerospace Workers (IAMAW) are eligible for a watch

Section 1 The election of Officers Shop Committeepersons and Shop Stewards shall be held at the first meeting in December every three (3) years

(a) No member shall be nominated to any office including committeemen and stewards unless he or she is present or has given their consent to nomination in writing with their current address This requirement shall be posted for ten (10) days so the membership is aware No member shall accept nomination to more than one (1) office in an election in this Lodge however members seeking nomination to an office of this Lodge (other than full-time officers positions) may also seek nomination for a Shop Committee or Steward position

(b) The hours of election shall be from 700 am to 1200 am (midnight) for the Local Lodge elections District Lodge elections and Grand Lodge elections and contract ratification voting The place of elections shall be in accordance with the lAM Constitution Other elections shall be held with the guidelines of the IAMAW Constitution

Section 2 No member shall be eligible for office who has not been a member of the lAM and of Local Lodge 141 for a period of one (1) year or longer Heshe must have attended fifty percent (50) of the regular Lodge meetings available to hisher shift that were held in the previous twelve (12) months ending with the date of close of nomination and who has not worked actively at the trade in accordance with the lAM Constitution No member shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 3 A plurality of all votes cast will be required to elect all Delegates to Grand Lodge District Conventions conferences or any other body which this Lodge may be affiliated Delegates must have attended fifty percent (50) of the regular Lodge meetings during the twelve month period ending the date of nominations of Delegate or Delegates

Section 4 Effective November 1979 to be eligible for chief steward and Local Grievance Committeemen members must have attended at least fifty percent (50) of any regular Lodge meetings available to hishef-shift during the 12-month period endillg tile date of the close of nominations No members shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 5 Should a tie vote occur voting shall continue until an election is decided In the event that no candidate receives a plurality of the votes cast thereby necessitating another vote being taken the candidate receiving the least number of votes shall be dropped thus proceeding until the election is decided

(a) The candidate for Local Lodge offices and Local Committee office receiving a plurality of votes shall be declared elected The provisions of the lAM Constitution shall be carried out

(b) No member shall accept nomination to more than one Local Lodge Officer position in an election of this Lodge

(c) Whenever two or more are to be elected to the same office committee or delegation a failure to vote for the required number of candidates shall invalidate the ballot for that office committee or delegation

(d) In the event that during a term of office a committee person or chief steward position is vacated and in dispute the President of the Lodge will have the option to appoint or hold an election to fill the vacancy Prior to such decision the President will confer with other union representatives and members on that property where the disputed vacancy occurred The President will then decide in the best interests of the Lodge and the lAM which method to act upon In either case the vacancy will be filled within thirty (30) calendar days from the Presidents initial knowledge of the problem

(e) Steward vacancies created by a Stewards resignation removal from office during his or her term of office or vacancies remaining unfilled following an election shall be filled by the Shop Committee on the affected property Vacancies created as outlined above on properties with no Shop Committee shall be filled by the President of the Lodge upon conferring with other representatives and members on the affected property

(f) In the event that during a term of office other than the President the office is vacated for any reason with more than one half of the term remaining it will be filled by temporary appointment by the President with the approval of the Executive Board Such temporary appointments shall be for a period as is reasonable required to bring about a special election in accordance with the provisions of these Bylaws and the IAM Constitution For vacancies of less than one half of the term remaining the position will be filled by appointment for the remainder of the term Such appointments will be made by the President with the approval of the Local Lodge Executive Board

Section 6 All members shall be notified in accordance with the lAM Constitution

Section 7 For mail ballots to be counted the envelope must be received no later than the posted closing time of the polls

Section 8 Not less than sixty (60) days prior to the first regular meeting in September of an election year notice of nomination for all Officers Shop Committeepersons and Stewards shall be posted on all bulletin boards in the Local Lodge and all properties represented

Section 9 Not less than sixty (60) days prior to the election of Local Lodge Officers Shop Committeepersons and Stewards all members will be notified by mail of the time and place of nominations and balloting mailed to their last known home address

ARTICLE VI

Section 1 The duties of the President shall be as outlined in the lAM Constitution

(a) The President of the Local Lodge and the Executive Board shall have the authority and the responsibility to manage the office and any employees hired by the Lodge Any disciplinary action taken against any Lodge employee will be with the approval of the Local Lodge Executive Board

(b) The President of the Lodge or hisher designee shall have the authority and the responsibility to select active members with recommendation and approval of the Executive Board to attend the IAM Placid Harbor Education and Technology center for any training sessions available andor appropriate for the betterment of the Local Lodge

Section 2 The duties of the Vice President shall be as outlined in the lAM Constitution

Section 3 The Recording Secretary shall act as Recording and Corresponding Secretary of this Lodge and shall perform his duties in accordance with the provisions of the lAM Constitution

Section 4 The Secretary-Treasurer shall perform his or her duties in accordance with the provisions of the lAM Constitution All Lodge accounts and official business affairs shall be available to the Trustees of the Lodge for examination at any time The SecretaryshyTreasurer shall account for all Lodge funds semi-annually The Secretary-Treasurer shall furnish members initiated reinstated or transferred into this Local Lodge a copy of these Bylaws upon request

Section 5 It shall be the duty of the Secretary Treasurer--tampdeposit all funds in some bank in the name of the Lodge he shall pay all orders drawn by check unless otherwise ordered by the Lodge All vouchers drawn on him must be properly signed by the Recording Secretary and countersigned by the President I and retained by him with the signature of the recipient after being paid He shall make out a report of receipts and expenditures of the previous month to be read each month

Section 6 It shall be the duty of the Trustees to take charge of all property of the Lodge and at the close of June and December they shall assist the audit committee in taking an audit of the books and accounts All bills as presented to Local Lodge 141 for payment shall be reviewed by at least two Trustees before being presented for payment

Section 7 An Audit Committee of three (3) members will be nominated and elected at the same time as the Local Lodge Officers They shall serve a term of three (3) years and audit the books according to the Bylaws and the lAM Constitution

Section 8 On at least one occasion during the calendar year one Officer shall make a road trip to each of the line stations that are part of the Local Expenses will be paid according to the bylaws

ARTICLE VII

Section 1 The following officers shall receive a salary as designated by this section

President $32500 per month Vice President $15000 per month Recording Secretary $30000 per month Conductor-Sentinel $10000 per month Trustee $10000 per month EditorCommunicator $12500 per month Teller $1 OOOOper election or referendum voting Webmaster $10000 per month

The Secretary-Treasurer shall receive as compensation for his or her full-time position the salary of four thousand dollars ($400000) per month All increases or decreases based on the negotiated contract that he or she is on leave from with no loss of contractual benefits Effective date will be the commencement of the next term The Secretary-Treasurer will have no additional expense allowances paid if serving on any other Committees

(a) Expenses incurred by the officers of this Local Lodge shall be paid upon the submission of an itemized statement covering same for approval by the Local Lodge

(b) Monthly Shop Committee and Stewards Training Sessions will be established at a time which lim pefmtt- the attendance of all Stewards and Committeepersons without incurring lost time Local Lodge will pay lost time and expenses for the Education Committee to conduct this training The Education Committee shall meet once per month to discuss Stewards Training Shop Stewards will be reimbursed a monthly miscellaneous expense allowance equal to their dues rate providing the member is present in the entirety with a maximum of 2 hours and anything over that is voluntary and they have attended 50 of available union meetings based on a calendar year commencing each year on January 1 st Stewards training will be held on the last Wednesday of each month

(c) Allowance checks as set forth above shall be issued after the November stewards meeting but no later than December 15th

(d) All paid time (vacation sick or leave) taken by the Secretary-Treasurer will be reported each month current balances to be reported as well

(e) Stewards from satellite stations shall receive a monthly miscellaneous expense allowance equal to their dues rate only if a monthly report of station activities is received by the Secretary-Treasurer no later than the last Wednesday of each month verified by the post-marked envelope

ARTICLE VIII

Section 1 All officers of this Lodge at the expiration of their term of office or in case of removal or resignation shall turn over to their successors in office all books vouchers funds and other property belonging to the Lodge within three (3) days

Section 2 Any officer of this Lodge absenting himself from three (3) consecutive regular meetings and who does not present valid reasons should resign Should he fail to resign he will then be charged with negligence of his duties and tried in accordance with the lAM Constitution

Section 3 Officers and members of committees appointed or elected and authorized by the lodge and incurring expenses shall be reimbursed for such expenses and shall be paid at his regular base rate for regularly scheduled hours lost time for all time lost in the functions of his respective committee

Section 4 Delegates elected according to Article V Sections 3 and 4 shall upon furnishing the necessary receipts and an itemized expense form to the Secretary-Treasurer shall be paid for all necessary expenses submitted to the Local Lodge for approval Necessary expenses shall include payment at the delegates regular rate not to exceed ten hours per day for reasonable travel time and for all time lost in attendance at such meetings Necessary expenses shall include travel by the most efficient means and at the least expense to the Lodge including use of airline travel passes Auto mileage will be paid according to I RS Publication 1542 based on the shortest AAA mileage from the delegates residence to the location of the authorized meeting and return when use of private auto is indicated Necessary- expenses shall include overnight accommodations---VN~hwlef4re----shy

necessary paid according to the submitted receipt but not to exceed reasonable room rates This will be in accordance with Local Lodge policy Necessary expenses shall include a daily subsistence allowed by federal tax code (IRS Publication 1542) in city of authorized conference convention or lAM school or training Receipts will be needed for payment of any other item claimed on an itemized expense form Necessary expenses shall include travel when using pass privileges whether first class or coach on any union business

(a) A member acting in any other official capacity for the Lodge not defined in Section 4 above with executive board approval in their home station shall receive an in town subsistence of twenty dollars ($2000) In addition a member may also be reimbursed for all other legitimate expenses supported by receipts with approval of the Local Lodge

(b) Members must submit an itemized account of their expenditures to the Local Lodge Financial Secretary within seven days upon retLirn Itemized accounting shall include receipts of all expenses No regular day off shall be considered a loss of time for which the member is entitled to any reimbursement for lost wages

Section 5 All standing committee chairperson will attend all conferences and meetings relating to their committee subject to the approval of the President the Executive Board and the Local Lodge

Section 6 The reports of all Committees and people attending conferences shall be submitted to the Local Lodge Executive Board monthly Reports to be written and read at the union meeting in the month they occurred

Section 7 All Officers and members of this Lodge acting in official capacity for this Lodge shall conduct him or herself appropriately to the duties assigned

ARTICLE IX

Section 1 Any increase in the amount of initiation and reinstatement fees Emergency Funds and Local Lodge dues must be handled on the basis ofthe procedures specified in the lAM Constitution

Any other amendments to these Bylaws must be handled on the basis of the following procedures

(a) All proposals must be in writing signed by not less than five (5) members and referred to a Bylaws Committee appointed by the President This Committee shall consist of three (3) members and shall be appointed on a yearly basis All proposed amendments must be submitted no later than the regular first shift meeting in March

(b) Must be read as proposed at three (3) consecutive meetings Immediately following the second (2nd) reading the Bylaw Committee shall submit their recommendation

(c) Reasonable advance notice must be given to the membership of the time date and place of the second (2nd) and third (3rd) reading and vote to be taken on the Bylaw Committees recommendations (both readings and vote must occur at the same place) The second (2nd) reading and first vote shall occur at the first regularly scheduled meeting in April The third (3rd) reading and second vote shall occur at the second regularly scheduled meeting in April

(d) Each proposal must be considered and voted upon separately After the third (3rd) reading and second (2nd) vote the combined votes from both votes shall be totaled A majority affirmative votes from the total of those voting at both meetings is needed for adoption

(e) Triplicate copies of approved proposals together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date

Section 2 These bylaws shall take effect immediately after their adoption and approval by the International President

Section 3 Nothing in these Bylaws shall be construed or applied in a manner that will conflict with the provisions of the lAM Constitution All matters arising and not specifically covered in these Bylaws will be governed by the lAM Constitution

ARTICLE X

Section 1 No member shall be allowed to enter or retire from the Lodge room during opening exercises while balloting or during initiation Officers must be at their respective stations and members must not leave their seats unless by permission of the President

Section 2 Any member being called to order by the Chair and not heeding shall be debarred from participating in further debate during that session

Section 3 Any member entering the Lodge room under the influence of liquor or using profane language in the Lodge room or otherwise conducting himself in a manner detrimental to the harmony of the Lodge shall be reprimanded by the President and ifhe persists in bad conduct he shall be requested to leave the hall

Section 4 Any member indulging in slanderous or malicious gossip concerning any member of officer of this or any other Lodge of the lAM may be called upon to prove

-------his statement at any regular or called meeting - If lie fails to do so when requested charges shall be preferred in writing and a trial given

ARTICLE XI

Section 1 A Legislative Committee of three (3) members shall be appointed by the President to serve a two (2) year term It shall be their duty to keep a record of laws enacted in favor of or against organized labor with the names of the promoters or opposer They will also assist insofar as possible in promoting legislation favorable to labor

Section 2 An Education Committee of four (4) members shall be appointed by the President It shall be their duties to establish and maintain an informative and educational program For a three (3) year term one (1) member from each group

Section 3 This Lodge shall provide a Bible or flowers not to exceed $5000 plus tax in the event of a death in a members family or member

Section 4 (a) All Shop Committee Chairpersons shall notify the Recording Secretary in writing the names and addresses of all Committeepersons and Stewards by January 31 of each year

(b) By the end of March each year a training class or seminar will be held for all Stewards and Shop Committee members

Section 5 All Officers employees or other individuals in this Local Lodge who are responsible for or handle funds of or for the Lodge shall be bonded in accordance with the lAM Constitution and the lAM Policy relating thereto

Section 6 The FAA Safety Committee will be recognized as a standing Committee

Section 7 The Editor of the Local Lodge newsletter shall be appointed by the President for a three (3) year term with majority approval of the Executive Board The Editor shall not be a member of the Board though for the faithful performance of his or her duties shall be paid a salary in accordance with Article 7 The News and Editorial content of the Local Lodge newsletter shall be determined by the President and the Executive Board of the Local Lodge and shall act as the Editorial Board for the Local Lodge newsletter

Section 8 An Employee Assistance Program (EAP) Committee of two (2) members shall be appointed by the President and Executive Board It shall be their duty to assist in all EAP cases of members in good standing They will serve for three (3) years

Section 9 The Organizing Committee will consist offour (4) members appointed by the Local Lodge President and Executive Board This Committee responsibilities is to work directly with District and Grand Lodge to organize any person or persons who wish for labor protection

Section 10 A WIN (Women Involvement Now) Committee of no less than three (3) members shall be appointed by the President It shall be their duties to educate and inform members of issues that affect members and their families Local Lodge 141 will have an annual Womens Workshop

Section 11 There shall be a Community Service Committee to be appointed by the Local Lodge President and the Executive Board The purpose of this Committee is to inform educate render aid to the members in good standing pertaining to Health and Welfare and to represent the Local Lodge in working with the local community

Section 12 The President will appoint the Michigan Machinists Delegates this committee is to work directly with the Michigan Machinists Council

Section 13 Members in good standing who have retired from the International Association of Machinists and Aerospace Workers (IAMAW) are eligible for a watch

ARTICLE IV

Section 1 The funds and property of the Lodge shall remain with the Lodge for its legitimate purposes so long as this Lodge is chartered in the lAM If for any reason the charter is withdrawn all funds and property shall be turned over to the Grand Lodge This section shall not be altered or amended

Section 2 The funds of this Lodge shall be drawn only by a majority vote at a regular meeting on an order signed by the President or Vice President and Recording Secretary with the seal of the Lodge attached

Section 3 All checks must be countersigned by the President of the Lodge or other authorized person

Section 4 No motion shall be order to vote a sum greater than two hundred fifty dollars ($25000) for any purpose except to pay regular bills unless five days notice has been given at a regular Lodge meeting

Section 5 The Lodge may vote donations to sister Lodges of the lAM for strike purposes The provisions of the lAM Constitution shall be carried out before donations are made

Section 6 When an amount over the necessary working capital of this Lodge accumulates it shall be the duty of the Trustees to recommend this amount to be transferred into a savings or investment account that is insured by a Federal Government Agency

(a) To transfer funds from a checking account to a savings or investment account that is insured by a Federal Government Agency it shall require a majority vote of those present at a regular meeting and in accordance with Article IV Section 2 of these Bylalvs --shy

Section 7 Local Lodge 141 established a Budget Committee composed of six (6) members to consist of three (3) members of the Executive Board one (1) of whom must be a Trustee and three (3) members at large to be appointed by the President and Executive Board for a term of one (1) year The committee shall make budgeting recommendations to the Executive Board and to the membership The Budgeting Committee will budget monthly for a Local Lodge picnic once each year No expenditures for said picnic will be made unless approved by the International President

ARTICLE VIII

Section 1 All officers of this Lodge at the expiration of their term of office or in case of removal or resignation shall turn over to their successors in office all books vouchers funds and other property belonging to the Lodge within three (3) days

Section 2 Any officer of this Lodge absenting himself from three (3) consecutive regular meetings and who does not present valid reasons should resign Should he fail to resign he will then be charged with negligence of his duties and tried in accordance with the lAM Constitution

Section 3 Officers and members of committees appointed or elected and authorized by the lodge and incurring expenses shall be reimbursed for such expenses and shall be paid at his regular base rate for regularly scheduled hours lost time for all time lost in the functions of his respective committee

Section 4 Delegates elected according to Article V Sections 3 and 4 shall upon furnishing the necessary receipts and an itemized expense form to the Secretary-Treasurer shall be paid for all necessary expenses submitted to the Local Lodge for approval Necessary expenses shall include payment at the delegates regular rate not to exceed ten hours per day for reasonable travel time and for all time lost in attendance at such meetings Necessary expenses shall include travel by the most efficient means and at the least expense to the Lodge including use of airline travel passes Auto mileage will be paid according to I RS Publication 1542 based on the shortest AAA mileage from the delegates residence to the location of the authorized meeting and return when use of private auto is indicated Necessary- expenses shall include overnight accommodations---VN~hwlef4re----shy

necessary paid according to the submitted receipt but not to exceed reasonable room rates This will be in accordance with Local Lodge policy Necessary expenses shall include a daily subsistence allowed by federal tax code (IRS Publication 1542) in city of authorized conference convention or lAM school or training Receipts will be needed for payment of any other item claimed on an itemized expense form Necessary expenses shall include travel when using pass privileges whether first class or coach on any union business

(a) A member acting in any other official capacity for the Lodge not defined in Section 4 above with executive board approval in their home station shall receive an in town subsistence of twenty dollars ($2000) In addition a member may also be reimbursed for all other legitimate expenses supported by receipts with approval of the Local Lodge

(b) Members must submit an itemized account of their expenditures to the Local Lodge Financial Secretary within seven days upon retLirn Itemized accounting shall include receipts of all expenses No regular day off shall be considered a loss of time for which the member is entitled to any reimbursement for lost wages

Section 5 All standing committee chairperson will attend all conferences and meetings relating to their committee subject to the approval of the President the Executive Board and the Local Lodge

Section 6 The reports of all Committees and people attending conferences shall be submitted to the Local Lodge Executive Board monthly Reports to be written and read at the union meeting in the month they occurred

Section 7 All Officers and members of this Lodge acting in official capacity for this Lodge shall conduct him or herself appropriately to the duties assigned

ARTICLE IX

Section 1 Any increase in the amount of initiation and reinstatement fees Emergency Funds and Local Lodge dues must be handled on the basis ofthe procedures specified in the lAM Constitution

Any other amendments to these Bylaws must be handled on the basis of the following procedures

(a) All proposals must be in writing signed by not less than five (5) members and referred to a Bylaws Committee appointed by the President This Committee shall consist of three (3) members and shall be appointed on a yearly basis All proposed amendments must be submitted no later than the regular first shift meeting in March

(b) Must be read as proposed at three (3) consecutive meetings Immediately following the second (2nd) reading the Bylaw Committee shall submit their recommendation

(c) Reasonable advance notice must be given to the membership of the time date and place of the second (2nd) and third (3rd) reading and vote to be taken on the Bylaw Committees recommendations (both readings and vote must occur at the same place) The second (2nd) reading and first vote shall occur at the first regularly scheduled meeting in April The third (3rd) reading and second vote shall occur at the second regularly scheduled meeting in April

(d) Each proposal must be considered and voted upon separately After the third (3rd) reading and second (2nd) vote the combined votes from both votes shall be totaled A majority affirmative votes from the total of those voting at both meetings is needed for adoption

(e) Triplicate copies of approved proposals together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date

Section 2 These bylaws shall take effect immediately after their adoption and approval by the International President

Section 3 Nothing in these Bylaws shall be construed or applied in a manner that will conflict with the provisions of the lAM Constitution All matters arising and not specifically covered in these Bylaws will be governed by the lAM Constitution

ARTICLE X

Section 1 No member shall be allowed to enter or retire from the Lodge room during opening exercises while balloting or during initiation Officers must be at their respective stations and members must not leave their seats unless by permission of the President

Section 2 Any member being called to order by the Chair and not heeding shall be debarred from participating in further debate during that session

Section 3 Any member entering the Lodge room under the influence of liquor or using profane language in the Lodge room or otherwise conducting himself in a manner detrimental to the harmony of the Lodge shall be reprimanded by the President and ifhe persists in bad conduct he shall be requested to leave the hall

Section 4 Any member indulging in slanderous or malicious gossip concerning any member of officer of this or any other Lodge of the lAM may be called upon to prove

-------his statement at any regular or called meeting - If lie fails to do so when requested charges shall be preferred in writing and a trial given

ARTICLE XI

Section 1 A Legislative Committee of three (3) members shall be appointed by the President to serve a two (2) year term It shall be their duty to keep a record of laws enacted in favor of or against organized labor with the names of the promoters or opposer They will also assist insofar as possible in promoting legislation favorable to labor

Section 2 An Education Committee of four (4) members shall be appointed by the President It shall be their duties to establish and maintain an informative and educational program For a three (3) year term one (1) member from each group

Section 7 The Editor of the Local Lodge newsletter shall be appointed by the President for a three (3) year term with majority approval of the Executive Board The Editor shall not be a member of the Board though for the faithful performance of his or her duties shall be paid a salary in accordance with Article 7 The News and Editorial content of the Local Lodge newsletter shall be determined by the President and the Executive Board of the Local Lodge and shall act as the Editorial Board for the Local Lodge newsletter

Section 8 An Employee Assistance Program (EAP) Committee of two (2) members shall be appointed by the President and Executive Board It shall be their duty to assist in all EAP cases of members in good standing They will serve for three (3) years

Section 9 The Organizing Committee will consist offour (4) members appointed by the Local Lodge President and Executive Board This Committee responsibilities is to work directly with District and Grand Lodge to organize any person or persons who wish for labor protection

Section 10 A WIN (Women Involvement Now) Committee of no less than three (3) members shall be appointed by the President It shall be their duties to educate and inform members of issues that affect members and their families Local Lodge 141 will have an annual Womens Workshop

Section 11 There shall be a Community Service Committee to be appointed by the Local Lodge President and the Executive Board The purpose of this Committee is to inform educate render aid to the members in good standing pertaining to Health and Welfare and to represent the Local Lodge in working with the local community

Section 12 The President will appoint the Michigan Machinists Delegates this committee is to work directly with the Michigan Machinists Council

Section 13 Members in good standing who have retired from the International Association of Machinists and Aerospace Workers (IAMAW) are eligible for a watch

(a) No member shall be nominated to any office including committeemen and stewards unless he or she is present or has given their consent to nomination in writing with their current address This requirement shall be posted for ten (10) days so the membership is aware No member shall accept nomination to more than one (1) office in an election in this Lodge however members seeking nomination to an office of this Lodge (other than full-time officers positions) may also seek nomination for a Shop Committee or Steward position

(b) The hours of election shall be from 700 am to 1200 am (midnight) for the Local Lodge elections District Lodge elections and Grand Lodge elections and contract ratification voting The place of elections shall be in accordance with the lAM Constitution Other elections shall be held with the guidelines of the IAMAW Constitution

Section 2 No member shall be eligible for office who has not been a member of the lAM and of Local Lodge 141 for a period of one (1) year or longer Heshe must have attended fifty percent (50) of the regular Lodge meetings available to hisher shift that were held in the previous twelve (12) months ending with the date of close of nomination and who has not worked actively at the trade in accordance with the lAM Constitution No member shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 3 A plurality of all votes cast will be required to elect all Delegates to Grand Lodge District Conventions conferences or any other body which this Lodge may be affiliated Delegates must have attended fifty percent (50) of the regular Lodge meetings during the twelve month period ending the date of nominations of Delegate or Delegates

Section 4 Effective November 1979 to be eligible for chief steward and Local Grievance Committeemen members must have attended at least fifty percent (50) of any regular Lodge meetings available to hishef-shift during the 12-month period endillg tile date of the close of nominations No members shall receive credit for more than one (1) meeting per month toward the fifty percent (50) eligibility requirement

Section 5 Should a tie vote occur voting shall continue until an election is decided In the event that no candidate receives a plurality of the votes cast thereby necessitating another vote being taken the candidate receiving the least number of votes shall be dropped thus proceeding until the election is decided

(a) The candidate for Local Lodge offices and Local Committee office receiving a plurality of votes shall be declared elected The provisions of the lAM Constitution shall be carried out

(b) No member shall accept nomination to more than one Local Lodge Officer position in an election of this Lodge

(c) Whenever two or more are to be elected to the same office committee or delegation a failure to vote for the required number of candidates shall invalidate the ballot for that office committee or delegation

(d) In the event that during a term of office a committee person or chief steward position is vacated and in dispute the President of the Lodge will have the option to appoint or hold an election to fill the vacancy Prior to such decision the President will confer with other union representatives and members on that property where the disputed vacancy occurred The President will then decide in the best interests of the Lodge and the lAM which method to act upon In either case the vacancy will be filled within thirty (30) calendar days from the Presidents initial knowledge of the problem

(e) Steward vacancies created by a Stewards resignation removal from office during his or her term of office or vacancies remaining unfilled following an election shall be filled by the Shop Committee on the affected property Vacancies created as outlined above on properties with no Shop Committee shall be filled by the President of the Lodge upon conferring with other representatives and members on the affected property

(f) In the event that during a term of office other than the President the office is vacated for any reason with more than one half of the term remaining it will be filled by temporary appointment by the President with the approval of the Executive Board Such temporary appointments shall be for a period as is reasonable required to bring about a special election in accordance with the provisions of these Bylaws and the IAM Constitution For vacancies of less than one half of the term remaining the position will be filled by appointment for the remainder of the term Such appointments will be made by the President with the approval of the Local Lodge Executive Board

Section 6 All members shall be notified in accordance with the lAM Constitution

Section 9 Not less than sixty (60) days prior to the election of Local Lodge Officers Shop Committeepersons and Stewards all members will be notified by mail of the time and place of nominations and balloting mailed to their last known home address

ARTICLE VI

Section 1 The duties of the President shall be as outlined in the lAM Constitution

(a) The President of the Local Lodge and the Executive Board shall have the authority and the responsibility to manage the office and any employees hired by the Lodge Any disciplinary action taken against any Lodge employee will be with the approval of the Local Lodge Executive Board

(b) The President of the Lodge or hisher designee shall have the authority and the responsibility to select active members with recommendation and approval of the Executive Board to attend the IAM Placid Harbor Education and Technology center for any training sessions available andor appropriate for the betterment of the Local Lodge

Section 2 The duties of the Vice President shall be as outlined in the lAM Constitution

Section 3 The Recording Secretary shall act as Recording and Corresponding Secretary of this Lodge and shall perform his duties in accordance with the provisions of the lAM Constitution

Section 4 The Secretary-Treasurer shall perform his or her duties in accordance with the provisions of the lAM Constitution All Lodge accounts and official business affairs shall be available to the Trustees of the Lodge for examination at any time The SecretaryshyTreasurer shall account for all Lodge funds semi-annually The Secretary-Treasurer shall furnish members initiated reinstated or transferred into this Local Lodge a copy of these Bylaws upon request

Section 5 It shall be the duty of the Secretary Treasurer--tampdeposit all funds in some bank in the name of the Lodge he shall pay all orders drawn by check unless otherwise ordered by the Lodge All vouchers drawn on him must be properly signed by the Recording Secretary and countersigned by the President I and retained by him with the signature of the recipient after being paid He shall make out a report of receipts and expenditures of the previous month to be read each month

Section 6 It shall be the duty of the Trustees to take charge of all property of the Lodge and at the close of June and December they shall assist the audit committee in taking an audit of the books and accounts All bills as presented to Local Lodge 141 for payment shall be reviewed by at least two Trustees before being presented for payment

Section 7 An Audit Committee of three (3) members will be nominated and elected at the same time as the Local Lodge Officers They shall serve a term of three (3) years and audit the books according to the Bylaws and the lAM Constitution

Section 8 On at least one occasion during the calendar year one Officer shall make a road trip to each of the line stations that are part of the Local Expenses will be paid according to the bylaws

ARTICLE VII

Section 1 The following officers shall receive a salary as designated by this section

President $32500 per month Vice President $15000 per month Recording Secretary $30000 per month Conductor-Sentinel $10000 per month Trustee $10000 per month EditorCommunicator $12500 per month Teller $1 OOOOper election or referendum voting Webmaster $10000 per month

The Secretary-Treasurer shall receive as compensation for his or her full-time position the salary of four thousand dollars ($400000) per month All increases or decreases based on the negotiated contract that he or she is on leave from with no loss of contractual benefits Effective date will be the commencement of the next term The Secretary-Treasurer will have no additional expense allowances paid if serving on any other Committees

(a) Expenses incurred by the officers of this Local Lodge shall be paid upon the submission of an itemized statement covering same for approval by the Local Lodge

(b) Monthly Shop Committee and Stewards Training Sessions will be established at a time which lim pefmtt- the attendance of all Stewards and Committeepersons without incurring lost time Local Lodge will pay lost time and expenses for the Education Committee to conduct this training The Education Committee shall meet once per month to discuss Stewards Training Shop Stewards will be reimbursed a monthly miscellaneous expense allowance equal to their dues rate providing the member is present in the entirety with a maximum of 2 hours and anything over that is voluntary and they have attended 50 of available union meetings based on a calendar year commencing each year on January 1 st Stewards training will be held on the last Wednesday of each month

(c) Allowance checks as set forth above shall be issued after the November stewards meeting but no later than December 15th

Section 8 Not less than sixty (60) days prior to the first regular meeting in September of an election year notice of nomination for all Officers Shop Committeepersons and Stewards shall be posted on all bulletin boards in the Local Lodge and all properties represented

Section 9 Not less than sixty (60) days prior to the election of Local Lodge Officers Shop Committeepersons and Stewards all members will be notified by mail of the time and place of nominations and balloting mailed to their last known home address

ARTICLE VI

Section 1 The duties of the President shall be as outlined in the lAM Constitution

(a) The President of the Local Lodge and the Executive Board shall have the authority and the responsibility to manage the office and any employees hired by the Lodge Any disciplinary action taken against any Lodge employee will be with the approval of the Local Lodge Executive Board

(b) The President of the Lodge or hisher designee shall have the authority and the responsibility to select active members with recommendation and approval of the Executive Board to attend the IAM Placid Harbor Education and Technology center for any training sessions available andor appropriate for the betterment of the Local Lodge

Section 2 The duties of the Vice President shall be as outlined in the lAM Constitution

Section 3 The Recording Secretary shall act as Recording and Corresponding Secretary of this Lodge and shall perform his duties in accordance with the provisions of the lAM Constitution

Section 4 The Secretary-Treasurer shall perform his or her duties in accordance with the provisions of the lAM Constitution All Lodge accounts and official business affairs shall be available to the Trustees of the Lodge for examination at any time The SecretaryshyTreasurer shall account for all Lodge funds semi-annually The Secretary-Treasurer shall furnish members initiated reinstated or transferred into this Local Lodge a copy of these Bylaws upon request

Section 5 It shall be the duty of the Secretary Treasurer--tampdeposit all funds in some bank in the name of the Lodge he shall pay all orders drawn by check unless otherwise ordered by the Lodge All vouchers drawn on him must be properly signed by the Recording Secretary and countersigned by the President I and retained by him with the signature of the recipient after being paid He shall make out a report of receipts and expenditures of the previous month to be read each month

Section 6 It shall be the duty of the Trustees to take charge of all property of the Lodge and at the close of June and December they shall assist the audit committee in taking an audit of the books and accounts All bills as presented to Local Lodge 141 for payment shall be reviewed by at least two Trustees before being presented for payment

Section 7 An Audit Committee of three (3) members will be nominated and elected at the same time as the Local Lodge Officers They shall serve a term of three (3) years and audit the books according to the Bylaws and the lAM Constitution

Section 8 On at least one occasion during the calendar year one Officer shall make a road trip to each of the line stations that are part of the Local Expenses will be paid according to the bylaws

ARTICLE VII

Section 1 The following officers shall receive a salary as designated by this section

President $32500 per month Vice President $15000 per month Recording Secretary $30000 per month Conductor-Sentinel $10000 per month Trustee $10000 per month EditorCommunicator $12500 per month Teller $1 OOOOper election or referendum voting Webmaster $10000 per month

The Secretary-Treasurer shall receive as compensation for his or her full-time position the salary of four thousand dollars ($400000) per month All increases or decreases based on the negotiated contract that he or she is on leave from with no loss of contractual benefits Effective date will be the commencement of the next term The Secretary-Treasurer will have no additional expense allowances paid if serving on any other Committees

(a) Expenses incurred by the officers of this Local Lodge shall be paid upon the submission of an itemized statement covering same for approval by the Local Lodge

(b) Monthly Shop Committee and Stewards Training Sessions will be established at a time which lim pefmtt- the attendance of all Stewards and Committeepersons without incurring lost time Local Lodge will pay lost time and expenses for the Education Committee to conduct this training The Education Committee shall meet once per month to discuss Stewards Training Shop Stewards will be reimbursed a monthly miscellaneous expense allowance equal to their dues rate providing the member is present in the entirety with a maximum of 2 hours and anything over that is voluntary and they have attended 50 of available union meetings based on a calendar year commencing each year on January 1 st Stewards training will be held on the last Wednesday of each month

(c) Allowance checks as set forth above shall be issued after the November stewards meeting but no later than December 15th

(d) All paid time (vacation sick or leave) taken by the Secretary-Treasurer will be reported each month current balances to be reported as well

(e) Stewards from satellite stations shall receive a monthly miscellaneous expense allowance equal to their dues rate only if a monthly report of station activities is received by the Secretary-Treasurer no later than the last Wednesday of each month verified by the post-marked envelope

ARTICLE VIII

Section 1 All officers of this Lodge at the expiration of their term of office or in case of removal or resignation shall turn over to their successors in office all books vouchers funds and other property belonging to the Lodge within three (3) days

Section 2 Any officer of this Lodge absenting himself from three (3) consecutive regular meetings and who does not present valid reasons should resign Should he fail to resign he will then be charged with negligence of his duties and tried in accordance with the lAM Constitution

Section 3 Officers and members of committees appointed or elected and authorized by the lodge and incurring expenses shall be reimbursed for such expenses and shall be paid at his regular base rate for regularly scheduled hours lost time for all time lost in the functions of his respective committee

Section 4 Delegates elected according to Article V Sections 3 and 4 shall upon furnishing the necessary receipts and an itemized expense form to the Secretary-Treasurer shall be paid for all necessary expenses submitted to the Local Lodge for approval Necessary expenses shall include payment at the delegates regular rate not to exceed ten hours per day for reasonable travel time and for all time lost in attendance at such meetings Necessary expenses shall include travel by the most efficient means and at the least expense to the Lodge including use of airline travel passes Auto mileage will be paid according to I RS Publication 1542 based on the shortest AAA mileage from the delegates residence to the location of the authorized meeting and return when use of private auto is indicated Necessary- expenses shall include overnight accommodations---VN~hwlef4re----shy

necessary paid according to the submitted receipt but not to exceed reasonable room rates This will be in accordance with Local Lodge policy Necessary expenses shall include a daily subsistence allowed by federal tax code (IRS Publication 1542) in city of authorized conference convention or lAM school or training Receipts will be needed for payment of any other item claimed on an itemized expense form Necessary expenses shall include travel when using pass privileges whether first class or coach on any union business

(a) A member acting in any other official capacity for the Lodge not defined in Section 4 above with executive board approval in their home station shall receive an in town subsistence of twenty dollars ($2000) In addition a member may also be reimbursed for all other legitimate expenses supported by receipts with approval of the Local Lodge

(b) Members must submit an itemized account of their expenditures to the Local Lodge Financial Secretary within seven days upon retLirn Itemized accounting shall include receipts of all expenses No regular day off shall be considered a loss of time for which the member is entitled to any reimbursement for lost wages

Section 5 All standing committee chairperson will attend all conferences and meetings relating to their committee subject to the approval of the President the Executive Board and the Local Lodge

Section 6 The reports of all Committees and people attending conferences shall be submitted to the Local Lodge Executive Board monthly Reports to be written and read at the union meeting in the month they occurred

Section 7 All Officers and members of this Lodge acting in official capacity for this Lodge shall conduct him or herself appropriately to the duties assigned

ARTICLE IX

Section 1 Any increase in the amount of initiation and reinstatement fees Emergency Funds and Local Lodge dues must be handled on the basis ofthe procedures specified in the lAM Constitution

Any other amendments to these Bylaws must be handled on the basis of the following procedures

(a) All proposals must be in writing signed by not less than five (5) members and referred to a Bylaws Committee appointed by the President This Committee shall consist of three (3) members and shall be appointed on a yearly basis All proposed amendments must be submitted no later than the regular first shift meeting in March

(b) Must be read as proposed at three (3) consecutive meetings Immediately following the second (2nd) reading the Bylaw Committee shall submit their recommendation

(c) Reasonable advance notice must be given to the membership of the time date and place of the second (2nd) and third (3rd) reading and vote to be taken on the Bylaw Committees recommendations (both readings and vote must occur at the same place) The second (2nd) reading and first vote shall occur at the first regularly scheduled meeting in April The third (3rd) reading and second vote shall occur at the second regularly scheduled meeting in April

(d) Each proposal must be considered and voted upon separately After the third (3rd) reading and second (2nd) vote the combined votes from both votes shall be totaled A majority affirmative votes from the total of those voting at both meetings is needed for adoption

(e) Triplicate copies of approved proposals together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date

Section 2 These bylaws shall take effect immediately after their adoption and approval by the International President

Section 3 Nothing in these Bylaws shall be construed or applied in a manner that will conflict with the provisions of the lAM Constitution All matters arising and not specifically covered in these Bylaws will be governed by the lAM Constitution

ARTICLE X

Section 1 No member shall be allowed to enter or retire from the Lodge room during opening exercises while balloting or during initiation Officers must be at their respective stations and members must not leave their seats unless by permission of the President

Section 2 Any member being called to order by the Chair and not heeding shall be debarred from participating in further debate during that session

Section 3 Any member entering the Lodge room under the influence of liquor or using profane language in the Lodge room or otherwise conducting himself in a manner detrimental to the harmony of the Lodge shall be reprimanded by the President and ifhe persists in bad conduct he shall be requested to leave the hall

Section 4 Any member indulging in slanderous or malicious gossip concerning any member of officer of this or any other Lodge of the lAM may be called upon to prove

-------his statement at any regular or called meeting - If lie fails to do so when requested charges shall be preferred in writing and a trial given

ARTICLE XI

Section 1 A Legislative Committee of three (3) members shall be appointed by the President to serve a two (2) year term It shall be their duty to keep a record of laws enacted in favor of or against organized labor with the names of the promoters or opposer They will also assist insofar as possible in promoting legislation favorable to labor

Section 2 An Education Committee of four (4) members shall be appointed by the President It shall be their duties to establish and maintain an informative and educational program For a three (3) year term one (1) member from each group

Section 7 The Editor of the Local Lodge newsletter shall be appointed by the President for a three (3) year term with majority approval of the Executive Board The Editor shall not be a member of the Board though for the faithful performance of his or her duties shall be paid a salary in accordance with Article 7 The News and Editorial content of the Local Lodge newsletter shall be determined by the President and the Executive Board of the Local Lodge and shall act as the Editorial Board for the Local Lodge newsletter

Section 8 An Employee Assistance Program (EAP) Committee of two (2) members shall be appointed by the President and Executive Board It shall be their duty to assist in all EAP cases of members in good standing They will serve for three (3) years

Section 9 The Organizing Committee will consist offour (4) members appointed by the Local Lodge President and Executive Board This Committee responsibilities is to work directly with District and Grand Lodge to organize any person or persons who wish for labor protection

Section 10 A WIN (Women Involvement Now) Committee of no less than three (3) members shall be appointed by the President It shall be their duties to educate and inform members of issues that affect members and their families Local Lodge 141 will have an annual Womens Workshop

Section 11 There shall be a Community Service Committee to be appointed by the Local Lodge President and the Executive Board The purpose of this Committee is to inform educate render aid to the members in good standing pertaining to Health and Welfare and to represent the Local Lodge in working with the local community

Section 12 The President will appoint the Michigan Machinists Delegates this committee is to work directly with the Michigan Machinists Council

Section 13 Members in good standing who have retired from the International Association of Machinists and Aerospace Workers (IAMAW) are eligible for a watch

ARTICLE VIII

Section 1 All officers of this Lodge at the expiration of their term of office or in case of removal or resignation shall turn over to their successors in office all books vouchers funds and other property belonging to the Lodge within three (3) days

Section 2 Any officer of this Lodge absenting himself from three (3) consecutive regular meetings and who does not present valid reasons should resign Should he fail to resign he will then be charged with negligence of his duties and tried in accordance with the lAM Constitution

Section 3 Officers and members of committees appointed or elected and authorized by the lodge and incurring expenses shall be reimbursed for such expenses and shall be paid at his regular base rate for regularly scheduled hours lost time for all time lost in the functions of his respective committee

Section 4 Delegates elected according to Article V Sections 3 and 4 shall upon furnishing the necessary receipts and an itemized expense form to the Secretary-Treasurer shall be paid for all necessary expenses submitted to the Local Lodge for approval Necessary expenses shall include payment at the delegates regular rate not to exceed ten hours per day for reasonable travel time and for all time lost in attendance at such meetings Necessary expenses shall include travel by the most efficient means and at the least expense to the Lodge including use of airline travel passes Auto mileage will be paid according to I RS Publication 1542 based on the shortest AAA mileage from the delegates residence to the location of the authorized meeting and return when use of private auto is indicated Necessary- expenses shall include overnight accommodations---VN~hwlef4re----shy

necessary paid according to the submitted receipt but not to exceed reasonable room rates This will be in accordance with Local Lodge policy Necessary expenses shall include a daily subsistence allowed by federal tax code (IRS Publication 1542) in city of authorized conference convention or lAM school or training Receipts will be needed for payment of any other item claimed on an itemized expense form Necessary expenses shall include travel when using pass privileges whether first class or coach on any union business

(a) A member acting in any other official capacity for the Lodge not defined in Section 4 above with executive board approval in their home station shall receive an in town subsistence of twenty dollars ($2000) In addition a member may also be reimbursed for all other legitimate expenses supported by receipts with approval of the Local Lodge

(b) Members must submit an itemized account of their expenditures to the Local Lodge Financial Secretary within seven days upon retLirn Itemized accounting shall include receipts of all expenses No regular day off shall be considered a loss of time for which the member is entitled to any reimbursement for lost wages

Section 5 All standing committee chairperson will attend all conferences and meetings relating to their committee subject to the approval of the President the Executive Board and the Local Lodge

Section 6 The reports of all Committees and people attending conferences shall be submitted to the Local Lodge Executive Board monthly Reports to be written and read at the union meeting in the month they occurred

Section 7 All Officers and members of this Lodge acting in official capacity for this Lodge shall conduct him or herself appropriately to the duties assigned

ARTICLE IX

Section 1 Any increase in the amount of initiation and reinstatement fees Emergency Funds and Local Lodge dues must be handled on the basis ofthe procedures specified in the lAM Constitution

Any other amendments to these Bylaws must be handled on the basis of the following procedures

(a) All proposals must be in writing signed by not less than five (5) members and referred to a Bylaws Committee appointed by the President This Committee shall consist of three (3) members and shall be appointed on a yearly basis All proposed amendments must be submitted no later than the regular first shift meeting in March

(b) Must be read as proposed at three (3) consecutive meetings Immediately following the second (2nd) reading the Bylaw Committee shall submit their recommendation

(c) Reasonable advance notice must be given to the membership of the time date and place of the second (2nd) and third (3rd) reading and vote to be taken on the Bylaw Committees recommendations (both readings and vote must occur at the same place) The second (2nd) reading and first vote shall occur at the first regularly scheduled meeting in April The third (3rd) reading and second vote shall occur at the second regularly scheduled meeting in April

(d) Each proposal must be considered and voted upon separately After the third (3rd) reading and second (2nd) vote the combined votes from both votes shall be totaled A majority affirmative votes from the total of those voting at both meetings is needed for adoption

(e) Triplicate copies of approved proposals together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date

Section 3 Nothing in these Bylaws shall be construed or applied in a manner that will conflict with the provisions of the lAM Constitution All matters arising and not specifically covered in these Bylaws will be governed by the lAM Constitution

Section 1 No member shall be allowed to enter or retire from the Lodge room during opening exercises while balloting or during initiation Officers must be at their respective stations and members must not leave their seats unless by permission of the President

Section 3 Any member entering the Lodge room under the influence of liquor or using profane language in the Lodge room or otherwise conducting himself in a manner detrimental to the harmony of the Lodge shall be reprimanded by the President and ifhe persists in bad conduct he shall be requested to leave the hall

Section 4 Any member indulging in slanderous or malicious gossip concerning any member of officer of this or any other Lodge of the lAM may be called upon to prove

Section 3 This Lodge shall provide a Bible or flowers not to exceed $5000 plus tax in the event of a death in a members family or member

Section 4 (a) All Shop Committee Chairpersons shall notify the Recording Secretary in writing the names and addresses of all Committeepersons and Stewards by January 31 of each year

(b) By the end of March each year a training class or seminar will be held for all Stewards and Shop Committee members

Section 5 All Officers employees or other individuals in this Local Lodge who are responsible for or handle funds of or for the Lodge shall be bonded in accordance with the lAM Constitution and the lAM Policy relating thereto

Section 6 The FAA Safety Committee will be recognized as a standing Committee

Section 7 The Editor of the Local Lodge newsletter shall be appointed by the President for a three (3) year term with majority approval of the Executive Board The Editor shall not be a member of the Board though for the faithful performance of his or her duties shall be paid a salary in accordance with Article 7 The News and Editorial content of the Local Lodge newsletter shall be determined by the President and the Executive Board of the Local Lodge and shall act as the Editorial Board for the Local Lodge newsletter

Section 8 An Employee Assistance Program (EAP) Committee of two (2) members shall be appointed by the President and Executive Board It shall be their duty to assist in all EAP cases of members in good standing They will serve for three (3) years

Section 9 The Organizing Committee will consist offour (4) members appointed by the Local Lodge President and Executive Board This Committee responsibilities is to work directly with District and Grand Lodge to organize any person or persons who wish for labor protection

Section 10 A WIN (Women Involvement Now) Committee of no less than three (3) members shall be appointed by the President It shall be their duties to educate and inform members of issues that affect members and their families Local Lodge 141 will have an annual Womens Workshop

Section 11 There shall be a Community Service Committee to be appointed by the Local Lodge President and the Executive Board The purpose of this Committee is to inform educate render aid to the members in good standing pertaining to Health and Welfare and to represent the Local Lodge in working with the local community
