2005 Annual Report

The past year brought the most significant bankruptcy law amendments in a generation.The American Bankruptcy Institute (ABI) responded pro-actively to the challenge ofeducating the insolvency world and the public about the profound changes in bankruptcylaw and policy. Live conferences, distance learning programs and publications reachedthousands of members, easing the transition to a new law.

In a year of many achievements for ABI, there are several other highlights:

• We designed and implemented new educational programs in both the United States and internationally, cementing our role as the leading provider of professional education;

• Our membership roll surged past the 11,000 mark, conference attendance brokerecords and our publications set new standards for excellence;

• As the web’s premier source of bankruptcy information, ABI’s award-winning Web siteattracted record levels of traffic during the lead up to the new law;

• The Endowment Fund continued to grow as a prominent source of research funding,with a major empirical study of professional fee practices now pending; and

• More members than ever became involved in our work through our concerted effortsto keep ABI connected to professionals across disciplines.

The coming year will bring another milestone in ABI’s outreach and governance, whenwe welcome the first U.S. Bankruptcy Judge to serve as ABI President. Judge Wesley W.Steen (W.D. Texas) is scheduled to lead ABI, beginning in April 2006.

We look even further ahead with anticipation to ABI’s silver anniversary year in 2007,ready to reach new milestones. We again invite you to be an active player in our comingactivities.

Educational Programs

In addition to expanding the number of educational program opportunities this year, ABI introduced a number of new delivery systems to providemembers with the latest information on the new bankruptcy law, offer new ways to meet continuing education requirements and accommodatebusy schedules.

Webinars on the New Law

After the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 (BAPCPA)was signed into law by President Bush on April 20, ABI began offering educationalprograms on the new law. ABI’s seven-part Webinar series offered comprehensivecoverage of both consumer and business bankruptcy practiceunder the new law.

Annual Spring Meeting

More than 1,200 members attended the23rd Annual Spring Meeting, the firstnational educational program focused onbankruptcy following President Bush’ssigning of the new bankruptcy law. Inaddition to the wide array of sessions thatincluded coverage of the newly passedlaw, attendees were treated to a keynoteaddress by syndicated columnist George F.Will. The final night dinner featuredcomedian Richard Jeni and the all-ABImember band, the Indubitable Equivalents.

Winter Leadership Conference

The 2004 Winter Leadership Conference in Scottsdale,Ariz., attended by more than 750, offered numerouseducational sessions. In addition to a variety of optionalevents, attendees were treated to a keynote by bestsellingauthor and political commentator Michael Barone and the Indubitable Equivalents, who brought down the house with their debut appearance at the final night dinner.

Regional Programs

ABI offered several new regional programs this year.The first-ever Mid Atlantic Conference, held August 4-6 in Cambridge, Md., was well received and willbecome an annual regional event. Also for the firsttime, ABI will present the Detroit BankruptcyConference on November 11, 2005. Other regionalmeetings remained popular and included the annualViews from the Bench program, the intensive learn-by-doing Litigation Skills Symposium and the regular rosterof regional programs. Cross-border programs includedthe Canadian/American Bankruptcy Program in Toronto and theCaribbean Insolvency Symposium, held in Puerto Rico.

“Best of ABI” Programs

In 2005 ABI began offering the highest-rated sessionsfrom each ABI program in a teleconference/ Webinarformat. Those who were unable to attend these sessionslive are now able to experience the original program,including speakers and educational materials, via phoneand Web, or access the archived version of the program24-7-365.

EventXpress

The new EventXpress Registration Kiosk system nowallows members to check themselves in at ABI educationalprograms, accurately track CLE credits and purchaseoptional event tickets onsite.

Legislative Activity

Nearly eight years of congressional action onbankruptcy culminated in enactment of the BankruptcyAbuse Prevention and Consumer Protection Act (PublicLaw 109-8) on April 20. BAPCPA is the mostsignificant legislative development since passage of the1978 Code and represents a sea-change in U.S. debtor-creditor relations. Most of theprovisions apply to cases filed on or after the effective date of October 17, 2005. Themere 180-day effective date window meant that ABI had to immediately plan andimplement educational programs for our members.

ABI swiftly announced a seven-part series of Webinars on the coming new law. TheWebinars utilized advanced distance learning technologies to provide a rich visual andaudio experience. The programs were extremely popular: More than 2,000 practitionersregistered for more than 10 hours of detailed CLE coverage. Three of the programs weredevoted to consumer bankruptcy law and three covered the business bankruptcychanges. The final program featured seven leading bankruptcy judges from around thenation, providing their views on the controversial law’s key elements. The series wasoffered without charge to bankruptcy judges and their law clerks, as a service to theThird Branch.

Research

The ABI Endowment Fund, created in 1989 to provide a resource for the Institute’s mission of scholarly research and education, continued itsgrowth this year. The Fund now totals more than $1.4 million in contributions and pledges from nearly 4,000 members. Many members havedonated via the voluntary $30 tax-deductible gift option as part of their annual membership renewal. Since 1998, when the first research grantwas made, the Endowment has funded nearly $500,000 in awards.

In late 2004, the Endowment Fund awarded a $346,000 grant to Stephen J. Lubben,Associate Professor of Law at Seton Hall University School of Law, to study professionalfees in business bankruptcy cases. The study will provide the most comprehensive,independent look at professional fees in chapter 11 cases to date. It is expected toinclude 1,000 cases, vastly exceeding the sample size of any prior study on this topic.Preliminary work on the study began in mid-2005, and the final report will be completedby the fall of 2007.

This year, the Fund also awarded a $21,100 grant to Memphis-based RISE Foundation tostudy consumer bankruptcy from the debtor’s perspective. Memphis has the nation’shighest per capita filing rate. The results will assist practitioners and policy-makers inevaluating the factors behind the high filing rate in the Western District of Tennessee andwill provide insight into the debtor’s life after bankruptcy.

The Fund also provides an annual stipend for ABI’s Robert M. Zinman Resident Scholarprogram. Each Zinman Scholar is a leading member of the academic community, onleave from full-time teaching to assist ABI in research and educational activities. The Fall2005 Resident Scholar is University of New Mexico School of Law Prof. Nathalie D.Martin. The Spring 2006 Scholar is Prof. John D. Ayer of the University of California-Davis School of Law.

ABI World

ABI continued to expand the scope ofits online resources for members thisyear, adding a number of newfeatures to the ABI World Web site(www.abiworld.org), offering onlineWebinars, Web chats and much more.

The popular ABI World Web sitecontinued to add to its wide variety ofonline resources, which are availableto members 24-7-365. The Web siteoffered minute-to-minute news andanalysis as bankruptcy reformlegislation made its way throughCongress in early 2005. The siteoffered in-depth analysis of the newprovisions, up-to-the-minute votes onamendments, debate transcripts,media coverage and much more.Once the new law was signed by thepresident on April 20, ABI beganoffering numerous resources toaddress practice under the new law.

The ABI World Web site offers manypopular features, including a newlyupgraded “Cracking the Code”interactive newsletter, back issues ofthe popular ABI Journal and ABI Law

Review, an online Membership Directory, daily bankruptcy headlines, the ABI CareerCenter, Circuit Case Updates, bankruptcy opinions and much, much more.

With more than 110,000 searchable online documents, ABI World is the best onlineresource for bankruptcy professionals. Due to the sheer amount of information offeredat the Web site, in the spring of 2005 the ABI staff created easy-to-understand tutorialsdemonstrating the many features of the Web site. The full series can be accessed at anytime from the ABI World home page.

Online Programs

ABI enhanced its onlineeducational offerings thisyear, offering the “Best ofABI” program from eachof the regionalconferences, onlinequestion-and-answersessions and a Webinarseries on the new law.With a growing numberof states offeringcontinuing educationcredit for online programs, the new delivery system provides a convenient alternative totraveling to a meeting. An archive of past events allows members to register and receivecontent on-demand in the convenience of their offices.

New Titles and Updates

ABI introduced several new titles to itsdiverse array of publications this yearand began updating the entire catalog toaccount for changes made by the newlaw. Getting Paid: Retention andCompensation in Bankruptcy Cases–A Guide for Non-attorney Professionals,released in the spring, discusses thevarious aspects of the professionalretention and fees process.

Also introduced this year was thesecond edition of the ABI HealthCare Insolvency Manual, asignificantly expanded andupdated version of the first editionpublished in 1997. The manual,which includes the significanthealth care and nonprofitprovisions of BAPCPA, is designed to be aneasily accessible and user-friendly introduction of the basics ofbusiness bankruptcy for the health care professional and thebasics of health care law for the bankruptcy professional.

New titles and updates to current ABI publications covering the new law will be releasedin 2005 and 2006 and made available through the online bookstore at ABI World(www.abiworld.org). The bookstore provides a full description of all ABI publications andallows for online purchase at any time.

ABI Committee e-Newsletters

ABI’s 20 committees publish quarterly e-newsletters that provide committee members with the latest news and information. All members can read these electronicnewsletters online at ABI World.

Membership surpassed 11,000 during 2005, just 15 months after breaking the 10,000-member mark, making ABI not only the largest and most diverse insolvencyorganization, but the fastest-growing as well.

ABI members are experienced leaders in the practice. Surveys show that 44 percenthave over 20 years in the field and 72 percent have at least 10 years in practice. Alldisciplines are well represented: While most are involved in commercial and businessbankruptcies, nearly a third do at least some consumer bankruptcy work.

Many members join ABI via conferenceor seminar attendance. Nearly 250members joined during the first eightmonths of 2005 by this method. Manyalso value the ability to network withprofessionals across disciplinesnationwide. Responding to members’desire for more local networking events,ABI hosted several receptions in citiesnot served by regional conferences,including Cleveland, Seattle, SanAntonio and San Francisco, with otherevents planned for Orlando, Boston andSt. Louis.

The new “Get Involved” initiativemakes it easy for all members toplay an active role in ABI bywriting for publications,moderating a listserve andhelping to plan committeeprograms. Each of ABI’s 20member committees hasproduced at least one electronicnewsletter this year, featuring content of interest and providing new opportunities formembers to be published.

The Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 dominated thisyear’s bankruptcy news coverage, followed closely by the financial crisis facing thenation’s airlines, pending asbestos litigation and pension funding crises.

ABI leaders from all over the country were interviewed by news outlets as diverse asThe Washington Post, The New York Times, The Wall Street Journal, the Los AngelesTimes, CNBC, the Associated Press, CNN, NPR, C-SPAN, The National Law Journal andVoice of America, and ABI was cited more than 1,500 times. Among the most requested

information was the law’s effect onconsumers, whetherpeople/companies will rush to fileahead of October 17, andconsumer credit issues.

Online Newsroom

ABI’s online Newsroomoffers a wide range ofinformation to journalists,from bankruptcy statistics togrant awards and ABI events. More than one million “hits” on ABI World’s Statistics andPress Room sections from September 2004 to August 2005 confirm the site’s value tonews organizations.

Dow Jones Daily Review Small Cap

ABI leadership continued to providecommentary to Dow Jones Daily ReviewSmall Cap, an initiative that began lastyear. President John D. Penn andImmediate Past President Michael P.Richman provided commentary on thenew bankruptcy law and the efficacy ofthe U.S. bankruptcy system. The articlescan be found at www.abiworld.org.

Law Review

The American Bankruptcy Institute Law Review is the nation’s largest-circulationbankruptcy law journal. Edited by top students at St. John’s University School of Law, itis published semi-annually by Thomson West. An advisory board of more than threedozen bankruptcy judges, practitioners and academics help to plan thematic issues, editarticles and assist in the production of each issue. The board is headed by Prof. G. RayWarner, director of the bankruptcy LL.M. program at St. John’s and a former ABIDirector and Resident Scholar.

The Law Review has been cited in more than 900 law reviews and court opinions and isfrequently on the leading edge of trends in the law. The past year continued thistradition. The Spring 2005 issue featured a special roundtable on the cutting-edge issuesinvolved in the bankruptcy filings of several Roman Catholic dioceses. The cases haveenormous implications for the rights of religious institutions in civil society. Leadingconstitutional law scholars such as Douglas Laycock (University of Texas) joinedbankruptcy scholars such as David Skeel(University of Pennsylvania) and JonathanLipson (Temple University), as well aspractitioners experienced on both the creditorand debtor side of church bankruptcies. Theroundtable discussion predicted accurately therecent bankruptcy court decisions expanding thescope of estate property.

Other feature articles in the spring issue werewritten by Prof. Ralph Brubaker (University ofIllinois) and Prof. Marie T. Reilly (University ofSouth Carolina). Prof. Brubaker wrote on statesovereign immunity in the wake of the SupremeCourt’s Hood decision, while Prof. Reilly wrote onthe “reasonably equivalent value” standard after BFP v. Resolution Trust Co.

International Activity

As globalization increasingly impacts the insolvency world, the need for the sharing of experiences, techniques and strategies among lawyers,accountants, trustees, restructuring professionals, government officials and lenders continues to grow. ABI offers a number of tools, resources andeducational programs to help insolvency professionals meet the growing cross-border challenges insolvency professionals face today.

Cross-border Educational Programs

In February 2005 the Canadian/AmericanSymposium, attended by nearly 300 insolvencyprofessionals, featured prominent practitionersand judges from both nations and coveredleading issues such as ancillary proceedings andjudisdiction, personal liability for directors,officers and professionals, workouts under bothnations’ legal regimes and negotiating labor issues under both the Code and the CCAA(Canada). Dean Ian Holloway of the University of Western Ontario called it the“insolvency event of the year” in Canada.

More than 80 insolvency professionals fromPuerto Rico, Latin America and 15 U.S. statesattended ABI’s first Caribbean Insolvency

Symposium, held in SanJuan Nov. 11-12. Specialguests included PuertoRico’s Secretary of StateJose M. Izquierdo-Encarnacion and JulioFontanet, president of thePuerto Rico BarAssociation, along with bankruptcy judges Gerardo A. Carlo andEnrique Lamoutte. The program was simultaneously translated inSpanish-English.

Other cross-border educational sessions include the InternationalInsolvency Symposium, held Sept. 23, in London, and the nextCaribbean Insolvency Symposium, planned for February 9-10,2006, in Miami.

International Committee Activity

ABI’s International Committee held two continuing legaleducation programs this year and published fourelectronic newsletters, covering broad ancillary relief inCanadian and U.S. Bankruptcy courts and the newchapter 15. “European Update” is now a regular featurein the ABI Journal.

The ABI Journal’s “The InternationalScene” column provides in-deptharticles on cross-border issues; allpast articles are available tomembers at ABI World. TheGlobalINSOLvency.com Web site isanother useful resource on cross-border issues. Corporate Restructuring Competition

The Institute’s inaugural CorporateRestructuring Competition, held Nov. 11-14,2004, at the Kellogg Graduate School ofManagement at Northwestern University,included eight of the nation’s best businessschools. The 2004 winner was StanfordUniversity’s Graduate School of Business.Sponsored by Houlihan Lokey Howard & Zukin,the competition encourages second-year MBA

students to find creative solutions to real-world problems and provides them withopportunities to network with some of the top professionals in the fields of finance,corporate renewal and restructuring accounting. The 2005 competition, expanding to 12top schools, is scheduled for Nov. 11-13, 2005.

National Bankruptcy Moot Court Competition

The 13th Annual Conrad B. DubersteinNational Moot Court Competition – the onlynational competition devoted to bankruptcy –included nearly 40 law school teams. The2005 winner was the University ofConnecticut School of Law. More than 600insolvency professionals attended the final

night awards dinner at Pier 60 in Manhattan. The competition, hosted by ABI and St.John’s University School of Law, is named in honor of Judge Duberstein, a formermember of the ABI Board of Directors and the Chief Bankruptcy Judge of the EasternDistrict of New York.

Annual Bankruptcy LL.M. Scholarship

Each year ABI awards a $15,000 scholarship to a student in the bankruptcy LL.M.program at St. John’s University School of Law. The LL.M. program is the only one of itskind, and the award reflects ABI’s long-standing partnership with St. John’s.

Annual Medal of Excellence

More than 100 law school students around the country were presented with ABI’s Medalof Excellence Awards this year. Medal recipients, selected by each law school’sbankruptcy faculty, receive engraved medals and certificates of achievement, as well as acomplimentary one-year ABI membership. ABI Director Christopher F. Graham (ThacherProffitt & Wood; New York) is the program director.

New Bankruptcy Act Recognizes Value of Certification

The Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 (S. 256),signed by President Bush in April 2005, includes a provision that allows bankruptcycourts to increase professional compensation awards to attorneys who are boardcertified. Specifically, the new law amends 11 U.S.C. §330(a)(3) to include a new sectionas follows:

with respect to a professional person, whether the person is board certified or otherwise has demonstrated skill and experience in the bankruptcy field . . .

Legislators and the courts recognize that thesuccessful operation of the bankruptcy systemdepends on the involvement of professionals withspecial expertise. Board certification provides asimple, meaningful and objective measure of skill andexpertise in the bankruptcy field. The American Boardof Certification (ABC) administers the only national

legal specialty certification programs in consumer bankruptcy law and businessbankruptcy law. The ABC Faculty Committee jumped to action after passage of the newlaw and began developing a new exam. All exams administered in 2006 will be based onthe new law.

ABA Recognition of Certification

In August 2004 the American Bar Association (ABA) House of Delegates grantedreaccreditation of the ABC business bankruptcy, consumer bankruptcy and creditors’ rightsprograms for an additional five years. The programs have been ABA accredited since 1993.Sixteen states recognize ABA accreditation as the sole or partial criteria for approvingcertifying organizations in the state. The ABA accreditation process includes a review ofexaminations, application requirements and organization policies and procedures.

Finances

Dear Members:

During the 2004 calendar year, the American Bankruptcy Institute againstrengthened its financial position. As a result of growth in membership,the income from numerous educational programs and publications, andthe many contributions from supportive sponsors, total net assets haveincreased by approximately $560,000. This solid financial position shallpermit ABI to continue to implement and provide the highest quality andvaried programs for its current and future members.

Tate & Tryon issued financial statements for 2004 that were presented bythe Chief Financial Officer and me to the ABI Board of Directors at itsAnnual Spring Meeting last April. We reported that the independentauditors issued an unqualified "clean report" in conformity with generallyaccepted accounting principles. Our presentation to the Board highlightedthe growth and continued financial vitality of ABI.
