he American Bankruptcy Institute (ABI) marked the 25th anniver-sary of the enactment of the 1978 Bankruptcy Code by hosting a

major symposium on the past, present and future of U.S. bankruptcylaw. This landmark event, featuring the nation’s leading scholars, wasone of the highlights of a year filled with new achievements for ABI.

In the past year, ABI surpassed the 10,000-member mark, saw itsmembership retention soar past 90 percent and enjoyed record atten-dance at educational conferences. We completely redesigned ouraward-winning web site, improving its functionality and enhancing thecontent. ABI member committees produced more quality CLE pro-grams and each began producing regular newsletters with substantiveand timely content.

ABI’s publications also enjoyed a record year, both in the print andelectronic formats. Our growing endowment is helping to fund impor-tant scholarly research while providing support for traditional ABI pro-grams such as the Judge Conrad B. Duberstein National Moot CourtCompetition, the St. John’s University School of Law BankruptcyLL.M. program and the Robert M. Zinman Resident Scholar.

ABI also acknowledged the important financial contribution made byour partners: Bankruptcy Management Corp., Jefferies & CompanyInc. and Thomson West (major partners), along with AlixPartners LLCand the Garden City Group Inc. with a special package of new market-ing benefits.

The coming months will see the launch of an exciting new corporaterestructuring competition for top graduate business school students,also supported by the ABI Endowment Fund, as well as a gift from theinternational investment banking firm of Houlihan Lokey Howard &Zukin.

Also coming soon is the commencement of a new major empiricalstudy on professional compensation in bankruptcy cases, updatingand advancing the landmark work done by ABI in 1991.

On behalf of our Board of Directors, we pledge to continue this recordof innovation and service in furtherance of insolvency education andresearch. We invite all ABI members to fully participate in our activi-ties in the coming year.

EDUCATIONAL PROGRAMS

ABI educational programs had a banner year, offering more CLE/CPE options thanever before. A record 4,300 membersattended these programs over the past 12months. New options included the popularBankruptcy Fundamentals for NewPractitioners program in four regionallocations and the first-ever ConsumerBankruptcy Conference. ABI expanded itson-demand programs available onlinethrough West LegalEdCenter, including livewebcasts.

Annual Spring MeetingMore than 930 attended the 22nd Annual Spring Meeting inWashington, D.C. The 2004 program addressed a wide range of insol-vency topics, including going-out-of-business sales, preferenceactions, consumer cases at the Supreme Court, selection and use ofexpert witnesses and much more. The popular 8th Annual GreatDebates addressed the continued vitality of the doctrine of necessity,whether bankruptcy judges are too protective of consumer debtorsand if DIP lenders should be restricted. Special guest speakers includ-ed “Meet the Press” Editor and Moderator Tim Russert and RobertHormats, vice president and managing director of Goldman, Sachs &Co. Members were treated to a final night gala concert featuringBlood, Sweat & Tears.

Winter Leadership ConferenceClose to 600 attended the 2003 Winter Leadership Conference in LaQuinta, Calif. Educational sessions covered post-petition transfers,collective bargaining agreements and other labor issues, preferencesand fraudulent conveyances and much more. ABI and the NationalAssociation of Bankruptcy Trustees partnered on a Trustee LitigationTrack as part of the program. Fox News Channel Senior JudicialAnalyst Judge Andrew Napolitano provided a lively assessment ofcurrent high-profile legal cases.

Regional ProgramsABI continued to expand the scope of its regional programs, offeringnew topics in new regions. The Institute hosted an academic sympo-sium marking the 25th anniversary of the Bankruptcy Code, featuringthe nation’s top scholars. ABI’s first Consumer BankruptcyConference, held in Chicago, emphasized the practical issues in chap-ters 7 and 13. Other regional ABI programs remained popular andincluded the annual Views from the Bench program at GeorgetownUniversity Law Center, featuring 18 U.S. bankruptcy judges, the inten-sive learn-by-doing Litigation Skills Symposium at Emory UniversityLaw School and the Hawaii Bankruptcy Conference on Kauai. TheCentral States Bankruptcy Workshop (Traverse City, Mich.) andSouthwest Bankruptcy Conference (Las Vegas) each set new atten-dance records.

LEGISLATIVE ACTIVITYhe long road to a comprehensive overhaul of U.S. bankruptcy lawfound more obstacles during the past year, when renewed efforts

stalled in the Senate. Bankruptcy reform, pending since the NationalBankruptcy Commission Report of 1997, took a backseat to other leg-islative priorities. Behind-the-scenes efforts continue, but will likelyhave to wait for a new Congress in 2005.

Credit counseling joined the growing list of industries under scrutinyby the Internal Revenue Service, Federal Trade Commission and over-sight committees of Congress. Counseling is a necessary preconditionfor eligibility for relief under the proposed consumer bankruptcyamendments. With more than three million Americans already partici-pating in some form of credit counseling, there are concerns this newdemand cannot be met.

Bankruptcy court practices are also under a microscope, as Congressexamines whether some courts tailor their rulings to attract large pub-lic company cases. The ABI Endowment is helping to fund some ofthis academic research.

Meanwhile, a number of large pension plans have terminated underfinancial distress, causing massive deficits for the Pension BenefitGuaranty Corporation. The continued erosion of the agency’s single-employer program looms as a major concern for Congress.

ABI’s Legislative Committee held two well-attended programs this past year, one on theimpact of the proposed Fairness in AsbestosInjury Resolution Act (held jointly with theABI Mass Torts Committee) and the other onSarbanes-Oxley (one year later) and legisla-tion affecting theft prevention and fair creditreporting.

RESEARCH

The ABI Endowment Fund was created in1989 to provide a resource for the Institute’smission of scholarly research and education.The Fund now has over $1.3 million in con-tributions and pledges. Nearly 3,000 ABImembers have contributed to the Fund,many via a voluntary $30 tax-deductible giftas part of their annual membership renewal.Since 1998, when the first research awardwas made, the Endowment has funded over$300,000 in awards.

Recent grant awards address both consumer and business bankruptcyissues, such as an award to the Coalition for Consumer BankruptcyDebtor Education (New York Law School) to examine the spendingand credit habits of consumers, and a grant to Prof. Lynn LoPucki(UCLA Law School) to study the impact of venue choice onconfirmation rates and success in chapter 11.

The Fund also supports an annual stipend for the Robert M. ZinmanResident Scholar program. Each Zinman Scholar is a leading memberof the academic community, on leave from full-time teaching to assistABI in research and educational activities

During the past year, the Endowment provided support for the aca-demic symposium marking the 25th anniversary of the BankruptcyCode, a scholarship for a worthy student in the St. John’s UniversitySchool of Law Bankruptcy LL.M. program and cash prizes for theConrad B. Duberstein National Moot Court Competition.

The Fund also supports a faculty stipend and prizes for ABI’s 2004Corporate Restructuring Competition, hosted by the Kellogg GraduateSchool of Management at Northwestern University.

New in 2005 is financial support for a new empirical study of profes-sional fees in consumer and business bankruptcy cases, buildingupon ABI’s landmark 1991 report. The study will take approximatelytwo years to complete.

ABI WORLDnew-and-improved ABI World web site was unveiled in early 2004,offering ABI members many new online benefits and options. The

new site offers the same wide variety of bankruptcy information – onlyit is now offered in an easy-to-read format with organized archives, amore effective search engine and an upgraded shopping cart feature.

Upgraded Online Directory: Networking at Your FingertipsThe site now offers a visually and functionally upgraded onlineMembership Directory. The new format allows members to updatetheir profile and search for ABI members by many different criteria.

Other New Features: Content Plus FunctionalityOther new features include a new online bookstore that allows visitorsto easily browse the wide array of books available through ABI andpurchase them online via a new shopping cart feature. The site’sarchival system now allows members to easily locate newly availablecontent. Archived content includes press releases, the ABI Journal, theABI Law Review, the ABI Update electronic newsletter, educationalmaterials, bankruptcy opinions, “Cracking the Code,” legislative news,bankruptcy statistics and much more. With more than 110,000searchable online documents, the new search engine and archival sys-tem are key to allowing members to find relevant documents easilyand quickly.

The new site continues to offer the popular ABI Career Center, anonline service connecting employers in the bankruptcy field with quali-fied candidates. Daily and weekly bankruptcy headlines continue to beprovided via The Deal (Bankruptcy Thursday) and Dow JonesNewswires (Daily Bankruptcy Review). New this year are daily head-lines provided by Bankruptcydata.com (Daily Bankruptcy News).

PUBLICATIONS

ABI members enjoy a varietyof publications as a benefit of

membership, from themonthly ABI Journaland semi-annual ABILaw Review todiscounts on a widearray of bankruptcy-

related publications. A new CD-rom versionof the ABI Membership Directorycomplements the print edition and includesinformation on all 10,300 ABI members.

New TitlesABI introduced two new titles to its diverse catalog of publications thisyear. The Bankruptcy and Insurance Law Manual, written by ABI mem-ber Susan N.K. Gummow, covers the basics of insurance law for thebankruptcy professional, as well as bankruptcy principles for theinsurance professional. The Manual distinguishes “claims” in an insur-ance sense from those under the Bankruptcy Code, and describes theduties of both the insurer and the insured under insurance law.

Also new this year is the ABI Guide toBankruptcy Mediation: A Guide forAttorneys and Clients Concerning the Useof Mediation to Resolve Disputes Arisingin Bankruptcy Cases; A General Overviewof Other Forms of Alternative DisputeResolution, written by Hon. Erwin I. Katz(ret.), Hon. Lisa Hill Fenning (ret.) andJacob Aaron Esher. The Guide provides“how to” guidance with respect to themost common kinds of mediation issuesthat arise in bankruptcy cases.

All titles are available through ABI’s visually enhanced online book-store. The new bookstore allows visitors to easily browse ABI’s onlinepublications catalog, categorized in 10 subject areas, view graphicimages and descriptions of each book and purchase them online. Overthe past few years, ABI has released 13 new or updated publications.

Committee e-Newsletters ABI’s 24 committees produce e-newsletters on relevant topics andcommittee issues. All committee newsletters are produced in a color-ful html format and sent via e-mail to all committee members. Pastarchived issues are on the ABI World web site. Recently redesigned,each newsletter features at least two topical stories and providesupdates on the latest committee news, upcoming committee pro-grams and agendas, and the latest news featured at ABI World that isof interest to committee members.

MEMBERSHIPmembership surpassed 10,000 this past year, a record high. With nearly a 10 percent annual rate of growth, the Institute

continues to enjoy the steady growth it has achieved since 1995. Ourdiverse membership includes attorneys, lenders, judges, accountants,academics, turnaround specialists, credit managers, auctioneers,trustees and many other insolvency practitioners.

ABI maintained a better than 90 percent retention rate over the past 12months – a figure nearly unheard of in associations and especiallyimpressive given the diverse nature of the membership. The highretention rate directly reflects the wide range of benefits membersreceive, including full access to ABI World content, discounts on edu-cational programs and publications, 10 issues of the highly respectedABI Journal and two issues of the ABI Law Review, unmatched net-working opportunities and much more. ABI continues to add to thosebenefits, now providing even more content on a new-and-improvedweb site, committee e-newsletters and listserves and an expandedroster of educational programs and publications.

Members join from a variety of sources, including educational confer-ences, trade show exhibits, direct mail and the web site. Special out-reach efforts have been extended to consumer bankruptcy practition-ers, judicial law clerks, young professionals and non-attorneys.

This year’s ABI Membership Directory pro-vides information on more than 10,300members. A CD-rom version of theDirectory, produced by BMC, will be provid-ed to all members; print versions will beavailable for sale to ABI members throughThomson West. Also available to ABI mem-bers is full access to the online MembershipDirectory – upgraded this year. The newonline Directory allows ABI members tosearch quickly and efficiently by many differ-

ent criteria including name, firm, city, state, zip code, country, profes-sion, firm size, school, years in practice, ABI committee, degree andlocal office size.

ABI continues to add to its membershipbenefits, now providing even more contenton a new-and-improved web site, committeee-newsletters and listserves and anexpanded roster of educational programsand publications.

Educational Press BriefingsThe Institute offers educational press briefings on timely topics forkey members of the media. Press briefings feature ABI experts whoprovide overviews of the issues and answer questions from participat-ing journalists.

Available online at ABI World, past briefings focused on child supportclaims, consumer debt and bankruptcy and hi-tech/telecom bankrupt-cies. A live press briefing on the coming crisis in pension plan security,which will utilize the latest online meetings technology, is planned forOctober 2004.

Online NewsroomABI’s online Newsroom — upgraded this year — offers journalists awide range of bankruptcy-related resources. Press releases and anarchive of bankruptcy statistics are available for the past 12 years.

Dow Jones Daily Review Small CapABI began contributing regular commentary to Dow Jones DailyReview Small Cap this year. ABI President Michael P. Richman and

Immediate Past President Bettina M. Whyte contributedcommentary on professional fees, the Sarbanes-OxleyAct, competition among professional services firms anddirectors and officers (“D&O”) insurance during a bank-ruptcy. All articles can be found at ABI World.

The American Bankruptcy Institute Law Reviewis the nation’s largest circulation bankruptcylaw review. Edited by top students at St.John’s University School of Law, it ispublished semi-annually by Thomson West.

n 2004, the Law Review attained new stature when it was cited inboth Justice Stevens’s majority opinion and Justice Scalia’s dissent

in Till v. SCS Credit Corp., 124 S.Ct. 1951 (2004), a case on theappropriate interest rate to be used in chapter 13.

The Winter 2003 issue was an open issue, with articles on derivativestanding in chapter 11, administrative insolvency and a comparativepiece on the bankruptcy laws found in common law systems. Theissue also featured two theses from graduate students in the St.John’s LL.M. program on the topics of critical vendors and exclusivityin chapter 11.

The Spring 2004 issue was devoted entirely to the publication ofpapers from ABI’s Symposium on the Code After 25 Years. The event,held at Georgetown University Law Center in Washington, featured thework of scholars such as ElizabethWarren (Harvard), Douglas Baird(Chicago), James White (Michigan),Barry Adler (NYU), Kenneth Klee (UCLA),Ralph Brubaker (Emory),David Skeel (Penn),Marjorie Girth(Georgia State),John Ayer (Univ. ofCalifornia), MecheleDickerson (William &Mary), Bruce Markell(UNLV), Karen Gross(New York Law), JayWestbrook (Texas)and Charles Tabb(Illinois).

INTERNATIONAL ACTIVITY

One of the most significant challenges forprofessionals involved in cross-borderinsolvency practice is to be as knowledgeableas possible on the myriad laws, regulations,protocols and emerging trends from abroad.

ABI facilitates the exchange of critical legal and businessdevelopments through specialized educational programs, acomprehensive web site and the timely work of our InternationalCommittee. GlobalINSOLvency.com, our web site partnership withINSOL International, features daily economic and insolvency news

from around the globe, links to all INSOL member associations,international legislative developments and more. Steven G. Golick andTracy Sandler (Osler, Hoskin & Harcourt; Toronto) head up anAdvisory Board of prominent practitioners from around the globe.

The continual shrinking of the insolvency world amplifies the need forthe sharing of experiences, techniques and strategies among lawyers,accountants, trustees, restructuring professionals, government offi-cials and lenders. ABI organized a pair of programs this past year forsuch audiences from France (held at the French Embassy inWashington, D.C.) and Armenia (held at the Fletcher School of Lawand Diplomacy at Tufts University).

ABI also conducts conferences outside its borders, reaching out tointernational and cross-border audiences, such as with the CaribbeanInsolvency Symposium (Puerto Rico, November 2004) and the FifthCanadian-American Symposium (Toronto,February 2005). ABI previously held programsfor professionals from Thailand to theDominican Republic, and has sponsored educa-tional exchanges for judges from Mexico toCentral Europe. New in 2005 will be ABI’s firstprogram held in Europe, a one-day program setfor London in September.

Our active International Committee hosted twocontinuing legal education programs this pastyear and published three electronic newsletters,covering legislative developments from Brazil tothe United Kingdom, jurisdictional issues underSection 304 of the Bankruptcy Code and more.

ABI continued its commitment to the profes-sional development of young professionalsthis year, expanding law and businessschool competitions, awarding scholarshipsto recognize the outstanding achievementsof promising students and offering theFundamentals for New Practitioners programto young and new professionals entering theinsolvency field.

Corporate Restructuring CompetitionNew this year is the ABI/Houlihan Lokey Howard & Zukin CorporateRestructuring Competition for graduate business schools. The firstcompetition, planned for Nov. 9-11, 2004, at the Kellogg GraduateSchool of Management at Northwestern University, will provide sec-ond-year MBA students with a unique chance to learn by solving areal-world problem taken from today’s corporate-distress headlines.Eight of the top graduate business schools are competing. Judges forthe competition will include top corporate recovery specialists andfinancial professionals from around the country.

National Bankruptcy Moot CourtCompetitionThe 12th Annual Conrad B. DubersteinNational Moot Court Competition — theonly national competition devoted to bank-ruptcy — included a record 35 law schoolteams from 30 law schools. The 2004 win-ner was Emory University. More than 600New York-area insolvency professionalsattended the competition’s final nightawards dinner. The competition, hosted byABI and St. John’s University School ofLaw, is named in honor of JudgeDuberstein, a former member of the ABIBoard of Directors and the Chief BankruptcyJudge of the Eastern District of New York.

Annual LL.M. ScholarshipEach year ABI awards a $10,000 scholarship to a student in the bank-ruptcy LL.M. program at St. John’s University School of Law. TheLL.M. program is the only one of its kind, and the award reflects ABI’slong-standing partnership with St. John’s.

Medal of ExcellenceABI’s Medal of Excellence Awards were presented to more than 100law school students around the country in 2004. Medal recipients,selected by each law school’s bankruptcy faculty, typically receive theirawards during school commencement exercises. Winners receiveengraved medals and certificates of achievement, as well as a compli-mentary one-year ABI membership. ABI Director Christopher F.Graham (Thacher Proffitt & Wood; New York) is the program director.

BANKRUPTCY CERTIFICATIONounded in 1992, the American Board of Certification (ABC) is theonly board certification program for bankruptcy and creditors’

rights attorneys. ABC offers testing throughout the year at numerouslocations around the country, certifying attorneys in consumer bank-ruptcy, business bankruptcy and creditors’ rights.

ABC Programs ReaccreditedABC received American Bar Association (ABA) reaccreditation of allthree programs this year. The programs were initially accredited in1993 by the ABA House of Delegates. The ABA accreditation processincludes a review of examinations, application requirements andorganization policies and procedures. Sixteen states recognize ABAaccreditation as criteria for approving certifying organizations.

The ABC web site (www.abcworld.org) received 142,000 visits in thepast year. The web site has become one of the first places consumersgo to locate experienced counsel. ABC-certified attorneys reportreceiving substantial referrals from both the web site and the ABCDirectory. ABC thanks Thomson West for its continued support of theDirectory.

Marketing, Networking Opportunities GrowABC-certified attorneys continue to find new ways to benefit from theircertification, including the use of the ABC logo on business cards, let-terhead, web sites and advertisements, reference to certification in feeapplications, bios and resumes, mention of certification in speakingengagements and when authoring, use of the ABC marketing brochureand wearing the ABC pin.

The level of ABC Board and Committee activity has increased in recentyears, allowing ABC-certified attorneys to enjoy new networkingopportunities. This year ABC hosted several cocktail receptions at ABIand Commercial Law League of America conferences and a variety oflocal networking events.

During the 2003 calendar year, the American Bankruptcy Institute has sus-tained its strong financial position. Indeed, as a result of its increased member-ship, the income from numerous educational programs and publications, andthe many contributions from supportive sponsors, total net assets haveincreased by more than $400,000. This healthy growth of funds shall permitABI to continue to provide the highest quality and varied programs for its cur-rent and future members.

BDO Seidman LLP issued financial statements for 2003 that were presented tothe ABI Board of Directors at the 2004 Annual Spring Meeting. These inde-pendent auditors issued an unqualified “clean report” in conformity with gener-ally accepted accounting principles. The presentation to the Board highlightedthe growth and financial vitality of our not-for-profit corporation.
