� Objects and Application

1.1 TheseregulationsaremadepursuanttotherequirementofFIFAthatFFAshallputinplaceregulationsthatgoverntheconductof

playeragents,suchregulationstobebasedonthemodelpublishedbyFIFAinDecember2000asamendedfromtimetotimeand

subjecttodomesticlegislativerequirements.FFAmayamendtheseregulationsfromtimetotime.

1.2 Theobjectsoftheseregulationsareto:(a) regulatetheuseofpersonsprovidingPlayerAgentServices;(b) provideaschemetorecogniseappropriatelyqualifiedpersonsasLicensedPlayerAgents;(c) governtheconductofLicensedPlayerAgents;(d) protectthewelfareandinterestsofPlayers,ClubsandLicensedPlayerAgentswhofallunderthejurisdictionofFFA;(e) provideamechanismforthejustandtimelyresolutionofcomplaintsmadeagainstLicensedPlayerAgentsoperatingwithinthe

jurisdictionofFFA;and(f ) ensurethatLicensedPlayerAgent’sactivitiescomplywiththeCodeofProfessionalConduct.

1.3 TheseregulationsgoverntheengagementofpersonstoprovidePlayerAgentServicesandthelicensingofplayeragentstoperform

thoseservices.

1.4 TheregulationsapplytoLicensedPlayerAgents,Clubs(andtheirrepresentatives)andPlayers.

1.5 Definitions

Administration Fee meansthefeepayablebyeveryapplicantuponsubmissionofanapplicationtobelicensedundertheseregulations.

A-Leaguemeanstheelitefootballcompetitionorganised,arrangedandadministeredbyFFA.

Club meansafootballclubthatfieldsateaminacompetitionorganised,arranged,administeredorsanctionedby: (a) FIFA; (b) aConfederation; (c) aNationalAssociationoroneofitsmemberfederations;or (d) FFA,oneofitsmemberfederationsoranassociationaffiliatedtooneofitsmemberfederations.

Club Officialmeansapersonwho: (a) holdsaboardorcommitteepositionwithaClub; (b) isemployedbyaClubonafulltimebasis;or (c) isemployedonanybasisbyaClubthatparticipatesintheA-Leagueorinanyotherprofessionalfootballleagueinany countryintheworld.

Code of Professional ConductmeanstheCodeofProfessionalConductasdeterminedbyFIFAandsetoutatAnnexureCtotheseregulations.

ConfederationmeansanyConfederationaffiliatedwithFIFA.

Eligible Personmeansapersonwhosatisfiestheconditionssetoutinarticle4.2oftheseregulations.

Exempt Individual means: (a) aparent,siblingorspouseofaPlayer; (b) aPlayeractingforhimself; (c) alegalpractitionerholdingacurrentpractisingcertificateissuedbyanauthorityinAustraliathatlicenseslegalpractitioners;

or (d) anonAustralianresidentwhoislegallyauthorisedtopracticelawinhiscountryofresidence.

FFAmeansFootballFederationAustraliaLimited.

FIFAmeanstheFederationInternationaledeFootballAssociation.

Gamemeansthegameoffootball.

Licensed Player AgentmeansapersonwhoiscurrentlylicensedpursuanttotheseregulationstoprovidePlayerAgentServicesorapersonholdingalicencetoprovidePlayerAgentServicesissuedbyanotherNationalAssociationincompliancewithFIFARulesandRegulations.

Licensing CommitteemeansthePlayerAgentLicensingCommitteeconstitutedbyarticles3.1and3.2oftheseregulations.

National AssociationmeansanyNationalAssociationaffiliatedwithFIFA.

PlayermeansaplayeroftheGame.

Player Agent Servicesmeanstoactonbehalfofa: (a) Clubinrelationtoanynegotiation,contractorarrangementtheintentionofwhichistofacilitateoreffect: (i) theemploymentofaPlayerbythatClub;or (ii) thetransferoftheregistrationofaPlayerfromoneClubtoanother. (b) Playerinrelationtoanynegotiation,contractorarrangementtheintentionofwhichistofacilitateoreffect: (i) theemploymentbyaClubofthatPlayer; (ii) therenegotiationofanexistingcontractorarrangementwithaClub;or (iii) thetransferoftheregistrationofaPlayerfromoneClubtoanother.

Register of Licensed Player Agents meanstheregisterofLicensedPlayerAgentsthatismaintainedbytheLicensingCommitteepursuanttoarticle4.33oftheseregulations.

2 The Provision of Player Agent Services

2.1 PlayersandClubsmayengageapersontoprovidePlayerAgentServicesifthatpersonis:(a) aLicensedPlayerAgent;or(b) anExemptIndividual.

2.2 PlayersandClubsmustnotuseapersontoprovidePlayerAgentServiceswhoisnotaLicensedPlayerAgentoranExemptIndividual.


� Player Agent Licensing Committee

3.1 FFAshallestablishthePlayerAgentLicensingCommittee (Licensing Committee)tobethesupervisoryanddecision-makingbody

ofFFAresponsibleforimplementingtheseregulations,makingthedecisionsthatFFAisrequiredtomakeundertheseregulationsand

ensuringthatLicensedPlayerAgentscarryouttheiractivitiesincompliancewithFFARulesandStatutesandtheseregulations.

3.2 TheLicensingCommitteeshallbeconstitutedbythe:(a) FootballRegulationsManagerofFFA;(b) HeadofFootballOperationsofFFA;and(c) HeadofLegalandBusinessAffairsofFFA,and/orsuchotherpersonsastheChiefExecutiveOfficerofFFAmaydeterminefromtimetotime.

3.3 TheLicensingCommitteeischargedwiththefollowingfunctionsandresponsibilities:(a) toconsideranddetermineapplicationsmadeundertheregulationstobelicensedasaLicensedPlayerAgent;(b) toinvestigate,orcausetobeinvestigated,anywrittencomplaintconcerningaLicensedPlayerAgent;(c) tomonitortheperformanceofallLicensedPlayerAgentsandensuretheircompliancewiththeCodeofProfessionalConduct;(d) tomakedecisionsregardingthesuspensionorcancellationofthelicenceofanyLicensedPlayerAgent;and(e) anyothermatterrelevanttotheimplementationandadministrationoftheseregulations.

3.4 ThedischargebytheLicensingCommitteeofanyofthefunctionsandresponsibilitieswithwhichtheLicensingCommitteeischarged

ortheexerciseofanyofthepowersandauthoritiesthatareconferredontheLicensingCommitteeshallbefinalandconclusiveandnot

becapableofreviewotherthan:(a) adeterminationoftheLicensingCommitteepursuanttoarticle4.9thatanapplicantisnotanEligiblePerson,whichmaybe

appealedexclusivelybytheapplicanttotheFIFAPlayers’StatusCommitteepursuanttoarticle4.11;(b) adeterminationbytheLicensingCommitteepursuanttoarticle8.6toimposeasanction,whichmaybeappealedexclusivelyby

thepersonsanctionedtotheFIFAPlayers’StatusCommitteepursuanttoarticle8.13;or(c) adeterminationbytheLicensingCommitteepursuanttoarticle8.8tosuspendorcancelthelicenceofaLicensedPlayerAgent,

whichmaybeappealedexclusivelybytheLicensedPlayerAgenttotheFIFAPlayers’StatusCommitteepursuanttoarticle8.13.

4 Licensed Player Agents

Licensing Criteria

4.1 TobelicensedasaLicensedPlayerAgentpursuanttotheseregulationsapersonmust:(a) beanEligiblePerson;(b) providetoFFAacompletedwrittenapplicationintheformofAnnexureA;(c) providetoFFAacurrentandcomprehensivecriminalrecordcheckfromtheAustralianFederalPolice;(d) passthewrittenexaminationsetbyFIFAandFFA;(e) provideFFAwithacopyoftheinsurancepolicyrequiredbytheseregulations;and(f ) provideFFAwithasignedCodeofProfessionalConduct.

4.2 TobeanEligiblePersonpursuanttotheseregulationsapersonmust:(a) beanaturalpersonwhoiseitheranAustraliancitizen,anAustralianpermanentresidentorisdomiciledinAustraliaandhaslived

inAustraliaconstantlyforthetwoyearspriortomakingtheapplication;

(b) beafitandproperpersontoactasanagentforPlayers;(c) beapersonofimpeccablereputation;(d) notemploy(inhisownrightorthroughanycompanyorpartnershipthroughwhichheconductshisbusiness)orbein

partnershipwith,employedby,oremployedinabusinessthatalsoemploys,apersonwho: (i) wasaLicensedPlayerAgentandhadthatlicencecancelled; (ii) appliedtobeaLicensedPlayerAgentbuthadthatapplicationrejectedonthebasisthatthepersonwasnotafitandproper

persontoactasanagentforPlayers;or (iii) isnotafitandproperpersontoactasaLicensedPlayerAgent..(e) complyfullywiththeobligationsofdisclosurerequiredinmakingapplicationtobelicensed;(f ) notbeaClubOfficialorholdanofficialpositionwithFFA,FIFA,aConfederationoranyotherNationalAssociationorany

organisationconnectedwiththeseinstitutions;(g) nothaveanyfinancialinterestinaClub,eitherdirectlyorindirectlythroughatrustorcompanythatitselfhasaninterestinaClub;and(h) notbeanundischargedbankrupt.

4.3 IndeterminingwhetheranapplicantisafitandproperpersontoactasaLicensedPlayerAgentandisapersonofimpeccable

reputation,FFAmaytakeintoaccount:(a) anypriorconductoftheapplicantthatbreachedanyFFAorFIFAregulations;(b) thecriminalrecordoftheapplicant;(c) themakingbytheapplicantofanyfalseormisleadingstatementinhisapplication;(d) theconductoftheapplicant’sbusinessdealings;(e) iftheapplicantislistedonthelistofpersonsmaintainedbyASICwhoarebannedfrommanagingorbeingdirectorsofcompanies;(f ) thefinancialhistoryoftheapplicant,includingwhetherhehaspreviouslybeenbankrupt;(g) whethertheapplicanthaspreviouslybeenrefusedalicenceasaLicensedPlayerAgentandthereasonsforthatrefusal;(h) whethertheapplicanthaspreviouslybeenlicensedasaLicensedPlayerAgentandhadthatlicencecancelled;and(i) anysuchothermatterthattheLicensingCommitteeinitsabsolutediscretionconsidersisrelevant.

Application

4.4 ApersonwhowishestobelicensedasaLicensedPlayerAgentmustobtainfromFFAanapplicationintheformatAnnexureAto

theseregulationstogetherwiththerelevantstudydocumentsasdeterminedbyFFA.Thecostofthesematerialsis$50orsuchother

amountastheLicensingCommitteemaydeterminefromtimetotime.

4.5 TheapplicantmustsendthecompletedwrittenapplicationtotheFootballRegulationsManagerofFFAtogetherwithabank

chequeorcreditcardpaymentforthenon-refundableAdministrationFeeof$2500orsuchotheramountastheLicensing

Committeemaydeterminefromtimetotime.

4.6 Theapplicantmustsendwiththecompletedwrittenapplicationacurrentandcomprehensivecriminalrecordcheckfromthe

AustralianFederalPolice.TheLicensingCommitteemayatitsdiscretionundertakefurthercriminalrecordchecksoftheapplicant.

TheapplicantagreestotheLicensingCommitteeundertakinganysuchcheckandwillprovideallsuchnecessarywrittenconsents

totheLicensingCommitteeandFFAtoenablethistobemade.

4.7 TheLicensingCommitteewillconsidertheapplicationtodeterminewhethertheapplicantmeetsthecriteriasetoutinarticle4.2

aboveandisthereforeanEligiblePersontobeaLicensedPlayerAgent.

4.8 TheLicensingCommitteemayrequestfurtherinformationfromtheapplicantandmayrequestthattheapplicantmakehimselfavailable

tobeinterviewedbytheLicensingCommittee.TheapplicantwillcomplywithallsuchrequestsmadebytheLicensingCommittee.


4.9 TheLicensingCommitteeshalldeterminewhetherinitsopiniontheapplicantisanEligiblePersontobeaLicensedPlayerAgent

undertheseregulations.IftheLicensingCommitteedeterminesthatinitsopiniontheapplicantisnotanEligiblePersonpursuantto

theseregulations,thentheapplicationshallberefusedanditshallgivetotheapplicantwrittennoticeofthatfactandsetoutwhich

ofthecriteriainarticle4.2thattheapplicantdidnotmeet.Toremoveanydoubt,nothingintheseregulationsrequirestheLicensing

Committeetoprovidereasonsforitsdecisionotherthantoidentifywhichofthecriteriatheapplicantfailedtomeet.

4.10 IftheLicensingCommitteedeterminesthattheapplicantisnotanEligiblePersontobeaLicensedPlayerAgent,theapplicantmay

notreapplytoFFAtobelicensedforaperiodoftwoyearsfromthedatetheapplicationwasrejected.

4.11 IftheLicensingCommitteedeterminesthattheapplicantisnotanEligiblePersontobeaLicensedPlayerAgent,theapplicantmayappeal

thisdeterminationtotheFIFAPlayers’StatusCommittee.TheFIFAPlayers’StatusCommitteeshallthendeterminewhethertheLicensing

CommitteewascorrectindeterminingthattheapplicantisnotanEligiblePersonwithinthetermsofarticle4.2oftheseregulations.

4.12 IftheFIFAPlayers’StatusCommitteeupholdstheappealoftheapplicant,theapplicantwillthenbedeemedasanEligiblePersonto

belicensedasaLicensedPlayerAgentundertheseregulations.

4.13 IftheFIFAPlayers’StatusCommitteeupholdsthedecisionoftheLicensingCommitteethentheapplicantmaynotreapplytoFFAto

belicensedforaperiodoftwoyearsfromthedatethattheapplicationwasrejectedbytheLicensingCommittee.

Examination

4.14 IftheLicensingCommitteedeterminesthattheapplicantisanEligiblePersontobeaLicensedPlayerAgenttheLicensing

Committeeshallcalltheapplicantforawrittenexamination.

4.15 FFAmayholdwrittenexaminationstwiceayear,subjecttotherebeingacandidateforexamination.Thewrittenexaminationwillbe

heldonidenticaldatesthroughouttheworldandFIFAwillfixthosedatesforMarchandSeptemberofeachyear.

4.16 TheFootballRegulationsManagerwillarrangeforthenotificationofthedatesonwhichthewrittenexaminationsaretobeheldand

willgiveapplicantsadequatenoticebypostingthesedatesontheFFAwebsiteassoonaspracticable.

4.17 TheLicensingCommitteewilluseitsreasonableendeavourstoensurethatitdetermineswhetheranapplicantisanEligiblePerson

insufficienttimetoensurethattheapplicantisabletositthenextexaminationbutFFAisnotliabletoanapplicantinanyrespectif

itisunabletoprocessanapplicationinsufficienttimetoenabletheapplicanttositthenextexaminationdate.Anapplicantshould

ensurethathisorherapplicationislodgedasearlyaspossiblebeforethenextlikelyexaminationdate.

4.18 TheexaminationprocedureisdefinedbyFIFAandissetoutinAnnexureBtotheseregulations.

4.19 Theexaminationpapersshallbemarkedaftertheexaminationandtheapplicantinformedassoonaspracticablewhetherhepassedorfailed.

4.20 Anapplicantwhofailstoattainapassmarkmayimmediatelyreapplytoretaketheexaminationatthenextexaminationdate,

providedthatatthesametimehepaysafurtherAdministrationFee.

4.21 Ifanapplicantfailstoattainapassmarkonthesecondattempt,hemaynotretaketheexaminationuntilafterthenexttwoexamination

dateshaveelapsed.Onlythenmayheapplytotaketheexaminationathirdtime,inwhichcasehemaychoosetobeexaminedbyFFAorby

FIFA.IfheelectstobeexaminedbyFFAhemustpayafurtherAdministrationFeepriortosittingtheexamination.

4.22 Anyapplicantwhofailstoattainapassmarkonthethirdattemptmaynotsittheexaminationagainforanothertwoyears.Hemust

priortosittingtheexaminationonthisandoneachsubsequentoccasionpayafurtherAdministrationFee.

Insurance/Code of Professional Conduct

4.23 IftheapplicantpassesthewrittenexaminationhewillbeentitledtohaveissuedtohimbyFFAalicencetobeaLicensedPlayer

Agentsubjecttotwofurthermatters.

4.24 First,theapplicantmustobtainprofessionalliabilityinsurancethatmeetstherequirementsofFIFAasdeterminedfromtimetotime.

Theinsurancepolicymust:(a) coveranyclaimsforcompensationfromaPlayer,aCluboranyLicensedPlayerAgentarisingfromtheLicensedPlayerAgent’s

occupation,andthereforemustbewordedinsuchawaythateverypossibleriskconnectedwithanLicensedPlayerAgent’soccupationsiscovered;and

(b) coverclaimsmadeaftertheexpiryofthepolicyforeventsthatoccurredduringthedurationofthepolicy.

4.25 TheapplicantisresponsibleforensuringthattheLicensingCommitteereceivesacopyoftheinsurancepolicyandthecertificateof

currencythatrelatestothepolicy.ThelicencewillnotbeissueduntiltheLicensingCommitteehasreceivedtheinsurancepolicyand

itscertificateofcurrencyanddeterminedthatitsatisfiestherequirementsofFIFA.

4.26 Second,theissueofthelicenceissubjecttotheapplicantwhohaspassedthewrittenexaminationsigningtheCodeofProfessional

ConductassetoutinAnnexureCtotheseregulationsorinsuchotherformasFIFAorFFAmayprescribefromtimetotime.

The Licence

4.27 AftertheLicensingCommitteehasreceivedfromtheapplicantacopyoftheapprovedinsurancepolicyandthesignedCodeof

ProfessionalConduct,itwillissuethelicencetotheapplicantonbehalfofFFA.Thelicenceisstrictlypersonalandnottransferable

andauthorisestheLicensedPlayerAgenttoprovidePlayerAgentServicesonaworldwidebasis.

4.28 ThelicenceisissuedbyFFAforanunlimitedtimebutissubjectatalltimestotheLicensedPlayerAgent:(a) continuingtobeanEligiblePerson;(b) complyingwithanyadditionalrequirementsthatFFAmayprescribefromtimetotime;(c) nothavingmadeanyfalseormisleadingstatementsinhiswrittenapplicationorinanyinterviewwiththeLicensingCommittee;

and(d) keepingcurrentanapprovedprofessionalliabilitypolicythathasbeenapprovedbytheLicensingCommitteeassatisfyingthe

requirementsofarticle4.24.

4.29 ALicensedPlayerAgentisrequiredtodisclosepromptlytotheLicensingCommitteeanymattersthatarisesubsequenttotheissuing

ofhislicencethatmayberelevanttothequestionofwhetherhecontinuestobeanEligiblePerson.TheLicensedPlayerAgentmust

disclosetotheLicensingCommitteeimmediatelyifheisconvictedofacriminaloffenceorismadebankrupt.

4.30 TheapplicantmustnotactasaLicensedPlayerAgentuntilhehasreceivedthephysicallicencefromFFA.Assoonastheapplicant

hasreceivedthelicencefromtheLicensingCommitteehewillbeentitledtousethedesignation“PlayersAgentLicensedbyFootball

FederationAustralia”afterhisnameinbusinessrelations.

4.31 AnyLicensedPlayerAgentwhohashadhislicencesuspended,cancelledorwhodecidestoterminatehisactivitiesasaLicensed

PlayerAgentmustpromptlyreturnhislicencetotheLicensingCommittee.

4.32 TheLicensingCommitteemayattherequestofaLicensedPlayerAgentagreetotemporarilysuspendhislicenceforaperiodoftime

inwhichtheLicensedPlayerAgentdoesnotwishtoprovidePlayerAgentServices.Anysuchdecisionwillbeatthesolediscretion

oftheLicensingCommitteeandwillbeonsuchtermsandforsuchperiodoftimeastheLicensingCommitteedeterminesinits

absolutediscretion.

Register of Licensed Player Agents

4.33 TheLicensingCommitteewillmaintainaRegisterofLicensedPlayerAgents.TheRegisterofLicensedPlayerAgentswillshowfor

eachLicensedPlayerAgentlicensedundertheseregulations:(a) hisfullname;(b) anybusinessnameoftheLicensedPlayerAgent;(c) theaddressoftheprincipalplaceofbusinessfortheLicensedPlayerAgent;(d) atelephonenumberforcontactingtheLicensedPlayerAgent;(e) theemailaddressoftheLicensedPlayerAgent;(e) thecurrencyoftheLicensedPlayerAgentsprofessionalliabilityinsurance;(f ) thedateonwhichhewasLicensed;(g) particularsofanycautiongiventohim;(h) particularsofanysuspensionofhislicence;and(i) particularsofanycancellationofhislicenceincludingidentifyingwhetherthecancellationarosefromthevoluntarywithdrawal

bytheLicensedPlayerAgentoranactionbytheLicensingCommittee.

4.34 TheLicensingCommitteewillprovidetoFIFAaftereveryexaminationdateanupdatedlistofallLicensedPlayerAgentswithinthe

jurisdictionofFFA.ItwillalsopublishontheFFAWebsite,andkeepupdatedonaregularbasis,alistoftheLicensedPlayerAgents

whoarecurrentlylicensed.

4.35 EachLicensedPlayerAgentlicensedbyFFAmustadvisetheLicensingCommitteewithin14daysofanychangeinanyofthe

informationontheRegisterofLicensedPlayerAgentsrelatingtohim.

4.36 EachLicensedPlayerAgentlicensedbyFFAundertheseregulationsconsentstothepublicationbyFFAonitswebsiteofanyofthe

informationontheRegisterofLicensedPlayerAgentsrelatingtohim.

� Licensed Player Agents

Obligations

5.1 ALicensedPlayerAgentmust:(a) complywitheachprovisionoftheseregulationsanditsAnnexuresandanyamendmentsthataremadetothemfromtimetotime;(b) complyinallrespectswiththeCodeofProfessionalConduct;(c) complywithallstatutesandregulationsofFIFA,FFA,anyNationalAssociationorConfederation;(d) onlyrepresentonepartyinanytransactioninwhichheisinvolved;(e) onlyberemuneratedinatransactionbythepartywhoretainedhim;(f ) atalltimesprotectthebestinterestsofhisclientwhileatalltimesactingwithinthelaw;(g) neveractinatransactionwherehehasaconflictofinterest;(h) atalltimescontinuetobeanEligiblePerson,includingofbeingafitandproperpersonandofhavinganimpeccablereputation;(i) immediatelydisclosetotheLicensingCommitteeifheisconvictedofacriminaloffence;(j) immediatelydisclosetotheLicensingCommitteeifheismadebankrupt;and(k) atalltimeskeepcurrentprofessionalliabilityinsurancethathasbeenapprovedbytheLicensingCommitteeassatisfyingthe

requirementsofarticle4.24.

5.2 FFAmayfromtimetotimeatitssolediscretionprescribeadditionalrequirementsforaLicensedPlayerAgenttocomplywith,which

mayincludecontinuingeducationandtrainingrequirements.ALicensedPlayerAgentmustcomplywithallsuchobligationsthat

areprescribedbyFFA.

5.3 FFAmayfromtimetotimedeterminetoaccreditLicensedPlayerAgentstoattendeventsorcarnivals.ALicensedPlayerAgentmustin

thesecircumstancesnotattendsucheventsunlessheisaccreditedandhemustcomplywithallconditionsonwhichheisaccredited.

Representation Agreement

5.4 ALicensedPlayerAgentmustnotrepresentaPlayeroraClubunlesshehasconcludedawrittenrepresentationagreementwiththat

PlayerorClub,intheappropriatestandardformsetoutinAnnexuresDandEtotheseregulations,orinsuchotherformasFFAmay

prescribefromtimetotime.Thewrittenagreementmustcontaintheentireagreementbetweenthepartiesandmustbelimitedto

aperiodoftwoyearsbutmayberenewedinwritingattheexpressrequestofbothparties.Thewrittenrepresentationagreement

maycontainadditionalprovisionstothosecontainedinthestandardformprovidedthatthoseadditionaltermsarenotinconsistent

withtheprovisionsofthestandardform.

5.5 Bothpartiesmustsignthewrittenrepresentationagreementinquadruplicate(acopyeachfortheLicensedPlayerAgent,Player,

ClubandFFA)andlodgefourcopieswithFFAforregistrationwithin14daysoftheagreementhavingbeensigned.FFAwillkeepa

registeroftheagreementsandprovideacopyofanyagreementtoFIFAoranotherNationalAssociationwherenecessary.FFAwill

providetwocopiesoftheregisteredrepresentationagreementtotheLicensedPlayerAgent,whomustthenprovideonecopytothe

5.6 ThewrittenrepresentationagreementmustexpresslyprovideforthetypeoffeetobepaidtotheLicensedPlayerAgentandthe

prerequisitetermsforthepaymentofthefee.

5.7 ALicensedPlayerAgentmustnotenterintoarepresentationagreementwithaminorunlessthelegalguardianorguardiansofthe

minoralsosigntheagreement.


5.8 IfanyofthetermsofrepresentationagreementbetweenaLicensedPlayerAgentandaPlayeroraClubcontravenethese

regulations,FFAmaydirecttheLicensedPlayerAgenttoamendthetermsoftheagreementsoastomakeitcompliant.

5.9 ALicensedPlayerAgentmaynotassignorsubcontractanyofhisobligationsunderarepresentationagreement:(a) toanypersonwhoisnotaLicensedPlayerAgentoranExemptIndividual;or(b) withouttheconsentinwritingofthePlayerorClubwhoistheotherpartytotheagreement.

5.10 ALicensedPlayerAgentmustnotifyFFAwithin5daysifarepresentationagreementwithaPlayeroraClubisterminated.

Disclosure of Involvement in a Transaction

5.11 ALicensedPlayerAgentmustensurethatforeverytransactioninwhichhehasactedonbehalfofaCluboraPlayertherelevant

transfer,employmentcontractordocumentrecordingtheagreementorarrangementreachedmustcontain:(a) hisname,signatureandlicencenumber;and(b) thename,signatureandlicencenumberofanyotherLicensedPlayerAgentwhotohisknowledgewasinvolvedinthe

transaction,whetheractingdirectlyonbehalfofapartytothetransaction,oractingonbehalfof,oras,athirdparty.

Remuneration

5.12 ALicensedPlayerAgentmayonlyberemuneratedbythepersonforwhomheactsinatransactionandmustpaytothatpersonany

paymentsthataremadetotheLicensedPlayerAgentbyanyotherpersoninrelationtothetransaction.

5.13 IfaLicensedPlayerAgentisprovidingPlayerAgentServicestoaPlayertheamountofremunerationduetotheLicensedPlayer

Agentmustbesetoutinthewrittenrepresentationagreement.Theamountofremunerationmayonlybecalculatedononeofthe

followingbases:(a) apercentageofthePlayer’sannualbasicgrossincome(i.e.excludingotherbenefitssuchasacar,aflat,pointpremiums

and/oranykindofbonusorprivilege)thattheLicensedPlayerAgenthasnegotiatedforhimintheemploymentcontractorarrangement.Thismaybepaidbywayofalumpsumpaymentorannualinstalmentsandthepaymentmethodagreedmustbestipulatedinthewrittenrepresentationagreement;

(b) aflatfeeagreedinadvance;or(c) byhourlyrateforthetimetakenbytheLicensedPlayerAgenttoprovidethePlayerAgentServices.

5.14 Nootherpaymentsofanykindmaybesoughtby,orpaidto,theLicensedPlayerAgentbythePlayerorbyanyotherpersonincludingthe

ClubofthePlayer.

5.15 ALicensedPlayerAgentwhohasbeencontractedbyaClubmustberemuneratedforhisservicesbypaymentofalumpsumthat

hasbeenagreeduponinadvance.

Tampering

5.16 ALicensedPlayerAgentmustnot,andmustnotattemptto,induceaPlayertoactinbreachofthePlayer’sContractwithaClubor

anotherAgent.

5.17 ALicensedPlayerAgentmustnoteitherdirectlyorindirectlyapproach,orattempttoapproach,aPlayerwithanintentionof

persuadingthatPlayertoactinbreachofhiscontractwithaCluboranotherAgent.

5.18 WhileaPlayerisundercontractwithaClub,aLicensedPlayerAgentoranypersonactingonhisbehalfmustnotenterinto

negotiationsormakeanyapproachwithaviewtofacilitateoreffectthetransferofthatPlayer,unless:(a) thecurrentClubofthePlayerhasprovideditsexpresswrittenpermissiontodoso;or(b) theCluborPlayer,onbehalfofwhomtheLicensedPlayerAgentisacting,isentitledtomakesuchanapproachundertheRulesand

StatutesofFFA.

5.19 WhileaPlayerisunderexclusivecontractwithaLicensedPlayerAgent,aLicensedPlayerAgentoranypersonactingonhisbehalf

mustnotenterintonegotiationsormakeanyapproachwithaviewtofacilitateoreffect:(a) thetransferofthatPlayer;or(b) arepresentationagreementwiththatPlayer,unlesstheexistingLicensedPlayerAgentofthePlayerhasprovidedhisexpresswrittenpermissiontodoso.

Business Structure

5.20 ALicensedPlayerAgentmayconducthisbusinessthroughapartnershiporcompanyprovidedthatonlyheoranotherLicensed

PlayerAgentprovidesPlayerAgentServicestoaCluborPlayerandtheworkoftheemployeesofthepartnershiporcompanyis

restrictedtoadministrativedutiesconnectedwiththebusinessactivityofprovidingPlayerAgentServices.

5.21 ALicensedPlayerAgentmustensurethathe(inhisownrightorthroughanycompanyorpartnershipthroughwhichheconducts

hisbusiness)doesnotemployorisnotinpartnershipwith,employedby,oremployedinabusinessthatalsoemploys,apersonwho:(a) wasaLicensedPlayerAgentandhadthatlicencecancelled;(b) appliedtobeaLicensedPlayerAgentbuthadthatapplicationrejectedonthebasisthatthepersonwasnotafitandproper

persontoactasanagentforPlayers;or(c) isnotafitandproperpersontoactasaLicensedPlayerAgent.

Club Involvement

5.22 ALicensedPlayerAgentmustnotbeaClubOfficialorholdanofficialpositionwithFFA,FIFA,aConfederationoranyotherNational

Associationoranyorganisationconnectedwiththeseinstitutions.

5.23 ALicensedPlayerAgentmustnothaveanyfinancialinterestinaClub.ForthepurposesoftheseregulationsaLicensedPlayerAgent

willbeheldtohaveafinancialinterestinaClubifhe:(a) ownssharesintheClub;(b) ownssharesinacompanythatownssharesintheClub;(c) isabeneficiaryofatrustwhichhasabeneficialinterestintheClub;or(d) hastheabilitytoexercisefinancial,commercial,administrativeormanagerialinfluenceovertheaffairsoftheClub.

Insurance

5.24 ALicensedPlayerAgentmusteachyearprovidetheLicensingCommitteewithacopyofthecertificateofcurrencyandthe

policydocumentforaprofessionalliabilityinsurancepolicythathasbeenapprovedbytheLicensingCommittee.IftheLicensing

Committeedoesnotreceiveacopyofthecertificateofcurrencywithin14daysofthedateonwhichthepreviouscertificateof

currencyexpired,thelicenceoftheLicensedPlayerAgentissuspendedandhemaybeliabletofurthersanction,includingthe

cancellationofhislicence,pursuanttosection8oftheseregulations.TheLicensingCommitteemayinitsdiscretionendthe

suspensionofthelicenceoftheLicensedPlayerAgentifheprovidesitwithacertificateofcurrencyandprofessionalliability

insurancepolicydocumentthatitapprovesassatisfyingtherequirementsofarticle4.24.

5.25 ALicensedPlayerAgentmustnotprovidePlayerAgentServicesifhedoesnothavecurrentaprofessionalliabilityinsurance

policythathasbeenapprovedbytheLicensingCommitteeorifhislicenceissuspendedbecausehehasfailedtocomplywiththe

provisionsofarticle5.24.

5.26 ALicensedPlayerAgentmustmaintainprofessionalliabilityinsuranceforsuchperiodasisnecessaryafterhehasretiredasa

LicensedPlayerAgent,orhadhislicencesuspendedorcancelled,toensurethatanyclaimforcompensationmadewhichoriginates

fromhisformeractivitiesasaLicensedPlayerAgent,iscoveredbytheinsurance.

Records

5.27 ALicensedPlayerAgentshallkeepfullandaccuratebooksofaccount,records,contracts,agreements,arrangements(including

electronicrecords)relatingtoanyPlayerorClubwhomherepresents,whichdocumentsshallbekeptattheprincipalplaceofbusiness

oftheLicensedPlayerAgentforaperiodofatleastfiveyearsfromthedateonwhicheachdocument,ineachinstance,wasgenerated.

5.28 ALicensedPlayerAgentshallproducetotheLicensingCommitteecopiesofanydocumentscontainedintherecordsoftheLicensed

PlayerAgentthattheLicensingCommitteeinitssolediscretiondeterminesthatitrequiresforthepurposeoftheseregulations.

Sanctions

5.29 ALicensedPlayerAgentwhobreachesanyprovisionsoftheseregulationswillbeliabletooneormoreofthefollowingsanctionsimposed

onhimbyFFA:(a) areprimandorwarning;(b) afine;(c) suspensionoflicence;(d) cancellationoflicence;(e) anordertopaycompensation;or(f) anysuchfurtherorderorpenaltytheLicensingCommitteeconsidersappropriate.

5.30 ItwillbesufficientforFFAtoestablishabreachoftheseregulationsbyaLicensedPlayerAgentifitestablishesthattherelevantact

oractsbreachingtheregulationswereundertakenbyanemployeeorauthorisedrepresentativeoftheLicensedPlayerAgent,orthe

companyortrustthroughwhichtheLicensedPlayerAgentconductshisbusiness,irrespectiveofwhethertheLicensedPlayerAgent

knewoftherelevantactoracts.

5.31 ALicensedPlayerAgentwhohashislicencecancelledwillberequiredtomakeanewapplicationforalicenceshouldhe

subsequentlywishtobere-licensedandhewillberequiredtore-sitthewrittenexamination.

5.32 ALicensedPlayerAgentwhohashislicencesuspendedmayberequiredbytheLicensingCommitteetore-sitthewritten

examinationasaconditionofhissuspensionending.

� Players

Duties

6.1 APlayermustnotuseapersontoprovidePlayerAgentServicestohimwhoisnotaLicensedPlayerAgentoranExemptIndividual.

6.2 ItistheresponsibilityofthePlayertosatisfyhimselfthatanypersonheusestoprovidePlayerAgentServicesotherthananExempt

IndividualisaLicensedPlayerAgent.

6.3 APlayermustensurethatthename,signatureandlicencenumberoftheLicensedPlayerAgentisdisclosedintheemployment

contractandotherrelateddocumentsforeverytransactioninwhichthePlayerusestheservicesofaLicensedPlayerAgent.

6.4 APlayermustensurethathisnameandsignatureappearonallrelevantdocumentslodgedwiththeLicensingCommitteeofFFAin

connectionwiththeseregulations.

6.5 IfaPlayerdoesnotusetheservicesofaLicensedPlayerAgentinenteringintoacontractofemploymentwithaClub,thePlayermust

ensurethatthisisexpresslydisclosedinwritingintherelevantcontractorcontracts.

6.6 APlayermustnotusetheservicesofaLicensedPlayerAgentunlesshehasconcludedawrittenrepresentationagreementwiththe

LicensedPlayerAgentintheappropriatestandardformsetoutinAnnexureDtotheseregulationsorinsuchotherformasFFAmay

prescribefromtimetotime.

Sanctions

6.7 APlayerwhousesapersontoprovidePlayerAgentServicestohimwhoisnotaLicensedPlayerAgentoranExemptIndividual,or

whootherwisebreachesanyprovisionoftheseregulations,willbeliabletohaveoneoracombinationofthefollowingsanctions

imposedonhimbyFFA:(a) areprimandorwarning;(b) afine;(c) adisciplinarysuspensionforupto12months;(d) anordertopaycompensation;or(e) suchfurtherorderorpenaltyastheLicensingCommitteeconsidersappropriate.


7 Clubs

Duties

7.1 AClubmustnotuseanypersontoprovidePlayerAgentServicestoitwhoisnotaLicensedPlayerAgent.Thisincludesthe

involvementofapersonasasub-contractororagentoftheLicensedPlayerAgentthatisretainedbytheClub.

7.2 AClubwhowishestoengageorre-engagetheservicesofaPlayer,ortransfertheregistrationofaPlayer,mustnotdealwithany

persononbehalfofthePlayerotherthan:(a) thePlayerhimself;(b) aLicensedPlayerAgentwithwhomthePlayerhasenteredintoarepresentationagreement;or(c) anExemptIndividual.

7.3 AClubwhowishestoengagetheservicesofaPlayer,ortransfertheregistrationofaPlayer,mustnotdealwithanypersononbehalf

ofanotherClubotherthan:(a) theotherClub;or(b) aLicensedPlayerAgentwithwhomtheotherClubhasenteredintoarepresentationagreement.

7.4 ItistheresponsibilityoftheClubtosatisfyitselfthat:(a) anypersonitusestoprovidePlayerAgentServicesisaLicensedPlayerAgent;(b) anypersonthatitdealswithonbehalfofaPlayerisaLicensedPlayerAgentwithwhomthePlayerhasenteredintoa

representationagreementorisanExemptIndividual;and(c) anypersonthatitdealswithonbehalfofaClubisaLicensedPlayerAgentwithwhomthatotherClubhasenteredintoa

representationagreement.

7.5 AClubmustensurethatforeverytransactioninwhichithasusedtheservicesofaLicensedPlayerAgent,thename,signatureand

licencenumberoftheLicensedPlayerAgentmustappearintherelevanttransfer,employmentcontractordocument.Thisincludes

theinvolvementofanyLicensedPlayerAgentasasub-contractororagentoftheLicensedPlayerAgentretainedbytheClub.

7.6 AClubmustalsoensurethatforanyotherLicensedPlayerAgentwhotoitsknowledgeisinvolvedinthetransferoremploymentofa

Player,whetheractingonbehalfofaPlayeroractingonbehalfof,oras,athirdparty,thename,signatureandlicencenumberofthe

LicensedPlayerAgentmustappearintherelevanttransfer,employmentcontractordocument.

7.7 IfaClubdoesnotusetheservicesofaLicensedPlayerAgentinrelationtotheengagementortransferofaPlayer,theClubmust

ensurethatthisisexpresslydisclosedinwritingintherelevantcontractanddocuments.

7.8 AClubthatpaysanotherClubcompensationasconsiderationforthetransferoftheregistrationofaPlayermustpaythefullamount

ofthatconsiderationinaccordancewiththeprovisionsoftheFFANationalRegistrationRegulations.TheClubmustnotpayanyof

thisconsiderationtoanyotherperson.

7.9 AClubmustnotusetheservicesofaLicensedPlayerAgentunlessithasconcludedawrittenrepresentationagreementwiththe

LicensedPlayerAgentintheappropriatestandardformsetoutinAnnexureEtotheseregulationsorinsuchotherformasFFAmay

prescribefromtimetotime.AcopyofthatrepresentationagreementmustbesignedbybothpartiesandoriginalslodgedwithFFA

intriplicate(acopyeachfortheAgent,ClubandFFA)forregistrationwithin14daysoftheagreementhavingbeensigned.FFAwill

keeparegisteroftheagreementsandprovideanyagreementtoFIFAoranotherNationalAssociationwherenecessary.

7.10 AClub,itsofficialsoremployeesmustnothaveanyinterestorinvolvement,eitherdirectlyorindirectly,inthebusinessofanyperson

thatprovidesPlayerAgentServices,orinacompanyortrustthroughwhichsuchabusinessisconducted.

7.11 IfaCluboranofficialoremployeeofaClubhasapotentialconflictofinterestindealingwithaLicensedPlayerAgentina

transactioninvolvingtheengagementortransferofaPlayer,thatpersonmustdisclosethatpotentialconflictofinteresttoallparties,

includingthePlayer,whoareinvolvedinthetransaction.

7.12 WhileaPlayerisundercontractwithaClub,anotherCluboranypersonactingonbehalfofthatClubmustnotenterinto

negotiationsormakeanyapproachwithaviewtofacilitatingoreffectingthetransferofthatPlayer,unless:(a) thecurrentClubofthePlayerhasprovideditsexpresswrittenpermissiontodoso;or(b) theClubisentitledtomakesuchanapproachundertheRulesandStatutesofFFA.

Sanctions

7.13 AClubthatbreachesanyprovisionoftheseregulationswillbeliabletooneormoreofthefollowingsanctionsimposedbyFFA:(a) areprimandorwarning;(b) thesuspensionofanyoralloftheboardofdirectors;(c) afine;(d) anordertopaycompensation;(e) abanonanynationalandorinternationalPlayertransfersforatleastthreemonths(suchperiodcontainingatleastonetransferwindow);(f ) abanonanykindofnationalorinternationalfootballactivity;(g) thedeductionofpoints;(h) anysuchfurtherorderorpenaltytheLicensingCommitteeconsidersappropriate.

7.14 FFAmayalsodeclarenullandvoidanycontractbywhichaPlayerwasengagedortransferredinwhichtheClubinthenegotiation,

contractorarrangementbreachedaprovisionofarticle7oftheseregulations.

7.15 ItwillbesufficientforFFAtoestablishabreachoftheseregulationsbyaClubifitestablishesthattherelevantactoractsbreaching

theregulationswereundertakenbyanofficial,employeeorauthorisedagentoftheClub,irrespectiveofwhetherthemanagement

oftheClubhadknowledgeoftherelevantactoracts.


� Imposing of Sanctions by FFA

Investigation

8.1 IftheLicensingCommitteebecomesawareofcredibleinformationthatmayestablish:(a) thataLicensedPlayerAgentisnolongeranEligiblePerson;(b) thataLicensedPlayerAgentmadeafalseormisleadingstatementofamaterialnatureinhisapplicationtobelicensed;(c) abreachbyaLicensedPlayerAgent,CluboraPlayeroftheseregulations,thentheLicensingCommitteeoritsnomineemayinvestigatethatconduct.

8.2 IftheFFAreceivesacomplaintinwritingabouttheconductofaLicensedPlayerAgentthentheLicensingCommitteeoritsnominee

mayinvestigatethatconduct.

8.3 Nothinginarticle8.1or8.2requirestheLicensingCommitteeortheirnomineetoinvestigateconductofanLicensedPlayerAgent

unlessthatconduct,ifestablished,isofanaturelikelytoaffectthecontinuinglicensingoftheLicensedPlayerAgenttowhomitrelates.

8.4 Inconductinganinvestigationundertheseprovisions,theLicensingCommitteemayrequestthataLicensedPlayerAgent,Clubor

aPlayerproducetoitsuchdocumentsthattheLicensingCommitteeinitssolediscretionbelievesarenecessaryforitsinvestigation.

TheLicensedPlayerAgent,CluboraPlayermustcomplyfullywithallsuchrequests.

Show Cause

8.5 IftheLicensingCommitteeafteritsinvestigationformstheopinionthat:(a) aLicensedPlayerAgentisnolongeranEligiblePerson;(b) aLicensedPlayerAgentmadeafalseormisleadingstatementofamaterialnatureinhisapplicationtobelicensed;or(c) aLicensedPlayerAgent,CluboraPlayerhascommittedabreachoftheseregulations,andthatitshouldasaconsequenceimposeasanctionorsanctionsonthepersonconcerned,thentheLicensingCommitteewill:(a) notifythepersoninwritingofthatintention;and(b) requestthatthepersonshowcauseinwritingwithin14dayswhythatsanctionshouldnotbeimposed.

8.6 Aftertheexpiryoftheperiodspecifiedinarticle8.5theLicensingCommitteeshallconsideranywrittenresponsefromtheperson

andthereafterdeterminewhetherto:(a) imposethesanctionorsanctionproposed;(b) takenofurtheraction;(c) cautionhim;or(d) imposesomeothersanctionorsanctions.

8.7 IfthesanctionproposedbytheLicensingCommitteeisasubstantialoneitmayinitssolediscretiondeterminetoholdahearing

toallowthepersonproposedtobesanctioned,oralegalrepresentativeonhisbehalf,theopportunitytoaddresstheLicensing

Committeeinperson.TheformandproceduretobeadoptedatsuchahearingisamatterforthesolediscretionoftheLicensing

Committee.Anysuchhearingmustcomplywiththerulesofnaturaljustice.

Suspension or Cancellation of licence of a Licensed Player Agent

8.8 IfinamatterinvolvingaLicensedPlayerAgent,theLicensingCommitteeafterconsideringeitherwrittenororalsubmissionsonhis

behalfdeterminesthatheisnolongeranEligiblePerson,theLicensingCommitteewilleither:(a) suspendhislicenceuntilsuchtimeasheisanEligiblePerson;or(b) cancelhislicence.

8.9 IftheLicensingCommitteeimposesafineorordertopaycompensationonaLicensedPlayerAgent,andtheLicensedPlayerAgent

doesnotpaythefineorcompensationwithinthetimeordered,hislicencewillbesuspendeduntilsuchtimeasthefineororderfor

compensationhasbeenpaid.

8.10 IftheLicensingCommitteedeterminestoeithersuspendorcancelthelicenceofaLicensedPlayerAgentthen:(a) inthecaseofacancellation,thelicenceoftheLicensedPlayerAgentshallimmediatelybecancelledandthenameand

particularsoftheLicensedPlayerAgentshallbeimmediatelyremovedfromtheRegister;(b) inthecaseofasuspension,thelicenceoftheLicensedPlayerAgentshallimmediatelybesuspendedandthefactofthat

suspensionshallberecordedontheRegister.

8.11 Inallcases,theFootballRegulationsManageroranothermemberoftheLicensingCommitteeshallassoonaspracticable: (i) notifytheLicensedPlayerAgentofthefactofthesuspensionorcancellationofhislicence,asthecasemaybe;and (ii) notifyallPlayersandClubswhom,totheknowledgeoftheLicensingCommittee,theLicensedPlayerAgentrepresents,and

FIFAthatthelicenceoftheLicensedPlayerAgenthasbeensuspendedorcancelled,asthecasemaybe.

8.12 ALicensedPlayerAgentwhohashadhislicencesuspendedorcancelledmustpromptlyreturnhislicencetotheLicensingCommittee.

Appeals

8.13 AnydecisionbytheLicensingCommitteeto:(a) imposeasanctionpursuanttoarticle8.6;or(b) suspendorcancelthelicenceofaLicensedPlayerAgentpursuanttoarticle8.8,maybeappealed.AnysuchappealmustbeexclusivelymadetotheFIFAPlayers’StatusCommitteeinaccordancewithitsrules.

� Disputes

9.1 Intheeventofadisputebetweena:(a) LicensedPlayerAgentandaPlayer;(b) LicensedPlayerAgentandaClub;(c) LicensedPlayerAgentandanotherLicensedPlayerAgent,allofwhomarelicensedorregisteredwithFFA,thensuchadisputewillbereferredtoFFAtoberesolvedpursuanttotheFFAGrievanceResolutionRegulations.

9.2 FFAmay,initssolediscretion,refertoFIFAanycomplaintordisputethatFFAdeemsappropriatetosorefer.

�0 Transitional provisions

10.1 AnyLicensedPlayerAgentwhoatthetimetheseregulationscommenceholdsacurrentlicenceissuedbyFFAoritspredecessororganisation

willbedeemedtohavebeenissuedwithalicenceundertheseregulationsandwillbeboundby,andsubjectto,theseregulations.

10.2 FortheSeptember2007examinationonly,anapplicantwillnotberequiredtosupplyacriminalrecordcheckwithhisapplication

form.FFAwillinsteadundertakeacriminalrecordcheckoneachapplicantwhohassatforandpassedtheexamination.Ifan

applicantpassestheexamination,inadditiontothematterssetoutinarticles4.23to4.26theissueofhislicencewillalsosubject

toFFAobtainingasatisfactorycriminalrecordcheckontheapplicant.Ifthatcheckdisclosescriminalconvictionsthatwerenot

disclosedbytheapplicantintheapplicationform,theapplicantwillnotbegrantedalicenceunlesstheLicensingCommittee

considersthatthemattersnotdisclosedaresuchthatitwouldnothavealtereditsdeterminationthattheapplicantwasafitand

properpersonandapersonofimpeccablereputation.

10.3 TheLicensingCommitteemayatitssolediscretiondeterminetovaryorwaivetheAdministrationFeeforanapplicantifthe

applicanthaspriortotheintroductionoftheseregulationspaidafeetoFFAtositthewrittenexamination.

Annexure B – EXAMINATION PROCEDURE

1. The examination shall be set as a multiple choice test. The candidate will be considered to have passed the examination if he has attained the minimum marks fixed by FIFA.

2 . Each candidate shall be tested on the following subjects:

(a) Familiarity with the current rules of football, especially in connection with transfers (the statutes and regulations of FIFA, the confederations and FFA).

(b) Familiarity with civil law (basic principles of personal rights) and the law of obligations (law of contract).

3. Each examination shall contain twenty questions, fifteen on international regulations and five on national regulations.

4. FFA shall set its own questions on national subjects whereas FIFA will set the questions on its own statutes and regulations and send the examination papers to be used to FFA.

5. FIFA will fix the minimum marks required to pass the examination. Each correct answer will be awarded between one to three marks, depending on the degree of difficulty of the question.

6. FFA shall inform the candidates of the minimum marks required to pass before they take the examination.

7. This procedure is subject to any changes that FIFA or FFA may from time to time make to it in its absolute discretion.

Annexure C – CODE OF PROFESSIONAL CONDUCT

1. A Licensed Player Agent is required to perform his occupation conscientiously and conduct himself in his profession and other business practices in a manner worthy of respect and befitting his profession.

2. A Licensed Player Agent shall adhere to the truth, clarity and objectivity in his dealings with his client, negotiating partners and other parties.

3. A Licensed Player Agent shall protect the interests of his client in compliance with the law and a sense of fairness, while creating clear legal relations.

4 . A Licensed Player Agent shall, without fail, respect the rights of his negotiating partners and third parties. In particular, he shall respect the contractual relations of his professional colleagues and shall refrain from any action that could entice clients away from other parties.

5 . A Licensed Player Agent shall maintain proper and complete books of record of his business activities. In particular, he shall ensure that he can provide evidence of his activities at any time by means of documents and other records.

6. A Licensed Player Agent shall keep all of the books conscientiously and detail his business activities faithfully in other records.

7. At the request of FFA, FIFA or any other authority conducting an investigation into disciplinary cases and other disputes, a Licensed Player Agent is required to produce books and records directly connected with the case in point.

8. A Licensed Player Agent shall produce an invoice showing his fees, expenses and any other charges upon first demand from his client.
