EXTRAENERGY PROMOTES the use of pedelecs and e-bikes since 1992 as an independentand international organization.RIDING AN ELECTRIC BIKE YOURSELF has proven the most persuasive argument and we areexperiencing this since 1997. Since then, our TEST IT TRACKS travel to tradeshows andevents worldwide. Nowadays, we can call it a whole TEST IT SHOW, which now got thesupport of the European Union. Since 2009, we are working on the EU supportedGOPEDELEC! project. It aims at convincing people of e-mobility through test rides onelectric bikes.

By taking part in the ExtraEnergy Test IT Show you get the chance to convince thousands of test riders, your potential customers, all over Europe of your product. 16 vehicles will be travelling on each Test IT Track to show the variety of products in the market without loosing focus.

VEHICLES: Deliver once - travel for a long time Just deliver your vehicele(s) to the ExtraEnergy headquarters in Tanna. All further logistic will be done by us. In the contract duration, the vehicle(s) will remain with ExtraEnergy e.V. Nevertheless, the vehicles can be replaced with other electric bikes of your product range at any time. You will get back the vehicle(s) at the end of the contract duration.

TEST IT TRACK: Leave this to us Once delivered, your vehicles will be part in all stations of the ExtraEnergy Test IT Show. The Test IT Track always comes with a ramp and crowd fences, ensuring a true riding experience and extensive opportunities.

PROMOTION AND REPORTING: We name names Alle participants will be named. Naturally, you are invited to promote the Test IT Show through your own channels. Respectively, we will promote the Test IT Show on our platforms ExtraEnergy.org and our print media. Futhermore, newsletters will be send out, advertising our offers to customers and manufacturers all over Europe.

LIABILITY: Enjoy safelyOur visitors` riding experience and safety are at the center of our efforts. Therefore, we took care of a general insurance, so you can present your products with the greatest peace of mind.

PRICES: All rates for the ExtraEnergy services are published in the enclosed application form and given in Euros (EUR). Contract partner is ExtraEnergy e.V. Prices are exclusive of VAT. All rates given are binding for the duration of the contract. You will receive an invoice that serves as confirmation for your application. Details on payment options will be stated on the invoice.

Scope of Services

We offer:• your pedelecs and e-bikes will be seen and used Europe-wide• you can provide us with any number of vehicles. Currently, a minimum of 3 vehicles are

required (incl. batteries and battery chargers) • your vehicles will be showcased on different Test IT Tracks at the same time. Current

status (July 2011) is a total amount of 3 Test IT Tracks travelling around Europe.

We charge 120,-- Eur per event day for each used vehicle

The price includes: • transport of vehicles to events. • test-riders will be introduced into proper handling of the vehicles and will be pointed to

available information material• repair of small defects (e.g. brake adjustment, loose screws, tire pressure, general

security check)• our guarantee: At least one vehicle/Test IT Track will be used• in case you can arrange supervision by your expert staff, we will reimburse

• in case you are an exhibitor at the fair, we grant the right to present additional vehicles at the Test IT Track without further costs. Please note: This offer is subject to supervision of vehicles by your staff.

• you will be sent a bill at the last working day of the month, which will be due immediately.

• the contract period is unlimited and can be terminated at any time by the contracting parties with a three months`notice.

• the contract duration begins immediately after signing the contract by the contracting parties, provided that there are no other written agreements.

• all contracting parties have the possibility to advertise for their products at the Test IT Track at no additional cost.

• we provide space for banner ads per Test IT Track for each contracting party corresponding to the number of used vehicles (min. 5 banner ads = 8.6 m2 advertising space).

• we only accept banner ads complying with our specification (see appendix).

• if you are interested in alternative advertising at our Test IT Track, please don`t hesitate to contact us.

• bad weather conditions in open-air events, such as storm, can make it necessary to remove your ads.

SPECIFICATIONS

BOOKING: Please note that the Test IT Show is designed as an overall concept, i.e. you can not choose the events in which you want to participate.

PARTICIPATION: We can not guarantee your participation, as space on the Test IT Shows is limited. We recommend to book as soon as possible, as we operate on a first come first serve basis. Our co-operation with the European Union and our orgnization objective obligate to show the variety of vehicles, drive systems and manufacturers. This means: If we have applications from manufacturers with similar products from different countries, we might decide, in favour of the country or vehicle, to choose those which fulfil criteria underrepresented in the Test IT Show.

VEHICLES: If due to late delivery vehicles can not take part in all events, ExtraEnergy can not be held responsible. We kindly ask you to bear in mind, that the Test IT Show is designed as a package. Necessary repairs that can not be carried out by the staff of ExtraEnergy within 24 hours, as well as the delivery of spare parts, are your responsability as manufacturer. You can exchange vehicles at any time.

BATTERY/CHARGER: We ask for delivery of a second battery and an additional charger per vehicle. That way we can guarantee the constant operational readiness of your vehicles.

ADVERTISING MATERIAL:. Because of the international scope of the Test IT Show, we recommend banners using no words other than your brand, or banners written in at least German and English. You can send updated material at any time. Please see appendix for details.

STAFF: If you send your own staff to supervise your vehicles, please name a contact person at least one week ahead of the event. Please note, that an event is only considered as being supervised by yourself, if someone takes care of your vehicles for the whole duration of the event.

PAYMENT: We ask for payment upon receipt of the invoice. If despite two reminders no payment is received, we consider your vehicles as property of ExtraEnergy.

CONTRACTUAL CONDITIONS EXTRAENERGY TEST IT SHOW

Definition: ExtraEnergy e.V. is, for the purposes of this contract, to be known as the ORGANIZER. Similarly, all exhibitors, exhibitors` representatives, importers and dealers of Light Electric Vehicles (LEV), who are participating in Test IT Track activites of the Test IT Show, are to be known as EXHIBITORS.

1. Application and Confirmation: Your participation will be confirmed upon our receipt of your signed and completed fax. The exhibition contract becomes effective for the ORGANiZER as soon as we received the vehicles and if we have not, within one week, informed you that your participation is not possible.

2. General Terms of Contract: The participant information for the ExtraEnergy Test IT Show enclosed in the application documents together with the confirmation, are part of the exhibition contract. By his/her signature the EXHIBITOR acknowledges agreement to the general conditions related to the Test IT Show. The ORGANIZER is responsible for the arrangement, conception and design of the exhibition. The EXHIBITOR has no authority regarding method of presentation. The ORGANIZER will take the wishes of the EXHIBITOs into consideration as they are made known to him and do not negatively affect the overall concept of the exhibition. The exhibition conditions and house policy of the fair, congress or event location are binding in so far as there are no other agreements made regarding this contract.

3. Supervising and introducing the Products to Visitors on the Test IT ShowDuring the official period of the trade fair or event, supervising and introducing the product to visitors must be guaranteed by the EXHIBITOR. If a representative of the EXHIBITOR is not present, ExtraEnergy must be informed one week ahead of the event. Repair and maintenance work, which can not be resolved within 24 hours, has to be solved by replacing the vehicle by the EXHIBITOR if necessary.

4. Participation at events in Germany is binding and can not be excluded, unless it is agreed in the contract.5. Billing and Payment Conditions: Upon receipt of your application by fax, you will receive a confirmation of

registration. 6. Contact Withdrawal, Idemnification: In the following cases the ORGANIZER can withdraw from the

contract: a) If there are not enough EXHIBITORS participating in the special exhibition. Any further claims are excluded. b) If the EXHIBITOR does not pay the bill as agreed in the contract, the ORGANIZER is allowed to withdraw from the contract without any further delay. Claims of idemnification are possible in case of intentional or reckless actions only. The EXHIBITOR can withdraw from the contract if the ORGANIZER will give the agreement.

7. The ORGANIZER will give the agreement if an appropriate replacement for an exhibitor can be found.8. The application form is regarded as part of the contract.9. Miscellaneous

Any alterations or amendment of the contract must, for legal reasons, be submitted in written form to be legally binding. All actions connected with production of the special exhibition will take place at the location of the event. All other activities will be at the main office of the ORGANIZER. If legal proceedings are brought, the original contract in German shall take precedence (available on request).
