ConsumerMeanswho buys goods or servicesfor personal (self) use and not for resale or commercial purposeand shall have the same meaningasprovided under the ConsumerProtectionAct, 1986.e. Goods / ProductsMeansgoods/productsdefined in the Sale of GoodsAct, 1930and section 3(26) of the General ClausesAct, 1897, is that, it shall includeevery kind of movableproperty other than actionable claimsand money.f. Sales incentiveMeansamount of incentive payable to the Direct Seller-for effecting sale of goods/products as stipulated in the contract betweentheDirect Seller and Direct Sellingentity.g. Unique 10 (Track 10Meansunique identificationnumber issued by the Company to the Direct Seller as token of acceptanceof hislher application for DirectSelling of the goods/ products of the Company.h. PasswordMeansuniquecode allotted to each Direct Seller to allow them to log on to the website of the Company.i. WebsiteMeansofficial website of the Companywww.Unibizmultitrade.comj. TDSTaxDeductedat source (TDS).all such paycuts payableare subject to incomeTaxand family Members shall get Form 16A,on quarterly basis,once a year for their accounting purpose.

I. THEAPPOINTMENTAND UNDERSTANDINGa. The Companyupon scrutiny and verification of the Applicationmay consider theApplicant as "Direct Seller"for Direct Selling the

goods/ products of the Company. The Company shall be at liberty to accept or reject his/her application at· itsdiscretion.

b. The Direct Seller shall enjoy the following privileges:-I. Incentive for effectingsale of goods /products of the Companyas per marketingplan,ii. No territorial restrictionto sale the goods/products,iii. Search and inspect his/her accounton website of the Company through his/her passwordawarded by the Company.iv. Earningsof the Direct Seller shall be in proportionto the volume of sales done by the Direct Seller by self or through team as stipulated in

the marketingplan of the Companyc. An individual, upon appendinghis/her signatureat the bottomof these presents,shall bedeemed to have accepted the terms and

conditions stipulated hereinand uponappointmentafter scrutiny of the applicationshall becomethe direct sellerof the CompanyAllotment of passwordand 10 shall be construedas appointmentas direct seller.The applicanthereby covenants that as under:

iii Shall act as a freelance body and shall not commit any misfeasanceor malfeasanceto create any liability/obligationover theCompanyof whatsoever nature.

iv Direct Seller is not an Agent, Employee or any other Legal representative of the Company or its service providers.Any Payment receivedby the Direct Seller from any person declaring that the amount is being receivedfor and on behalf of theCompanyshall not be deemed to be receivedby the Company.Direct seller is not authorisedto receiveany money for and on behalf ofthe Company.

v Direct Seller, hereby declare that all the informationfurnished to the Companyare true and correct. Companyshall be at liberty to take. any action against the Direct'Seller in the event, it is discoveredthat the Direct Seller furnishedany wrong/false informatiohto the company.

GENERAL TERMSI. The Companymay appoint any Third Party for Collection/distributionservices. DirectSeller is required to visit the Company's officialwebsite from

time to time to know such appointmentand avail facilities such as walk in to their outlets and makepayment and collect valid receipt and productsfrom them.

ii. The Direct Sellerwill be eligible for facilitation fees or income, as per the volume of sale of Products/Businessdone by him, subject to the eligibilitynorms formulated by the Company from time to time. The Companydoes not guarantee/assureany facilitation fees or income to the Direct Selleron account of becoming just a mere "Direct Seller" of the Company.

iii. Track ID has to be quoted by the Direct Seller in all his/her transactionsand correspondencewith the Company.The track IDonce chosencannot be altered at any point of time

iv. No communicationwill be entertainedwithout unique ID and password. Direct Seller shall preserve the ID and Passwordproperlyas it is "must"forlogging on to website.

v. Commission/incometo the Direct Seller shall be subjected to statutory deductions as applicable.vi. The Company reserves its right to'withheld/blocklsuspend the Direct Seller in the event the Direct Seller fails to provide any details as desired by the

Company from time to time including but not limited to Pan card details.vii. Processingchargesand any other applicable chargeswill be deducted as per the Company's norms.viii. Direct Seller undertakes to adhere for policies, procedures, rules and regulationsformed by the Company.The Direct Seller shall be

faithful to the Company and shall uphold th!3integrity and decorum to the Company and shall maintaingood relationswith other Direct Seller andother clientsalso.

ix. Company reserves the rights to modify the terms and conditions,products, plan, business and pollcteswith/withoutgiving prior notice. Such noticemay be published throughthe officialwebsite of the Company,and any such modification/amendmentshall be applicableand bindingunto the DirectSeller from the date of such notice.

x In case of death or loss of contractual capacity of Direct Seller, his/her nomineeor legal heir shall become the Direct Seller of the Companyandhe/she shall also abide by all rules and regulations,terms and conditionsetc., in the samemanner as original Direct Seller was being abide/supposed to abide.

xi. Direct Seller shall complywith all state and central government and local governing body laws, regulationsand codes that apply to the operationoftheir UNIBIZMULTITRADE PVT LTDbusiness.Direct Seller must not engage in any deceptive of unlawful trade practice as defined by any central,state or local law or regulation.

xii. Direct Seller shall not manipulatethe UNIBIZMULTITRADE PVT LTDmarketingplan or product's rate, B.V.etc., in any way.xiil. Direct Seller shall not send, transmitor otherwisecommunicateany messages to anybody on behalf of the Companyotherwise than for authorisation

for the same. .xiv. Direct Seller and/or any other person Is strictly prohibited to use Business Promotional Material, other than Business

PromotionalMaterial developedand/or authorisedto develop by the Company.xv. Direct Seller shall not use the UNIBIZMU,TI TRADE PVT LTDtrademark,toqo type and design anywherewithoutwritten permissionfrom thexvi. Company.Thispermissioncan be withdrawn at any time by the Company.xvii. All the arrangements,expenses, permissionfrom local authorities, complyingwith rules of central and state government and local body is whole

responsibilityof Direct Seller for meetingsand seminars conductedby DirectSeller.Direct Seller is personally liable to pay senfice tax applicableas per rules applicable

PROHIBITIONS II. Direct Seller or his/her relatives (relativemeansdependentson or daughter,father/mother,spouse) shall not engage in any activities of Multi Level

Marketing of any other entity. If it is found then such Direct Seller shall be terminated.ii. Direct Seller is prohibitedfrom listing, marketing, advertising,promoting,discussing, or selling any product,or the businessopportunityon any

website or online forum that offers like auction as a modeof selling.iii. The Direct Seller hereby undertakesnot to compel or induceor mislead any personwith any false statement /promise to purchaseproducts from the

Companyor to become Direct Seller of the Company.iv. The Direct seller needs to be above 18years ofAge.v. The Direct seller shall not have more than 1 Unique IE on same PAN no., If found shall be cancelled,without prior intimationDUTYAND CONFIDENTIALITYParties Shall:i. Keep the Confidential Informationsecret a d confidentialand not disclose any of it to any person other than personswho reasonablyneed to know

VI. TERMINATION

(A) Companymay terminate this ag)ee~ent for any reason not limited to;(B) Pursuantto the provision to the marketingplan.(C) Any unethical and pre judicial work to the interest of the.Company.(D) For the breachof any terms and conditionsof this agreementand marketing plan.(E) Informationgiven by DirectSeller found wrong/false.(F) In convictedof an offencepunishable by a prison term.(G) Is declarant Bankrupt.(H) Is not mentally sound to handle the business.

VII. FORCE MAJEURE'

The Company shall not be liable for any failure to perform its obligations where such failure lias resulted due to Acts of Nature (including fire,flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostlflties (whether war is declared or not), 'civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist' activities, nationalization, government sanction,blockage, embargo, labour dispute, strike, lockout or interruption or failure of electricity, any type of redirection by Government(Central and /or State), Local Authority etc.

VIII. RECOURSE AND LEGAL APPLICABILITY

The terms and conditions stipulated in the f~~going'paragraPh~ shall be governed in accordance with the law in force in India. Disputes, if any,shall be subject to the exclusive jurisdiction of the courtsin Kalaria, D~m·an. ..,If any dispute or difference arises out of or in relation to'trrese presents, the same shall be referred to sole arbitrator appointed by theCompany. Direct Seller shall not raise any objection, in case the Arbitrator so appointed by the Company is related/associated withthe Company in any manner whatsoever. Arbitration in such event shall be conducted as per "Arbitration and conciliation Act, 1996"as amended from time to time. Venue of such Arbitration shall be in Bhilwara and the language shall be English.UNIBIZ MULTI TRADE PVT LTD's liability, whether in contract, tort or otherwise arising out of or in connection with the agreement and/orrelationship arising there from shall not exceed the lesser of a) actual damages or loss assessed by the arbitrator or any other disputeresolution mechanism adopted by the parties or; b) the total commission earned'by the Direct Seller during preceding six months of the date ofdispute. -

IX. REFUND POLICYi.

The 30 Day Replacement Guarantee seeks to assist Buyers who have been defrauded by qualified sellers on the Website. If at the time ofdelivery and/or within 30 days from the date of delivery of the product/s, if any defect is found, then the buyer of the product/s can ask forreplacement of the productls from the seller
