Magna's external sales from North America were 53.5% of 2014 sales, from Europe it was 39.5%. The companyderived 5% of sales from Asia and 2% from rest of world.

At the end of December 2014, Magna had 313 manufacturing and assembly centers operations and 84 productdevelopment, engineering and sales centres in 28 countries. The company employed 131,000 people as on 31December 2014.

Corporate Strategy

Magna made two major changes to its business in 2015, one being the divestment of its interior business to Spain-based, Grupo Antolin and the other being acquisition of Getrag. Both these deals show the planned move by Magna.In line with its strategy to refine its product portfolio, Magna announced its agreement to sell its automotive interiorsbusiness to Grupo Antolin for approximately USD525 million, excluding the seating business in April this year. Thetransaction includes 36 manufacturing operations and 12,000 employees in Europe, North America and Asia.

Another deal to the supplier’s basket this year (in July) is Magna’s announcement of acquiring Getrag, one of theworld's largest transmission suppliers. The proposed deal includes Magna's purchase of 100% of Getrag's equity forEUR1.75 billion (USD1.9 billion). The deal is expected to close by 2015-end. There are number of automakerschoosing to outsource some or all transmission production. As non-manual transmissions become increasinglycomplex and expensive for automakers to develop to meet a variety of needs, buying transmissions from supplierscan enable effective sharing of development costs. That effect can cascade into enabling choosing more expensivecutting-edge products, more simple and cheaper products, or some combination of both, depending on the variedmarket and consumer expectations. Getrag supplies BMW, Renault-Nissan, Ferrari, Ford, Mitsubishi and Smart. AsGetrag supplies manual and dual-clutch transmissions which American consumers have not warmed to, there isalso a possibility for Magna to help Getrag reinvent the DCT for the North American marketplace.

Magna invested USD1.4 billion in FY2013 to bolster its presence geographically. The company has intensified itsfocus in the North American region with rapid investments. For instance, Magna Mirrors of America invested in threeUS facilities in 2013, to meet growing demand for Infinity™ mirrors – an inside rearview mirror with frameless design– from its customers. Magna also foresees potential scope for business expansion in emerging nations of Asia-Pacific including China. To support the growing demand from automakers in the country, the company is graduallyestablishing more plants. Magna opened Magna Steyr engineering facility in Shenyang, a powertrain plant in Tianjin,and an electronics production line in Zhangjiagang. In addition, the company also opened manufacturing facilities inSerbia and Turkey during 2013. Magna initially arrived in China in 1996 and its closure division opened its first plantin the country in 1999.

Looking into the future, Magna has identified hybrid and electric vehicles (EVs) as an area of high growth. Thecompany has made considerable investments in the past to strengthen its expertise in the area. Since its beginningin 2010 with E-Car systems, Magna has come a long way in hybrid vehicles as well. Magna E-Car Systems alsoformed a joint-venture with Hyundai Heavy Industries called Mahy E-Cell to develop battery cells and battery packs forelectric and hybrid cars, in 2012. And these developments were followed by one of the company’s key developmentsin 2014 when Magna unveiled a pair of industry-first systems that made their respective debuts on the BMW i8 plug-inhybrid sports car. It developed outside mirrors with hidden turn signal indicators and an electronic side-door latchsystem that are featured on the Bavaria. During last year (2014) itself, Magna unveiled its MILA Blue vehicle concept, anatural-gas powered, A-segment lightweight vehicle that produces less than 49g CO2/km. the vehicle weighs 300kgs less than the typical A-segment vehicles.

Magna and the Ontario (United States) government have recently (early 2015) announced a USD400 millioninvestment for research and development into electric vehicle technologies as the states strives to become a hub forthe development of environmentally friendly vehicles. The Ontario government plans to give the auto parts giant aboutUSD50 million to do research into new technologies.

Acquisitions

In October 2014, Magna announced that one of its subsidiaries signed an agreement to acquire the TechformGroup of companies, an automotive supplier of hinges, door locking rods and other closure products. Postprocess completion, Magna will acquire Techform's facilities located in Penetanguishene, Ontario (Canada);Portland, Tennessee (United States) and Hefei, Anhui (China).

In November 2012, Magna, through one of its wholly owned subsidiaries, signed an agreement with STTTechnologies Inc., a leading supplier of transmission and engine related oil pumps serving the NorthAmerican automotive market, to acquire the remaining 50% stake in the same.

In November 2010, Magna Car Top Systems acquired assets and equipment, including a leased facilitylocated in Toluca (Mexico). The plant produces convertible top systems, using carbon steel, paint,thermoplastics for Ford and Fiat Chrysler.

Acquisitions outside North America

In July 2015, Magna International has announced an agreement to buy Getrag Group, one of the world's largesttransmission suppliers. The proposed dealer includes Magna's purchase of 100% of Getrag's equity forEUR1.75 billion (USD1.9 billion). According to a joint statement, the amount represents an enterprise value ofEUR2.45 billion (USD2.67 billion), less proportionate net debt and proportionate pension liabilities assumedto be approximately EUR700 million (USD763.7 million). The two companies expect the deal to close near theend of 2015.

In February 2015, Magna International acquired the head-up display and electronic components businessunits of Philips & Lite-On Digital Solutions (PLDS) in Wetzlar, Germany, and PLDS' ultrasonic sensor businessunit in Hsinchu, Taiwan. As a result of the acquisitions, approximately 60 PLDS employees will join Magna.The companies did not disclose the financial details about the deal.

In November 2012, Magna received European Union’s (EU) clearance for the acquisition of hydraulic pumpmanufacturer Ixetic Verwaltungs GmbH. The deal was valued at EUR308 million (USD399.3 million).

In February 2012, Magna announced that it was acquiring the old FSO (Fabryka Samochodow Osobowych)factory in Warsaw. The facility previously stopped full-time car production for 12 months when small scalecontract assembly of the Chevrolet Aveo ceased.

In January 2012, Magna International acquired the assets of German seating supplier Vogelsitze GmbH.Vogelsitze produces seats for bus and light train segments from its leased facility in Karlsruhe-Stupferich(Germany).

In December 2011, Magna acquired ThyssenKrupp's Brazilian subsidiary ThyssenKrupp Automotive SystemsIndustrial do Brasil Ltda (TKASB) through its operating unit Cosma International. The acquisition included fourplants of the subsidiary located in Sao Bernardo do Campo, Ibirité, Camacari and São José dos Pinhais,


employing 770 people. The subsidiary manufactures and assembles chassis structural components andmodules for the Brazilian automotive industry serving customers such as Ford, Fiat, Renault-Nissan, Hondaand PSA.

In November 2011, Cosma International, a body, chassis and engineering solution subsidiary of Magnaacquired the aluminium castings operations of BDW Technologies group. Cosma acquired four operations –two in Germany, and one each in Poland and Hungary.

In February 2011, Cosma International acquired the Dürbheim facility of Acument GmbH & Co. in Germany.Acument – Dürbheim is a supplier of stamped high-strength extrusions for automotive customers includingDaimler, BMW, GM, Ford and Renault. Financial details of the acquisition were not disclosed.

In January 2011, Magna Seating acquired automotive seat supplier Pabsa, previously part of the L’EquipeMonteur Group. The new entity operates as Magna Seating Argentina. The acquisition includes two productionfacilities in Beunos Airies and one in Cordoba (Argentina). The new company has a headcount of 960.

In November 2010, Magna Seating announced the acquisition of automotive seating supplier Resil Minas, Theacquisition includes three manufacturing facilities and around 1,400 employees. The new entity operates asMagna Seating Brazil.

In February 2010, Magna Steyr acquired Karmann Japan Company, a subsidiary of Wilhelm Karmann. Magnahas integrated the convertible roof systems business with its Car Top Systems business in Japan.

Joint Ventures

In April 2010, Magna Seating formed a joint-venture with Hollingsworth Logistics called Chattanooga SeatingSystems (CSS). The venture caters to the seating systems contract of Volkswagen in Tennessee (UnitedStates) for a mid-sized sedan. Hollingsworth owns 51% stake in the JV and 49% is owned by Magna Seating.

Joint-ventures outside North America

In May 2015, Magna International and China’s Chongqing Xingqiaorui (Xingqiaorui) to form a strategic jointventure in China. The agreement, pending regulatory review, will see Magna’s body and chassis operatinguint, Cosma International, hold a 53% stake in the JV, with Xingqiarui holding 47%. The transaction is expectedto close late in 2015 or early 2016.

In September 2014, Magna signed a 50:50 joint-venture (JV) agreement with India’s Tata AutoComp Systemsto supply seating systems to the Indian commercial vehicle industry. Tata AutoComp, promoted by the TataGroup, is a major supplier of several key components to Tata Motors, the leading commercial vehiclemanufacturer in India. The JV will be headquartered in Pune, Maharashtra and will supply to bus and truckmanufacturers in India.

In February 2014, Magna International, through its Magna Exteriors operating unit, formed a 50:50 joint-venture(JV) with Chongquing Guangneng Rongneng Trim Co in China. The JV, called Magna Guangneng AutomotiveTrim System (Hangzhou) Co, will have a new facility in Hangzhou to assemble and sequence front-endmodules (FEMs) and supply components to the Chinese automotive market.

In November 2012, Magna and Avtotor signed a deal to develop an automotive manufacturing cluster inRussia's Kaliningrad region. According to the agreement formalised on 22 November, the cluster will have aminimum production capacity of 250,000 units per annum (upa) and will integrate 21 new factories, six ofwhich will be for vehicle manufacture, while the remaining 15 will be focused on component production. Theproject will leverage the relationships that Avtotor already has, including BMW, GM and Kia. The project isexpected to be completed in two stages: the first, completed in 2016, will build 14 factories while the secondphase will be completed during 2018.

In May 2012, Magna Steyr, the vehicle engineering and contract manufacturing division of Magna signed amemorandum of understanding (MoU) with Nissan Motor’s Infiniti brand to assemble a future entry-levelcompact vehicle. Production of the vehicles is expected to begin before end-2014.

In April 2012, Magna E-Car Systems and South Korea based Hyundai Heavy Industries (HHI) joined hands toform a joint-venture to develop lithium-ion batteries targeting the automotive market. Magna E-Car and HHIhave a 60:40 stake in the venture named MAHY E-CELL.The agreement incorporates both parties jointlyconducting engineering, design, development and testing activities with the aim of preliminary validation ofbattery cell and battery pack technologies for hybrid and electric vehicle applications.

In August 2011, Magna Exteriors and Interiors formed a three-party joint-venture called MCC Wuhu Exteriorswith Changshu Automotive trim (34%) and Chery Tech (15%), with Magna owning 51%. The joint-venturepurchased an existing 300,000 square feet injection molding and painting facility in Wuhu (China). The facility’smajor customer is Chery Auto.

In May 2011, Cosma International established a joint-venture with Guangzhou Automobile Group ComponentCompany. The venture named Changsha Cosma Automotive Company is headquartered in Changsha city inHunan Province (China) and manufactures body and chassis components along with structural assemblies.

In September 2010, Magna Steyr and Hero Motors signed a business development and technical assistancejoint-venture to develop products for global automotive markets. The companies work together to develop newproduct lines, including drivetrain assemblies.

Investments

In July 2015, Magna Seating of America, a subsidiary of Magna International, announced its plans to build anew 180,000 square foot facility in Novi, Michigan (United States). Magna Seating plans to consolidate itsoperations into a single facility, which will include its headquarters, engineering, research and development(R&D), and sales and marketing teams.


In June 2015, Marada Industries, a subsidiary of Magna, planned to open an underbody structural componentsplant in Lyon Township site in Michigan, United States. The 150,000 square foot plant will be built with aninvestment of USD56 million and is expected to create 250 jobs. Magna has secured USD1.6 million asperformance-based grant from Michigan Business Development Program. The company will beginconstruction in the last quarter of this year and is expected to get completed in the last quarter of 2016.

In May 2015, Magna announced that it will relocate its global headquarters from Aurora, Ontario in Toronto(Canada) to a site near King City, also in Ontario. The new, 200,000-square-feet building will house a researchand development centre and will employee 625 employees. The company expects to shift to the new locationby 2017.

In March 2015, Magna begun construction at a new, state-of-the-art automotive exteriors manufacturing facilityin Queretaro, Mexico. Magna is investing USD135 million into the new manufacturing plant, which will include a26,400-square-meter facility. Magna expects to employ approximately 600 people within the first year.Production will be of molded and painted exterior parts, including fascias and rocker panels for globalautomakers. Magna will launch production at the plant in the first quarter of 2016.

In February 2015, Magna inaugurated its new greenfield facility in Emiliano Zapata, Morelos (Mexico). Thefacility, called Autotek Morelos, is set to assemble chassis products for Nissan, along with other globalautomakers. The 130,000-square foot facility is expected to employ approximately 300 people, at fullproduction. At Cuernavaca site Nissan build the Tsuru, Versa, Frontier and NV200, as well as a version of theNV200 for Chevrolet, sold as the City Express.

In October 2014, Magna opened a new greenfield facility in Delta Township, Michigan, United States. The plantnamed DexSys, spread on an area of 290,000 square foot. According to The Lansing State Journal, the planthas a headcount of 180, which is expected to reach 300 by the end of 2014. The plant is expected to havearound 340 employees when it reaches full capacity, sometime in 2015. The facility will manufacture front andrear fascias for the vehicles made at GM's two local assembly plants – Lansing Delta Township and LansingGrand River (both located in Michigan). The Lansing Delta Township plant builds the Buick Enclave, ChevroletTraverse and GMC Acadia crossovers, while the Lansing Grand River plant manufactures the Cadillac ATS andCTS luxury cars. Magna plans to produce one million parts for GM.

In September 2014, Magna America RE Holdings, an affiliate of Canada-based Magna International,announced plans to open a manufacturing plant in Eaton County, Michigan, United States to produce interiorparts for GM. The supplier intends to build nearly 200,000-square foot facility on 60 acres property, WindsorTownship, near Dimondale in Michigan. The new facility, specialising in injection molding, interior painting,assembling doors, floor consoles and parts for instrument panels, will add 281 jobs.

In September 2014, Magna begun construction of a new seating plant in Spring Hill, Tennessee (UnitedStates). Together with the new plant in Tennessee, Magna has five seating plants in the area. The companywill manufacture complete seat assemblies for GMs assembly plant in Spring Hill. The plant will have 122,500square feet area and will become fully operational in January 2015. The facility is expected to haveapproximately 75 employees when it starts production.

In May 2014, Magna Powertrain, an operating unit of Magna planned to expand its operations in Muncie-Delaware County, Indiana (United States). The auto-parts supplier will invest USD15.5 million to add newequipment including the purchase of new laser welders and other manufacturing equipment to supportincreased business in the facility. The expansion will result in creation of 50 new jobs by December 2015. Thefacility – spread on a 200,000 square foot area – currently employs 300 people.

In April 2014, Magna Powertrain (MPT) held a groundbreaking ceremony for its new plant in Mexico. The facilityis the third building at MPT's growing operations in the region. MPT Ramos will create approximately 230 jobsat the new, 16,000-square metre facility, which is expected to cost USD75 million. A production launch isscheduled for 2016.

In April 2014, Magna Closures, a business unit of Canada-based Magna, expanded its Dortec manufacturingfacility to begin production of electronic systems and modules for the automotive industry. The companyinvested USD1.5 million in capacity expansion at the facility, located at Newmarket in Ontario (Canada). Theplant will produce electronic control modules for power closures and roof systems for its customers in NorthAmerica, Europe and Asia. The expansion will create 75 new jobs.

In November 2013, Magna Mirrors of America, a subsidiary of Magna, announced plans to invest USD11million in three production facilities in Michigan (United States). The company will invest USD6 million inmachinery and equipment its Holland which will be used in design and production of components for mirrors,mirror glass, rear vision components and related assemblies. The investment will help the facility to retain 90existing employees and create 24 new hourly jobs before the end of 2014. In addition, Magna will invest theremaining USD5 million in machinery for similar products and components at its two facilities in HollandCharter Township. The investment will allow the facilities to retain 270 existing jobs and create 25 hourly jobs.Magna is investing in its three facilities in Michigan to meet growing demand for Infinity™ mirrors – an insiderearview mirror with frameless design – from its customers.

In September 2013, Magna Steyr, an operating unit of Magna s refurbished its facility in Graz (Austria). Thecompany added new assembly lines, new equipment and assembly technologies. It took nearly five monthsfor Magna to amend the facility spread on an area of 63,000 square metres. The expanded facility will allow thesupplier to better serve its customers, ensure smooth flow of assembly and expand output. The company alsoexpanded Mercedes-Benz G-Class production plant at its Graz location to offer increased work safety.

In September 2013, Magna opened two new plants in Mexico. These include a Magna Interiors plant in Arteagaand a Cosma International plant in Ramos Arizpe. The interiors facility is spread on a 148,000 square foot areaand will manufacture headliners and complete overhead systems and console. The company plans to hire345 people at full production. The Cosma International plant has an area of 120,000 square feet and willemploy 180 people when the plant reaches full production stage. The facility focuses on engineering anddesign including mechanical 2D and 3D assembly processing and compete 3D assembly line design.


In March 2013, Magna Powertrain planned to invest USD11.5 million to expand its powertrain manufacturingplant in Muncie, Indiana (United States). The investment was spent on buying equipments for a newautomotive component manufacturing and setting up a new assembly line to accommodate new businessfrom GM. The expansionis expected to create around 76 new jobs by 2016. The Indiana EconomicDevelopment Corporation has offered the company up to USD400,000 in conditional tax credits and up toUSD75,000 in training grants based on the company's job creation plans.

In January 2013, Norplas Industries Inc., a manufacturing division of Magna Exteriors and Interiors planned toopen a state-of-the art robotic paint line and injection molding process operation in Delta Township, Michigan,and a new operation for light assembly and sequencing of front-end modules in Brownstown Township,Michigan (United States).

In December 2012, Decostar Industries, a manufacturing division of the Canadian-based automotive partssupplier Magna Exteriors and Interiors, planned to invest USD26 million to expand its facility in Carrollton,Georgia (United States) creating a minimum of 120 new jobs. To accommodate growth in its production ofinterior and exterior auto parts, Decostar plans to build a 64,000-square foot facility adjacent to the existingoperations.

In October 2012, Magna Drive Automotive Industries of America, a manufacturer of auto body panels andsystems, planned to invest USD50 million to expand its Greenville County, South Carolina (United States)production facility by 150,000 square feet, with plans to generate 60 new jobs. Drive Automotive Industries ofAmerica, a manufacturing division of Cosma International, which is an operating unit of Magna InternationalInc., expanded its manufacturing facility located on Moon Acres Road in Piedmont, South Carolina.

In September 2012, Magna Sealing and Glass systems, a manufacturing division of Magna Exteriors andInteriors decided to invest USD10.1 million at its Holland Township plant in Michigan (United States) todevelop, test and commercialise a new sunroof technology for the automotive industry. Besides, Magna hasqualified also, due to the proposed job creation, for an incentive of USD1.2 million from the Michigan EconomicDevelopment Corporation (MEDC).

In April 2012, Magna E-Car Systems, a joint-venture between Magna International and the Stronach Group,inaugurated a plant in Michigan (United States) to manufacture components for hybrid and electric vehicles(EVs). The plant, a 66,000-square feet facility employing 95 people, produces electric motors, inverters andelectronic powertrain controllers for the Ford Focus Electric, inverters for the Fisker Karma and assortedcomponents for other global customers. It is located at the Grand Blanc Township in Michigan.

In January 2012, Magna, through its Eagle Bend Manufacturing unit decided to invest USD64 million at itsfacility in Clinton, Tennessee (United States). The investment, expected to create 188 jobs, is spread over thenext five years. The facility’s expansion plan includes increasing the plant’s area by more than 100,000 squarefeet. The facility covers an area of 334,000 square feet. Under the first phase, nearly 27,000 square feet areawill be added to the existing facility.

In January 2012, Magna seating opened a new production facility in Shepherdsville, Kentucky (United States).The Bullitt County plant, covering 140,000 square feet involves an investment of around USD20 million. Thefacility supplies seats and seating components to Ford’s Louisville assembly plant.

In January 2011, Magna started construction of USD100 million stamping plant in San Luis Potosi (Mexico).The company got financial support from the federal, state and municipal authorities to set up a 300,000 sqaurefeet facility which can be further expanded up to 450,000 square feet. The facility operates under CosmaInternatinal.

In June 2010, Magna invested USD10 million to expand its three North Carolina (United States) facilities. Theexpansion and job creation had been backed by a state Job Development Grant (JDI)

In April 2010, Magna invested USD50 million in four facilities based in Michigan (United States) which wouldcreate around 508 jobs in the next five years. Out of the total investment, Magna plans to invest USD28 millionin its facility in Auburn Hills (United States) to develop energy storage and delivery testing operations. Thefacility is a part of Magna E-Car of America division and will hire around 128 people. The facility's operationsinclude assembly and manufacture of lithium-ion battery packs, electric-drive modules, power inverters, batterymanagement systems and other components for hybrid and electric vehicles. The second facility to receiveinvestment of USD13.9 million is Magna Powertrain's driveline engineering centre in Troy, Michigan. Around108 jobs will be created at the facility. An investment of USD2.4 million will be allotted to Magna Seating'sflexible foam products plant in Shelby Township that would add around 164 jobs. The fourth facility to receivethe investment of USD4.1 million is in Lansing, Michigan which will create another 108 jobs.

Investments outside North America

In October 2014, Magna, through its wholly owned unit Cosma International started manufacturing operationsat its ladder frame plant in the Indian city of Pune, Maharashtra. With a total investment of INR2.5 billion(USD40.4 million), the facility will supply ladder frames exclusively to Mahindra & Mahindra (M&M). As well asthe recently launched revamped Scorpio, the frames will be used in the automaker's future products.Theplant's monthly production capacity is currently 225 frames, although this can be scaled up if required.

In September 2014 Magna announced plans to establish two manufacturing plants in the Sanand region of thestate of Gujarat (India). The first plant, spread over an area of 215,000 square foot, the company will producecomplete seating systems for a leading automaker. The plant is expected to employ 200 people and startvolume production in 2016. At the second plant, spread over an area of 356,000 square foot, the company willmanufacture body and chassis systems for multiple customers. The plant will begin volume production in2015. It will employ 400 people.

In July 2014, Magna announced plans to expand its interiors plant in Trnava (Slovakia), following new contractsfrom automakers. The facility – which produces door panels, instrument panels and armrests – will be almostdoubled in size from 8,700 square metres to more than 15,500 square metres. The company however did not


disclose any information on new production capacity or any financial details of the expansion.

In October 2013, Magna opened a new greenfield just-in sequence facility in Kocaeli (Turkey). The facility formsa part of Magna’s Exteriors and Interiors, Mirrors, and Closures operating units. The plant spread on a 10,300metre square areal employs around 200 people. Magna manufactures fascias and outside mirrors for the newFord Transit. Apart from this, the plant produces carriers for front-end modules, running boards andengineered glass products.

In October 2013, Magna Seating, an operating unit of Magna opened Magna Seating d.o.o, a new plant inOdžaci (Serbia). The plant – spread on an area of 4,300 square metres serves OEMs including Smart, Renaultand Ford. The plant employs 300 people.

In September 2013, Magna opened two new plants in Mexico – an interiors plant in Arteaga and a CosmaInternational plant in Ramos Arizpe. The interiors facility is spread on a 148,000-square foot area andmanufactures headliners and complete overhead systems and console. The company plans to hire 345people at full production. The Cosma International plant has an area of 120,000 square feet and will employ180 people when the plant reaches full production stage. The facility will focus on engineering and designincluding mechanical 2D and 3D assembly processing and compete 3D assembly line design.

In August 2013, Magna Powertrain, a subsidiary of Magna International opened a new powertrain facility inChina. The new plant is in Tianjin in the Airport Economic Area of the city. The 13,500 square metre plantemploying 400 staff at full production produces rear axle drive modules and power take off units forVolkswagen and Audi models which are locally produced in China.

In June 2013, Magna Steyr, a subsidiary of Magna International, opened a new engineering centre inShenyang, (China). The centre, spread over 1,050 square metres, with more than 100 engineers helps itscustomers’ vehicle engineering projects with speed and efficiency . This is Magna Steyr’s fourth engineeringcentre in the country with another three located in Shanghai, Wuhan and Changchun. In addition, Magna Steyroperates a fuel tank manufacturing plant in Changchun.

In May 2013, Magna’s Cosma International operating unit expanded its footprint in China by opening a newmanufacturing facility in the Southwest China city of Chongqing. Cosma Chongqing covers a production areaof 26,000 square meters and currently employs 262 people. The plant’s main products include body andchassis systems, hot-stamping parts, front engine cradles, rear axles and control arms. Main customersinclude Changan Ford in Chongqing and FAW-Volkswagen in Chengdu, with the capacity to grow and supportadditional business and customers in the future.

In April 2013, Magna Exteriors and Interiors (MEI), an operating unit of Magna, opened a new plant in Meerane(Germany) to supply automotive exterior plastic parts to Volkswagen. The plant has a production area of 15,000square metres and employs 140 people. The facility supplies front and rear bumpers for the new Golf VII. Thecompany expects to start production of rocker panels for the next generation of Volkswagen Passat late 2014.The plant’s capabilities include injection moulding, painting and assembly.

In March 2013, Magna opened an automotive camera production line in China. The new line producesReversAid cameras which provide drivers with the rear view of the vehicle when in reverse mode. The cameraswill be built at Magna’s plant in Zhangjiagang. Later in 2013, the plant begun begin production of forward facingimaging models , both products are part of Magna’s portfolio of intelligent driver assist systems.

In December 2012, Magna Seating began seat upholstery production line in Odzaci (Serbia). The companyplans to recruit 120 employees in the first phase which would be increased to 400 by 2015. The company hasinvested EUR5.64 million (USD7.4 million) at the facility.

In October 2012, Magna opened a component production facility in Craiova (Romania). The plant supports themanufacture of the new Ford B-Max, also in Craiova, which began earlier in 2012. The facility is operated byMagna subsidiary Magna Exteriors and Interiors, and covers 13,000 square metres. The factory produces frontand rear bumpers and various exterior trims for the Ford B-Max.

In July 2012, Magna and Russian automaker Avtotor planned to establish a significant automotive cluster nearSt. Petersburg (Russia). The complex is expected to be home to 21 new plants, six of which will producearound 350,000 cars, while the remaining 15 will specialise in components. The plans will see the first stagescheduled for completion by 1 January 2016 and 14 of the factories constructed by then with total capacity of200,000 cars and components annually; the remaining nine plants are planned for completion by 2018.

In May 2012, Magna’s automotive component plant which has been built as part of the supplier infrastructure tosupport Daimler's new manufacturing facility at Kecskemet (Hungary) started test production. The facility alsosupports the Mercedes-Benz plant that currently manufactures the new B-Class and will add the new sedancoupé vehicle based on the B-Class MFA architecture, the CLA-Class next year. The facility will provide the B-Class and the forthcoming CLA with carpets, door covers and trim components for the boots of the models.

In April 2012, Magna Seating decided to establish a car seat cover plant in Belgrade (Serbia). The 3,200-square metre facility started operations with the workforce of 132, which will increase to 444 by 2015. The plantis spread across an area of 6.6 acres in Odzaci, Belgrade that has been provided by the local authorities todrive FDI in the country. Total investment in the plant is EUR5.64 million (USD7.4 million)

In December 2011, Cosma International, an operating unit of Magna, decided to set up a plant in Talegaon,near Pune (India) with an investment of INR3 billion (USD55.3 million).

In October 2011, Magna Powertrain begun construction of an USD68 milliongreenfield site in Tianjin (China).The facility produces rear axle drives and power take-off units for locally built Volkswagen and Audi models. Itcovers 13,500 square metres land in Tianjin's Airport Economic Area

In September 2011, Magna Steyr opened an engineering centre in Shanghai in Shanghai’s Jiading district inChina. The centre consists of a prototype shop that allows testing of parts and equipment of vehicles. MagnaSteyr claims that the centre can build up to eight prototype vehicles per week.

In October 2010, Cosma International, as part of expansion in emerging markets planned to set-up facility inSão Paulo (Brazil). The facility started operations in financial year 2011 and manufactures stamped and


São Paulo (Brazil). The facility started operations in financial year 2011 and manufactures stamped andwelded assemblies for OEMs.

In October 2010, Magna opened a plant in Kaluga region of Russia. The plant, a part of Technoplastacquisition produces auto components including bumpers, dashboards and radiator grills.

In September 2010, Magna inaugurated three facilities in Russia which were established with an investment ofEUR74 million (USD100.7 million, 30 September 2010). Two of facilities are a part of Cosma International'sjoint-venture with Shin Young - Cosym. Out of the two facilities, plant one is located in Shushary and producesbody, chassis and energy-management systems for Hyundai, GM, Nissan and Volkswagen. Plant two, basedin Kamenka, is a Hyundai-dedicated production site for body sub-assemblies based on parts stamped inShushary. The third facility is a part of Magna Exteriors and Interiors.

Divestments

In April 2015, Magna announced plans to sell most of its automotive interiors business to Spanish companyGrupo Antolin for approximately USD525 million, excluding the seating business. The transaction will include36 manufacturing operations and 12,000 employees in Europe, North America and Asia.

In July 2014, Detroit (United States)-based Continental Structural Plastics (CSP) agreed to buy five NorthAmerican plants from Magna International. Terms of the deal were not disclosed. CSP will buy plants in Lenior,Newton and Salisbury, North Carolina (United States), Grabill, Indiana (United States), and Saltillo (Mexico).The facilities being purchased include sheet moulding composites (SMC) compression moulding machinesranging from 175T to 4,000T; horizontal presses, a prime paint line, robotic water jet machines, bondingapplications and routing, and CNC routing.

Divestments outside North America

In December 2012, Magna Steyr, an operating unit of Magna decided to close Magna Steyr Engineering CenterHungary (ECH) in Györ (Hungary) citing the unfavourable business environment in Europe. With the exceptionof a few projects, the company decided to close the remaining operations. The move affected 42 employees atMagna Steyr ECH.

In June 2011, Magna sold its radar engineering unit to Continental AG for an undisclosed price. Continentalacquired the units located in Ottobrunn (Germany) and the 11 engineers. The transaction became effective on1 July 2011.

Product Developments

Magna generally spends around 7% of its pre-tax profit on R&D every year. The company had 84 productdevelopments and engineering centres worldwide as on 31 December 2014.

In July 2014, Magna developed a new seating concept, Sedan Slouch, for sedan passenger cars. The SedanSlouch uses Magna’s META tracks and an innovative sliding or pivoting seatback latch. The new concept isavailable in both manual and power versions, offering seatback recline and fold-flat functionality.

In June 2014, Ford and Magna jointly created a multi-material lightweight vehicle concept, based on the currentFord Fusion, to demonstrate weight reduction using advanced materials, compared with the current productionvehicle. The project was co-funded by Ford, Magna's Cosma International subsidiary, and the US Departmentof Energy, and led by Magna. The concept resulted in claimed weight reduction of 25%, taking the Fusion'sweight down to that of the Ford Fiesta. The companies have used materials in use in cell phones, includingchemically toughened glass and advanced lightweight plastics. The concept vehicle is part of the Departmentof Energy's Vehicle Technologies Office lightweight materials project portfolio. Vehma International, anengineering and prototype division of Cosma, manufactured and integrated the multi-material body-in-white,closures, chassis, and bumper components. Ford supplied the vehicles and weight-optimised powertrain,tires and wheels, suspension, interiors, glass, and seating to build drivable vehicles for testing and evaluation.

In April 2014, Magna's exteriors liftgate in collaboration with Nissan, Hitachi Chemicals and material suppliersLyondellBasell and Advanced Composites Inc. produced an all-thermoplastic, fully recyclable liftgate modulefor the 2014 Nissan Rogue crossover utility vehicle. All the materials in Rogue liftgate are fully olefinic and fullyrecyclable at the end of a vehicle’s life. The liftgate has painted outer panesl made from thermoplastic olefin.The liftgate assembly is 30% lighter than stamped steel systems which helps to improve a vehicle’s overallfuel economy.

In March 2013, Magna Exteriors and Interiors (MEI), an operating unit of Magna in partnership with Zoltekdeveloped a carbon fibre sheet moulding compound. The material is named EpicBlendSMC EB CFS-Z andforms a part of MEI's EpicBlendSMC product line. The product has been made using Zoltek's Panex® 35commercial carbon fibre and Magna's EpicBlendSMC™ sheet moulding compound formulations.

In March 2013, Magna Exteriors and Interiors (MEI), an operating unit of Magna in partnership with Zoltekdeveloped a carbon fibre sheet moulding compound (SMC). The material is named EpicBlendSMC EB CFS-Zand forms part of MEI's EpicBlendSMC product line. The product has been made using Zoltek's Panex® 35commercial carbon fibre and Magna's EpicBlendSMC™ sheet moulding compound formulations.EpicBlendSMC material allows Magna to offer a range of lightweight parts, sub-systems and semi-structuralapplications for industries including automotive.

In October 2012, Magna Exteriors and Interiors commenced production of active grille shutter (AGS), a louvresystem that reduces drag by blocking various front-end airflow openings. Louvres are installed in the air intakeand exhaust unit in the exterior of engine compartment. They help reduce drag, while maintaining optimumengine temperature. When a vehicle travels at highway speeds, louvers are closed, directing the airflow aroundthe vehicle, reducing drag thereby aiding fuel efficiency. During traffic, uphill travelling or pulling a trailer, theshutters remain open and allow air to flow into the engine compartment, aiding in optimising temperature andengine cooling.

In December 2011, Magna Electronics in collaboration with Mobileye developed a driver assistance systemwhich uses a single, forward-looking video camera to provide forward collision and lane departure warnings.The system consists of a video camera located behind the windshield which is connected to an advancedimage processor that automatically detects the lane markings. The system notifies the driver when the vehicleis staying away from the lane. However, the system will not send an alert if the driver has activated the turn


signal or manoeuvres a sharp turn. For the alerts, an amber indicator light flashes in the instrument panelalong with the chime of three beeps in the left or right speakers.

In February 2011 Magna developed a method to use rear glass as a subwoofer for the stereo. The companyused a standard pane of glass and deployed two exciters at the base. The subwoofer feed goes from thestereo to an amplifier in the trunk which then boosts it from 12V to 200V. The increased voltage goes into theexciters to create sound. The sealant in the glass makes it vibrate up and down with the throbbing bass. Thereplacement of the subwoofer with glass leads to less weight, lower energy consumption and more trunkspace. The company expects to equip the system in 2015 models.

In February 2010, Magna Exteriors and Interiors launched EpicBlendSMC™, a sheet moulding compound(SMC) material. The new compound improves the manufacturing process as it reduces weight, proves cost-effective, consolidates parts, resists corrosion and increases design flexibility. EpicBlendSMC™ ismanufactured in-house at Grabill, Indiana (United States) and Saltillo (Mexico) facilities and is used inautomotive, commercial truck, consumer and industrial market applications.

Financial Overview

Magna reported net sales of USD36.6 billion in the full-year ended 31 December 2014, up 5% year-on-year (y/y). Therise in sales was because of increased production sales in North America, Europe and Asia and higher tooling,engineering and other sales and complete vehicle assembly sales. Income from operations before income taxesincreased 33.2% y/y to USD2.53 billion and net income also reported a 20.5% y/y rise to USD1.8 billion.

External production sales in North America were USD18.2 billion, up 9% y/y and in Europe the figure stood at USD10billion, marking a marginal increase of 1% y/y increase. In Asia, external production sales grew 18% y/y to USD1.64billion, while in Rest Of World, external production sales declined 22% y/y to USD668 million. Sales of completevehicle assembly almost remained at par with figures of USD3 billion and sales of tooling, engineering and otherstotalled USD2.9 billion, up 5% y/y.

External sales in North America were USD19.6 billion, up 9.7% y/y. In Europe segment, external sales declined byless than 1% y/y to USD14.5 billion. In Rest of World external sales stood at USD694 million and external sales inAsia totalled USD1.8 billion, up 19.3% y/y.

Outlook

The entrepreneurial nature of Magna's business and its history of leveraging the mergers and acquisitions market tore-shape its business over time provide it with enviable flexibility in a difficult industry segment. In 2014, the companyanticipates strong growth in North American vehicle sales on the back of increased demand in the region inautomotive sector. The European light vehicle production is expected to be in line with 2013.

Magna will focus on increasing its global presence, broaden customer base and enhance product offering goingforward with the help of acquisitions and investments in various regions besides North America.

Magna expects total production sales in 2015 to be between USD28.2-29.5 billion. Of this, the company anticipatesproduction sales of USD17.4-18 billion to come from North America, USD8.3-8.7 billion from Europe, USD1.9-2.1billion from Asia and USD0.6-0.7 billion from Rest of World.

Chrysler plans to spend around USD2 billion retooling its assembly plant in Windsor to produce the next generationminivan, along with an electric plug-in model. This 12-week shutdown is expected to benefit Magna, as the companywill provide significantly more content in the new vehicles.
