CONDITIONS OF SALE JANUARY 2014
These conditions are written mainly in plain English. In these conditions we means Stanley Black & Decker UK Limited or Stanley Black and Decker Ireland, subsidiaries of Stanley Black &Decker UK Limited or Stanley Black & Decker Ireland, and you means the person who accepts a quotation for the sale of the goods and whose order for the goods is accepted by StanleyBlack & Decker UK Limited or Stanley Black & Decker Ireland
CATALOGUE ITEMS
1. Quotations and Orders
a) All quotations are made and orders accepted under the following conditions. We must givewritten agreement to new or altered conditions. All orders accepted by us are under theseconditions and not your conditions.
b) Orders must be for boxes or cartons of items. We can vary order quantities to meet thiscondition.
c) You cannot return any goods unless you have our permission, and only with an approvedReturns Material Authority number.
d) Each order will be delivered to one address. We will only deliver to your address and not athird party.
e) Once we have processed an order you cannot cancel or change it. As we continuouslyimprove our products we can alter specifications without telling you and in thesecircumstances you have no right to cancel any order to claim damages. Made to ordergoods cannot be cancelled under any circumstances once the order has been accepted.
f) The price we charge you for the goods is the price of them on the date of your order. Wewill add V.A.T. to our prices at the proper rate on the date we send the goods.
g) Any goods shall be sold subject only to these terms and conditions and, for the avoidanceof doubt, shall not be sold upon any sale or return basis.
2. Delivery
a) We will try to meet all delivery dates, but we are not legally liable for any delay in deliveringor any losses caused by a delay. Time shall not be of the essence for delivery.
b) Standard terms of delivery are DAP (Delivered at Place) unless otherwise stated.
c) Unless we agree otherwise we will deliver goods by our standard delivery service choosingthe most convenient and economical method available at the time of delivery. We will onlymake deliveries by other means if you ask us to and you pay.
d) We will deliver and collect goods in normal working hours unless we have agreedotherwise. If this is inconvenient and you ask us to deliver or collect goods at a differenttime there will be a charge.
e) Carriage charges are paid on all orders of a minimum net value. No orders, apart fromspare parts will be accepted below this value.
3. Risk of Loss
a) Once the goods have been delivered to your premises you are responsible for any loss ordamage caused to the goods after you have received them.
b) You must examine the goods immediately when they are delivered and tell us about anydamage to, or shortages of, boxes and / or cartons within two working days. If the contentsof any cartons are missing or damaged you should tell us within fifteen working days of thedate of the invoice. When the goods are delivered you must also write details of any visibledamage to the goods on the carriers delivery sheet.
4. Accepting Goods
We will assume you have accepted the goods fifteen business days after they have beendelivered unless you tell us about any complaints within that period. Also, if you, your agents,employees or licensees have used the goods, we will count this as accepting the goods.
5. Guarantees
a) We only guarantee that when we deliver the goods they will not be damaged or have anyfaults. We are not liable for fair wear and tear.
b) If you think that the goods are faulty you should tell us and wait for an instruction to eitherreturn the goods to a place we tell you or keep the goods for us to inspect. If we acceptthat there is a fault we will either repair or replace the faulty part or parts or refund theoriginal price of the goods.
c) The situation described in 5(b) above shall not apply to the following:
1) any goods which have been repaired or altered by somebody who isnt an employee ofours.
2) goods which have been mixed with other goods or used to create other products.
3) any goods which, in our opinion, have been subject to any accident or to damage orwhich have been improperly stored, maintained or used.
d) We are not liable for the following:
1) any direct loss or damage except the liabilities we have already mentioned. 2) any indirect, consequential or incidental loss or damage of any kind (including loss of
profits, revenue or contracts) or for any damage to or destruction of any property.
3) injury to, or the death of, any person unless that injury or death is caused by ourcarelessness or that of our employees.
e) Our only guarantees, conditions and liabilities are those given in this document.
f) You must indemnify us against all claims, actions, costs, losses, damages or expenses causedby or in connection with the goods unless we are liable under these conditions.
g) If we repair or replace any goods under 5(b) we will take the date that the repair is finishedor the goods are replaced to be the date on which the goods were delivered.
6. Force Majeure
Without prejudice to any other terms of this agreement we are not liable for any act oromission or if we do not enforce, or we delay enforcing any condition in this Agreementbecause of any circumstances or causes beyond our control.
7. Payment
a) Payment is due at the end of the following month from the date of Invoice unlessotherwise advised.
b) If you delay paying for no good reason we may choose to suspend all deliveries to you untilwe have received all payments which are due.
c) If you do not pay within our terms we reserve the right to charge interest in accordancewith the provisions and rates provided i n The Late Payment of Commercial Debts (Interest)Act 1998.
d) If you disagree with an invoice you must tell us about this within 7 days of receiving thegoods, and that if our investigation confirms that your query is justified you do not need topay for the amounts disputed on the invoice or any interest due.
8. Owning the Goods
Ownership and title to the Goods shall remain with Stanley Black & Decker UK Limited orStanley Black & Decker Ireland until
a) You have paid in full for the goods.
b) You have made full payment for any other goods or products supplied under any contractsor on any account whatsoever between Stanley Black & Decker UK Limited or Stanley Black& Decker Ireland and all other sums whatever due from you to Stanley Black & Decker UKLimited or Stanley Black & Decker Ireland have been paid in full.
c) If you pay by cheque, bill of exchange or promissory note, we own the property until thesame has been honoured. We may apply any payments you make to any of your invoiceswhich we see fit.
d) Until you have paid for the goods you will be acting as our fiduciary agent and bailee. Youmust keep records of the goods and store the goods in a way that makes them clearlyidentifiable as being our property. These goods should be insured by you or as part of yourgeneral insurance cover. We will assume that any goods you have which we suppliedbelong to us (unless you can prove otherwise)
e) If you:
1) make any arrangement with your creditors;
2) go into liquidation;
3) appoint a receiver to manage all or part of your assets;
4) fail to make payment for the goods; or
5) cannot, in our opinion pay your debts; then, we have the following rights:
1) to enter any property and repossess the goods without giving you notice.
2) to give you written notice that you must not sell or get rid of the goods until wehave received full payment for them.
3) to cancel any undelivered goods and stop any goods that are being transported toyou.
f) At any time we may give you the ownership of the goods if we give you notice of ourintention to do so. Under condition 8(c) ownership of the goods will pass to you when yousell or get rid of goods which we own immediately before you sold or got rid of them.
g) We may sue you for the price of the goods when the payment is due even though theownership of the goods may not have passed to you.
h) In any circumstances prevailing under clause 8e) (1)-(5) then we shall in respect ofany rebate arrangement with you exercise our unfettered right to offset any sums due fromyou against any amount on our accounts receivable ledger by way of credit note under anyrebate arrangement, in full or part satisfaction of any sum due to the Company by you.
i) In respect of clause 8h) you the Customer undertake to keep us informed upon written 14day notice of any event or circumstance that places your business in a precarious financialposition which may lead to an administration order bankruptcy or liquidation and weundertake to provide you with written 7 day notice of our intention to exercise our rights byway of right of offset.
9. We may impose restrictions on the reselling of goods, subject to U.K. and E.E.C.trading laws.
10. If any condition or part of condition in this Agreement is not valid or cannot be enforced thiswill not affect any part of the condition or Agreement.
11. If the ownership of your company changes we will automatically cancel this Agreement andnegotiate a new one.
12. These conditions of sale only apply to your company and your own branch companies whichcarry out similar trade. They are not offered to your associate companies, either within oroutside its trade unless we agreed this when we were negotiating this Agreement.
13. You shall and shall procure that your officers, employees, agents, sub-contractors and anyother persons who perform services for or on behalf of you in connection with this Agreementshall:
a) not commit any act or omission which causes or could cause it or Stanley Black & Decker
UK Limited or Stanley Black & Decker Ireland to breach or commit an offence under anylaws relating to anti-bribery or anti-corruption;
b) comply with Stanley Black & Decker UK Limited or Stanley Black & Decker Ireland anti-corruption policy as updated from time to time, a current copy of which is available uponrequest;
c) keep accurate and up to date records showing all payments made and received and allother advantages given and received by it in connection with this Agreement and the stepsit takes to comply with this condition and permit Stanley Black & Decker UK Limited orStanley Black & Decker Ireland to inspect those records as required.
d) promptly notify Stanley Black & Decker UK Limited or Stanley Black & Decker Ireland of anyrequest or demand for any financial or other advantage received by it; and any financial orother advantage it gives or intends to give whether directly or indirectly in connection withthis Agreement; and
e) promptly notify Stanley Black & Decker UK Limited or Stanley Black & Decker Ireland of anybreach of this condition. Stanley Black & Decker UK Limited or Stanley Black & DeckerIreland may terminate this Agreement immediately by giving notice to that effect to you ifyou are in breach of condition 13.
Governing Law
This Agreement, for all purposes, is governed and construed by the laws of England andWales and both parties agree to submit to the exclusive jurisdiction of the Courts of England andWales.
Unless we have agreed otherwise in writing, our standard conditions of sale also apply.

AVOID TAPE DAMAGE
Tilt the curved blade as close aspossible to the surface youare measuring.
Pivot the hook slot on a nail or screwinserted into the work-piece andhold a pencil at the length of t heradius required.
If the end hook interferes withaccuracy by holding the blade offthe surface, try laying the tapeflat on the work and make yourmeasurement from a convenientzero point such as 10cm, so ameasurement of 10cm would
appear as 20cm on the tape.
You can draw a straight line simplyby turning the blade over.
The blade of a Stanley tape can make an excellent, makeshift FishTape for drawing cables through cavities.
Simply use the conveniently diamond marked 40cm/16 centres.
Use the small notch in the end hookfor pencil gauging parallel linesdown the length of the material,using your finger or the mouth of
the rule case to maintain a fixeddistance from the edge.
When fitting one component to another, such as a door into a frame,minimise the risk of error by making a pencil mark on the back of thetape blade to indicate the actual dimension, then transfer it to thedoor. The pencil mark can easily be removed with a damp cloth.
Control the rate of rewind and ensure that the tape doesnt kink.

DONT LEAVE EXPOSED TO THE SUN
This reduces measurement inaccuracies due to blade droop whenmeasuring across open spaces and uneven surfaces. Use thehardened ground spike on the open framed tape to achieve moretension. The principal benefit of the open frame is that debris carriedby the tape does not affect the functioning of the tape mechanism.
All end hooks have the facility to mark out large radii asneeded in marking out sport pitches.
Take care when rewinding to prevent damage t o the blade. Therapid rewind of the FatMax and PowerWinder t apes is very usefulbut needs to be slowed down as you near the last few metres. Avoidtwists and kinks in the blade, particularly steel, as this could result inbreakage. Wipe the blade clean as you rewind, particularly with anenclosed case model.
Both steel and fibreglass tape s should be kept away from excessiveheat from the sun to reduce the risk of expansion and stretch.

THE RIGHT LEVEL FOR THE JOB
BOX BEAM LEVELS
SELECT THE RIGHT LENGTH OF LEVEL
The box beam profile provides the ultimate in terms of overallstrength and performance. They are fitted with solid block acrylicvials that have been machined to exacting tolerances to ensure thatthe movement of the bubble is smooth and come s to rest quickly.A small magnifying area in the centre makes reading the position ofthe vial easier.
The longer the better, particularly if the surface to be levelled isnot perfectly true. A shorter level will tend to follow the contour ofthe surface, whereas a longer level will even out the undulations.For bricklaying and general builders the best choice is the 1200mmFatMax and for concreters t he 1800mm would be a good choice.Finish carpenters may prefer a lighter box or I-beam section bodyin a length of 600 or 900mm, ideal for fitting kitchen furniture andgeneral trim work.
TORPEDO LEVEL
The FatMax Torpedo Level has a V-groove machined in the magneticbase, which allows it to fit firmly on pipe work, ideal for scaffolders,plus it is also perfect for installing machinery, air conditioning ductingor shelving.
ADJUSTABLE VIAL LEVEL
The rotating vial can be adjusted to between 0 and 90, enablingyou to set angles for roofing or drainage pipes etc.

Surface and edge preparationSTEP 1Plane the face of the wood and check that the surface isflat across its width and true along its length, then mark it with thetraditional Face Side mark.
STEP 2Plane the adjacent edge true, flat and square.
STEP 3Place the stock of the square on the face side surfaceand look to see if there is any light showing between blade andwood. Check the wood at several points down the length, makeany fine adjustments with the plane and mark this edge with theFace Edge sign.
From here on all marking with asquare, bevel or marking gaugeshould be only from the faceside or face edge.
These do not have a stock to hold against the work edge, so toposition the square accurately use a spare piece of wood heldagainst the edge and position the square a gainst that.
STEP 2To score a line across the face edge, turn the square to placethe stock against the face side, place the knife blade into the previouscut and slide the square blade up to the knife blade.
If several items of the same length are required, clamp them togetherand mark all at the same time.
Keep your chalk line free from moisture and for surfaces to bepainted, check that the chalk does not bleed through paint.When using near furnishings, check that t he chalk does not stainfabrics or carpets.
These can be used for surface/edge preparation and marking outas the Try Square, but be careful when there are bevels at eachend of a piece of wood. Always mark from the face side or faceedge and check that the bevels are facing in the correct direction.
STEP 1Check that the c ase is well charged with chalk and give ita shake from time to time to ensure that the cord is well chalked.With a new line, draw the cord out to its full exte nt, pour in a smallamount of chalk and rewind it. Complete filling when the cord is fullyrewound.
STEP 2Anchor the end hook securely at one end of thepiece to be marked.
This should be done with a knife for greate r accuracy, plus it is easierto work to a cut line rather than a pencil line.
STEP 1To scribe a line across theface side, hold the stock tightlyagainst the face edge of thewood using your thumb andthree fingers. Your index fingershould be against the inside edgeof the square blade to preventit from slipping when you pressthe knife against the outeredge to scribe the line.
STEP 3Draw out the chalked line and lock the crank handleinto place and tension the cord.
STEP 4Place the cord carefully onto the correct position onthe work. With finger and thumb lift the cord a few centimetresto create some te nsion and then allow it to snap onto thesurface to be marked.
STEP 3Repeat this on the remaining two sides always ensuring thatthe stock is against the face side or face edge.
STEP 5Rewind away from the marked line to avoidcontaminating the work surface and line.

LASER stands for Light Amplification by Stimulated Emission ofRadiation. A diode is used to create a concentrated laser beam of lightin one wavelength. The shorter the wavelength the brighter and morevisible the laser beam. Stanley lasers have a standard wavelength of635 nanometers, which is suitable for use up to 300m.
