CraneABwascontractedbytheCentralBankofLiberia(“CBL”)todelivertwocurrencyprintingcontracts:

• OnMay 6, 2016, Crane entered into the first contract relating to the 2016 series of banknotes (the“2016Contract”).ThisoccurredafterameetinginMonroviaonApril26,2016withseveralofthedulyauthorizedmembersoftheCBL.Uponconclusionofthemeeting,CBLpresentedanunconditionalbidawardlettertoCrane,whichwaslatermemorializedintheabove-referencedcontract.

• OnJuly28,2017,Craneenteredintothesecondcontractrelatingtothe2017reprintofbanknotes(the“2017Contract”).Aswiththe2016Contract,the2017ContractwasnegotiatedandagreedwithseniormembersoftheCBL.

CraneenteredintobothcontractsinreasonablerelianceontheCBL’sapparentauthoritytolawfullyawardandenter into the subject contracts. At all points, Crane worked with officials from the CBL to enter into andperformunderthecontractsandtoagreeallchangesinwriting.

Each contract was subsequently amended by mutual agreement in writing between the CBL and Crane, toinclude the delivery of additional over-produced banknotes1 and to reflect changes in CBL’s shippingrequirements (e.g. by airfreight rather than by sea, to accommodate the CBL’s accelerated schedule). Allchanges were memorialized in exchanges of letters, emails and invoice statements. The following tablesummarizesthemodificationsmadetoeachcontract,bymutualagreementbetweenCBLandCrane:

Asyoucanseefromtheabovetable,CranefulfilleditscontractualobligationstotheCBLassetoutinthetwodeliverycontractsandinsubsequentdocumentedagreementsbetweentheCBLandCranetodeliveradditionalbanknotes. CranedeliveredinfullthecorrectnumberandvalueofbanknotesthatwasagreedinwritingwithCBL.Cranetheninvoicedandwaspaidthecorrectamountforthebanknotesthatweredelivered.

InagreementwithCBL,Cranedelivereda totalof251,220,000banknotesworthLRD15,506,000,000,which isbrokendownintothedifferentdenominationsasrepresentedinthetablebelow:

1AdditionalbanknoteswereofferedbyCranetotheCBLbecausetheprintingprocesswentmoresmoothlythanplanned,generatingadditional‘goodnotes’.Itiscommoninthebanknoteprintingindustry,giventhecomplexityofbanknoteproductionandthehighcostsinvolvedinsettingupseparateproductionruns,toover-producethenumberofbanknotesonasingleprintrun.Thisenablestheprintertoremoveanddestroyany/allimperfectbanknotes,whilstguaranteeingtobeabletodeliverthetotalnumberofperfectbanknotestothecustomer.Theactualprintquantityrequiredtoensureperfectqualitycanvarybyseveralpercentagepoints.The2016ContractwithCBLspecificallycontemplatedthat,giventhenatureofspecialized,multi-stepprintingprocessrequiredforbanknoteprinting,amarginoferrorshouldbebuiltintoproductiontoensurethatclients’deliveryneedsweremet.AsthiswasthefirsttimeCranehadproducedLiberianbanknotes,theproductionmarginforerrorwasmoredifficulttoestimate.Asitturnedout,however,theproductionrunwentmuchbetterthanexpected,generatingtheexcessbanknotes.Whentheexcessbanknoteswereidentifiedrelativetothe2016Contract,adiscussiontookplaceandtheCBLwasgiventheoptionof(i)havingtheexcessbanknotesdestroyed;(ii)askingCranetoholdthebanknotesinsafestorageinanticipationofpossiblefuturerequests;or(iii)tobuytheexcessbanknotes.TheCBLagreedinwritingtoreceivetheexcessnotesattheunitpriceofthe2016Contract.Whenoverproductionoccurredagainunderthe2017Contract,CraneagainofferedtheexcessstocktoCBL,butthistimefreeofcharge(inrecognitionofthefactthatsomeshipmentsunderthe2017Contracthadbeendelayed),requestingonlythattheCBLpaytheshippingcostsfortheexcessnotes.Again,withmutualconsent,theCBLinstructedCranetodeliveralloftheexcessnotesproduced,atnocosttotheCBLotherthanthecostofshipping.

Forclarity,noadditionalbanknotesabovethequantitiesagreedwiththeCBLweredeliveredbyCrane.Noadditional,excessorimproperpaymentsweremadetoCrane.

ii. Thisdouble-countinghaslikelyoccurredbecauseBrusselsAirwayscancelledandrearrangedtheiraircargomovements:

• BetweenDecember13andDecember21,duetoissuesatBrusselsairport,twoairshipmentstotaling3117,5MLRDwerecancelled.

• Brusselsairportstaffdividedthesetwoplannedaircargoloadsintothreenewaircargoshipments.Twooftheshipments,for472,5MLRDand620MLRD,wereshippedbyBrusselsAirlinestoMonroviainadifferentconfigurationthanoriginallyplanned.

• InordertodelivertheremainderofthegoodsbeforeanannouncedstrikeatBrusselsairport,theremainingvolumeof2025MLRD(AWBUKL-100019284)wasdeliveredon-boardacharteredaircraftfromUkrainianAirAlliance.Forcompleteness,thisisthesameflightthatalsocontainedtwoseparateshipments:270MLRD(AWBUKL-10019295)and232,5MLRD(AWBUKL-10019306).
