    THIS DEED OF TRUST is dated April 23, 2010, among Highland Stores, Inc, a Nevada

    Corporation ("Grantor");PLUMAS BANK, whose address is TRUCKEE BRANCH, 11638

    DONNER PASS ROAD, TRUCKEE, CA 96161 (referredto below sometimes as "Lender" and

    sometimes as "Beneficiary");and Western TitleCompany, whose address is 241 Ridge St.,

    Suite100, Reno, NV 89501 (referredto below as "Trustee").

    CONVEYANCE AND GRANT. For valuableconsideration,Grantor irrevocablygrants,bargains,

    sellsand conveys to Trustee with power of saleforthe benefitof Lender as Beneficiaryallof

    Grantor'sright,title,and interestin and to the followingdescribedrealproperty,togetherwith

    all existingor subsequently erected or affixedbuildings,improvements and fixtures;all

    easements, rightsof way, and appurtenances;allwater, water rightsand ditchrights(including

    stock in utilitieswith ditchor irrigationrights);and allother rights,royalties,and profitsrelating

    to the realproperty,includingwithout limitationallminerals,oil,gas, geothermal and similar

    matters,(the"Real Property")locatedinWashoe County, Stateof Nevada:

    Grantorpresently,absolutely,and irrevocablyassigns to Lender (alsoknown as Beneficiaryin

    thisDeed of Trust)allof Grantor'sright,title,and interestin and to allpresent and future

    leasesof the Propertyand allRents from the Property. In addition,Grantorgrantsto Lender aUniform Commercial Code securityinterestinthe PersonalProperty.

    THIS DEED OF TRUST, INCLUDING THE ASSIGNMENT OF RENTS AND THE SECURITY

    INTEREST IN THE PERSONAL PROPERTY, IS GIVEN TO SECURE (A) PAYMENT OF T HE

    INDEBTEDNESS INCLUDING FUTURE ADVANCES AND (B) PERFORMANCE OF ANY AND ALL

    OBLIGATIONS UNDER THE NOTE, THE RELATED DOCUMENTS, AND THIS DEED OF TRUST.

    THIS DEED OF TRUST ISGIVEN AND ACCEPTED ON THE FOLLOWING TERMS:

    PAYMENT AND PERFORMANCE. Except as otherwiseprovidedinthisDeed of Trust,Grantor

    shallpay to Lender allamounts secured by thisDeed of Trust as they become due, and shall

    strictlyand ina timelymanner performallof Grantor'sobligationsunder the Note, thisDeed of

    Trust,and the RelatedDocuments.

    STATUTORY COVENANTS. The followingStatutoryCovenants are hereby adopted and made apartof thisDeed of Trust: Covenants Nos. 1, 3, 4, 5, 6, 7, 8 and 9 of N.R.S. 107.030. For

    Covenant 4, upon default,includingfailureto pay upon finalmaturity,the totalsum due under

    the Note willcontinueto accrue interestat the interestrate under the Note. However, inno

    event willthe interestrateexceed the maximum interestratelimitationsunder applicablelaw.

    The percent of counsel fees under Covenant No. 7 shallbe ten percent(10%). Except for

    Covenants Nos. 6, 7, and 8, to the extentany terms of thisDeed of Trustare inconsistentwith

    the StatutoryCovenants the terms of thisDeed of Trust shallcontrol. Covenants 6, 7, and 8

    shallcontrolover the expressterms of any inconsistentterms of thisDeed of Trust.

    POSSESSION AND MAINTENANCE OF THE PROPERTY. Grantor agrees that Grantor's

    possessionand use ofthe Propertyshallbe governed by the followingprovisions:

    Possessionand Use. Untilthe occurrenceof an Event of Default,Grantormay (1) remain

    inpossession and controlof the Property; (2) use, operate or manage the Property;and

    (3) collectthe Rents from the Property.

    Duty to Maintain. Grantorshallmaintainthe Propertyin tenantableconditionand promptly

    performallrepairs,replacements,and maintenance necessaryto preserveitsvalue.

    Compliance With EnvironmentalLaws. Grantor representsand warrants to Lender that: (1)

    During the period of Grantor's ownership of the Property,there has been no use,

    generation,manufacture,storage,treatment,disposal,releaseor threatenedreleaseof any

    Hazardous Substance by any person on, under, about or from the Property; (2) Grantor

    has no knowledge of, or reason to believethat there has been, except as previously

    disclosedto and acknowledged by Lender in writing, (a) any breach or violationof any

    EnvironmentalLaws, (b) any use, generation,manufacture,storage,treatment,disposal,

    releaseor threatenedreleaseofany

    Hazardous Substance on, under, about or from the

    Propertyby any priorowners or occupants of the Property,or (c) any actualor threatened

    litigationor claimsof any kind by any person relatingto such matters;and (3) Except as

    previouslydisclosedto and acknowledged by Lender inwriting,(a) neitherGrantor nor any

    tenant, contractor,agent or other authorizeduser of the Property shalluse, generate,

    manufacture,store,treat,disposeof or releaseany Hazardous Substance on, under, about

    or from the Property;and (b) any such activityshallbe conducted in compliance with all

    applicablefederal,state, and locallaws, regulationsand ordinances,includingwithout

    limitationallEnvironmentalLaws. Grantor authorizesLender and itsagents to enter upon

    the Propertyto make such inspectionsand tests,at Grantor'sexpense, as Lender may deem

    appropriateto determine compliance of the Propertywith thissectionof the Deed of Trust.

    Any inspectionsor testsmade by Lender shall be for Lender'spurposes only and shallnot

    be construed to createany responsibilityor liabilityon the part of Lender to Grantor or to

    any other person. The representationsand warrantiescontained herein are based on

    Grantor'sdue diligencein investigatingthe Property for Hazardous Substances. Grantor

    hereby (1) releasesand waives any future claims against Lender for indemnity or

    contributionin the event Grantor becomes liablefor cleanup or othercosts under any such

    laws; and (2) agrees to indemnify,defend,and hold harmless Lender againstany and all

    claims,losses,liabilities,damages, penalties,and expenses which Lender may directlyor

    indirectlysustainor sufferresultingfrom a breach of thissectionof the Deed of Trustor as

    a consequence of any use, generation,manufacture,storage,disposal,releaseor threatened

    releaseoccurringpriorto Grantor'sownership or interestinthe Property,whether or not the

    same was or should have been known to Grantor. The provisionsof thissectionof the

    Deed of Trust,includingthe obligationto indemnifyand defend, shallsurvivethe payment

    of the Indebtednessand the satisfactionand reconveyance of the lienof thisDeed of Trust

    and shallnot be affectedby Lender'sacquisitionof any interestin the Property,whether by

    foreclosureor otherwise.

    Nuisance, Waste. Grantor shallnot cause, conduct or permit any nuisance nor commit,

    permit,or sufferany strippingof or waste on or to the Propertyor any portionof the

    Property.Without limitingthe generalityof the foregoing,Grantorwillnot remove, or grant

    to any other partythe rightto remove, any timber,minerals(includingoiland gas),coal,

    clay,scoria,soil,gravelor rockproductswithoutLender'spriorwrittenconsent.

    Removal of Improvements. Grantor shallnot demolish or remove any Improvements from

    the Real Propertywithout Lender'spriorwrittenconsent. As a conditionto the removal ofany Improvements, Lender may requireGrantor to make arrangements satisfactoryto

    Lender to replacesuch improvements with improvements of atleastequalvalue.

    Lender'sRight to Enter. Lender and Lender'sagents and representativesmay enter upon

    the Real Propertyat allreasonabletimes to attend to Lender'sinterestsand to inspectthe

    Real Propertyfor purposes of Grantor'scompliance with the terms and conditionsof this

    Deed of Trust.

    Compliance with Governmental Requirements. Grantorshallpromptly comply with alllaws,

    ordinances,and regulations,now or hereafterin effect,of allgovernmental authorities

    applicableto the use or occupancy of the Property,includingwithout limitation,the

    Americans With Disabilities Act. Grantormay contest in good faithany such law,

    ordinance, or regulationand withhold compliance during any proceeding, including

    appropriateappeals,so long as Grantorhas notifiedLender in writingpriorto doing so andso long as, in Lender'ssole opinion,Lender'sinterestsin the Propertyare not jeopardized.

    Lender may requireGrantor to post adequate securityor a surety bond, reasonably

    satisfactoryto Lender,to protectLender'sinterest.

    Duty to Protect. Grantor agrees neitherto abandon or leave unattended the Property.

    Grantor shalldo allother acts,in additionto those acts set forthabove in thissection,

    which from the characterand use of the Propertyare reasonablynecessaryto protectand

    preservethe Property.

    TAXES AND LIENS. The followingprovisionsrelatingto the taxes and lienson the Propertyare

    partof thisDeed of Trust:

    Payment. Grantor shallpay when due (and in allevents priorto delinquency)alltaxes,

    specialtaxes, assessments, charges (includingwater and sewer), finesand impositions

    leviedagainstor on account of the Property,and shallpay when due allclaimsfor work

    done on or for servicesrendered or materialfurnishedto the Property. Grantor shall

    maintainthe Propertyfree of alllienshavingpriorityover or equal to the interestof Lender

    under thisDeed of Trust,except forthe lienof taxes and assessments not due and except

    as otherwiseprovidedinthisDeed of Trust.

    Right to Contest. Grantor may withhold payment of any tax, assessment, or claim in

    connectionwith a good faithdisputeover the obligationto pay, so long as Lender'sinterest

    in the Propertyis not jeopardized. Ifalien arisesor is filedas a resultof nonpayment,Grantor shallwithinfifteen(15) days afterthe lienarisesor,ifalien isfiled,withinfifteen

    (15) days afterGrantor has notice of the filing,secure the dischargeof the lien,or if

    requested by Lender, deposit with Lender cash or a sufficientcorporatesurety bond or

    other securitysatisfactoryto Lender in an amount sufficientto dischargethe lienplus any

    costs and attorneys'fees,or othercharges thatcould accrue as a resultof a foreclosureor

    saleunder the lien.In any contest,Grantorshalldefend itselfand Lender and shallsatisfy

    any adverse judgment beforeenforcement againstthe Property. Grantorshallname Lender

    as an additionalobligeeunder any surety bond furnishedinthe contestproceedings.

    Evidence of Payment. Grantorshallupon demand furnishto Lender satisfactoryevidenceof

    payment of the taxes or assessments and shallauthorizethe appropriategovernmental

    officialto deliverto Lender at any time a writtenstatement of the taxes and assessments

    againstthe Property.

    Notice of Construction. Grantor shallnotifyLender at leastfifteen(15) days before any

    work is commenced, any servicesare furnished,or any materialsare supplied to the

    Property,if any mechanic's lien,materialmen'slien,or other liencould be asserted on

    account of the work, services,or materials.Grantor willupon requestof Lender furnishto

    Lender advance assurances satisfactoryto Lender thatGrantor can and willpay the cost of

    such improvements.

    PROPERTY DAMAGE INSURANCE. The followingprovisionsrelatingto insuringthe Property

    area partof thisDeed of Trust.

    Maintenance of Insurance.Grantorshallprocureand maintainpoliciesof fireinsurancewith

    standard extended coverage endorsements on a replacement basis for the fullinsurable

    valuecovering

    allImprovements

    on the RealProperty

    in an amount sufficientto avoid

    applicationof any coinsuranceclause,and with a standard mortgagee clause in favor of

    Lender. Grantorshallalsoprocureand maintaincomprehensive generalliabilityinsurancein

    such coverage amounts as Lender may requestwith Trustee and Lender being named as

    additionalinsuredsin such liabilityinsurancepolicies.Additionally,Grantor shallmaintain

    such other insurance,includingbut not limitedto hazard,business interruption,and boiler

    insurance,as Lender may reasonablyrequire. Policiesshallbe writtenin form, amounts,

    coverages and basis reasonably acceptable to Lender and issued by a company or

    companies reasonablyacceptableto Lender. Grantor,upon requestof Lender,willdeliverto

    Lender from time to time the policiesor certificatesof insurancein form satisfactoryto

    Lender,includingstipulationsthat coverages willnot be cancelledor diminishedwithout at

    leastseven (7)days priorwrittennoticeto Lender. Each insurancepolicyalso shallinclude

    an endorsement providingthatcoverage in favor of Lender willnot be impairedin any way

    by any act,omission or defaultof Grantor or any otherperson. Should the Real Propertybe

    located in an area designated by the Directorof the Federal Emergency Management

    Agency as a specialfloodhazard area,Grantor agrees to obtainand maintainFederalFlood

    Insurance,ifavailable,within45 days afternoticeis given by Lender that the Propertyis

    locatedin a specialfloodhazard area,forthe fullunpaid principalbalance of the loan and

    any priorlienson the propertysecuringthe loan,up to the maximum policylimitsset under

    the NationalFlood InsuranceProgram, or as otherwise requiredby Lender,and to maintain

    such insuranceforthe term of the loan.

    Applicationof Proceeds. Grantorshallpromptly notifyLender of any lossor damage to theProperty.Lender may make proofof lossifGrantorfailsto do so withinfifteen(15)days of

    the casualty. Whether or not Lender's securityis impaired,Lender may, at Lender's

    election,receiveand retainthe proceeds of any insuranceand apply the proceeds to the

    reductionof the indebtedness,payment of any lienaffectingthe Property,orthe restoration

    and repairof the Property. IfLender electsto applythe proceeds to restorationand repair,

    Grantor shallrepairor replace the damaged or destroyed improvements in a manner

    satisfactoryto Lender. Lender shall,upon satisfactoryproof of such expenditure,pay or

    reimburse Grantor from the proceeds for the reasonablecost of repairor restorationif

    Grantor is not in defaultunder thisDeed of Trust. Any proceeds which have not been

    disbursedwithin 180 days aftertheirreceiptand which Lender has not committed to the

    repairor restorationof the Propertyshallbe used firstto pay any amount owing to Lender

    under thisDeed of Trust,then to pay accrued interest,and the remainder,ifany, shallbe

    appliedto the principal balance of the Indebtedness. IfLender holds any proceeds after

    payment in fullof the indebtedness,such proceeds shallbe paid to Grantor as Grantor's

    Interests may appear.

    Grantor'sReport on Insurance. Upon request of Lender, however not more than once a

    year,Grantor shallfurnishto Lender a reporton each existingpolicyof insuranceshowing:

    (1) the name of the insurer;(2) the risksinsured;(3) the amount of the policy;(4) the

    propertyinsured,the then currentreplacementvalue of such property,and the manner of

    determiningthat value;and (5) the expirationdate of the policy. Grantor shall,upon

    requestof Lender,have an independentappraisersatisfactoryto Lender determinethe cash

    value replacementcostof the Property.

    LENDER'S EXPENDITURES. Ifany actionor proceeding iscommenced that would materially

    affectLender'sinterestin theProperty

    or ifGrantor failstocomply

    withany provision

    of this

    Deed of Trust or any Related Documents, including but not limitedto Grantor'sfailureto

    dischargeorpay when due any amounts Grantor isrequiredto dischargeor pay under thisDeed

    of Trustor any RelatedDocuments, Lender on Grantor'sbehalfmay (butshallnot be obligated

    to)take any actionthat Lender deems appropriate,including but not limitedto dischargingor

    paying alltaxes,liens,securityinterests,encumbrances and otherclaims,at any time leviedor

    placed on the Property and paying allcosts for insuring,maintainingand preservingthe

    Property. Allsuch expendituresincurredor paid by Lender for such purposes willthen bear

    interestat the ratecharged under the Note from the date incurredor paidby Lender to the date

    of repayment by Grantor. Allsuch expenses willbecome a part of the Indebtednessand, atLender'soption,will (A) be payableon demand; (B) be added to the balanceof the Note and

    be apportionedamong and be payable with any installmentpayments to become due during

    either (1) the term of any applicableinsurancepolicy;or (2) the remainingterm of the Note;

    or (C) be treatedas a balloonpayment which will be due and payable at the Note's maturity.

    The Deed of Trustalsowillsecurepayment of these amounts. Such rightshallbe inadditionto

    allotherrightsand remedies to which Lender may be entitledupon Default.

    WARRANTY; DEFENSE OF TITLE. The followingprovisionsrelatingto ownership of the

    Propertyarea partof thisDeed of Trust:

    Title.Grantor warrants that: (a)Grantor holds good and marketabletitleof recordto the

    Propertyin fee simple,free and clearof allliensand encumbrances other than those set

    forthinthe Real Propertydescriptionor in any titleinsurancepolicy,titlereport,or finaltitle

    opinionissued in favor of,and accepted by, Lender inconnection with thisDeed of Trust,

    and (b)Grantor has the fullright,power, and authorityto execute and deliverthisDeed of

    Trustto Lender.

    Defense of Title.Subject to the exception in the paragraph above, Grantor warrants and

    willforeverdefend the titleto the Propertyagainstthe lawfulclaimsof allpersons. In the

    event any actionor proceedingiscommenced that questionsGrantor'stitleor the interest

    of Trusteeor Lender under thisDeed of Trust,Grantor shalldefend the actionat Grantor's

    expense. Grantormay be the nominalpartyinsuch proceeding, but Lender shallbe entitled

    to participatein the proceeding and to be representedin the proceeding by counsel of

    Lender's own choice,and Grantor willdeliver,or cause to be delivered,to Lender such

    instrumentsas Lender may requestfrom time to time to permitsuch participation.

    Compliance With Laws. Grantor warrants that the Property and Grantor'suse of theProperty complies with all existingapplicable laws, ordinances, and regulationsof

    governmentalauthorities.

    Survival of Representations and Warranties. All representations,warranties, and

    agreements made by Grantor in thisDeed of Trust shallsurvivethe executionand delivery

    of thisDeed of Trust,shallbe continuingin nature,and shallremain in fullforceand effect

    untilsuch time as Grantor'sindebtednessshallbe paid infull.

    CONDEMNATION. The followingprovisionsrelatingto condemnation proceedingsare a partof

    thisDeed of Trust:

    Proceedings. If any proceeding in condemnation is filed,Grantor shall promptly notify

    Lender in writing,and Grantor shallpromptly take such steps as may be necessary to

    defend the action and obtain the award. Grantormay

    be the nominalparty

    in such

    proceeding, but Lender shall be entitledto participatein the proceeding and to be

    representedin the proceeding by counsel of itsown choice,and Grantor willdeliveror

    cause to be deliveredto Lender such instrumentsand documentation as may be requested

    by Lenderfrom time to time to permitsuch participation.

    Applicationof Net Proceeds. Ifallor any part of the Propertyis condemned by eminent

    domain proceedingsor by any proceedingor purchase in lieuof condemnation, Lender may

    at itselectionrequirethatallor any portionof the net proceeds of the award be appliedto

    the indebtedness or the repairor restorationof the Property. The net proceeds of the

    award shallmean the award afterpayment of allreasonablecosts,expenses, and attorneys'fees incurredby Trustee or Lender in connection with the condemnation. Grantor waives

    any legal or equitable interestin the net proceeds and any right to require any

    apportionmentof the net proceeds of the award. Grantor agrees that Lender isentitledto

    apply the award in accordance with thisparagraph without demonstratingthat itssecurity

    has been impaired.

    IMPOSITION OF TAXES, FEES AND CHARGES BY GOVERNMENTAL AUTHORITIES. The

    followingprovisionsrelatingto governmental taxes,fees and charges area partof thisDeed of

    Trust:

    Current Taxes, Fees and Charges. Upon request by Lender, Grantor shallexecute such

    documents in additionto thisDeed of Trust and take whatever otheractionisrequestedby

    Lender to perfectand continueLender'slienon the Real Property. Grantor shallreimburse

    Lender foralltaxes,as describedbelow, togetherwith allexpenses incurredin recording,

    perfectingor continuingthisDeed of Trust, includingwithout limitationalltaxes, fees,

    documentary stamps, and othercharges forrecordingor registeringthisDeed of Trust.

    Taxes. The followingshallconstitutetaxes to which thissectionapplies:(1) a specifictax

    upon thistype of Deed of Trustor upon allor any partof the Indebtednesssecured by this

    Deed of Trust; (2) a specifictax on Grantor which Grantor is authorizedor requiredto

    deduct from payments on the Indebtednesssecured by thistype of Deed of Trust; (3) a

    tax on thistype of Deed of Trust chargeableagainstthe Lender or the holderof the Note;

    and (4) a specifictax on allor any portionof the Indebtednessor on payments of principal

    and interestmade by Grantor.

    Subsequent Taxes. Ifany tax to which thissectionappliesisenacted subsequent to the

    date of thisDeed of Trust,thisevent shallhave the same effectas an Event of Default,andLender may exerciseany or allof itsavailableremedies foran Event of Defaultas provided

    below unless Grantor either (1) pays the tax before it becomes delinquent,or (2)

    conteststhe tax as providedabove inthe Taxes and Lienssectionand depositswith Lender

    cash or a sufficientcorporatesurety bond or othersecuritysatisfactoryto Lender.

    SECURITY AGREEMENT; FINANCING STATEMENTS. The followingprovisionsrelatingto this

    Deed of Trustas a securityagreement area partof thisDeed of Trust:

    SecurityAgreement. This instrumentshallconstitutea SecurityAgreement to the extent

    any of the Propertyconstitutesfixtures,and Lender shallhave allof the rightsof a secured

    partyunder the Uniform Commercial Code as amended from time to time.

    SecurityInterest.Upon requestby Lender,Grantor shalltake whatever actionisrequested

    byLender to

    perfectand continue Lender's securityinterestin the Rents and Personal

    Property. In additionto recordingthisDeed of Trust in the realpropertyrecords,Lender

    may, at any time and withoutfurtherauthorizationfrom Grantor,fileexecuted counterparts,

    copies or reproductionsof this Deed of Trust as a financingstatement. Grantor shall

    reimburseLender forallexpenses incurredinperfectingor continuingthissecurityinterest.

    Upon default,Grantor shallnot remove, sever or detach the PersonalPropertyfrom the

    Property. Upon default,Grantor shallassemble any Personal Propertynot affixedto the

    Propertyina manner and at a placereasonablyconvenientto Grantorand Lender and make

    itavailableto Lender withinthree (3) days afterreceiptof writtendemand from Lender to

    the extentpermittedby applicablelaw.

    FURTHER ASSURANCES; ATTORNEY-IN-FACT. The followingprovisionsrelatingto further

    assurancesand attorney-in-factarea partof thisDeed of Trust:

    FurtherAssurances. At any time, and from time to time, upon requestof Lender,Grantor

    willmake, execute and deliver,or willcause to be made, executed or delivered,to Lender or

    to Lender'sdesignee,and when requestedby Lender,cause to be filed,recorded,refiled,or

    rerecorded,as the case may be, at such times and insuch officesand placesas Lender may

    deem appropriate,any and allsuch mortgages, deeds of trust,securitydeeds, securityagreements, financing statements, continuation statements, instruments of further

    assurance, certificates,and other documents as may, in the sole opinionof Lender, be

    necessary or desirableinorderto effectuate,complete,perfect,continue,or preserve (1)

    Grantor'sobligationsunder the Note, thisDeed of Trust,and the RelatedDocuments, and

    (2) the liensand securityinterestscreatedby thisDeed of Trustas firstand priorlienson

    the Property,whether now owned or hereafteracquiredby Grantor. Unless prohibitedby

    law or Lender agrees to the contraryin writing,GrantorshallreimburseLender for allcosts

    and expenses incurredinconnectionwith the mattersreferredto inthisparagraph.

    Attorney-in-Fact.If Grantor failsto do any of the things referredto in the preceding

    paragraph,Lender may do so forand inthe name of Grantor and at Grantor'sexpense. For

    such purposes,Grantor hereby irrevocablyappointsLender as Grantor'sattorney-in-factfor

    the purpose of making, executing,delivering,filing,recording,and doing allother thingsasmay be necessaryor desirable,in Lender'ssoleopinion,to accomplishthe matters referred

    to inthe precedingparagraph.

    EVENTS OF DEFAULT. Each of the following,at Lender'soption,shallconstitutean Event of

    Defaultunder thisDeed of Trust:

    Payment Default.Grantorfailsto make any payment when due under the Indebtedness.

    Other Defaults. Grantor failsto comply with or to perform any other term, obligation,

    covenant or conditioncontainedinthisDeed of Trustor inany of the RelatedDocuments or

    to comply with or to performany term, obligation,covenant or conditioncontained in any

    otheragreement between Lender and Grantor.

    Compliance Default. Failureto comply with any other term, obligation,covenant or

    conditioncontainedinthisDeed of Trust,the Note or in any of the RelatedDocuments.

    Defaulton Other Payments. Failureof Grantor withinthe time requiredby thisDeed of

    Trust to make any payment for taxes or insurance,or any other payment necessary to

    preventfilingof or to effectdischargeof any lien.

    Defaultin Favor of Third Parties. Should Grantor defaultunder any loan,extension of

    credit,securityagreement,purchase or salesagreement, or any otheragreement, infavorof

    or instrumentsecuringany subordinateobligationor commencement of any suitor other

    actionto forecloseany subordinatelienon the Property.

    FalseStatements. Any warranty,representationor statement made or furnishedto Lender

    by Grantor or on Grantor'sbehalfunder this Deed of Trust or the Related Documents is

    falseor misleadingin any materialrespect,eithernow or at the time made or furnishedor

    becomes falseormisleadingat any time thereafter.

    DefectiveCollateralization.This Deed of Trust or any of the Related Documents ceases to

    be in fullforceand effect(includingfailureof any collateraldocument to createa validand

    perfectedsecurityinterestor lien)at any time and forany reason.

    Insolvency. The dissolutionor terminationof Grantor'sexistenceas a going business,the

    insolvencyof Grantor,the appointment of a receiverforany partof Grantor'sproperty,any

    assignment forthe benefitof creditors,any type of creditorworkout, or the commencement

    of any proceedingunder any bankruptcyor insolvencylaws by or againstGrantor.

    Creditoror ForfeitureProceedings. Commencement of foreciosureor forfeitureproceedings,

    whether by judicialproceeding,self-help,repossessionor any othermethod, by any creditor

    of Grantor or by any governmental agency againstany propertysecuringthe indebtedness.

    This includesa garnishmentof any of Grantor'saccounts,includingdepositaccounts,with

    Lender. However, thisEvent of Defaultshallnot apply ifthereis a good faithdisputeby

    Grantoras to the validityor reasonablenessof the claimwhich isthe basisof the creditoror

    forfeitureproceedingand ifGrantorgives Lender writtennoticeof the creditoror forfeiture

    proceeding and depositswith Lender monies or a surety bond for the creditoror forfeiture

    proceeding,inan amount determinedby Lender,in itssolediscretion,as being an adequate

    reserveor bond forthe dispute.

    Events AffectingGuarantor. Any of the preceding events occurs with respect to any

    Guarantor of any of the Indebtednessor any Guarantor dies or becomes incompetent,or

    revokes or disputesthe validityof,or liabilityunder,any Guaranty of the Indebtedness.

    Adverse Change. A materialadverse change occurs in Grantor'sfinancialcondition,or

    Lenderbelievesthe prospectof payment or performance of the Indebtednessisimpaired.

    Rightto Cure. Ifany default,otherthan a defaultinpayment iscurableand ifGrantor has

    not been given a noticeof a breach of the same provisionof thisDeed of Trust withinthe

    precedingtwelve (12)months, itmay be cured ifGrantor,afterLender sends writtennotice

    to Grantor demanding cure of such default:(1) cures the defaultwithinfifteen(15) days;

    or (2) ifthe cure requiresmore than fifteen(15) days, immediatelyinitiatessteps whichLender deems in Lender'ssolediscretionto be sufficientto cure the defaultand thereafter

    continues and completes all reasonable and necessary steps sufficientto produce

    compliance as soon as reasonablypractical.

    RIGHTS AND REMEDIES ON DEFAULT. Ifan Event of Defaultoccurs under thisDeed of Trust,

    at any time thereafter,Trustee or Lender may exerciseany one or more of the followingrights

    AccelerateIndebtedness. Lender shallhave the rightat itsoptionwithoutnoticeto Grantor

    to declarethe entireIndebtednessimmediatelydue and payable,includingany prepayment

    feewhich Grantorwould be requiredto pay.

    Foreclosure.With respectto allor any partof the Real Property,the Trustee shallhave the

    rightto forecloseby noticeand sale,and Lender shallhave the rightto foreclose by judicial

    foreclosure,in eithercase in accordance with and to the fullextentprovidedby applicable

    law.

    UCC Remedies. With respectto allor any partof the PersonalProperty,Lender shallhave

    allthe rightsand remedies of a securedpartyunder the Uniform Commercial Code.

    CollectRents. Lender shallhave the right,without noticeto Grantorto take possessionof

    and manage the Property,and, whether or not Lender takes possession,collectthe Rents,

    includingamounts past due and unpaid, and apply the net proceeds, over and above

    Lender'scosts,againstthe Indebtedness. In furtheranceof thisright,Lender may require

    any tenant or other user of the Propertyto make payments of rentor use fees directlyto

    Lender. Ifthe Rents are collectedby Lender,then Grantor irrevocablydesignatesLender as

    Grantor'sattorney-in-factto endorse instrumentsreceivedinpayment thereofin the name

    of Grantor and to negotiatethe same and collectthe proceeds. Payments by tenants or

    otherusers to Lender in response to Lender'sdemand shallsatisfythe obligationsforwhich

    the payments aremade, whether or not any propergrounds forthe demand existed.Lender

    may exerciseitsrightsunder thissubparagraph eitherin person, by agent, or through a

    receiver.

    Appoint Receiver. Lender shallhave the rightto have a receiverappointed to take

    possession of allor any partof the Property,with the power to protectand preservethe

    Property,to operate the Propertypreceding foreclosureor sale,and to collectthe Rents

    from the Property and apply the proceeds, over and above the cost of the receivership,

    against the Indebtedness. The receivermay serve without bond ifpermitted by law.

    Lender'srightto the appointment of a receivershallexistwhether or not the apparentvalue

    of the Propertyexceeds the Indebtednessby a substantialamount. Employment by Lender

    shallnot disqualifya person from servingas a receiver.

    Tenancy at Sufferance. IfGrantorremains inpossessionof the Propertyafterthe Property

    is sold as provided above or Lender otherwise becomes entitledto possession of the

    Propertyupon defaultof Grantor,Grantorshallbecome a tenant at sufferanceof Lender or

    the purchaser of the Propertyand shall,at Lender'soption,either (1) pay a reasonable

    rentalforthe use of the Property,or (2) vacate the Propertyimmediatelyupon the demand

    of Lender.

    Other Remedies. Trustee or Lender shallhave any other rightor remedy provided in this

    Deed of Trustor the Note or availableatlaw or inequity.

    Notice of Sale. Lender shallgive Grantor reasonablenoticeof the time and place of any

    publicsale of the PersonalPropertyor of the time afterwhich any privatesale or other

    intendeddispositionof the PersonalPropertyisto be made. Reasonable noticeshallmeannoticegiven at leastten (10) days beforethe time of the saleor disposition.Noticesgiven

    by Lender or Trustee under the realproperty foreclosureproceedings shallbe deemed

    reasonable.Any saleof the PersonalPropertymay be made inconjunctionwith any saleof

    the Real Property.

    Sale of the Property.To the extent permittedby applicablelaw, Grantor hereby waives any

    and allrightsto have the Property marshalled. Inexercisingitsrightsand remedies,the

    Trustee or Lender shallbe freeto sellallor any partof the Propertytogetheror separately,

    in one saleor by separatesales. Lender shallbe entitledto bid at any publicsaleon allor

    any portionof the Property. The power of sale under this Deed of Trust shallnot be

    exhausted by any one or more sales(orattempts to sell)as to allor any portionof the Real

    Propertyremainingunsold, but shallcontinueunimpaired untilallof the Real Propertyhas

    been soldby exerciseofthe power of saleand allindebtednesshas been paid infull.

    Attorneys'Fees; Expenses. IfLender institutesany suitor actionto enforce any of the

    terms of thisDeed of Trust,Lender shallbe entitledto recoversuch sum as the courtmay

    adjudge reasonableas attorneys'fees at trialand upon any appeal. Whether or not any

    court actionis involved,and to the extent not prohibitedby law, allreasonableexpenses

    Lender incursthat in Lender'sopinionare necessary at any time forthe protectionof its

    interestor the enforcement of itsrightsshallbecome a partof the Indebtednesspayableon

    demand and shallbear interestat the Note rate from the date of the expenditureuntil

    repaid. Expenses covered by thisparagraphinclude,without limitation,however subjectto

    any limitsunder applicablelaw, Lender's attorneys'fees and Lender's legalexpenses,

    whether or not there isa lawsuit,includingattorneys'fees and expenses for bankruptcy

    proceedings (includingeffortsto modify or vacate any automatic stay or injunction),

    appeals, and any anticipatedpost-judgment collectionservices,the cost of searchingrecords, obtainingtitlereports (includingforeclosurereports),surveyors' reports,and

    appraisalfees, titleinsurance,and fees for the Trustee, to the extent permitted by

    applicablelaw. Grantoralsowill pay any courtcosts,in additionto allother sums provided

    by law. Fees and expenses shallincludeattorneys'feesthatLender,Trustee,or both incur,

    if eitheror both are made partiesto any action to enjoinforeclosureor to any legal

    proceeding that Grantor institutes.The fees and expenses are secured by thisDeed of

    Trustand arerecoverablefrom the Property.

    Rightsof Trustee. Trustee shallhave allof the rightsand dutiesof Lender as set forthin

    thissection.

    POWERS AND OBLIGATIONS OF TRUSTEE. The followingprovisionsrelatingto the powers

    and obligationsof Trusteearepartof thisDeed of Trust:

    Powers of Trustee. In additionto allpowers of Trustee arisingas a matterof law, Trustee

    shallhave the power to take the followingactionswith respectto the Propertyupon the

    writtenrequestof Lender and Grantor: (a)joininpreparingand filinga map or platof the

    Real Property,includingthe dedicationof streetsor other rightsto the public; (b)joinin

    grantingany easement or creatingany restrictionon the Real Property;and (c)joinin any

    subordinationor other agreement affectingthisDeed of Trust or the interestof Lender

    Obligationsto Notify.Trustee shallnot be obligatedto notifyany otherpartyof a

    pendingsale under any other trustdeed or lien,or of any actionor proceeding in which Grantor,

    Lender,or Trustee shallbe a party,unlessthe actionor proceedingisbrought by Trustee.

    Trustee. Trustee shallmeet allqualificationsrequiredforTrustee under applicablelaw. In

    additionto the rightsand remedies set forthabove, with respectto allor any part of the

    Property,the Trustee shallhave the rightto forecloseby noticeand sale,and Lender shall

    have the rightto foreclose by judicialforedosure,ineithercase in accordance with and to

    the fullextent providedby applicablelaw.

    Successor Trustee. Lender,at Lender'soption,may from time to time appointa successor

    Trusteeto any Trustee appointedunder thisDeed of Trustby an instrumentexecuted and

    acknowledged by Lender and recorded in the officeof the recorderof Washoe County,

    Stateof Nevada. The successortrustee,without conveyance of the Property,shallsucceed

    to allthe title,power, and dutiesconferredupon the Trustee in thisDeed of Trust and byapplicablelaw. This procedure for substitutionof Trusteeshallgovern to the exclusionof

    allotherprovisionsforsubstitution.

    MISCELLANEOUS PROVISIONS. The followingmiscellaneousprovisionsare a partof thisDeed

    of Trust:

    Amendments. This Deed of Trust,togetherwith any RelatedDocuments, constitutesthe

    entireunderstandingand agreement of the partiesas to the matters setforthinthisDeed of

    Trust. No alterationof or amendment to thisDeed of Trustshallbe effectiveunless given

    inwritingand signedby thepartyor partiessought to be charged or bound by the alteration

    or amendment.

    Annual Reports. Ifthe Property is used for purposes other than Grantor's residence,

    Grantor shallfurnishto Lender,upon request,a certifiedstatement of net operatingincomereceivedfrom the Propertyduring Grantor'spreviousfiscalyear in such form and detailas

    Lender shallrequire."Net operatingincome" shallmean allcash receiptsfrom the Property

    lessallcash expenditures made inconnectionwith theoperationof the Property.

    Caption Headings. Caption headings in thisDeed of Trust are for convenience purposes

    only and are not to be used to interpretor definethe provisionsof thisDeed of Trust.

    Merger. There shallbe no merger of the interestor estatecreatedby thisDeed of Trust

    with any other interestor estatein the Propertyat any time held by or for the benefitof

    Lender inany capacity,withoutthe writtenconsent of Lender.

    ApplicableLaw. The Loan secured by thislienwas made under a United States Small

    Business Administration(SBA) nationwideprogram which uses tax dollarsto assistsmall

    businessowners. Ifthe UnitedStatesisseeking

    to enforcethisdocument, then under SBA

    regulations:(a) When SBA isthe holderof the Note, thisdocument and alldocuments

    evidencingor securingthisLoan will be construedin accordance with federallaw. (b)

    Lender or SBA may use localor state procedures for purposes such as filingpapers,

    recordingdocuments, givingnotice,foreclosingliens,and otherpurposes. By using these

    procedures,SBA does not waive any federalimmunity from localor statecontrol,penalty,

    tax or liability. No Borrower or Guarantor may claim or assertagainstSBA any localor

    No Waiver by Lender. Lender shallnot be deemed to have waived any rightsunder this

    Deed of Trust unlesssuch waiver is given in writingand signed by Lender. No delay or

    omission on thepartof Lender inexercisingany rightshalloperateas a waiver of such right

    or any other right. A waiver by Lender of a provisionof this Deed of Trust shallnot

    prejudiceor constitutea waiver of Lender's rightotherwise to demand strictcompliance

    with thatprovisionor any otherprovisionof thisDeed of Trust. No priorwaiver by Lender,

    nor any course of dealingbetween Lender and Grantor,shallconstitutea waiver of any of

    Lender'srightsor of any of Grantor'sobligationsas to any futuretransactions.Whenever

    the consent of Lender isrequiredunder thisDeed of Trust,the grantingof such consent by

    Lender in any instanceshallnot constitutecontinuingconsent to subsequent instances

    where such consent isrequiredand in allcases such consent may be grantedor withheldin

    the solediscretionof Lender.

    Severability.Ifa courtof competent jurisdictionfindsany provisionof thisDeed of Trustto

    be illegal,invalid,or unenforceableas to any circumstance,that findingshallnot make the

    offending provisionillegal,invalid,or unenforceableas to any other circumstance. If

    feasible,the offendingprovisionshallbe consideredmodifiedso thatitbecomes legal,valid

    and enforceable, ifthe offendingprovisioncannot be so modified,itshallbe considered

    deletedfrom thisDeed of Trust. Unless otherwiserequiredby law, the illegality,invalidity,

    or unenforceabilityof any provisionof this Deed of Trust shallnot affectthe legality,

    validityor enforceabilityof any otherprovisionof thisDeed of Trust.

    Successors and Assigns. Subjectto any limitationsstatedinthisDeed of Truston transfer

    of Grantor'sinterest,thisDeed of Trust shallbe bindingupon and inureto the benefitof the

    parties,theirsuccessors and assigns. Ifownership of the Property becomes vested in a

    person other than Grantor, Lender, without notice to Grantor,may deal with Grantor's

    successors with reference to this Deed of Trust and the Indebtedness by way of

    forbearance or extension without releasingGrantor from the obligationsof thisDeed of

    Trustor liabilityunder the Indebtedness.

    Time isof the Essence. Time isofthe essence intheperformance of thisDeed of Trust.

    Waiver of Homestead Exemption. Grantor hereby releasesand waives allrightsand

    benefitsof the homestead exemption laws of the State of Nevada as to allIndebtedness

    secured by thisDeed of Trust.

    DEFINITIONS. The followingcapitalizedwords and terms shallhave the followingmeanings

    when used in thisDeed of Trust. Unless specificallystatedto the contrary,allreferencesto

    dollaramounts shallmean amounts in lawfulmoney of the United Statesof America. Words

    and terms used inthe singularshallincludethe plural,and the pluralshallincludethe singular,as the contextmay require. Words and terms not otherwisedefinedinthisDeed of Trustshall

    have the meanings attributedto such terms inthe Uniform Commercial Code:

    Beneficiary. The word "Beneficiary" means PLUMAS BANK, and its successors and

    assigns.

    Borrower. The word "Borrower" means HighlandStores,Incand includesallco-signersand

    Deed of Trust. The words "Deed of Trust" mean thisDeed of Trustamong

    Grantor,Lender,

    and Trustee.

    Default.The word "Default"means the DefaultsetforthinthisDeed of Trustinthe section

    titled"Default".

    EnvironmentalLaws. The words "EnvironmentalLaws" mean any and allstate,federaland

    localstatutes,regulationsand ordinancesrelatingto the protectionof human healthor the

    environment, includingwithout limitationthe Comprehensive Environmental Response,

    Compensation, and Liability Act of 1980, as amended, 42 U.S.C. Section 9601, et seq.

    ("CERCLA"), the Superfund Amendments and Reauthorization Act of 1986, Pub. L. No.

    99-499 ("SARA"), the Hazardous MaterialsTransportationAct, 49 U.S.C. Section 1801, et

    seq.,the Resource Conservation and Recovery Act, 42 U.S.C. Section 6901, et seq.,or

    otherapplicablestateor federallaws,rules,or regulationsadopted pursuant thereto.

    Event of Default.The words "Event of Default"mean any of the events of defaultset forth

    inthisDeed of Trustinthe events of defaultsectionof thisDeed of Trust.

    Grantor. The word "Grantor"means HighlandStores,Inc.

    Guarantor. The word "Guarantor"means any guarantor,surety,or accommodation partyof

    any or allof the Indebtedness.

    Guaranty. The word "Guaranty" means the guaranty from Guarantorto Lender, including

    without limitationa guarantyof allor partof the Note.

    Hazardous Substances. The words "Hazardous Substances" mean materialsthat,because

    of theirquantity,concentrationor physical,chemical or infectiouscharacteristics,may

    cause or pose a present or potentialhazard to human healthor the environment when

    improperlyused, treated,stored, disposed of, generated,manufactured, transportedor

    otherwise handled. The words "Hazardous Substances" are used in theirvery broadest

    sense and includewithout limitationany and allhazardous or toxicsubstances,materialsor

    waste as defined by or listedunder the Environmental Laws. The term "Hazardous

    Substances" also includes,without limitation,petroleumand petroleumby-productsor any

    fractionthereofand asbestos.

    Improvements. The word "Improvements" means allexistingand futureimprovements,

    buildings,structures, mobile homes affixedon the Real Property,facilities,additions,

    replacementsand otherconstructionon the Real Property.

    Indebtedness. The word "indebtedness"means allprincipal,interest,and other amounts,

    costs and expenses payable under the Note or Related Documents, together with all

    renewals of, extensionsof, modificationsof, consolidationsof and substitutionsfor the

    Note or RelatedDocuments and any amounts expended or advanced by Lender to dischargeGrantor's obligationsor expenses incurredby Trustee or Lender to enforce Grantor's

    obligationsunder thisDeed of Trust,togetherwith intereston such amounts as providedin

    thisDeed of Trust.

    Lender. The word "Lender"means PLUMAS BANK, itssuccessors and assigns.

    Note. The word "Note" means the promissory note dated April23, 2010, in the original

    Personal Property. The words "PersonalProperty" mean allequipment, fixtures,mobile
